Qualified proposers are invited to submit proposals for the operation of any or all of the following food
and beverage concessions:
1. Restaurant/Bar Post Security (“Restaurant/Bar”)
2. Coffee Venue Post Security (“Coffee Venue”)
3. Snack Shop Pre-security (“Snack Shop”)
All concessions will be operated in the Passenger Terminal Building (the "Terminal") at the Corpus
Christi International Airport (the “Airport”). Proposers are invited to propose on any individual or all
food and beverage opportunities as identified. The City reserves the right to award the concessions to
individual operators or one concessionaire based on the evaluation team’s final rankings of the proposals
received.
The City of Corpus Christi (the “City”), which owns and operates the Airport, is interested in attracting
experienced, qualified, financially stable, and innovative operators (an “Operator”) for the operation of a
Restaurant/Bar post security, a Coffee Venue post security, and Snack Shop pre-security. All
concessions shall provide high quality fresh food and non-alcoholic beverages. The Restaurant/Bar
Operator must obtain a liquor license and offer alcoholic beverages in the Restaurant/Bar and any other
areas as approved in writing by the City. The current Operator has a Liquor License that allows for the
consumption of alcohol throughout the holdroom area of the concourse and it is the desire of the Airport
that the new Operator’s Liquor License allow the same flexibility.
Prior to commencing full operations by the selected proposer of the Restaurant/Bar (Exhibit A), the City
will complete modifications such that the Restaurant/Bar and supporting kitchen will be accessed from
the secure concourse (the passenger holdroom area) of the Terminal. The current pre-security Snack Shop
(Exhibit C) will be separated from the existing location and will remain accessible from the non-secure
side. Unless operated by the same concessionaire, there will be no sharing of space between these
respective concessions. The identified Coffee Venue (Exhibit B) currently is being operated as a small
food venue post security, but will be operated as a Coffee Venue by the selected proposer.
While the RFP does not require a specific investment, proposers are encouraged to submit proposals that
meet the criteria identified and to propose creative alternatives that would enhance the concessions,

improve the customer experience and increase sales based on the guidelines and information contained in
this request and your independent investigation.

The attached specifications have been developed as criteria against which proposals will be evaluated.
Proposals should address each requirement in detail. An Evaluation Committee will be selected by the
City and will evaluate each proposal on the material presented in this RFP. Proposers may submit
proposals for any and/or all of the different concessions identified. Written proposals will be reviewed,
and selected proposers may be requested to make oral presentations to the Evaluation team.
The final selection will be made on the basis of the City’s evaluation team’s scoring of the proposer’s
overall ability to finance, operate, create an inviting concession, and manage the concession(s) to be
awarded. The City reserves the right to accept or reject any and all proposals, to waive irregularities or
technical deficiencies and to negotiate any desired change in the proposal which, in the judgment of the
City, best meets its requirements.
A MANDATORY pre-proposal conference and tour of the facility will be held on April 17, 2013 at
10:30AM CDT at the Corpus Christi International Airport in the Green Room. Potential proposers
who do not have representation at this meeting will be considered non-responsive and will not be
included in the evaluation. Please RSVP with Mr. Castillo if you plan on attending.

I. PURPOSE/OBJECTIVES
The City of Corpus Christi (the “City”) currently leases a restaurant/bar operation consisting of a
main restaurant/bar/kitchen and snack shop pre-security and a snack shop post security at the Corpus
Christi International Airport (the “Airport”) in the Airport Terminal Building (the “Terminal”). All
three current venues operate in the Terminal under a single concession agreement which will terminate
upon written notice to Concessionaire projected to be summer 2013. Depending on the award, the
commencement of the new concessions may start at different times. Prior to the commencement of this
Agreement, the City plans to alter access to the Restaurant/Bar Post Security from pre-security to post
security with access from the “concourse/passenger holding area” of the Terminal (the “Secure Area”).
Proposers shall include in their proposals a timeline for commencement of service for the respective
concessions on which they are submitting. The City encourages proposers to propose the soonest start
date as is feasible in their proposals.
It is the goal of the City to operate and maintain concession facilities and services at the Airport that
are of first-class quality. It is the City's objective to make available high quality products, efficient
service, and reasonable prices.
The purpose of this Request for Proposals (the “RFP”) is to solicit proposals for operation of the three
(3) different venues including the Restaurant/Bar, the Coffee Venue, and a Snack Shop in accordance
with the specifications set forth in this document.

III. OVERVIEW OF COPRUS CHRISTI INTERNATIONAL AIRPORT
The Airport is a publicly-owned commercial airport owned and operated by the City of Corpus
Christi. The Airport is located west of the downtown Corpus Christi, Texas. Access to the Airport is
provided by Texas Highway 44, located just east of the Airport property. The approximate population in
the area is 400,000.
A major passenger terminal renovation was completed in 2001. The Terminal contains passenger and
baggage handling facilities, airline offices and ticket counters, rental car counters and offices, a
restaurant/bar, snack shop, post security limited offering food and beverage concession, and retail
operation. THE RETAIL CONCESSION IS NOT INCLUDED IN THIS RFP. The airport is
served by two (2) Fixed Base Operators (FBOs) which are currently Signature Flight Support and
Atlantic Aviation. All general aviation traffic is handled by one or the other FBO. There is FedEx
ground facility located on the airport of approximately 46,000 square feet. The City is in final
negotiations for a new U.S. Coast Guard facility consisting of approximately 146,000 square feet to be
located on the airport.
Scheduled commercial airlines currently operating at the Airport are listed on the chart below, together
with their destinations. A total of 346,000 passengers were enplaned by commercial airlines at the
Airport in 2012, and 311,795 passengers were enplaned in 2008. Detailed enplanement statistics are
included in Exhibit D.

Smoking is not permitted in the Terminal, including the proposed concessions.
Rental car companies currently located in the Terminal are Enterprise, Alamo/National, Avis, Hertz,
and Dollar/Thrifty. The Terminal is supported by a main parking lot which contains approximately
1,500 spaces.
IV. GENERAL INFORMATION
1. Level of Service. The selected respondent(s) must provide the highest quality
service and offer a wide range of food and beverage options to the public. The clientele is expected
to include air travelers, City employees, all other airport tenants, FBOs, meeters and greeters, local
businesses, and the general public. Access to the primary Restaurant/Bar and the post security Coffee
Venue will to be limited to ticketed air travelers and Airport employees who have security badges. All
employees who will staff the post security concessions must be badged with the appropriate security
background checks.

2. Term and Option. The Base Term (Term) of the concession agreement expires five
(5) years after the commencement date which will be determined by issuance of a Certificate of
Occupancy by the City. One Option to extend the Term of the Agreement for an additional three (3)
year period under the same terms and conditions as the original agreement will be exercisable upon the
mutual agreement of the parties. The Option must be executed a minimum of one hundred eighty (180)
days prior to the expiration of the Base Term. In the event the Option is not executed as called for, this
Agreement will terminate and no further obligation will exist beyond what is identified in this
Agreement beyond the Base Term.
3. Insurance. Operator of the concession shall arrange to provide insurance with limits
specified in the sample Concession Agreement attached as part of this specification. If a single operator
is awarded more than one concession at the Airport, limits will not be cumulative and only highest
limit will be required.
4. Fees, Rent, and Minimum Annual Guarantee. Beginning on the date of the issuance
of a Certificate of Occupancy, the operator shall pay to the Airport the greater of a Minimum Annual
Guarantee (“MAG”) as defined below or the annual percentage fee applicable to each category of gross
sales, as defined in the agreement, payable in monthly installments on the first day of each month, as
follows:
Percent payable for food, sundries, and non-alcoholic beverages: 12%
Percent payable for alcoholic beverages: 16%
The space identified in the applicable Premises Exhibits will be included at no additional charge to the
Concessionaire as part fo the base . Any additional space occupied by Concessionaire will be at the
applicable rental rate charged to the Signatory Airlines. The current rate (FY 2012-13) is $52.15 per
square foot. For purposes of setting applicable rent rates, the City’s fiscal year is August 1 through July
31.
Proposers must include in their proposal a projection of first year gross sales. This will be considered in
the evaluation process. The first year Minimum Annual Guarantee (MAG) will be established at eighty
five percent (85%) of that gross sales amount. Following the first year and for each year thereafter, the
MAG will be established at eighty five percent (85%) of the previous year’s actual gross sales. In no
event shall the MAG be less than the first year MAG.
5. Premises. The following square footage represent the space to be provided by the City
to the Operator(s) as part of the Airport Facilities Lease and Concession Agreement and will be provided
at no cost to Operator(s):
a. Restaurant/Bar/Kitchen Post Security (as identified in Exhibit A): 3,636 SF
b. Coffee Venue Post Security (as identified in Exhibit B): 577 SF
c. Snack Shop Pre Security (as identified in Exhibit C): 536 SF
6. Pricing. The City requires that the Operators of the concessions provide high quality
products and services at reasonable prices. “Reasonable prices” shall be judged primarily by
comparison with those airports of comparable character in the South Central Region under similar
conditions, with due consideration given to availability and costs of labor and materials, a reasonable
rate of return on capital invested (if any), and other factors affecting pricing at the Airport. A
proposed product list and schedule of initial prices to be charged shall be as proposed and included in
the response to this RFP. Thereafter, the operator may submit requests to the Airport Director to adjust
prices on an annual basis. Any such requests shall include the requested documentation. The Airport
Director will review any requests for adjustments to pricing and provide a response within thirty (30)
days of submission.

7. Employee Discounts. The Restaurant/Bar, Coffee Venue and Snack Shop each must
offer an employee discount of a minimum of fifteen percent (15%) to all on duty airport employees,
City Airport employees, all other airport tenants, and airline employees who provide a current CRP
identification badge or a similar form of identification identifying the person as an airport tenant.
Proposers may propose a discount program in excess of that amount and should identify any such
additional discount program in their proposal. No discount will apply to alcoholic beverages. The
discount will apply to the purchase of food and non-alcoholic beverages only and only when the
employee is on duty. Discounted sales of food and non-alcoholic beverages to employees shall not
be subject to the percentage rent described in paragraph 4 above and should be noted accordingly in
the monthly sales report.
8. Refuse Removal/Recycling. The Operator will be expected to provide trash
receptacles in the Premises. It shall provide separate receptacles by which its customers may recycle
glass and newspaper wastes generated by and in conjunction with the operations. Operator shall make
a good faith effort to recycle, but at a minimum shall cause waste of plastic, glass, and newspaper
generated by and in conjunction with their operations to be deposited so as to reasonably assure their
recycling.
9. Vending. The City provides vending machines for convenience and use by users in
the Terminal. The City will use its best efforts to coordinate the location of vending machines with
Operator to minimize any negative impact on Operator’s sales. The City will administer the vending
program as a separate concession to the food and beverage concession. Operators will be prohibited
from providing vending machines in the Terminal under the terms of this Agreement.
10. Federal Civil Rights and DBE Requirements. The successful proposer for itself, its
heirs, personal representatives, successors in interest, and assigns, as a part of the consideration hereof,
shall be prepared to comply with the following and all other nondiscrimination requirements, with
respect to the award and performance of one of the concession agreements.
a. Operator will covenant and agree that: (1) no person on the grounds of race, color, or
national origin shall be excluded from participation in, denied the benefits of, or be otherwise
subjected to discrimination in the use of said facilities, (2) that in the construction of any
improvements on, over, or under such land and the furnishing of services thereon, no person
on the grounds of race, color or national origin shall be excluded from participation in, denied
the benefits of, or otherwise be subjected to discrimination, (3) that it shall use the premises in
compliance with all other requirements imposed by or pursuant to 49 CFR Part 21,
Nondiscrimination in Federally Assisted Programs of the Department of Transportation, and
as said Regulations may be amended.
b. Operator will comply with pertinent statutes, Executive Orders and such rules as are
promulgated to assure that no person shall, on the grounds of race, creed, color, national
origin, sex, age or handicap be excluded from participating in any activity conducted with or
benefiting from federal assistance.
c. The concession agreement will be subject to the requirements of the U.S. Department
of Transportation's regulations, 49 CFR part 23. The operator(s) will agree that it will not
discriminate against any business owner because of the owner's race, color, national origin or
sex in connection with the award or performance of any concession, management contract or
subcontract, purchase or lease agreement, or other agreement covered by 49 CFR part 23.
The Operator will agree to include the above statements in any subcontract covered by 49 CFR part 23
that it enter into, and cause those businesses to similarly include the statements in further agreements.

V. THE CONCESSIONS
1. Restaurant/Bar-. The Restaurant/Bar area consists of approximately 3,636 square feet of
space for the kitchen, dining area, bar area, and adjacent storage. The area will be leased “as is” in
accordance with the layout included in Exhibit A and may be improved by the selected Operator as
proposed in the proposal, subject to the approval of the City. The City will be responsible for
improvements required to convert the location from pre-security to post security. The City is not
necessarily seeking major capital expenditures to improve the current facility; rather the City is
seeking a creative and efficient utilization of existing assets with an investment by the selected
operator that would be appropriate to provide a high quality and appealing environment. Proposers are
encouraged to develop unique and interesting concepts and service plans for the space and may
include multi-concept use of the area. Proposers shall identify in their proposal the level of capital
they are intending to invest to accomplish the proposed plan. The City desires that the operator
include in their menu a minimum of the following: a full spectrum of wine, beer, and alcoholic
beverages; a full spectrum of non-alcoholic beverages; quality hot meals and sandwiches; quality cold
sandwiches; a variety of salads; appetizers; a daily special hot meal; pre-packaged snacks and chips;
and a children’s menu. Proposers are encouraged to provide selected menu items “to go”. Sample
menus including “to go” products shall be submitted with the response.
2. Location - Restaurant/Bar. The Restaurant/Bar is situated in the area of the Terminal
between the secure and non-secure space. Upon completion of the conversion to the secure side
project and prior to commence of this Agreement, the Restaurant/Bar location and footprint will
effectively remain the same, but its entrance will be shifted from the public area of the Terminal to the
secure Terminal waiting area/concourse. No access to the Restaurant/Bar will be available from the
non-secure portion of the Terminal for customers without the appropriate security clearance.
3. Leasehold - Coffee Venue-. The Coffee Venue area and adjacent storage consists of
approximately 577 square feet of space and will be leased “as is” in accordance with the layout
included in Exhibit B . Proposers are encouraged to identify improvements to the space to be provided
by the proposer in order to maximize customer appeal for the space. Proposers shall include a
description and estimated dollar value in their proposal. Proposers are encouraged to develop unique
and interesting concepts and service plans for the space and may include multi-concept use of the
area. The City desires that the operator include in their menu a minimum of the following: traditional
coffee, specialty coffee; fresh pastries; a full spectrum of non-alcoholic beverages; pre-packaged
snacks; baked goods; and breakfast offerings.
4. Location - Coffee Venue. The Coffee Venue is situated in the area to the west upon
exiting the checkpoint into the secure holdroom area.

5. Leasehold - Snack Shop-. The Snack Shop area and adjacent storage consists of
approximately 536 square feet of space as identified on Exhibit C. The area will be leased “as is” in
accordance with the layout included in Exhibit C and may be improved by the selected Operator as
proposed in the proposal response, subject to the approval of the City. The City is seeking a creative
and efficient utilization of existing assets with a minimum investment by the selected Operator.
Proposers are encouraged to develop unique and interesting concepts and service plans for the space
and may include multi-concept use of the area and include the proposed value of the concept in the
proposal. The City desires that the operator include in their menu a minimum of the following: A full
spectrum of non-alcoholic beverages; traditional and specialty coffees; sandwiches; a variety of
salads; pre-packaged snacks and chips; baked goods; and products “to go”.
6. Location- Snack Shop. The Snack Shop is situated on the non-d in the area to the non-
secure side prior to entering the checkpoint into the secure holdroom area.
7. Equipment. The City owns certain equipment and furnishings currently installed and
placed in the respective venues. The Agreements will provide for Operator's use and maintenance of
such equipment. Equipment and furnishings owned by the City are listed in Exhibit E. If an asset
identified as being property of the City becomes inoperable and not able to be repaired during the Term
of the Agreement, the parties will discuss the replacement or other alternatives.
8. Concession Agreement. The successful proposer(s) for each venue shall be expected to
sign an Agreement, the terms and conditions of which are substantially similar to the attached Airport
Facilities Lease and Concession Agreement (Exhibit F). The successful proposers(s) shall be
expected to sign the required Agreement no later than fourteen days after award, and to commence
service at the Airport in accordance with the timeframes contained in the proposal(s). Proposers shall
include a proposed commencement date for each of the venues for which proposals are being
submitted.
The current operator operates all three venues under the current Agreement and shall vacate the
premises on the date designated by the City. The operator has the right to remove all its personal
property, equipment, and inventory not purchased by the successful proposer. Proposers are required
to provide a plan for the transition of service in their proposal.
9. Liquor License. The successful proposer for the Restaurant/Bar Post Security will be
required to obtain or show actions in order to obtain a Liquor License prior to opening the concession.
If the proposer is not going to be able to obtain a Liquor License, the proposer must include in the
submission the plan to address providing alcohol upon opening until a License is received. The
selected Operator must be capable of qualifying for the liquor license and must remain qualified for
the Term of the Agreement and any Options exercised under the Agreement. Any proposer that is
unable to qualify for the liquor license will not be considered for the Restaurant/Bar Post Security.
Proposers shall research liquor license requirements and affirm their understanding and ability
to obtain a license in their proposal. If, after selection, it is determined that the operator is unable to
qualify to obtain and/or operate under the liquor license, the City may select another proposer or re-
solicit proposals. The Liquor License held by the current Operator provides for the consumption of
alcohol in all areas of the terminal post security. It is the desire of the Airport to maintain that same
flexibility with any new Liquor Licenses obtained.
10. Food and Beverages Sold. The venues shall offer a full range of quality food, beverages,
and sundries. Beverages shall be consistent with comparable operations. Proposers shall include a
proposed menu for each venue.
11. Hours of Operation. At a minimum, the concessions will be open seven days a week,
including holidays, and the hours of operation for the venues shall be as follows:

Main Restaurant/Bar: 10:00am- last scheduled departure
Coffee venue: 4:30am- 1:30pm
Snack Shop: 6:00am-6:00pm
Hours of operation may be adjusted from time to time at the discretion of the Airport Director
upon written notice and consultation.
12. Health Department. Operator shall be solely responsible for obtaining all Health
Department approvals and coordinating all inspections at its sole cost. Any violations of Health
Department rules and regulations shall be corrected by the operator at its sole expense and in a
timeframe acceptable to the City. Any fines shall be the sole responsibility of the operator.
13. Annual Report. Following the end of each fiscal year, the operator shall submit an
annual report to the Airport Director outlining the operation, financial condition, capital
investment, menu selections, and challenges during the year as well as a plan for the following
year on ways to improve the concession and sales. The City reserves the right to require an oral
presentation to the Airport Advisory Board following submission.
VI. OPTIONAL CAPITAL IMPROVEMENTS.
1. As noted previously, the City is not requiring a defined major capital expenditure to
improve the venues other than those required to operate a quality food and beverage concession.
Nonetheless, proposals for operation of the venues may contain the commitment of a proposer to
make major capital expenditures in connection with its proposed operation. Any such expenditure
shall be included in the proposal and will be considered in the evaluation process.
2. Any such proposal to make a major capital expenditure should detail the construction
proposed. This detail should include (a) a narrative description of the improvements proposed, (b) a
conceptual drawing of the improvements proposed showing at a minimum the location, size and style
of such improvements, (c) the timing of such improvements, (d) the manner of construction of such
improvements (e.g. by in-house workforce, competitive bid, etc.), and (e) the projected cost of such
improvements (including hard and soft costs).
3. Capital improvement plans should not include changes to the square footage or
perimeter walls of the Premises. Such plans may include, but are not necessarily limited to, flooring,
seating, lighting, space dividers, caseworks, equipment, bar/counter enhancements, audio/visual
improvements, or other similar improvements.
4. If the City selects proposals which contain optional capital improvements, the City
may, but is not required to, also accept the proposal to make capital improvements and may, if
requested, agree to exercise the Option immediately, to reflect the operator’s need to amortize capital
improvements. The decision to grant the Option is within the sole discretion of the City. If the City
grants the Option, it shall be contingent upon the operator successfully completing the proposed
improvements for the value proposed and providing third-party receipts to the City evidencing the
required capital expenditure.
VII. SECURITY REQUIREMENTS
As noted above, the Restaurant/Bar and Coffee Venue concessions will be located in the Secure Area
of the Terminal. Accordingly, the Operator of these concessions will be required to comply with
Federal and City security requirements. All products will be required to be processed through a
security screening upon delivery to the venues. Operators of the concessions will be required to:
1. Establish and maintain an “Airport Tenant Security Program” meeting the

requirements of 49 CFR Part 1542.113 (Code of Federal Regulations). Security measures to be
assumed by the operator must include inspection of (a) vendor deliveries/merchandise to ensure they
are not, and do not contain, items on TSA’s Prohibited Items List prior to entering the Secure Area for
consumption, sale or display, and (b) vendor employees, and delivery personnel to ensure they are not
in possession of items on TSA’s Prohibited Items List, except as necessary for job performance, prior
to accessing the Secure Area.
2. Provide approved escort for vendor employees and delivery personnel requiring access
to the Secure Area of the Terminal.
3. Make necessary improvements to operator’s leased areas and areas designated for the
operator’s exclusive use to ensure adequate security and separation from areas where security measures
are carried out under the Airports Security Program, any other Tenant Security Programs, and any
exclusive areas in which an airline has assumed responsibility for specified security measures by
amendment to the Airport's Security Program.
4. Submit to inspections by TSA and the City to ensure compliance with the “Airport
Tenant Security Program” and applicable rules and regulations which may be promulgated from time
to time.
More information on these security requirements will be provided by the City upon request.
VII. EVALUATION OF PROPOSALS
Proposals will be evaluated based on the written proposal submissions and potentially oral interviews.
Proposers are required to fully respond to each question and request for information for each venue it
is proposing on. Points will be awarded based on the following:

VIII. STATEMENT OF RIGHTS
The City reserves, holds, and may in its sole discretion exercise, the following rights and options with
respect to this RFP and the proposals received. The City will be executing individual Airport Facility
Lease and Concession Agreements for each venue.
1. To select and enter into an Agreement with the proposer whose proposal best satisfies
the interests of the Airport and City.
2. To reject any and all proposals.
3. To issue additional subsequent solicitations for proposals and/or amendments to the
RFP.
4. To conduct investigations with respect to the qualifications and financial standing of
each proposer.

5. To negotiate with proposers for amendments or other modifications to their proposals.
6. To modify dates.
7. To enter into an Agreement for only portions (or not to enter into agreement for any)
of the services contemplated by the proposal submitted.
X. TERMS AND CONDITIONS FOR PROPOSALS
1. All proposals prepared in response to this RFP are at the sole expense of the proposer,
and with the express understanding that there will be no claim, whatsoever, for reimbursement from
the City for the expenses of preparation.
2. Texas State Law mandates public access to government records. However, proposals
submitted in response to this RFP may contain technical, financial, or other data the public disclosure
of which could cause substantial injury to a proposer’s competitive position or constitute a trade secret.
To protect this data from disclosure under the Law, to the greatest degree possible, the proposer
should specifically identify the pages of the proposal that contain such information by properly
marking the applicable pages and inserting the following notice in the front of its proposal:
NOTICE
The data on pages identified by an asterisk (*) contain technical or financial
information which are trade secrets or information for which disclosure would result in
substantial injury to the proposer's competitive position.
The proposer requests that such data be used only for the evaluation of the proposal, but
understands that disclosure will be permitted to the extent that the City considers proper
under the law. If an Agreement is entered into with this proposer, the City shall have the
right to use or disclose the data as provided in the Agreement, unless otherwise obligated
by law.
The City does not assume any responsibility for disclosure or use of marked data for any purpose. In
the event properly marked data is requested pursuant to the Act, the proposer will be advised of the
request and may expeditiously submit to the City a detailed statement indicating the reasons it has for
believing that the information is exempt from disclosure under the Act. This statement will be used by
the City in making its determination as to whether disclosure is proper under the Act.
3. The City has prepared this RFP and has presented all known, pertinent data as
accurately and as completely as possible. This data is provided for general information purposes
only. This information does not form a part of any agreement between a proposer and the City. The
City does not guarantee or warrant the correctness of this information nor will any significant alteration
of activity, from that suggested by the data, give rise to any obligation on the part of the City to later
alter any agreement. Moreover, the City accepts no responsibility for any omissions or deletions of
information relating to this Request For Proposals.
4. No proposal will be accepted from, or agreement awarded to, any person, firm, or
corporation that is in arrears or is in default to the City of Corpus Christi, or the Nueces County.
Additionally, no Agreement shall be awarded to any person, firm or corporation that has failed to
perform on any prior or previous contract or lease with the City.
5. Proposals will be reviewed and evaluated on the basis of overall qualifications, growth
potential, financial responsibility and capability, the type and mode of operation and other relevant
factors deemed to be in the interest of the City.

6. The City reserves the right to negotiate with any and/or all proposers. The City also
reserves the right to reject any and all proposals.
7. No commission will be paid to brokers by the City in connection with the granting of
the concession agreements.
8. Any and all statistical data provided in this Request for Proposal is for information
purposes only. The City will not be responsible for inaccuracies and does not warrant the validity of
the data contained herein.
9. The City reserves the right to modify the sample agreement associated with this RFP.
10. Proponents are required to submit questions regarding this RFP in writing on or before
4:00 PM CDT April 19, 2013. All responses will be provided in writing and distributed to all
proposers who attended the pre-proposal meeting on or before April 24, 2013. No contact with City

XI. INSTRUCTIONS FOR THE SUBMISSION OF PROPOSALS AND
QUALIFICATIONS
To facilitate the most efficient, comprehensive, and objective review and comparison of proposals, it is
necessary that all submissions conform to the prescribed format. Proposals submitted in response to
this RFP must meet all requirements outlined in this section and must be received at the address
indicated by the date and time specified in order to be accepted by the City.
A. Proposal Package
1. The City will not be responsible for any oral instructions given with regard to the
completion and submission of any proposal.
2. A pre-proposal meeting and tour of the facility will be held on April 17, 2013 at 10:30
AM CDT in the Corpus Christi International Airport Green Room located next to the airport
administration office.
3. All requests for clarification of this Request For Proposals must be submitted in
writing and received on or before April 19, 2013 4:00 PM CDT. All such written requests should be

Written responses will be provided to all Proposers attending the pre-proposal meeting on or before
4:00 PM CDT April 24, 2013. The City shall have the sole and absolute discretion to respond to any
written requests for clarification as submitted pursuant to this section. Clarification addenda, if any
shall be distributed to all parties who attend the pre-proposal meeting. All addenda pursuant to the
RFP which may be issued prior to the due date, are required to be acknowledged by the proposer in the
proposal submission.
B. Submission of Proposal
1. Sealed proposals should be submitted including four (4) copies and will be
accepted until May 3, 2013 up to the hour of 4:00 PM CDT. Proposals must be received, and
not merely post-marked, by that time.

will be returned to the Proposer unopened.
C. Award of Agreements
1. A proposer may withdraw its proposal prior to the time set for receipt of proposals,
provided its request is in writing and is received by the City before the date and time set for the receipt
of proposals. After this date and time, no proposer may withdraw its proposal except with the consent
of the City, which shall be at the sole discretion of the City. Corrections to errors made by the
proposer in the proposal will not be accepted after submission of the proposal.
2. The City reserves the right to reject and all proposals.
3. The agreement(s), if awarded, shall be awarded by the City to the proposers who best
meet the requirements as specified in this proposal package.
4. Responsibility and qualifications of each proposer are to be determined from the
information furnished by the proposer in the proposal documents, from the information submitted by
the proposer at any scheduled interview session, and from other sources determined to be valid by the
City. Award will not be made until after such investigations as are deemed necessary are made
regarding the experience and financial responsibility of the proposer which investigation each
proposer permits by submitting its proposal.

1. Proposers must submit four (4) complete signed copies of the proposal.
2. Each proposer will assume the responsibility for making sure all required documents
are complete and submitted with the proposal.
XII. PROPOSAL REQUIREMENTS
Responses to information requested in this section must be complete and submitted in the order
requested. Each response must be clearly marked to identify the question to which the response
addresses.
A. Cover letter. Each proposer must submit a cover letter executed by an authorized
representative of the respondent who is empowered to bind the proposing entity.
B. Proposal Form. Each proposal must be accompanied by a completed and executed “Proposal
Form,” including required attachments, concerning both the proposer's experience in the operation of
food sales facilities as well as the proposer's financial status. All information must be complete,
accurate and in the form requested. The Proposal Form is included in this package.
C. Written Proposal. In addition to information required on the Proposal Form, proposers must
submit a written proposal containing all required information as follows, and in the following order:
1. Proposed Facility Utilization/Concept and Capital Investment
a. Proposals should include the respondent's concept and utilization of existing space
and assets. The City is looking for the most creative, attractive and efficient utilization of existing
space which may include moderate modifications and implementation of specialty concepts within the
space. Details for signage and any proposed menu boards or other decor should also be included.
Submittals will be evaluated on the uniqueness and innovativeness of the theme, and compatibility
with the geography and architecture of the Airport and the surrounding area. Proposals must address
the proposed plan for display of any products to be sold, including location and type of fixturing,
considering the requirements as set forth in this document and the restricted space to be utilized.
b. Proposals should include a proposed dollar amount of capital to be expended for the
concept development for each venue.
2. Operations/Management Plan. Each Proposer must submit the following information
with regard to how the operations will be managed:
a. Provide a comprehensive description of the planned mode of operation and
use of the premises with emphasis on the type and means of services to be provided.
b. Staffing Plan.
i. Organization chart for the proposed operations, including all personnel
to be involved in all aspects of the operation and the reporting structure for such personnel.
ii. Resumes for proposed management staff, if available.
iii. Staffing plan to include number of employees and shifts by job
classification to cover the operating hours and seasonal business variations
(management and non-management).
c. Owner commitment. Amount of time that the principal(s) of the business
commit to spending on-site at the airport operation.

d. Customer service philosophy/programs.
i. A description of the proposer’s goals with regard to customer service.
ii. Training programs to be employed to achieve customer service goals.
iii. Source of management and non-management labor.
iv. A description of the employee dress code or uniform and the dress
code or uniform program.
e. Cash Control. A description of the proposed cash control system, including the
make and model of point of sale equipment.
f. Sanitation. Provide the philosophy and plan for maintaining sanitation
standards at the facility.
g. Facility Maintenance Plan. Provide a description of the plan for maintaining
the facility in accordance with the requirements of the agreement.
h. Transition plan. Given the proposers plan for the facility and the timing for
takeover of the operation please provide a schedule and plan for takeover of operations, including the
anticipated concept transition.
3. Menu/Marketing Plan. Each Proposer must submit the following information with
regard to the proposed menu and marketing plan for the operations:
a. A complete list of proposed menu items, including portion size and prices for
each item. The listing should include a sampling of proposed daily and/or weekly specials and a
description of how often the menu will change to include such specials.
b. A complete list of sundry products to be offered in accordance with the
agreement and the prices to be charged for said items.
c. A description of the proposed pricing policy, including how initial prices were
determined and how price increases will be determined. Future changes in pricing shall be subject to
the approval of the Director of Aviation.
d. Proposed employee discount and/or meal program.
e. Describe procedures to be implemented to ensure quality control.
f. Method by which customer complaints will be handled.
g. Proposed marketing plan, including the use of "specials" and special event or
seasonal marketing techniques to be employed. Also include a proposed signage plan for interior and
exterior signs, locations, artwork, etc.
4. Concession Agreement
a. Please signify your willingness to sign the proposed Facility Lease and
Concession Agreement, the terms and conditions of which are in substantially the same form as
attached. If there are any items or sections of the concession agreement which you wish to discuss or
negotiate, please specify in detail.
