Executive Summary IBM is pleased to provide our response to the TCPN Request for Proposal for Wireless Communications. We believe that IBM has the competencies, expertise and resources necessary to assist TCPN in its pursuit of effectively deploying wireless solutions as needed by TCPN participants.

The services based solutions we are proposing support TCPN’s objective of providing TCPN and its participants “a single qualified vendor responsible for all aspects of the project”, design, engineering, implementation, project management, and on-going support throughout the life of the project. IBM has extensive experience in assisting government and education organizations in implementing complex infrastructure technology. Our proposal also offers TCPN participants access to IBM’s latest thinking and research on technology applications relevant for education and government entities.

Many believe that wireless broadband holds the promise to be the key social and economic change agent of the 21st century much like railroads, public transportation and public infrastructure was in the previous 150 years. Very few will argue the economic impact broadband technologies have on closing the technological gap between the digital “haves” and “have-nots”. This focus on the digital divide has created a rift in local politics and business, truly making it the premier disruptive technology of our times. Although there is much to be said about the merit of community broadband (also referred to as wireless community), the ultimate focus of this response will be on the “how” instead of the “why”.

As one of the pioneering thought leaders in this space, IBM understands the many complexities involved in implementing important projects that impact public constituencies. IBM, the world's largest information technology services and consulting provider, has worked side-by-side with many government entities to address the dynamic business challenges facing state and local governments and education entities today. IBM’s end-to-end services team can leverage the experiences we have in this space to ensure deployment of an effective, efficient and useful wireless solution that will be built with forward-thinking applications in mind. Some of the network capabilities that may be deployed in our solutions are outlined in Figure 1 below:

Tab 1 – Vendor Contract and Signature Form VENDOR CONTRACT

Between INTERNATIONAL BUSINESS MACHINES CORPORATION (IBM) and

THE COOPERATIVE PURCHASING NETWORK (TCPN)

For Wireless Communications

The following pages will constitute the contract between the successful vendor(s) and The Cooperative Purchasing Network (hereinafter referred to as “TCPN”), having its principal place of business at 7145 West Tidwell, Houston, TX 77092. Respondent shall include in writing any required exceptions or deviations from these terms, conditions, and specifications. If agreed to by TCPN, they will be incorporated into the final contract

This contract consists of the provisions set forth and modified below, including provisions of all attachments referenced herein. In the event of a conflict between the provisions set forth below and those contained in any attachment, the provisions set forth and modified below shall control.

IBM proposes that any services performed as a result of award of this RFP will be subject to the terms and conditions of the parties’ IBM Customer Agreement (“ICA”) dated September 21, 2000. IBM considers this statement to represent a specific exception to the terms and conditions contained in the RFP and submits further modifications to the terms of the RFP as set forth herein.

The ICA provides the framework for all business transactions between IBM and TCPN and its participating members and has worked successfully in the existing relationships between the parties. It defines the general terms and conditions under which we will conduct various business transactions, including sales of products, services, and maintenance. A unique Statement of Work (“SOW”) will be developed for each initiative or project. Each SOW will provide a description of our respective responsibilities in completing project tasks, assumptions upon which our estimates and performance are predicated, an estimated schedule for completing the project, the completion criteria that we are required to meet to fulfill our obligations, definition of the specific project deliverables, resource requirements, and applicable charges. The entire agreement will consist of any future executed SOWs, the negotiated ICA, and the RFP. If there is a conflict among the terms of these documents, the following order of priority shall control: (1) SOW, (2) ICA, and (3) RFP.

In addition, with regard to any TCPN customer purchases of commercial off-the-shelf software (“COTS SW”) from IBM, the governing agreements shall be the International Program License Agreement (“IPLA”), a copy of which is attached as Appendix A, and if TCPN’s customer purchases a sufficient volume of licenses to qualify for volume pricing, then the parties (IBM and the TCPN customer) may enter into the International Passport Advantage Agreement (“IPAA”), a copy of which is attached as Appendix B, under which TCPN customers may enjoy volume discounts upon accepting the IPAA terms. Additional terms may apply and IBM will negotiate such terms with TCPN when and if TCPN customers request any such software.

GENERAL TERMS AND CONDITIONS 1. Customer Support

The vendor shall provide timely and accurate technical advice and sales support to TCPN staff and TCPN participants. The vendor shall respond to such requests within one (1) working day after receipt of the request. IBM’s response includes products not manufactured by IBM. IBM may not comply for all products and services in this response.

2. Assignment of Contract No assignment of contract may be made without the prior written approval of TCPN. Purchase orders and payment can only made to awarded vendor unless otherwise approved by TCPN. Awarded vendor is required to notify TCPN when any material change in operations is made that may adversely affect TCPN’s members, (i.e. bankruptcy, change of ownership, merger, etc.) IBM requests that the following language be added to the end of this section: Vendor’s rights to receive payments under this contract are freely assignable without prior written notice.

3. Disclosures

Respondent affirms that he/she has not given, offered to give, nor intends to give at any time hereafter any economic opportunity, future employment, gift, loan, gratuity, special discount, trip, favor or service to a public servant in connection with this contract.

Include a complete description of any and all relationships that might be considered a conflict of interest in doing business with participants in TCPN.

The respondent affirms that, to the best of his/her knowledge, the offer has been arrived at independently, and is submitted without collusion with anyone to obtain information or gain any favoritism that would in any way limit competition or give an unfair advantage over other vendors in the award of this contract.

4. Renewal of Contract Unless otherwise stated, all contracts are for a period of one (1) year with an option to renew annually for an additional four (4) years if agreed to by TCPN and the vendor. TCPN shall review the contract prior to the renewal date and notify the current awarded vendor each year of the contract renewal. Awarded vendor shall honor the administrative fee for any sales occurred beyond 30 days on any sales made based on a TCPN contract whether awarded a renewal or not.

5. Funding Out Clause. Any/all contracts exceeding one (1) year shall include a standard “funding out” clause. A contract for the acquisition, including lease, of real or personal property is a commitment of the entity’s current revenue only, provided the contract contains either or both of the following provisions: Retains to the entity the continuing right to terminate the contract at the expiration of each budget period during the term of the contract and is conditioned on a best efforts attempt by the entity to obtain appropriate funds for payment of the contract.

6. Ordering Procedures Purchase orders are issued by participating entities to the awarded vendor stating “Per TCPN Contract”.

7. Shipments (if applicable) The awarded vendor shall ship ordered products within seven (7) working days for goods available and within four (4) to six (6) weeks for specialty items after the receipt of the order unless modified. If a product cannot be shipped within that time, the awarded vendor shall notify the entity placing the order as to why the product has not shipped and shall provide an estimated shipping date. At this point the participating entity may cancel the order if estimated shipping time is not acceptable.

8. Invoices The awarded vendor shall submit invoices to the participating entity clearly stating “Per TCPN Contract”. The shipment tracking number or pertinent information for verification shall be made available upon request.

9. Tax Exempt Status Since this is a national contract, knowing the tax laws in each state is the sole responsibility of the vendor.

10. Reporting The awarded vendor shall electronically provide TCPN with a detailed monthly or quarterly report showing the dollar volume of all sales under the contract for the previous month or quarter. Reports shall be sent via e-mail to TCPN offices at [email protected]. Reports are due on the fifteenth (15th) day after the close of the previous month or quarter. It is the responsibility of the awarded vendor to collect and compile all sales under the contract from participating members and submit one (1) report. The report shall include at least the following information as listed in the example below:

11. Payments The entity using the contract will make payments directly to the awarded vendor.

12. Pricing The awarded vendor agrees to provide pricing to TCPN and its participating entities that are the lowest pricing available and the pricing shall remain so throughout the duration of the contract. The awarded vendor agrees to promptly lower the cost of any product purchased through TCPN following a reduction in the manufacturer or publisher's direct cost. Price increases must be approved by TCPN. However, the awarded vendor must honor previous prices for thirty (30) days after approval and written notification from TCPN if requested. All pricing submitted to TCPN shall include the two percent (2%) administrative fee to be remitted to TCPN by the awarded vendor. It is the awarded vendor’s responsibility to keep all pricing up to date and on file with TCPN. All price changes shall be presented to TCPN for acceptance, using the same format as was accepted in the original contract. IBM requests that this section be revised as follows: The Vendor agrees to provide pricing to TCPN and its participating entities that are reasonably competitive and the pricing shall remain so throughout the duration of the contract. Price increases will be honored. However, the Vendor shall honor previous prices for thirty (30) days after written notification to TCPN of an increase. All pricing submitted to TCPN shall include the two percent (2%) participation fee to be remitted to TCPN by the Vendor. It is the Vendor’s responsibility to keep all pricing up to date and on file at TCPN. All price changes shall be presented to TCPN using the same format as was accepted in the original proposal. All deliveries shall be freight prepaid, F.O.B. destination and shall be included in all pricing offered unless otherwise clearly stated in writing. Types and quantities of products are determined by the TCPN member at the time of SOW development and depend on the member’s requirements. IBM does not uplift shipping or freight expenses. Whatever freight charges are charged by the shipper is exactly what is charged to the TCPN member. IBM will be pleased to provide F.O.B. Shipping Point, Freight prepaid and Added in freight charges within the SOW to a specific TCPN member upon request once types of product, quantities, and ship-to locations are determined.

13. Warranty conditions All supplies, equipment and services shall include manufacturer's minimum standard warranty and one (1) year labor warranty unless otherwise agreed to in writing.

14. Indemnity The awarded vendor shall protect, indemnify, and hold harmless TCPN and its participants, administrators, employees and agents against all claims, damages, losses and expenses arising out of or resulting from the actions of the vendor, vendor employees or vendor subcontractors in the preparation of the solicitation and the later execution of the contract. Any litigation involving TCPN, its administrators and employees and agents will be in Harris County, Texas. Any litigation involving TCPN’s members shall be in the jurisdiction of the participating agency. IBM requests that this section be revised to read as follows: Patents and Copyrights For purposes of this section, the term “Product” includes Materials, Machine Code, and LIC. The Cooperative Purchasing Network If a third party claims that a Product IBM provides to you infringes that party’s patent or copyright, IBM will defend you against that claim at its expense and pay all costs, damages, and attorney’s fees that a court finally awards or that are included in a settlement approved by IBM, provided that you:

1. promptly notify IBM in writing of the claim; and

2. allow IBM to control, and cooperate with IBM in, the defense and any related settlement negotiations.

Remedies If such a claim is made or appears likely to be made, you agree to permit IBM to enable you to continue to use the Product, or to modify it, or replace it with one that is at least functionally equivalent. If IBM determines that none of these alternatives is reasonably available, you agree to return the Product to IBM on its written request. IBM will then give you a credit equal to:

1. for a Machine, your net book value provided you have followed generally-accepted accounting principles;

2. for an ICA Program, the amount paid by you or 12 months’ charges (whichever is less); and

3. for Materials, the amount you paid IBM for the creation of the Materials.

This is IBM’s entire obligation to you regarding any claim of infringement. Claims for Which IBM is Not Responsible IBM has no obligation regarding any claim based on any of the following:

1. anything you provide which is incorporated into a Product or IBM’s compliance with any designs, specifications, or instructions provided by you or by a third party on your behalf;

2. your modification of a Product, or an ICA Program’s use in other than its Specified Operating Environment;

3. the combination, operation, or use of a Product with other products not provided by IBM as a system, or the combination, operation or use of a Product with any product, data, apparatus, or business method that IBM did not provide, or the distribution, operation or use of a Product for the benefit of a third party outside your Enterprise; or

4. infringement by a non-IBM Product or an Other IBM Program alone.

Limitation of Liability Circumstances may arise where, because of a default on IBM’s part or other liability, you are entitled to recover damages from IBM. In each such instance, regardless of the basis on which you are entitled to claim damages from IBM (including fundamental breach, negligence, misrepresentation, or other contract or tort claim), IBM is liable for no more than:

1. payments referred to in the Patents and Copyrights section above;

2. damages for bodily injury (including death) and damage to real property and tangible personal property; and

3. the amount of any other actual direct damages up to the greater of $100,000 or the charges (if recurring, 12 months’ charges apply) for the Product or Service that is the subject of the claim. For purposes of this item, the term “Product” includes Materials, Machine Code, and LIC.

This limit also applies to any of IBM’s subcontractors and Program developers. It is the maximum for which IBM and its subcontractors and Program developers are collectively responsible. Items for Which IBM is Not Liable Under no circumstances is IBM, its subcontractors, or Program developers liable for any of the following even if informed of their possibility:

1. loss of, or damage to, data;

2. special, incidental, or indirect damages or for any economic consequential damages; or

3. lost profits, business, revenue, goodwill, or anticipated savings.

Any litigation involving TCPN’s participants shall be in the jurisdiction of the participating agency.

15. Franchise Tax The respondent hereby certifies that he/she is not currently delinquent in the payment of any franchise taxes.

16. Marketing Awarded vendor agrees to allow TCPN to use their name and logo within website, marketing materials and advertisement. Any use of TCPN name and logo or any form of publicity regarding this contract by awarded vendor must have prior approval from TCPN.

17. Supplemental Agreements The entity participating in the TCPN contract and awarded vendor may enter into a separate supplemental agreement to further define the level of service requirements over and above the minimum defined in this contract i.e. invoice requirements, ordering requirements, specialized delivery, etc. Any supplemental agreement developed as a result of this contract is exclusively between the participating entity and awarded vendor. TCPN, its agents, members and employees shall not be made party to any claim for breach of such agreement.

18. Certificates of Insurance Certificates of insurance shall be delivered to the TCPN participant prior to commencement of work. The insurance company shall be licensed in the applicable state in which work is being conducted. The awarded vendor shall give the participating entity a minimum of ten (10) days notice prior to any modifications or cancellation of policies. The awarded vendor shall require all subcontractors performing any work to maintain coverage as specified. IBM requests that this section be revised to read as follows: Certificates of insurance shall be delivered to the TCPN participant prior to commencement of work. The awarded vendor shall endeavor to give the participating entity advance notice prior to any modifications or cancellation of policies.

19. Legal Obligations It is the Respondent’s responsibility to be aware of and comply with all local, state, and federal laws governing the sale of products/services identified in this RFP and any awarded contract and shall comply with all while fulfilling the RFP. Applicable laws and regulation must be followed even if not specifically identified herein.

20. Protest A protest of an award or proposed award must be filed in writing within ten (10) days from the date of the official award notification and must be received by 5:00 pm CST. No protest shall lie for a claim that the selected Vendor is not a responsible Bidder. Protests shall be filed with the Director of TCPN and shall include the following: Name, address and telephone number of protester Original signature of protester or its representative Identification of the solicitation by RFP number Detailed statement of legal and factual grounds including copies of relevant

documents; and the form of relief requested Any protest review and action shall be considered final with no further formalities

being considered.

21. Force Majeure If by reason of Force Majeure, either party hereto shall be rendered unable wholly or in part to carry out its obligations under this Agreement then such party shall give notice and full particulars of Force Majeure in writing to the other party within a reasonable time after occurrence of the event or cause relied upon, and the obligation of the party giving such notice, so far as it is affected by such Force Majeure, shall be suspended during the continuance of the inability then claimed, except as hereinafter provided, but for no longer period, and such party shall endeavor to remove or overcome such inability with all reasonable dispatch. The term Force Majeure as employed herein, shall mean acts of God, strikes, lockouts, or other industrial disturbances, act of public enemy, orders of any kind of government of the United States or the State of Texas or any civil or military authority; insurrections; riots; epidemics; landslides; lighting; earthquake; fires; hurricanes; storms; floods; washouts; droughts; arrests; restraint of government and people; civil disturbances; explosions, breakage or accidents to machinery, pipelines or canals, or other causes not reasonably within the control of the party claiming such inability. It is understood and agreed that the settlement of strikes and lockouts shall be entirely within the discretion of the party having the difficulty, and that the above requirement that any Force Majeure shall be remedied with all reasonable dispatch shall not require the settlement of strikes and lockouts by acceding to the demands of the opposing party or parties when such settlement is unfavorable in the judgment of the party having the difficulty

22. Prevailing Wage It shall be the responsibility of the Vendor to comply, when applicable, with the prevailing wage legislation in effect in the jurisdiction of the purchaser (TCPN or its Members). It shall further be the responsibility of the Vendor to monitor the prevailing wage rates as established by the appropriate department of labor for any increase in rates during the term of this contract and adjust wage rates accordingly.

23. Miscellaneous Either party may cancel this contract in whole or in part by providing written notice. The cancellation will take effect 30 business days after the other party receives the notice of cancellation. After the 30th business day all work will cease following completion of final purchase order. TCPN reserves the right to request additional items not already on contract at any time.

WLAN is designed to alleviate the boundaries of wires and their associated infrastructure. Wired solutions require far more cable and can take weeks longer to install than a WLAN. With a wireless solution you can achieve network access in seemingly inaccessible areas—simply and fast. We can help you deploy wireless solutions regardless of confined space, building or construction-related issues or the uncertainty of upcoming moves or temporary offices. During a typical IBM WLAN engagement, IBM will conduct Site Surveys to determine installation requirements. IBM will procure, configure and perform a system test of the wireless equipment. IBM will then perform the physical installation of the WLAN equipment at the designated site, as well as configure and test the WLAN equipment.

IBM provides High Bandwidth Infrastructure through a number of methods. IBM is defining this category to be “connectivity between distinct physical locations with speeds at OC3 or greater.” This type of bandwidth capability is important to clients seeking an infrastructure to unify voice, video, and data over a single transport mechanism. Currently IBM offers this service in two formats (each with specific geographic limitations):

Wireless (licensed point to point) – IBM will provide OC3-OC12 connectivity (limited by distance and signal loss due to atmospheric conditions) to connect sites together for the transport of digital voice, video, and/or data.

IBM and its partners have a long history of developing converged solutions for various Public Sector clients. These projects include Priority One E-Rate Broadband Wide Area Networks, Voice over IP (VoIP) Telephony, Distance Learning, and Internet services provided through fiber optical and FCC licensed wireless Ethernet services to K-12 schools throughout the United States. These services also support key sub-elements known as Middle Mile and Last Mile networks.

Middle mile infrastructure is essential for bringing broadband to communities that were previously isolated or had only rudimentary connections. Once in place, many of these networks will provide a level of security and safety to the communities by providing interoperability between first responders and/or enhancing communications capabilities by connecting state and local government agencies onto one network.

Last Mile is the final leg of a network delivering connectivity from a communications provider to a customer premises. IBM provides services to both the Wireless and Wired subsets of these market segments. In the Wired subset, we focus on the Fiber to the Home (or premises) group. IBM is experienced at engineering, integrating, installing and maintaining the wired and wireless backhaul architectures being deployed to meet client requirements.

RFID Solutions for the Public Sector focus on safety of those in education. School bus routes should be predictable, but they always need optimization while making safety the top priority. An RFID implementation can help a school board validate whether a bus is following its preset route and determine metrics around schedule adherence. In addition, they can access telemetry functions that determine how many times the safety arms on the front of the buses are raised and lowered.

An RFID solution can provide better safety for students and drivers alike, greater route optimization and efficiency, improved communications with parents in the event of a bus breakdown.

Better route optimization can reduce costs on gas consumption, maintenance and insurance.

A fleet management solution can also be integrated with an RFID student card system. The system would record when and where students boarded and disembarked from a school bus, thereby preventing students getting on the wrong bus, accidentally dropped at the wrong stop or, most important, left behind on an empty bus.

IBM can provide services which cover all aspects of a WLAN project. We have a number of highly skilled WLAN, networking and VoIP Architects, Engineers, and Technical Specialists. Video systems have become critical to allow professionals the ability to monitor and protect people and infrastructure, but for the most part these systems are reactive in nature. The systems record video for review in an investigative nature post-event. When something happens, detectives and investigators review potentially 100s or 1000s of hours of video to cull out information and intelligence.

IBM’s Smart Vision Suite (SVS) analytics along with world class video management systems is at the core of the IBM Video platform. This powerful system gives security professionals advanced tools to greatly improve their effectiveness by giving them the ability to be alerted when a designated behavior or event occurs. It also gives you the ability to have a full index of events consolidated across camera views that can be very quickly searched and analyzed. For example, “show all the occurrences of a blue car entering the facility between 8:00AM -10:00AM over the last 4 days.” In the past this type of question could only be answered by reviewing many hours of video.

Smart Vision Suite provides an open and extensible service oriented architecture which is designed to bring the very latest and best technologies in vision computing to our clients. IBM provides advanced components and integrates partner technologies, where appropriate, so that our clients can have the best capabilities available without having to change the core framework. The resulting customized solutions provide advanced capabilities to speed investigations, detect vulnerabilities and improve the overall security posture of a city. At the same time, efficiency of security professionals is increased and operational costs are controlled.

IBM’s SVS has the ability to analyze video streams and capture information about events that occur in the field of view where it can then consolidate information about each event across 100s of cameras into a central intelligence database for analysis. Digital Video Layer – The digital video layer provides the capture of visible scene as the information input to the system. Components comprising this layer are the cameras and camera placements. Video content carried through this layer is output in digital form to enable it to be readily moved around the network and stored to serve the users of the system. Components in this layer include IP cameras and encoding devices that transform captured video passed from the Source layer into digital IP form before then passing it to the next layer. Our approach to physical media, between camera source and encoder, includes video-over-twisted-pair solutions that drive cost out of the physical media implementation and adds flexibility enhancements to make new network video physical media “future proof” as well.

Transport Layer – The transport layer is provided by an IP network -- wireless, wired, or a combination that enables cost effective and flexible transport of the video images. Components at this layer include the wireless IP network transmitters, repeaters, and receivers, as well as the wired network components. This layer can later be modified to facilitate wireless access by mobile users.

Aggregation and Storage Layer – Tiered storage architecture enables the storage archive to be placed in a manner that balances the simplicity of centralized storage with the challenges posed by distribution, distance, and disaster recovery. This architecture can reduce networking requirements for video surveillance platforms. Clearly, storing the video on devices close to the camera can reduce bandwidth requirements and increase feasible ranges for video capture rates and quality.

Video User Application Layer – Access to the video stored or captured by the surveillance platform is provided through an intuitive web interface. The application controls access and allows users to locate video sources for viewing live video or allows users to search for recorded video. At this application “backend,” effective network-based messaging and integration between video and other systems such as intrusion systems and access control systems are often most practical.

IBM Wireless Site Survey services are conducted based upon a methodology which is comprised of the following Activities and Tasks.

Project Management – The purpose of this activity is to provide a Project Manager who will establish a framework for project communications and reporting contractual activities.

Wireless Planning and Design Services – These Services are based on the following assumptions, in addition to those listed in the “General Assumptions” section of this SOW:

Repair Services

IBM coordinates warranty services and maintenance services with the specific WLAN/LAN/WAN product vendors whose products are implemented during the project. These services are offered at a variety of levels and pricing is determined once the Bill of Material is defined for the project.

IBM will work closely with the client to determine the best maintenance package during the “Site Survey” phase of the project.

Description of Services

IBM provided all Information Technology infrastructure project support services that include project management, design and deployment for a state-of-the-art converged data and telephone network throughout the district's 22 schools over a high-speed fiber infrastructure. Each of the schools' analog phone systems has been replaced with a single district-wide Voice over Internet Protocol (VoIP) telephone system. VoIP integrates voice and data networks by converting voice calls into computerized data, then sending the calls over the high-speed IP network. Each district school has also been provided with a pervasive wireless network infrastructure, with each school having approximately six network access points throughout the building. Security for the wireless network, as well as for an improved wired network, is guaranteed by BlueSocket technology. BlueSocket enables the district to set up access profiles for administrators, students and teachers, control access to the network and help ensure the security of key student data (for example, student academic and even health records) within the system. The entire system enables staff to work more efficiently, all users to communicate more effectively (including student-teacher e-mail interaction), and students to have access to leading-edge information provision technology. Ultimately, video conferencing will allow the SCSD to offer specialized or unique classes to all students, without having to move teachers or students between schools to access a class. The entire system is supported by more than 60 IBM eServer xSeries 445 servers that enable user access to systems via the Internet, and which support the implementation of the enterprisewide Network File, Terminal and Web Server.

The project included three main technologies: Video Conferencing, Video Broadcast, and Video-on-Demand. Although the school is heading towards high-speed networking, the existing project had to be designed to work on relatively low bandwidth. The Video Conferencing combined both IP-based and legacy ATM-based video conferencing as well as being suitable for participation of home-bound students with a basic PC - all easily usable by non-technical people. Included was custom designed video projection cart suitable for a school environment.

Video Broadcast allows video (including video conferences) to be multicast to all locations simultaneously as well as recording conferences for later playback. The Video on Demand system involved building a Cisco-based video content distribution network as well as providing a Web-based content browsing/ordering system based on DB2 and IBM Content Manager. This system allows educators to browse for content cataloged by state standards and order video clips. The clips, typically 3 - 10 minutes in length, fit directly into the teacher’s lesson plans. The ordered clips are shipped to the individual school's content server over night and become available for local high-resolution playback. In addition we tied the system to a Lotus Notes based calendaring application. The calendar maintains the "Pacing Chart" which helps teachers (especially new ones) keep track of what standards should be taught each day in order to be prepared for the state tests at the end of the year (when the video clips were selected and cataloged by the teachers they were tied to this pacing chart). The IBM Content Manager sends the clips designated on the Pacing chart to all the appropriate schools (elementary, middle, high school) automatically each week so that at any given time a three week window of video tied to the pacing charts is available at all times for immediate use. All an educator has to do is go to the Notes calendar and click on one of the video selections and it will play.

By entering the contract, Contractor warrants compliance with the Federal Immigration and Nationality Act (FINA), and all other federal and state immigration laws and regulations. The Contractor further warrants that, to the best of its knowledge, it is in compliance with the various state statues of the states applicable to providers of Internet Technology services it is will operate this contract in.

Participating Government Entities including School Districts may request verification of compliance from any Contractor or subcontractor performing work under this Contract. These Entities reserve the right to confirm compliance in accordance with applicable laws.

Should the Participating Entities suspect or find that the Contractor or any of its subcontractors are not in material compliance, they may pursue any and all remedies allowed by law, including, but not limited to: suspension of work and termination of the Contract for default. and suspension and/or debarment of the Contractor. All costs necessary to verify compliance are the responsibility of the Contractor

Alternately, the school district may fingerprint those persons or employees. An exception to this requirement may be made as authorized in Governing Board policy. The district shall conduct a fingerprint check in accordance with the appropriate state and federal laws of all contractors, subcontractors or vendors and their employees for which fingerprints are submitted to the district. Contractor, subcontractors, vendors and their employees shall not provide services on school district properties until authorized by the District.

The offeror shall comply with fingerprinting requirements in accordance with appropriate statutes in the state in which the work is being performed unless otherwise exempted.

Contractor shall comply with governing board policy in the school district or Participating Entity in which work is being performed.

IBM is working to ensure that there is a statement regarding the protection of the personal information collected by clients and other third parties.
