WHO IS CNP?

CNP is a pump manufacturer specialising in stainless steel multistage centrifugal pumps, who produces other pump ranges including self priming gas-liquid pumps, fluorine plastic pumps and end suction pumps. CNP prides itself on innovation, its manufacturing capabilities and its quality and marketing management system it has developed throughout the company over a 20 year period. CNP currently has a floor space of over 80,000m3 and the factory outputs over 200,000 pumps annually. CNP pumps are used in a large number of applications including farm irrigation, municipal water supply, industrial water treatment, landfill dewatering and corrosive chemical pumping.

CNP has invested over $4.5M to buy advanced machinery and testing equipment. They have also established a state of the art workshop and product testing facility. Design of products using CFD software. Quality

CNP is proud of its internal quality management systems it has implemented over the years. In 2000, the company passed ISO9002 quality system certification. In 2003, it passed ISO9001:2000 certification. In 2006,it passed ISO14000 environmental system certification. In 2007, it passed ISO100122003 measuring system certification. CNP also managed to optimise and distribute the company resources with the use of advanced ERP management software.

Standard material: All the parts contact with liquid made of 304 stainless steel, 316 stainless steel on request. The pump head and suction & discharge can be made of cast iron on request too.

Description: Close coupled vertical multistage pump with stainless steel parts which are driven by a standard TEFC motor, discharge and suction in the same line. Single phase motor up to 2.2kw*, Class F and IP55 are standard. Standard supply for liquid temperature up to 70, high temperature pump are available on request. Mechanical seal is Tungsten Carbide/Graphite, other material is available on request.

Pumps are supplied with companion flanges

*3.0Kw and 4.0Kw 1 ph 480V motors are available on request.

CDLF - PUMP PACK

Pump packs are supplied with factory preset plug and play pressure switch and barrel union for ease of installation. Also supplied as a kit are suction non-return valve, 304 SS discharge manifold with ball valves for pump and pressure tank, liquid filled pressure gauge, 304 SS base plate with stainless nuts, bolts and washers. Pressure tank is required for correct operation. Please select from the GWS range of 10, 16 and 25 bar rated pressure tanks.

Single Pump Sets are supplied complete with pump mounted on 304SS baseplate, discharge manifold, valving, liquid filled pressure gauge, and control panel complete with circuit breaker, manual/off/auto selctor, main isolating switch, minimum run timer, low pressure shut down. Pressure tank is required for correct operation. Please select from the GWS range of 10, 16 and 25 bar rated pressure tanks.

PRE-CHARGE For PUMPS CONTROLLED BY EITHER PRESSURE SWITCHES with differential over 140kPa (20psi), ELECTRONIC CONTROLLERS or VFD (variable speed drive) the precharge pressure should be set at 65% of the maximum

system pressure. ONCE the pre-charge is set, no regular air charge checks are required.

Description: Horizontal multistage design with stainless steel stamping welding impeller and diffuser. Single phase motor up to 2.2kw Class F and IP55 motor is standard. 2.2 TechnicaldocumentsordrawingssubmittedtothePurchaserpriortoacontractbeingenteredintoremainthepropertyoftheCompanyandshallnotbecopiedreproducedorusedbymanufacturersortransmittedtoathirdpartyunlessthepriorwrittenpermissionoftheCompanyisobtained.

2.3 Onecopyofthetechnicaldataoperator’shandbookandsparepartslistwhereapplicableandsubjecttoavailabilitywillbesuppliedbytheCompanytothePurchaserwithoutchargeatthetimeofdelivery(orifunavailable,whenavailable).FurthercopiesshallbeatthecostofthePurchaser.

3. WARRANTIES3.1 Subjecttotheprovisionsofthecontractallandanytermsconditions

andwarrantiesorrepresentationsexpressedorimpliedwhetherstatutoryorotherwisecollateralorantecedentheretoorotherwisewithrespecttothemerchantabilityqualityconditionfitnessdurabilitysuitabilityofthegoodsorderedinanyrespect(exceptthoseexpresslycontainedhereinorincorporatedhereinbyreferenceorotherwiseexpresslyagreedtoinwritingbytheCompany)aretotheextentthatthesamemaybeexcluded,herebyexpresslynegativedandexcluded.

3.2 ThePurchasershallsatisfyitselfastotheconditionqualityandsuitabilityofthegoodsandthefitnessofthegoodsforthepurpose(s)forwhichthegoodsarebeingpurchasedandastoitscompliancewiththedescription(ifany)ofsuchgoods.Anydescriptionshallbebywayofidentificationonlyandtheuseofsuchdescriptionshallnotconstitutethiscontractsalebydescription.

3.3 TheCompanyshallnot,afterdeliveryofthegoodstothePurchaser,beresponsibleorliable(intheabsenceofanywilfulornegligentactoromissiononthepartoftheCompany)foranyliabilityclaimlossdamageorexpenseofanykindornature(includingbutnotlimitedtolossofprofitsearningsorincomedirectindirectconsequentialcontingentorresultingliabilitylossordamagewhethertopersonspropertyorotherwise)ordeathorinjurycausedbyorarisingoutoforrelatinginanymannerorincidentaltothegoodsorthepossessionorusethereofbythePurchaseroranythirdpartyorinrelationtotheconditionstoragesupplynonsupplyperformanceornon-performanceinadequacyinoranydefectorbreakdownofanyaccidenttothegoodsoranyitemthereinoranythingorserviceprovidedfororcontemplatedbyorincidentaltoorarisingoutofthedistributionsalepromotiondisplayoradvertisementofthegoodshereunder.ThePurchasershallanddoesherebyreleaseanddischargetheCompanyfromanyliabilityinrespectofanyactionproceedingdemandclaimlossdamageexpensedeathinjuryaforesaid.

3.5 TotheextentthattheTradePractisesAct1974permitstheCompanytolimititsliabilityforabreachoftheconditionorwarrantyimpliedpursuanttoPartVoftheAct,thantheCompany’sliabilityforsuch

breachincludinganyconsequentiallosswhichthePurchaseroranythirdpartymaysustainorincurshallbelimited,attheoptionoftheCompany,to:

(i) thereplacementorrepairofthegoodsconcernedorthesupplyofequivalentgoods;or

(ii) thepaymentofthecostorreplacingorrepairingthegoodsorofacquiringequivalentgoods.

Whichever,maybedeterminedintheabsolutediscretionoftheCompanytobeappropriateinthecircumstances.ThePurchasershallwithinthirty(30)daysofthePurchaserfirstbecomingawareofthefactsgivingrisetoaclaimunderthisprovisionmakewrittenclaimtotheCompanysettingoutthefullparticularsofsuchclaimanddeliverfreightprepaidtotheCompanythesubjectgood(s)soastoenabletheCompanytoexaminethesameandsatisfyitselfastothesubjectclaim.

3.6 TheCompanywarrantsthatintheeventofanydefectbeingdiscoveredwithinanywarrantyperiodgrantedbytheManufacturerofthesubjectgoodsoranycomponentpartorpartsthereoftheCompanywill,providedthatitissatisfiedthatthedefectisduetoaninherentdefectoffaultymaterialorbadworkmanship,repairorreplacethedefectivepartorthegoods(astheCompanyshallinitsabsolutediscretiondetermine)withoutchargeuponthedefectivegoodsbeingreturnedfreightprepaidtotheCompany.AnyclaimunderthiswarrantymustbemadetotheCompanyinwritingwithinthirty(30)daysofthedefectbeingdiscovered.

3.7 Thebenefitsofanywarrantyhereincontainedshallnotapplyinthecaseof:

(i) defect(s)duetomisuseorneglect.(ii) goods,whichhavebeenalteredoraddedtoorotherwisemodified

withoutthepriorwrittenconsentoftheCompany.(iii) goodsrepairedorservicedbyanypersonotherthantheCompanyor

itsdulyauthorisedrepresentative.(iv) goodsusedforpurposesotherthanthoseforwhichtheywere

designedasdefinedand/orspecifiedintheManufacturer’sand/ortheCompany’scatalogues,advertisements,operator’shandbooks,andtechnicaldata.

4 SELLING PRICE4.1 ThesellingpricedatedontheCompany’sinvoicetothePurchaser

isbasedupontheManufacturer’sthencurrentsellingpricetotheCompany,thethencurrentfreightrates,customsduty,landingclearingandstoragecharges,insuranceandforeignexchangerates.Shouldtherebeanyvariationinanyoftheseratesorchargesorifthereisanyvariationasaresultof,orchangesin,thelawsorregulationsforthetimebeinginforce(whetherStateorCommonwealth)atorbeforethegoodsaredeliveredtoorcollectedbythePurchaser(asthecasemaybe)then,insuchevent,theCompanyreservestherighttovarythesellingprice,includingtheprofitmarginoftheCompanyasshallbeappropriateinthecircumstancesandthePurchaseragreestopayanysuchvariedsellingpriceinlieuoftheoriginalsellingprice.

5 DELIVERY5.1 Unlessotherwiseagreedthedeliveryperiodshallrunfromthelatestof

thefollowingdates.(a) AcceptanceoftheorderbytheCompany.(b) ThedateuponwhichtheManufacturerreceivesnoticeofaValid

ImportLicence.(c) ThedateofreceiptbytheCompanyofanyadvancepaymentorLetters

ofCreditasmaybestipulatedinthecontract.(d) ThedateofreceiptbytheManufacturerofafinalorderfromthe

CompanyfortheManufacturertocommencemanufactureofthesubjectgoods.

(e) Aminimumorderhandlingfeeof$15willapplytoalldeliverieswheretheinvoicevalueislessthan$150.Thisfeewillnotapplytobackordersiftheoriginalordervalueexceedsthislimit.

6. DELAY IN DELIVERY6.1 NoliabilityshallbeattachedtotheCompanyfordeliveriesdelayed,

suspended,cancelled,partorshortdeliveredduetoanActofGod,war,riot,fireexplosion,accident,flood,shortage,inabilitytoobtainfuel,power,rawmaterials,labour,containers,ortransportationfacilities,

governmentlaw,regulations,ordersoraction,breakageorfailureofmachineryorapparatus,nationaldefencerequirementsoranyothereventbeyondthereasonablecontroloftheCompanyorintheeventoflabourtrouble,strike,lockoutorinjunction(whetherornotsuchlaboureventpreventsthemanufacture,shipmentacceptanceofashipmentofthegoodsorofmaterialuponwhichthemanufacturerofthegoodsisdependent.DeliveriessuspendedunderthisClausemayattheoptionoftheCompanybecancelledwithoutanyliabilityattachingtotheCompanyorcompletedwithinanextendedperiodandineithercase,theCompanyshallnotifythePurchaserinwritingaccordingly.

7 TRANSPORT7.1 AlldeliveriesintoCapitalCitiesandthefollowingregionalcentres

(Newcastle,Wollongong,GoldCoast,Hobart,Launceston,DevonportandGeelong)willbeFreeintoStore.BackordersemanatingfromamultilineorderwillbedeliveredFreeintoStore.Deliveriestothirdpartiesorfreightforwarderswillbesubjecttoourstandarddeliveryrates.

7.2 AlldeliveriestootherdestinationswillbechargedtothePurchaser(i) thePurchasermaynominateitsownfreightprovider(subjecttoclause

7.3)(ii) thePurchasermaynominateWhiteInternationaltodeliverthegoods

atacost,whichisinaccordancewithascheduleofratesprovided.7.3 Prioritydeliveryserviceisavailable.Allcostswillbechargedtothe

Purchaser.7.4 Costassociatedwithoffloading,unpacking,positioning,and

erectionsarenotincludedintheCompany’ssellingpriceandaretheresponsibilityofthePurchaserwhoshallprovidecompetentlabourtoeffectthesearrangementsattheirownexpense.DeliveryofgoodsinallothercasesshallbeatthecostofthePurchaser.

8 RISK AND TITLE8.1 Nogeneralpropertyorequitableinterestingoodssuppliedbythe

CompanytothePurchasershallpasstothePurchaseruntilsuchtime(hereinaftercalled“thespecifiedtime”)asthepriceofthegoodsandallothermoneys(ifany)duefromthePurchasertotheCompanyinrespectofthegoodsorunderanycontractbetweentheCompanyandthePurchasershallhavebeenpaidtotheCompanyinfull.

8.2 UntilthespecifiedtimethePurchasershallbeonlyabaileeofthegoodsfortheCompanyandthePurchasershall;

(a) soholdthegoodsuntilthespecifiedtimeastoenablethemalwaysreadilytobeidentifiedasthepropertyoftheCompany

(b) uponwrittendemandre-deliverthegoodstotheCompanyorallowtheCompanybyitsservantsoragentstoenteruponanypremiseswherethegoodsarestoredtorecoverthesame.

8.3 ThePurchaserisauthorisedbeforethespecifiedtimeasagentfortheCompanytosellthegoodsfortheaccountoftheCompany.

8.4 ThegoodsshallbeatthePurchaser’sriskfromthetimeofdespatchfromtheCompany’spremises.

9 PAYMENT9.1 FormachinesexAustralianstock–payment14daysfromdateof

despatchexcompanywarehouse.ForpumpsandgoodsexcludingmachinesexAustralianstock–paymentonorbeforethe30thdayofthemonthfollowingthemonthinwhichthegoodsaredespatchedbytheCompanytothePurchaser(unlessotherwisespecifiedintheCompany’sstatement/invoice).

9.2 Forgoodstobeimportedagainstorder–50%depositwithorder,balancebyirrevocableletterofcredittobeestablishedatthetimeoforderthroughournominatedbankaccountpayableondemandagainstpresentationofdocumentsunlessotherwisearranged.

9.3 Thereshallbenodelayofpaymentafterdeliveryofthegoodsorderedexceptinaccordancewiththequotedterms.

10 CANCELLATION Requestforcancellationofanordermustbeinwriting.Anysuch

cancellationshallbeofnoforceoreffectandshallnotbebindingontheCompanyunlessanduntilsuchcancellationisacceptedbytheCompanyinwriting.CancellationofanyordershallbeatthesoleandabsolutediscretionoftheCompany.NorequestforcancellationbythePurchaserwillbeacceptedbytheCompanywheregoodshavebeen

orderedfromtheManufacturerbytheCompanyagainstafirmorderfromthePurchaser.

11. SERVICE UNDER WARRANTY11.1 TheperformancefiguresquotedbytheManufacturerand/orthe

CompanydonotandshallnotbedeemedtoconstituteawarrantybytheCompanyanditisnotwarrantedthatsuchexactperformancefigureswillbeachieved.

11.2 Inspectionofamachineanditsperformancemaybecarriedoutbyarrangement,atthePurchaser’sexpense.

11.3 TheManufacturer’snormalworkingtolerancesshallbeconsideredcorrectforthemachinesunlessotherwisespecificallyagreedbetweenthePurchaserandtheCompany,inwriting.

11.4 TheCompanyshallbymutualarrangementswiththePurchaserprovidetechnicaldataassistanceduringrun-offorcommissioningofthemachinesorpumpsbutthisdoesnotincluderoutineloadingduringextendedtestperiods.Anycommissioningperiod,ifapplicable,shallbeforthedurationofone(1)workingdayunlessotherwiseagreedtoinwriting.

11.5 ServicegivenfreeofchargeduringtheManufacturer’swarrantyperioddoesnotincludeworkproperlydescribedasmaintenanceandrepairpreventativemaintenancemustbeprovidedbythePurchaserasrecommendedbytheManufacturerinordertopreserveandfulfilthetermsofwarranty.

11.6 ExtendedcommissioningshallbesubjecttotheCompany’sthencurrentrateofcharges.

11.7 WherenewcomponentsarepurchasedlocallyorsuppliedbytheCompanyinordertoexpeditewarrantyservicethefaultycomponentsmustberetainedbyorreturnedtotheCompanyfreightprepaidtoenabletheCompanytosupportitsclaimontheManufacturer.

12. RETURN OF GOODS Saveashereinprovided,goodspurchasedfromtheCompanyshallin

nocasebereturnedtotheCompanyunless;(i) thePurchaserfirstnotifiestheCompanywithin3daysofthereceiptof

goods,ofitsdesiretoreturngoodstotheCompany,statingthereasonstherefor,and

(ii) theCompanyagreestoacceptthereturnofthegoods,subjectalwaystosuchtermsandconditions(ifany)astheCompanyshallinitsabsolutediscretionstipulate,and

(iii) thegoodsarereturnedfreightprepaidtotheCompanyatitsheadofficewarehouse.

(iv) Allgoodsreturnedwillbesubjecttoahandlingchargeofthegreaterof$30or10%ofthesalepriceofthegoods.AnygoodswhichareclassifiedasbeingmadetoorderornotlistedontheSeller’scurrentstandardpricelistarenotabletobereturned.

GoodsreturnedtotheCompanyshallatallrelevanttimesbeatthesoleriskofthePurchaser.ItshallbethePurchaser’sobligationandresponsibilitytoobtainawrittenacknowledgmentfromtheCompanyastoitsreceiptofgoodsreturnedbythePurchasertotheCompanypursuanttoandinaccordancewiththetermsofthisclause.

13. DEFINITIONS Inthisagreementunlessthecontextrequiresotherwisethefollowing

expressionsshallhavethefollowingmeaningsrespectively;(i) “Distributor”meanstheauthoriseddistributoroftheCompany(ii) “Purchaser”meansandincludestheDistributor(wherethecontextso

admits)andtheoriginalretailpurchaserofthegoods(andwhetherpurchasedfromtheDistributororfromtheCompanydirect).

(iii) “Goods”meansanygoodspurchasedfromtheCompany.(iv) “Contract”meansallthosedocumentscomprisingtheagreedterms

ofsaleofgoodsbytheCompanytothePurchaserincludingbutnotlimitedtopurchaseorder,invoices,theCompany’sGeneralTermsandConditionsofSaleandsuchotherwrittenmaterialoftheManufacturerand/ortheCompanyrelatingtothegoodsandwhichisissuedtoorbroughttothenoticeofthePurchaserandanywritingofthePurchaserissuedtotheCompanyoritsDistributorandacceptedbytheCompanyasconstitutingatermorconditionofthecontract.

(v) “Manufacturer”meansthemanufacturerofgoodssoldbytheCompany.

(vi) “TheCompany”shallmeanandincludeWhiteInternationalPtyLimitedandanyotherrelatedorassociatedcompanies.
