• Takeover is an acquiring of stocks in order to obtain controlling and possession at company, out of the desires of other company's administration and partners. Integration of inter-company mergings doesn't always occur with desire and mutual agreement. Management of Target Company may challenge to this takeover

• Hostile Takeovers : The acquisition of one company (called the target company) by another (called the acquirer) that is accomplished not by coming to an agreement with the target company's management, but by going directly to the company's shareholders or fighting to replace management in order to get the acquisition approved. A hostile takeover can be accomplished through either a tender offer or a proxy fight.

Methods of takeovers A-) Bear hug :An offer made by one company to buy the shares of another for a much higher per-share price than what that company is worth. A bear hug offer is usually made when there is doubt that the target company's management will be willing to sell.

Methods of takeovers B-) Proxy contests in support of a takeover :When a group of shareholders are persuaded to join forces and gather enough shareholder proxies to win a corporate vote. This is referred to also as a proxy battle.

decide that they want to do a merger or acquisition, they start with a tender offer. The process typically begins with the acquiring company carefully and discreetly buying up shares in the target company, or building a position. Once the acquiring company starts to purchase shares in the open market, it is restricted to buying 5% of the total outstanding shares before it must file with the SEC

them voted against current management with this way management will be weaker and lose the allies .

• Pacman defense:A defensive tactic used by a targeted firm in a hostile takeover situation. In a Pac-Man defense, the target firm turns around and tries to acquire the other company that has made the hostile takeover attempt. This term has been accredited to Bruce Wasserstein, chairman of Wasserstein & Co.

graduated from London school of economics• Net worth : 24.2 billion $• He also known as "The Man Who Broke the Bank of England" after

speculating on the Pound Sterling, believing it was overvalued.It is happened at 1992 and it is called as “Black Wednesday”

• He has the power he can manupulate world markets • Soros is founder and chairman of the Open Society Institute, an

organization that supports activities in more than 50 countries worldwide.

• He donated huge money to the East Eureropean Countries like Ukraine , Serbia.Also these donations is bigger than the money that The United Nations donated to these countries.

• According to many people his donations are always about politics .

• But these huge donations are not just about to doing favour , after these donations George Soros had a voice in these country’s government and effects them to directions on what he wants to be.
