Owner Representation

Goodmans has acted for a number of hotel and resort owners and project lenders in connection with the purchase, sale, financingand franchising of numerous hotels and resorts and other related facilities, located in North America and abroad, including:

n Counsel to Leadon Investment Inc. (a subsidiary of an international private equity firm) in its acquisition of SilverBirch Hotels &Resorts, a portfolio of 25 upscale hotel properties across Canada, from British Columbia Investment Management Corporation(bcIMC), one of Canada’s largest institutional investors, in a $1.1 billion all cash transaction.

n Counsel to 35 Mercer Limted in connection with the negotiation of management and license agreements for a Nobu brandedmixed-use development in Toronto consisting of a boutique hotel, residential condominiums and a restaurant.

n Counsel to InnVest REIT in connection with various matters, including: the purchase of Fairmont Vancouver Airport; the sale of aportfolio of Eastern Canadian hotels; the purchase of a minority interest in the Downtown Courtyard Marriott Toronto; the purchaseof the Ottawa Marriott Hotel; and the amendments to various agreements with international brands arising out of the change ofcontrol that occurred in connection with the purchase by Blue Sky Hotels and Resorts of all of the outstanding units of InnVestREIT.

n Counsel to Oxford Properties Group in its $1.5 billion acquisition of seven Canadian hotels from Fairmont Hotels & Resorts Inc.,and its acquisition of the Park Hyatt, Toronto

n Counsel to Colony Capital LLC, in connection with its U.S.$4.5 billion acquisition, along with Kingdom Hotels International, ofFairmont Hotels & Resorts Inc., and in connection with a related U.S.$2.675 billion syndicated debt financing

Management Company Representation

Goodmans has represented Auberge Hotels and Resorts and Four Seasons Hotels and Resorts in connection with the preparation andnegotiation of operation management and license agreements for hotels, resorts, private residences and related properties.

Recent transactions in which we have represented Auberge Hotels and Resorts include:

n the preparation and negotiation of operation, management and license agreements for the Hotel Jerome, Auberge Resorts Collection, Nanuku Resort Fiji, Auberge Resorts Collection, as well as for projects in Cabo San Lucas, Mexico, Punta Mita, Mexico,Park City, Utah, Sun Valley, Idaho, Austin, Texas and Napa Valley, California; and

n the purchase of Solage Resort, Auberge Resorts Collection.

Recent transactions in which we have represented Four Seasons Hotels and Resorts include:

n the preparation and negotiation of operation, management and license agreements for projects in China, Hvar, Croatia, Megève,France, Morocco, Lagos, Nigeria, Montreal, Quebec, Indonesia, Seychelles and São Paolo, Brazil; and

n the sale of Four Seasons Hotel Toronto.
