For a company looking to grow in a hurry, last week's merger is a perfect deal, says broker Brian Cobb of Media Venture Partners. Before this, Bela had not bought any TV stations this year, but was known to be looking to expand. "Bela wanted to grow, and Providence Journal has some great markets. It's just a great fit," Cobb says. Great by Wall Street standards too. Pro- Jo's stock reached a 52-week high of 29 7/8 on Friday, closing at 29, up 8 1/8. Bela's stock fell 3 27/64 to close at 34 5/64. Each Pro-Jo share will be exchanged for $12.33 in cash plus .533 share of Bela stock. That translates into roughly $5.7 million for Pro-Jo Chairman Stephen Hamblett, who owns 186,300 Class A shares, while former president Trygve Myhren would walk away with roughly $5.2 million for his 168,750 shares.     a series of actions in Washington torelax the ownership rules. In responseto the 1996 Telecommunications Act,the FCC last year eliminated the 12-station cap on TV ownership and raisedthe national audience-reach limit from25% to 35%. In 1995 the commissionalso eliminated the financial interestand syndication (fin-syn) rule.

    Such relaxations cleared the way forDisney to buy Capital Cities/ABC andfor Westinghouse to buy CBS.

    But while the FCC now is proposingto tighten its "attribution" rules, it alsois asking comment on whether itshould relax more ownership rules toallow common ownership of two UHFstations or a UHF/VHF combinationwithin a market.

    Policymakers have differed on thequestion. President Clinton last fall

    said that he does not think that allow-ing common ownership of two TV sta-tions in a market is a good idea.

    "Outside of group owners, no onethinks [further concentration] is a goodidea," adds Larry Irving, head of theNational Telecommunications andInformation Administration. "Syndica-tors and advertisers are scared to sayanything."

    FCC commissioners, however, do notrule out the notion of some ownershiprelaxation. FCC Commissioner JamesQuello says he could see a UHF/UHF oreven a UHFNHF combination in areaswhere the combination would not givethe owner too much control over thelocal advertising market.

    And FCC Chairman Reed Hundt lastmonth asked whether allowing com-mon ownership of two stations might

    increase diversity of viewpoint andprograming in some markets.

    That was the argument favored bybroadcasters at this month's NATPEconvention in New Orleans. Dis-cussing the remaining restrictions,executives on one panel pitched thenotion that more consolidation mightmean more diversity. Clear ChannelTelevision's Rip Riordan pointed tothe use of LMAs to revive stations thatotherwise would not be broadcasting.

    "We feel very strongly that it's notgood for the industry and it's not goodfor consumers," says Hubbard.

    "It removes from the market precise-ly those stations that have historicallyprovided entry to new and differentvoices-minorities and women," addsMedia Access Project's Schwartzman.

    One issue threatening to affect theownership status of several stations isthe must-carry law pending beforeSupreme Court justices. Defenders ofthe law requiring cable carriage oflocal broadcast signals had a roughouting before the court last October,and several expect the court to throwout the law.

    Broadcasters say that could threatenthe viability of many UHF stations. "Itmakes the weak weaker," says Mered-ith's Jones.

    The supply side ofthe syndicationbusiness is anx-iously awaiting theoutcome of the FCC'sreview of long-stand-ing TV station owner-ship restrictions.

    Conventional wis-dom dictates that theincreasing concentra-tion of station owner-ship helps syndicators with corporateties to station groups and hurts thosewithout them. But distributors in bothpositions say it's not so cut-and-dried.

    The activity on the floor of thismonth's NATPE convention provedthat independents can still clear a hotproperty the old-fashioned way-onemarket at a time. Yet NATPE alsodemonstrated how new-model giantssuch as CBS and Fox are changing the

    dynamics of syndica-tion sales.

    "The problem withconsolidation isn't thesize of the groups, it'saccess to them," saysAll American Distrib-ution President GeorgeBack. All Americanhad sold its new fall1997 talk show con-tender, Arthel & Fred,in more than 60% ofthe country by theclose of NATPE.

    For a few station operators, "sales areno longer a content issue but an accessissue. Now we're faced with companiesthat block us and tell us, 'I've got myown agenda and it supersedes yours, '"Back says. "Today's recourse is to go totheir competitors. Tomorrow'srecourse may have to be other means. "

    On the other hand, the easing of theduopoly rule could benefit many dis-tributors. LMAs have helped produce

    stronger stations in many markets,which translates to better customers forAll American, Back says, citing thegrowth of Sinclair Broadcasting'sLMA outlets in Baltimore, Pittsburghand Milwaukee.

    Moreover, industry veterans say, it'smisguided to view major station groupsas monoliths. Warner Bros. struck agroup deal for The People's Court lastmonth with the key NBC O&Os exceptLos Angeles; KNBC-TV had already com-mitted to co-producing and airing Arthel& Fred, co-hosted by the station'ssports anchor, Fred Roggin.

    Worldvision generated a buzz earlyon in the sales season with the gameshow strip Pictionary, which wascleared at NATPE by a different groupin each of the top three markets. "Ifyouhave desirable programing, you will beheard from," says Worldvision Presi-dent John Ryan.

    While 1996 "was a year when we created anawful lot of chaos," buying stations right and left, 1997 willbe "absolutely as busy [but] in a somewhat different way,"Michaels says. Broadcasters will have to figure out how torun all the stations they've bought "to continue to haveabove-average performance....

    "No one knows how to do this yet," he says. "We're allmaking it up as we go along. None of us are very far up thelearning curve. None of us are experts. I think the properthing to be doing in that circumstance is a lot of experimen-tation, a lot of trial and error."

    Meanwhile, Jacor will keep doing deals. "Bring me some-thing that requires some creativity, bring me somethingwhere there's a problem and where we can bring a little extrawork and a little more creativity to the deal to make it hap-pen. Those are the kind of deals we like," Michaels says. _

    says. Noting that "the downside to a bunch of small markets isfiguring out how to run them," Michaels says Jacor's clusterswill be linked via computer, also by the end of the year.

    Not only will this "allow us to invent new ways to managethe stations," but advertising can be sold to advertisers in apackage, he says. Programing and regional ads will be simul-cast, with airtime reserved for each town to do its own localads, news and weather.

    "This makes a lot of niche formats-not previously seenas attractive by major broadcasters--extremely attractive,because you can put them on mUltiple transmitters and cre-ate multiple profit centers with a single product," Michaelssays. The product also can be sold to other companies inneed of programing.

    Jacor is managing its clusters with regional managers whoreport directly to Jacor. "It's going to be very interesting aswe try to actually implement some of the plans we have torun this many stations," Michaels says. But the future is so
