TERMS AND CONDITIONS OF SALE CZECH REPUBLICSAMSONITE EUROPE NV

These conditions shall govern any order to the exclusion of any other terms and conditions which the customer may try to impose. By submitting an order the customer agrees to and confirms understanding of these terms and conditions in the English language. In case of non-compliance with the provisions of these conditions, Samsonite shall have the right to suspend or cancel orders from the customer.
1. CHARGES AND ORDERS1.1. All orders are personal to each customer and not assignable. The Samsonite sales agent is authorized to receive orders, however, has no authority to accept these orders. The acceptance of orders by Samsonite is evidenced by delivery of the goods. 1.2. All prices are as from plant Oudenaarde - Belgium, excluding costs and taxes. Only orders with a value over CZK 9500 (net, VAT excl.) will be processed. Orders over CZK 18,600 (net, VAT excl.) are carriage free when delivered at one address. A 7% carriage rate will be charged on orders which are less than CZK 18,600 in value. For deliveries out of the standard Samsonite delivery system a special surcharge will be calculated.1.3. The acceptance of orders is subject to the goods being in stock and to the capacity and the planning of production. Orders of an exceptional nature (whether as to either size or content) will be subject to review. Samsonite reserves the right not to accept orders exceeding the customer’s ordering average of the last three months by more than 50%. 1.4. Unless otherwise explicitly agreed in writing, the price list contains all prices, excluding costs and VAT. Samsonite reserves the right to modify prices but these revised prices will not be applied to any orders in process accepted for immediate delivery. The information in brochures, catalogues or similar documents only has indicative non-binding value.1.5. The prices in the price list are for standard catalogue products. Samsonite reserves the right to develop other products for its own retail and/or certain customers.2. ACT OF GOD/FORCE MAJEUREIf completion of the order by Samsonite has been or is prevented or hindered by circumstances beyond the reasonable control of Samsonite such as but not limited to any form of government intervention, interruption in supply, fire, machinery breakdown, strikes and lock-outs relevant to the order, such order shall be suspended. The customer shall not be entitled to compensation or cancellation of the order. 3. DELIVERYThe time given for completion of an accepted order – if any – is always an estimate. Samsonite shall have no liability for any delay in performance of the order and the customer shall not be entitled to compensation or cancellation of the order in the event of such delay. 4. TITLE OF GOODSOwnership of and title to all goods supplied or made available to the customer is transferred to the customer only when full payment is received for the goods. The retention of title extends to all Samsonite products that are still at the customer’s premises, even the goods that have been paid for. The customer may only sell the goods in the ordinary course of the customer’s business, in accordance with the FIFO principle; the customer shall not pledge any Samsonite goods or offer them as guarantee in any form whatsoever. In case of seizure of Samsonite goods at the customer’s, the customer commits himself to inform Samsonite immediately.5. COMPLAINTS AND RETURNS5.1. The risk of loss, damage or destruction of the goods will rest with the customer upon the carrier taking possession of the goods from Samsonite. The customer authorizes Samsonite to instruct the carrier with transportation assignments on behalf of the customer and at the customer’s expense and risk (even if delivery is free). Samsonite accepts no liability for merchandise lost or damaged in transit thereafter. All claims in respect of damaged goods in carriage must be notified to the carrier within 12 hours following delivery of the goods. The customer is strongly advised in his own interest to have all details regarding the nature and the scale of the damage and/or missing goods noted on the receipt bill and to have this receipt bill countersigned by the carrier. If the customer wishes Samsonite to act as intermediary, the customer shall proceed as follows: - to have the nature and the scale of the damage and/or missing goods noted on the receipt bill. This receipt bill must be signed by the customer and the carrier; and- to send a copy of the receipt bill without delay to Samsonite. By sending this document to Samsonite, the customer irrevocably transfers his right to recover his claims on the carrier to Samsonite as the customer’s agent;- subsequently Samsonite will send the buyer by way of advance on the compensation for damage or missing goods a credit note with further instructions on how to proceed with the damaged goods and other matters.Settlement with outstanding invoices is only permitted to the amount of the credit note, if any.5.2. Returns of merchandise will only be accepted after written approval of Samsonite. Returns not conforming to this condition will be refused and all expenses will be borne by the customer. 5.3. Samsonite will not take back goods which have been delivered in accordance with the order unless defective or wrongly delivered. In these cases, the procedure of taking back the goods is as follows:the customer sends the transportation document or a copy to Samsonite, stating the invoice number, delivery date, the registered defects, damage or faults together with an explanation which clearly implies that these faults already existed before delivery to the carrier; if Samsonite accepts the explanation it will collect the goods within 10 days for further verification; the goods are to be ready for collection in their original package, provided with their original labels and other marks;if the complaint is found valid, Samsonite sends a credit note for the value of the damage or the defect. 5.4. Under no circumstances will Samsonite accept liability for hidden defects in goods which were supplied by Samsonite more than 6 calendar months prior to the claim being notified to Samsonite. Defects are believed to be the consequence of a wrong handling until the customer proves the contrary. 5.5. Samsonite shall under no circumstances (neither for visible nor for hidden defects) be liable for any amounts exceeding the amount invoiced for the order, VAT excluded. 6. TERMS OF SETTLEMENT6.1. Unless otherwise specified, payment terms are: payment within 30 days as of date of invoice: net6.2. Interest will be charged on all overdue payments as of the 61st day, automatically and without prior notice, subject to a 12% annual interest rate charge with a minimum of 25 euros, increased with a lump-sum indemnity of 75 euros for recovery costs. In addition, this lump-sum indemnity may be increased with any recovery costs exceeding that amount, including, inter alia, expenses incurred in instructing a lawyer or employing a debt collection agency. 6.3. Default of payment of an invoice on its due date renders the debit balance of customer’s account immediately payable.
6.4. Samsonite shall be entitled to determine and amend credit limits at all times without prior consultation with the customer. Without prejudice to article 1.3, if the credit worthiness of the customer deteriorates or if payments are not made to Samsonite when due or further in case of a substantial increase in the volume of the activities of the customer, Samsonite shall be entitled to amend the current payment terms and/or to demandadditional guaranties.6.5. The customer may not withhold or reduce any amount payable to Samsonite under these conditions by reason of claims or allegedclaims against Samsonite. The customer can offset the amount of credit notes issued against unpaid invoices. Without such a credit note any deduction is prohibited. 6.6. In case of payment through a delcredere organism, the customer remains directly liable to Samsonite for the timely payment ofall invoices on the due date, even if non-payment is due to the default of the delcredere organism.7. SUSPENSION AND RESCISSION7.1. Samsonite shall be entitled to suspend or terminate any order, automatically and without prior notice:-if the customer does not fulfill its obligations under this contract; or-if payments (under this contract or any other contract) are not made to Samsonite when due; or-if Samsonite has reason to believe that the credit worthiness of the customer may be in doubt; or-if the customer either goes into liquidation or a receiver manager or administrator or administrative receiver is appointed or is bankrupt or has a receiving order made.7.2. In such an event Samsonite shall invoice the customer for goods supplied and any loss and/or damage caused to Samsonite and all sums under the contract and any other contract with the customer shall be payable immediately (whether due for payment or not). If suspended, Samsonite can re-start the contract when it wishes to do so.8. SERVICE AFTER SALEThe customer shall at its own cost perform proper service after sales for all products sold by Samsonite, independent of the place of purchase of the products. If a repair is necessary, the customer shall perform the repair himself unless he does not have the necessary infrastructure. In the latter case, the customer shall send the product as soon as possible to the service after sales of Samsonite. 9. COUNTERFEITCustomer shall promptly inform Samsonite of any imitation, counterfeit or unfair competition or in general of any fact or action that may be detrimental to Samsonite. The customer shall not offer for sale in its shop any imitation of Samsonite products not to create any confusion for the consumer. If the customer does offer such imitations, Samsonite retains the right at its option to suspend or terminate any orders to the customer.10. NO SALES OUTSIDE EUROPE10.1. Customer shall not, without Samsonite’s prior written approval, export any goods to countries outside of the European Economic Area and Switzerland (collectively “Europe”), or sell any goods to any customer who, directly or indirectly, exports, or the customer knows or has reason to know, exports or proposes to export, such goods to any country outside of Europe.10.2. Customer shall include a similar restriction as the restriction contained in section 10.1 above in all of its agreements regarding the goods with its customers and shall monitor compliance and take effective action in case of violation thereof. Customer agrees that it shall be responsible towards Samsonite for any violations by its customers of the restrictions provided for in this section 10.11. THIRD PARTY WEBSITESCustomer shall not offer for sale or sell goods supplied by Samsonite through any website other than a website that is exclusively managed by or for the customer and that is operated under the customer's own name. This specifically excludes selling on third party sites that carry the name or logo of the third party. In case of violation of this section 11, Samsonite shall be entitled to suspend and/or terminate any contract in existence at that time with immediate effect without compensation or indemnity being due to the customer.12. WAIVERThe failure of Samsonite to enforce a right under these conditions on any or more occasions shall not prevent Samsonite from enforcing the same right on another occasion or a different right on any occasion.13. JURISDICTIONThese conditions and the orders placed hereunder shall be construed and governed by the laws of Belgium. At Samsonite’s discretion, the courts of Oudenaarde or Brussels shall have exclusive jurisdiction.
