Membership Requirement at DecemberMeetingThe LeagueCUNA ldquodual membershiprdquo requirement has been at theforefront of dialogue within the credit union movement in recentmonths Focus on the topic has only increased in the wake of theCUNA Structure and Governance Task Forcersquos report in Septemberand subsequent actions taken by the CUNA Board of Directors

The conversation on dues optionality and direct membership withLeagues and CUNA continues A few Leagues have taken formalaction to move to a structure that does not require membership withCUNA while others have made statements and passed resolutions insupport of the value and strength of the unified LeagueCUNA systemAcross the country League leadership is engaged in conversations inthis regard bearing in mind that CUNA presidentCEO Jim Nusslehas announced the association will be introducing changes instructure in December

The NJCUL Board of Directors will discuss this important topic at itsupcoming meeting on December 3 2015

Greg Michlig NJCUL presidentCEO said he feels that while thediscussion itself is important so is the timing ldquoIt is important that theboard of directors has thoughtful dialogue around this issue and creditunion leaders understand what membership without the benefits ofCUNA partnership looks likerdquo he said ldquoThe existing three-tieredsystem with credit unions Leagues and CUNA constitutes anadvocacy machine that is the envy of associations throughout thecountry including our chief competitors It is important to take the timeto consider this carefully while also contemplating the value ofchoicerdquo he continued

NJCUL bylaws currently require affiliates also be a member of CUNAAs such any change in this regard would require a bylaw amendmentto be approved by the membership

In advance of the December 3rd meeting New Jersey credit unionleaders are encouraged to share their thoughts on this topic withLeague board members via email at boardnjculorg

FOM Rules on NCUA Nov AgendaALEXANDRIA Va ndash A field ofmembership (FOM) proposed rule willbe taken up at the National CreditUnion Administrationrsquos Nov 19meeting as requested by CUNAFOM reform is a top issue for CUNAand CUNA has urged the agency torefrain from imposing any FOMrestrictions beyond what is required inthe Federal Credit Union Act

In a letter sent to the NCUA in JuneCUNA outlined a number of principles for FOM reform as well as anumber of suggestions that are within the agencyrsquos immediateauthority and some that would require a rule change

Specific changes CUNA has requested include

Allow any federal credit union to serve a combination ofcontiguous communities and single political jurisdictions thatdo not exceed in population size or land area of the largest

do not exceed in population size or land area of the largestcommunity that NCUA has already approved which means 10million people or a land area of 20000 square milesAllow any government definition of community to be used as acredit unionrsquos option to define Well-Defined Local Community(WDLC)Increase the population limit used for Core Based StatisticalAreas (CBSA) from 25 million to 10 millionEliminate the requirement that a CBSA contain a ldquocorerdquo Include Combined Statistical Area in the definition of WDLC Expand affinity groups for community chartered credit unionsbeyond those who live in worship in attend school in or workin a community This should be expanded to include those whowork for a business headquartered or are paid from a businesslocated in a community Redefine ldquorural districtrdquo by eliminating a population test andusing a test similar to that of the US Census Bureau as anarea that does not contain a majority of land area in anUrbanized Area or Urbanized ClusterAllow a Congressional district to be considered a WDLC ACongressional district inherently defines a community withshared interestsReinstate the narrative approach for defining a communityEliminate the geographic limitation on trade industry orprofession (TIP) for federal credit unionsAllow a TIP to add vendors and their employees that supportthe trade industry or professionAllow a professional-based TIP to include co-workers whosupport the professionalrsquos day-to-day delivery of services andto include recipients of the professionalrsquos services when thoserecipients are not customers or clientsStreamline the paperwork and process to allow groups with3000 or more potential members to easily be added to amultiple group federal credit unionPermit federal credit unions that convert to a communitycharter to keep approved groups in their FOMs that areoutside the boundaries of their new community andPermit a state credit union converting to a federal credit unionto keep its current field of membership and expand based onNCUArsquos field of membership policies

FIs Counter lsquoCoerciversquo Home Depot Tacticin Data Breach SuitATLANTA ndash The credit unions and other financial institutions behind aclass action lawsuit against Home Depot over its massive data breachin 2014 are countering a move this week by the retail giant HomeDepot has asked the court for authorization to freely communicatedirectly with absent class-action members about potential settlementsit may reach with card companies

Home Depotrsquos legal team has requested permission to communicatewith financial institutions about settlements it could reach with Visaand MasterCard But the plaintiffs in the case which include 17 creditunion organizations say that the move could lead to the distribution ofcoercive or misleading information (Law360 Nov 10)

ldquoCoupling receipt of the benefits of the [credit brand] recoveryprocesses with a general release that prohibits class members fromparticipating in this case is inherently misleading and ripe for abuseparticularly when class counsel are completely shut out of theprocessrdquo the plaintiffs wrote ldquoTo the extent that Home Depot is notattempting to issue coercive or misleading statements it should haveno problem presenting them first to class counsel and allowing thecourt to decide any disputesrdquo

The plaintiffs believe that permitting Home Depot to communicateabout its potential card company settlements without giving counselon the financial institution side the opportunity to see thosecommunications in advance would make it possible for thecommunications to be inaccurate and coercive That could limit thefinancial institutionsrsquo ability to accurately weigh their potential claimsand determine whether they might recover more in the class actionsuit than they might under the proposed settlement

The CUES New JerseyMetro New York Council consists of CatherineRicker President (Affinity FCU) Ann South Vice President (NovartisFCU) Glenn Guinto Secretary (Greater Alliance FCU) MarieHolowka (Rutgers FCU) and Mike Mahiya Program Director (XCELFCU) from New Jersey

Judges selected these councils for their ability to present timely andimportant topics to attendees communicate effectively with theirmembers and produce actionable marketing pieces to generate highmeeting participation They also encourage nonmembers to joinCUES

CUES Councils are regional CUES member-only learning groups runby volunteer CUES members All offer networking and career-enhancing resources

RBC Video Released by NCUAALEXANDRIA Va ndash The National Credit Union Administration hasreleased a video on its risk-based capital (RBC) rule intended forcredit union managers staff and boards to learn more about the rule

The rule was approved at the agencyrsquos October board meeting

The video covers the rulersquos framework changes made from proposalto final rule stage and an overview of the NCUArsquos three-yearimplementation plan Additional materials including an impactanalysis and a RBC estimator are available on the NCUArsquos RBCresource page

The rule applies to the 24 of federally insured credit unions withmore than $100 million in assets The remaining federally insuredcredit unions are exempt

The rule will become effective Jan 1 2019 which coincides with thefull phase-in of RBC rules from federal banking agencies

RBC Video Released by NCUAALEXANDRIA Va ndash The National Credit Union Administration hasreleased a video on its risk-based capital (RBC) rule intended forcredit union managers staff and boards to learn more about the rule

The rule was approved at the agencyrsquos October board meeting

The video covers the rulersquos framework changes made from proposalto final rule stage and an overview of the NCUArsquos three-yearimplementation plan Additional materials including an impactanalysis and a RBC estimator are available on the NCUArsquos RBCresource page

The rule applies to the 24 of federally insured credit unions withmore than $100 million in assets The remaining federally insuredcredit unions are exempt

The rule will become effective Jan 1 2019 which coincides with thefull phase-in of RBC rules from federal banking agencies

ldquoCoupling receipt of the benefits of the [credit brand] recoveryprocesses with a general release that prohibits class members fromparticipating in this case is inherently misleading and ripe for abuseparticularly when class counsel are completely shut out of theprocessrdquo the plaintiffs wrote ldquoTo the extent that Home Depot is notattempting to issue coercive or misleading statements it should haveno problem presenting them first to class counsel and allowing thecourt to decide any disputesrdquo

The plaintiffs believe that permitting Home Depot to communicateabout its potential card company settlements without giving counselon the financial institution side the opportunity to see thosecommunications in advance would make it possible for thecommunications to be inaccurate and coercive That could limit thefinancial institutionsrsquo ability to accurately weigh their potential claimsand determine whether they might recover more in the class actionsuit than they might under the proposed settlement
