NOTICE OF ELECTION STATE OF TEXAS § COUNTY OF MONTGOMERY § CONROE INDEPENDENT SCHOOL DISTRICT §

TO ALL THE DULY QUALIFIED, RESIDENT ELECTORS OF CONROE INDEPENDENT SCHOOL DISTRICT:

NOTICE IS HEREBY GIVEN that an election will be held within and throughout the CONROE INDEPENDENT SCHOOL DISTRICT (the “District”) on November 5, 2019, pursuant and in accordance with the Order Calling School Building Bond Election passed and approved by the Board of Trustees of the Conroe Independent School District on August 13, 2019, which order reads substantially as follows:

WHEREAS, the Board of Trustees (the “Board”) of the Conroe Independent School District (the “District”) has the power to issue bonds for the purposes described herein; and

WHEREAS, the Board has determined that it is necessary and convenient to call and conduct an election to obtain voter authorization for the issuance of such bonds; and

WHEREAS, the District will enter into one or more election agreements (the “Election Agreements”) with Montgomery County, Texas (the “County”), by and through the County’s Elections Administrator (the “Administrator”) and possibly other political subdivisions (the “Participants”), in accordance with the laws of the State of Texas (the “State”) and applicable federal law.

NOW, THEREFORE, BE IT ORDERED BY THE BOARD OF TRUSTEES OF CONROE INDEPENDENT SCHOOL DISTRICT:

Section 1. Call of Election; Date; Eligible Electors; and Hours. An election (the “Election”) shall be held on Tuesday, November 5, 2019 (“Election Day”), which is seventy-eight (78) or more days from the date of the adoption of this order (the “Election Order”), within and throughout the territory of the District at which all resident, qualified electors of the District shall be entitled to vote. The Board hereby finds that holding the Election on such date is in the public interest. The hours during which the polling places are to be open on Election Day shall be from 7:00 a.m. to 7:00 p.m.

Section 2. Voting Precincts; Polling Places; Election Officers. Except as otherwise provided herein, the Election Day precincts established for the purpose of holding the Election and the polling places designated for the Election precincts shall be as shown in Exhibit B to this Election Order. The precinct judges and alternate judges for the Election shall be appointed in accordance with the Texas Election Code (the “Election Code”).

In the event that the Superintendent, or his designee, shall determine from time to time that (a) a polling place hereafter designated shall become unavailable or unsuitable for such use, or it would be in the District’s best interests to relocate such polling place, or (b) a presiding judge or

alternate presiding judge hereafter designated shall become unqualified or unavailable, the Superintendent, or his designee, is hereby authorized to designate and appoint in writing a substitute polling place, presiding judge or alternate presiding judge, and correct or modify the exhibits to this Election Order, giving such notice as is required by the Election Code and as deemed sufficient.

Section 3. Propositions. At the Election there shall be submitted to the resident, qualified electors of the District the following propositions (each, a “Proposition” and together, the “Propositions”):

CONROE INDEPENDENT SCHOOL DISTRICT PROPOSITION A

Shall the Board of Trustees (the “Board”) of the Conroe Independent School District (the “District”) be authorized to issue bonds of the District, in one or more series or installments, in the amount of $653,570,000 for the construction, acquisition and equipment of school buildings in the District, the purchase of the necessary sites for school buildings, and the purchase of new school buses, including without limitation new campuses, campus additions, campus renovations, safety and security improvements, and technology infrastructure improvements, which bonds shall mature, bear interest and be issued and sold in accordance with law at the time of issuance; and shall the Board be authorized to levy and pledge, and cause to be assessed and collected, annual ad valorem taxes on all taxable property in the District sufficient, without limit as to rate or amount, to pay the principal of and interest on the bonds, and the costs of any credit agreements (including credit agreements executed or authorized in anticipation of, in relation to, or in connection with the bonds), all as authorized by the Constitution and laws of the State of Texas and the United States of America?

CONROE INDEPENDENT SCHOOL DISTRICT PROPOSITION B

Shall the Board of Trustees (the “Board”) of the Conroe Independent School District (the “District”) be authorized to issue bonds of the District, in one or more series or installments, in the amount of $23,800,000 for the construction, acquisition and installation of artificial turf on sports fields at Caney Creek High School, College Park High School, Conroe High School, Oak Ridge High School and The Woodlands High School, which bonds shall mature, bear interest and be issued and sold in accordance with law at the time of issuance; and shall the Board be authorized to levy and pledge, and cause to be assessed and collected, annual ad valorem taxes on all taxable property in the District sufficient, without limit as to rate or amount, to pay the principal of and interest on the bonds, and the costs of any credit agreements (including credit agreements executed or authorized in anticipation of, in relation to, or in connection with the bonds), all as authorized by the Constitution and laws of the State of Texas and the United States of America?

Section 4. Ballots. The ballots shall conform to the requirements of the Election Code and shall have written or printed thereon the following:

Section 5. Voting. Electronic voting machines may be used in holding and conducting the Election on Election Day; provided, however, in the event the use of such electronic voting machines is not practicable, the Election may be conducted on Election Day by the use of paper ballots (except as otherwise provided in this section). Electronic voting machines or paper ballots may be used for early voting by personal appearance (except as otherwise provided in this section). As required by the Election Code, the District shall provide at least one accessible voting system in each polling place used in the Election. Such voting system shall comply with Texas and federal laws establishing the requirement for voting systems that permit voters with physical disabilities to cast a secret ballot. Paper ballots may be used for early voting by mail.

Each voter desiring to vote in favor of a Proposition shall mark the ballot indicating “FOR” the Proposition, and each voter desiring to vote against a Proposition shall mark the ballot indicating “AGAINST” the Proposition. Voting shall be in accordance with the Election Code.

Section 6. Early Voting. The Board hereby appoints the Administrator as the regular early voting clerk for the District. Early voting, both by personal appearance and by mail, will be conducted in accordance with the Election Code.

Early voting by personal appearance shall be conducted at the locations, on the dates and at the times as shown in Exhibit A. Early voting by personal appearance shall begin on Monday, October 21, 2019 and end on Friday, November 1, 2019.

For the use of those voters who are entitled by law to vote early by mail, the early voting clerk shall provide each voter with a ballot with instructions to mark the ballot indicating his or

her vote “FOR” or “AGAINST” each Proposition. The mailing address to which ballot applications and ballots voted by mail may be sent is as follows: Suzie Harvey, Elections Administrator, P.O. Box 2646, Conroe, Texas 77305‐2646.

The Administrator is hereby authorized and directed to designate the early voting ballot board and other officers required to conduct early voting for the Election.

Section 7. Conduct of Election. The Election shall be conducted by election officers, including the precinct judges and alternate judges or clerks appointed by the Board, in accordance with the Election Agreements, the Education Code, the Election Code and the Constitution and laws of the State and the United States of America. The President of the Board of Trustees, the Superintendent, and their respective designees, are authorized to enter into, execute and deliver one or more Election Agreements, in accordance with applicable provisions of the Election Code. The terms and provisions of each Election Agreement are hereby incorporated into this Election Order. To the extent of any conflict between this Election Order and an Election Agreement, the terms and provisions of the Election Agreement shall prevail, and the President of the Board of Trustees, the Superintendent, and their respective designees, are authorized to make such corrections, changes, revisions and modifications to this Election Order, including the exhibits hereto, as are deemed necessary or appropriate to conform to the Election Agreement, to comply with applicable state and federal law and to carry out the intent of the Board, as evidenced by this Election Order. The Administrator shall be responsible for establishing the central counting station for the ballots cast in the Election and appointing the personnel necessary for such station.

Section 8. Bilingual Election Materials. All notices, instructions, and ballots pertaining to the Election shall be furnished to voters in both English and Spanish and persons capable of acting as translators in both English and Spanish shall be made available to assist Spanish language speaking voters in understanding and participating in the election process.

Section 9. Delivery of Voted Ballots; Counting; Tabulation; Canvassing of Returns; Declaring Results. The ballots shall be counted by one or more teams of election officers assigned by the presiding judges, each team to consist of two or more election officers. After completion of his responsibilities under the Election Code, including the counting of the voted ballots and the tabulation of the results, the presiding judge shall make a written return of the Election results to the District in accordance with the Election Code. The Board shall canvass the returns and declare the results of the Election.

If a majority of the resident, qualified electors of the District voting at the Election, including those voting early, shall vote in favor of a Proposition, then the issuance and sale of the bonds described in such Proposition shall be authorized in the maximum amount contained therein, and the bonds shall be issued and sold at the price or prices and in such denominations determined by the Board to be in the District’s best interest.

Section 10. Training of Election Officials. Pursuant to the Election Code, a public school of instruction for all election officers and clerks may be held as arranged or contracted by the Administrator.

Section 11. Notice of Election. Notice of the Election, stating in substance the contents of this Election Order, shall be published one time in the English and Spanish languages, in a newspaper published within the District’s territory or, if none is published in the District’s territory, in a newspaper of general circulation in the District’s territory, at least ten (10) days and no more than thirty (30) days prior to Election Day. Notice of the Election shall also be given by posting a substantial copy of this Election Order, in both English and Spanish, (i) on Election Day and, during early voting by personal appearance, in a prominent location at each polling place and (ii) not later than the twenty-first (21st) day before the Election, on the bulletin board used for posting notices of meetings of the Board and in three (3) public places within the boundaries of the District. In addition, this Election Order (together with the notice of Election, the contents of the Propositions and any sample ballot prepared for the Election) shall be posted on the District’s website, in both English and Spanish, during the twenty-one (21) days before the Election. Notwithstanding the above, the District shall not be required to post the Election Order on the bulletin board used for posting notices of meetings of the Board if the County maintains a website.

Section 12. Notice of Meeting. The Board officially finds, determines, recites and declares that written notice of the date, hour, place and subject of the meeting at which this Election Order is adopted was posted on a bulletin board located at a place convenient to the public at the District’s administrative offices for a least seventy-two (72) hours preceding the scheduled time of the meeting; that a telephonic or telegraphic notice of such meeting was given to all news media who have consented to pay any and all expenses incurred by the District in connection with providing such notice, both as required by the Open Meetings Law, Chapter 551, Texas Government Code, as amended; and that such meeting was open to the public as required by law at all times during which this Election Order and the subject matter thereof was discussed, considered and formally acted upon.

Section 13. Mandatory Statement of Information.

(a) Pursuant to Section 3.009, Texas Election Code: (i) the proposition language that will appear on the ballot is set forth in Section 4 of this Election Order, (ii) the purposes for which the bonds are to be authorized are set forth in Section 3 of this Election Order, (iii) the principal amount of bonds to be authorized is set forth in Section 3 of this Election Order, (iv) if the issuance of bonds is authorized by voters, taxes sufficient, without limit as to rate or amount, to pay the annual principal of and interest on the bonds and the costs of any credit agreements may be imposed, as set forth in Section 3 of this Election Order, (v) bonds authorized pursuant to this Election Order may be issued to mature not more than 40 years from their date and bearing interest at the rate or rates (not to exceed the maximum rate now or hereafter authorized by law), as authorized by law and determined by the Board, (vi) as of the beginning of the District’s current fiscal year, the aggregate amount of outstanding principal of the District’s debt obligations was $1,261,400,000, and the aggregate amount of outstanding interest on the District’s debt obligations was $624,497,261, and (vii) the District’s ad valorem debt service tax rate as of the date of adoption of this Election Order is $0.2200 per $100 valuation of taxable property.

(b) Based upon market conditions as of the date of this Election Order, the maximum net effective interest rate for any series of the bonds is estimated to be 4.75%. Such estimated maximum interest rate is provided as a matter of information, but is not a limitation on the interest rate at which the bonds, or any series thereof, may be sold. In addition, the estimate contained in

this subsection (b) is (i) based on certain assumptions (including assumptions concerning prevailing market and economic conditions at the time(s) of issuance of the bonds) and derived from projections obtained from the District’s financial advisor, (ii) subject to change to the extent that actual facts, circumstances and conditions prevailing at the time that the bonds are issued differ from such assumptions and projections, (iii) provided solely in satisfaction of the requirements of Section 3.009, Texas Election Code, and for no other purpose, without any assurance that such projections will be realized, and (iv) not intended to and does not give rise to a contract with voters or limit the authority of the Board to issue bonds in accordance with the Proposition submitted by this Election Order.

Section 14. Authority of the Superintendent. The Superintendent shall have the authority to take, or cause to be taken, all reasonable or necessary actions to insure that the Election is fairly held and returns properly counted and tabulated for canvass by the Board, which actions are hereby ratified and confirmed.

Section 15. Authorization to Execute. The President or Vice President of the Board is authorized to execute and the Secretary of the Board is authorized to attest this Election Order on behalf of the Board; and the President or Vice President of the Board is authorized to do all other things legal and necessary in connection with the holding and consummation of the Election.

Section 16. Effective Date. This Election Order is effective immediately upon its passage and approval.

A TODOS LOS ELECTORES DEBIDAMENTE HABILITADOS, RESIDENTES DEL

DISTRITO ESCOLAR INDEPENDIENTE DE CONROE:

CONSIDERANDO QUE la Junta de Consejo (el “Consejo”) del Distrito Escolar Independiente de Conroe (el “Distrito”) tiene la facultad de emitir bonos para los siguientes propósitos; y

CONSIDERANDO QUE el Consejo ha determinado que es necesario y conveniente llamar y

llevar a cabo una elección para obtener la autorización de los votantes para la emisión de dichos bonos; y

CONSIDERANDO QUE el Distrito entrará en uno o más acuerdos de elección (los

AHORA, POR LO TANTO, COMO LO ORDENA LA JUNTA DE CONSEJO DEL

DISTRITO ESCOLAR INDEPENDIENTE DE CONROE:

Sección 1. Convocatoria de elección; Fecha; Votantes con derecho y Horarios. La votación (la “Votación”) se llevará a cabo el martes, 5 de noviembre de 2019 (“Día de la votación”), la cual es setenta y ocho (78) o más días desde la fecha de adopción de esta orden (la “Orden de votación”), dentro y a lo largo de la zona del Distrito en la cual todos los residentes, votantes aceptables del Distrito, tendrán derecho a votar. El Consejo, por la presente, considera que llevar a cabo la Votación en dicha fecha es de interés público. El horario en el que las casillas de votación estarán abiertas durante el Día de la votación será de 7:00 a.m. a 7:00 p.m.

Sección 2. Distritos electorales; Lugares de votación; Oficiales electorales. A excepción de lo

dispuesto en este documento, los distritos electorales asignados para el Día de la votación con el propósito de llevar a cabo la Votación y los lugares de votación designados para los Distritos electorales de la Votación serán los que aparecen en el Anexo B de esta Orden de votación. Los jueces de los distritos electorales y los jueces alternos para la Votación se asignarán de acuerdo al Código de Votación de Texas (el “Código de votación”).

En caso de que el Superintendente, o su sustituto, eventualmente determinara que

(a) un lugar de votación designado no estuviera disponible o fuera inadecuado para dicho uso, o que

fuera el mejor interés del Distrito reubicar dicho lugar de votación , o (b) un juez designado se volviera no apto o no estuviera disponible en lo sucesivo, el Superintendente, o su sustituto, estaría autorizado por el presente para designar y nombrar por escrito un lugar de votación secundario, otro juez que presida o juez alterno que presida, así como corregir o modificar los documentos de la Orden de votación, dando dicho aviso como lo estipula el Código de votación y como se considere suficiente.

Sección 3. Propuestas. En la Votación se deberá entregar al residente, electores calificados del Distrito las siguientes propuestas (cada una siendo una “Propuesta”, y juntas las “Propuestas”):

Si se autoriza a la Junta de Consejo (el “Consejo”) del Distrito Escolar Independiente de Conroe (el “Distrito”) emitir bonos del Distrito, en una o más series o pagos, por la cantidad de $653,570,000 para la construcción, adquisición y equipamiento de edificios escolares en el Distrito, la compra de los sitios necesarios para los edificios escolares y la compra de autobuses escolares nuevos, incluyendo sin limitantes, escuelas nuevas, adiciones y renovaciones a las escuelas, mejoras en seguridad e infraestructura en tecnología, cuyos bonos deberán vencer, dar interés y ser expedidos y vendidos de acuerdo a la ley al momento de la emisión; y si se autoriza al Consejo a imponer y garantizar, evaluar y cobrar, anualmente ad valorem, los impuestos suficientes en todas las propiedades gravables de todo el Distrito, sin límite de tasa o cantidad, para pagar el principal y los intereses de los bonos, así como los costos de cualquier acuerdo crediticio (incluyendo acuerdos crediticios ejecutados o autorizados con anticipación de, en relación a, o en conexión con los bonos), así como lo permite la Constitución y las leyes del Estado de Texas y de los Estados Unidos de América?

La emisión de $23,800,000 en bonos para la construcción, adquisición e instalación de pasto artificial en los campos deportivos de la Escuela Preparatoria Caney Creek, Escuela Preparatoria College Park, Escuela Preparatoria Conroe, Escuela Preparatoria Oak Ridge y Escuela Preparatoria The Woodlands, y la imposición del impuesto para el pago de los mismos.

Sección 5. Votación. Se pueden usar máquinas electrónicas de votación para llevar a cabo la Votación el Día de la votación; sin embargo, si el uso de dichas máquinas electrónicas para votar no es factible, la Votación se puede llevar a cabo el Día de la votación usando boletas de papel (a excepción de que se mencione de una manera diferente en esta sección). Las máquinas electrónicas para votar o las boletas de votación se podrán usar para una votación anticipada con presencia en persona (a excepción de que se mencione de otra manera en esta sección). Tal y como lo requiere el Código de votación, el Distrito deberá proporcionar al menos un sistema accesible de votación en cada lugar de votación durante la Votación. Dicho sistema de votación deberá cumplir con las leyes de Texas y las leyes federales que establecen el requisito de que los sistemas de votación deberán permitir que los electores con discapacidades físicas pueden ejercer su voto secreto. Las boletas de papel se pueden usar para la votación anticipada por correo.

Cada elector que desee votar a favor de alguna Propuesta deberá marcar la boleta indicando

“A FAVOR" de la Propuesta, y cada elector que desee votar en contra de alguna Propuesta deberá marcar en su boleta indicando "EN CONTRA" de la Propuesta. Se votará de acuerdo con el Código de votación.

·Sección 6. Votación anticipada. Por la presente, el Consejo designa al Administrador como el encargado del Distrito de la votación anticipada. La votación anticipada, tanto en persona como por correo, se llevará a cabo de acuerdo con el Código de votación.

La votación anticipada en persona se llevará a cabo en las ubicaciones, en las fechas y

en los horarios que muestra el Anexo A. La votación anticipada empezará el lunes 21 de octubre de 2019 y terminará el día martes 1° de noviembre de 2019.

Para aquellos electores que tengan derecho por ley a votar anticipadamente por correo,

el encargado de la votación anticipada deberá proporcionar a cada elector una boleta con instrucciones para marcar la boleta indicando su voto “A FAVOR” o “EN CONTRA” de cada Propuesta. La dirección de correo a la cual se enviarán las solicitudes de boleta y las boletas marcadas es: Suzie Harvey, Administrador de Votaciones, P.O. Box 2646, Conroe, Texas 77305-2646.

Por la presente se autoriza y se instruye al Administrador para que nombre al consejo

de boletas de votación anticipada, así como otros oficiales que se requieran para llevar a cabo la votación anticipada.

Sección 7. Votación. La Votación será conducida por los oficiales de la votación,

incluyendo los jueces de distritos electorales y jueces alternos o delegados designados por el Consejo, de acuerdo con los Acuerdos de votación, el Código de Educación, el Código de votación y la Constitución y leyes del Estado y de los Estados Unidos de América. El Presidente de la Junta de Consejo, el Superintendente y sus respectivos sustitutos, están autorizados para formalizar, ejecutar y distribuir uno o más Acuerdos de votación, de acuerdo

con las disposiciones aplicables del Código de votación. Los términos y disposiciones de cada Acuerdo de votación están incorporados por medio de la presente en esta Orden de Votación. En caso de cualquier conflicto entre la Orden de votación y el Acuerdo de votación, los términos y disposiciones del Acuerdo de votación prevalecerán y el Presidente de la Junta del Consejo, el Superintendente y sus sustitutos respectivos están autorizados para hacer dichas correcciones, cambios, revisiones y modificaciones a esta Orden de elección, incluyendo los anexos aquí presentes, como lo consideren necesario y apropiado para acatar el Acuerdo el votación, para cumplir con la ley estatal y federal y para llevar a cabo el propósito del Consejo, así como lo evidencia esta Orden de votación. El Administrador será responsable de establecer la central de conteo de las boletas marcadas en la Votación y de nombrar al personal necesario para dicha estación.

Sección 8. Materiales bilingües para la votación. Todos los avisos, instrucciones y

boletas que pertenezcan a la Votación deberán entregarse a los electores tanto en inglés como en español y deberá haber personas capaces de actuar como traductores tanto en inglés como en español para ayudar a los electores hispanohablantes a entender y participar en el proceso de la elección.

Sección 9. Entrega de boletas marcadas; Conteo; Tabulación; Informe de la campaña

de votación; Certificación de resultados; Declaración de resultados. Las boletas serán contadas por uno o más equipos de funcionarios de votación asignados por los jueces que presiden y cada equipo tendrá dos o más funcionarios de votación. Después de cumplir con sus responsabilidades del Código de votación, incluyendo el conteo de las boletas marcadas y la tabulación de los resultados, el juez que preside deberá hacer un informe por escrito al Distrito de los resultados de la Votación de acuerdo con el Código de votación. El Consejo certificará los votos recibidos y declarará los resultados de la Votación.

Si la mayoría de los residentes, electores calificados del Distrito que voten en la

Votación, incluyendo aquellos que votaron anticipadamente, votan a favor de alguna Propuesta, entonces la emisión y la venta de bonos descritos en dicha Propuesta se autorizará en la cantidad máxima descrita en la presente, y los bonos se deberán emitir y vender al precio o precios y en la denominación que determine el Consejo para beneficio del Distrito.

Sección 10. Capacitación de los funcionarios de votación. Conforme al Código de

votación, se podrá llevar a cabo una escuela pública de instrucción para todos los funcionarios y delegados de la votación según lo disponga o contrate el Administrador.

Sección 11. Aviso de votación. Un aviso de votación, que incluya substancialmente

los contenidos de la Orden de votación, se deberá publicar una vez en los idiomas inglés y español, en un periódico que circule dentro de la zona del Distrito o, si no hay publicaciones dentro de la zona del Distrito, en un periódico de circulación general dentro de la zona del Distrito, al menos diez (10) días y no más de treinta (30) días antes del Día de la votación. También se deberá dar Aviso de la votación publicando una copia de la Orden de votación,

tanto en inglés como en español, (i) el Día de la votación y, durante la votación anticipada por presencia física, en una ubicación destacada en cada lugar de votación y (ii) no después del vigésimo primer (21) día antes de la Votación, en el tablero para pegar avisos de juntas del Consejo y en tres (3) lugares públicos dentro de los límites del Distrito. Además, esta Orden de votación, (junto con el aviso de Votación, los contenidos de las Propuestas y cualquier muestra de boletas preparadas para la Elección), deberán publicarse en el portal de Internet del Distrito, tanto en inglés como en español, durante los veintiún (21) días previos a la Votación. No obstante lo anterior, el Distrito no estará obligado a publicar la Orden de Elección en el tablero de anuncios que se usa para colocar avisos de las juntas del Consejo si el Condado tiene un portal activo.

Sección 12. Aviso de junta. El Consejo establece, determina, recita y declara que se dio

aviso por escrito del día, la hora, el lugar y el tema de la junta en la cual esta Orden de votación se adoptó y que fue publicada en el tablero ubicado en un lugar conveniente para el público en las oficinas administrativas del Distrito por lo menos setenta y dos (72) horas previas al horario establecido de la junta; un aviso telefónico o telegráfico de dicha junta se dio en los medios de comunicación que aceptaron pagar cualquier y todos los gastos incurridos por el Distrito en cuanto a proporcionar dicho aviso, ambos como lo requiere la Ley de Juntas Abiertas, Capítulo 551, el Código de Gobierno de Texas, modificado; y que dicha junta está abierta al público como lo requiere la ley en todo momento durante el tiempo en el que esta Orden de votación y el tema aquí presente se discutió, consideró y se actuó formalmente.

Sección 13. Declaración obligatoria de información.

(a) Conforme a la Sección 3.009, del Código de Votación de Texas: (i) el idioma de la propuesta que aparece en la boleta se describe en la Sección 4 de esta Orden de votación, (ii) los propósitos para los que los bonos se autoricen se describen en la Sección 3 de esta Orden de votación, (iii) la cantidad principal de bonos para autorizar se describe en la Sección 3 de esta Orden de votación, (iv) si la emisión de bonos es autorizada por los electores, los impuestos son suficientes, sin límite de tasa o cantidad, para pagar anualmente el principal e interés de los bonos y los costos de cualquier acuerdo crediticio que se imponga, como se describe en la Sección 3 de esta Orden de votación, (v) los bonos autorizados conforme a esta Orden de votación se podrán emitir para un vencimiento no más allá de 40 años desde su fecha de emisión y con intereses a la tasa o tasas (que no excedan la máxima tasa actual o en lo sucesivo autorizada por la ley), como lo autoriza la ley y determine el Consejo, (vi) a partir del inicio del año fiscal actual del Distrito, la cantidad agregada del balance principal de las obligaciones de deuda del Distrito era de $1,261,400,000, y la cantidad agregada del interés pendiente de las obligaciones de deuda del Distrito era de $624,497,261, y (vii) la deuda ad valorem de la tasa de servicio de intereses del Distrito a partir de la fecha de adopción de esta Orden de votación es de $0.2200 por $100 de valuación de propiedad sujeta a impuestos.

(b) Con base en las condiciones del mercado a partir de la fecha de esta Orden de

votación, la tasa de interés neta efectiva máxima para cualquier serie de bonos se estima en 4.75%. Dicha tasa de interés máxima estimada se proporciona a manera informativa, pero no

es una limitación de la tasa de interés en la que los bonos, o cualquier serie aquí mencionada, se puedan vender. Además, la estimación que aparece en esta subsección (b) (i) se basa en ciertas conjeturas (incluyendo conjeturas relativas al mercado predominante y las condiciones económicas al (a los) momento(s) de la emisión de los bonos) y derivada de las proyecciones obtenidas del consejero financiero del Distrito, (ii) queda sujeta a cambio en la medida que los hechos actuales, circunstancias y condiciones prevalentes al momento en que los bonos difieran de dichas conjeturas y proyecciones, (iii) siempre y cuando únicamente se cumpla con los requisitos de la Sección 3.009, del Código de Votación de Texas, y sin otro propósito, sin garantía de que dichas proyecciones se cumplirán, y (iv) sin tener planeado y sin dar pie a un contrato con los electores ni a limitar la autoridad del Consejo para emitir bonos de acuerdo con la Propuesta sugerida en esta Orden de votación.

Sección 14. Autoridad del Superintendente. El Superintendente tendrá la autoridad de

tomar, o hacer que se tomen, todas las acciones razonables o necesarias para asegurar que la Votación se lleve a cabo de manera justa y los resultados se cuenten correctamente y se tabulen para la campaña de elección por parte del Consejo, cuyas acciones se ratifican y confirman en la presente.

Sección 15. Autorización para ejecutar. El Presidente o Vicepresidente del Consejo está

autorizado para ejecutar y el Secretario del Consejo está autorizado para atestiguar en esta Orden de votación en nombre del Consejo; y el Presidente o Vicepresidente del Consejo está autorizado para hacer cualquier otra cosa legal y necesaria relacionada con la Votación y su consumación.

Sección 16. Fecha efectiva. Esta Orden de votación es efectiva inmediatamente

después de su aprobación.
