Dear OTZ Members:

We first want to thank everyone for all of their support over the past year. We are so appreciative of all the folks who signed up for OTZ cell service in Kotzebue, Selawik and Noorvik.

OTZ, along with the rest of the country, did feel the impact of the global recession. On a consolidated basis, we had a net loss of about $316,000 for 2009. Of that $316,000 net loss, $134,000 of it is related to the Cooperative’s investment in ARECA Insurance Exchange. In 2008, ARECA had significant losses related to marketable securities and underwriting. In 2009, ARECA allocated that loss to the members of the insurance exchange, which includes the Cooperative. The remainder of the loss can be primarily attributable to the startup costs of providing new cell switches and cell service in Kotzebue, Selawik and Noorvik. With a strong customer base and the startup costs associated with installing three new cellular switches in one year now behind us, we fully expect to become profitable again in 2010.

Our buildout schedule for the rest of the villages is ambitious and we hope to install cell switches in at least four more villages this summer. We also plan to do a cell service upgrade that will allow you to access the Internet via your cell phone.

While the big news for 2009 was cell service, we also worked hard in many other areas. OTZ capital projects this past year included new telephone softswitch central offices in Kiana, Buckland, Deering and Red Dog Mine. We also rebuilt the cable plant around Kotzebue FAA.

While our workers were out building and maintaining the hardware to keep you connected, our staff was creating new calling plans, including pre-paid cell service, family plans and more.

As we look ahead to 2010, including new wireless switches coming to the villages this summer, we’d like to thank you for being an OTZ member and caring about your company. Together, we grow stronger and stronger...so no matter what you need to stay connected to your neighbors and to the world, we’ve got ya covered!

ANNUAL MEETING MINUTESOTZ TELEPHONE COOPERATIVE, INC.May 28, 2009

I. Call to OrderThe Annual Meeting of the OTZ Tele-

phone Cooperative, Inc. was called to order at 7:03 p.m. on May 28, 2009 by Board President Larry D. Jones.

Larry greeted and thanked the members by welcoming them to our annual meeting on this beautiful day.

II. Invocation Larry requested that Norman Westdahl

give the invocation.

III. Determination of QuorumIt was determined that a quorum was

established with more than 50 members in attendance.

Larry informed the membership that he would normally read the notice of the meet-ing, he requested a motion from the mem-bership to waive the reading the notice of the meeting. A motion was made to waive the reading of the notice and passed unani-mously.

IV. Early Bird Drawing

Ann and LeAnn administered the early bird drawing after an explanation of how the raffle was going to be run. First draw-ing was attendee Matt Tekker, Oster Toaster 4 Slice; mail-in was Blanche Cook of Kiana. Second drawing was attendee Shannon Da-vis, 26pc Stainless Steel Cutlery Set; mail-in was Raceinda Russell of Selawik.

V. Approval of Annual Meeting Minutes of May 12, 2008

Donna Westdahl moved to waive the reading of the minutes of the Annual Meet-ing of May 12, 2008, seconded by Judy Stein. Motion passed unanimously.

Leland Barger moved to approve the minutes of the Annual Meeting of May 12, 2008, seconded by Auggie Hoffman. Mo-tion passed unanimously.

VI. Election of Two Directors – from District 1 (Ambler, Kobuk, Shungnak); and District 5 (Kotzebue)

Larry thanked the nominating commit-tee that met on March 18, 2009: Mary Ra-moth, Nellie Sheldon, Johnetta Cleveland, Wanda Custer, Pearl Greist, Paul Hansen, Marlene Smith, and Jimmy Evak.

Larry informed the membership of the election of two directors and then read the list of nominees from the ballot that was mailed to all the members: from District 1 (Ambler, Kobuk, Shungnak) - Jane Cleve-land, incumbent from Ambler; Amanda Johnson from Ambler; Jacob Johnson from

Robert Gastenau made a motion to close the nominations, sec-onded by Donna Westdahl. Motion passed unanimously.

Larry requested 10 volunteers from the membership to help Ann with counting the ballots. He thanked the nominating committee again and asked if there any more ballots for the staff to pick up.

VII. New Business There was no new business.

VIII. Reports A. Board

Larry introduced the board members which includes: himself, Larry D. Jones, President, District 4 (Kivalina, Noatak, Red Dog); Eunice Hadley, Vice-President, District 3 (Buckland, Deering); Ches-ter L. Ballot, Secretary/Treasurer, District 6 (Kotzebue); Marie N. Greene, Director, District 5 (Kotzebue); Lucy Nelson, Director, District 7 (Kotzebue); Jane Cleveland, Director, District 1 (Ambler, Shungnak, Kobuk); and Gordon Newlin, Director, District 2 (Noor-vik, Kiana, Selawik).

Larry then introduced Doug Neal, our Chief Executive Officer.

B. ManagementDoug greeted everyone and thanked the members for attending

our annual meeting.Doug took the time to remember our friend and co-worker Arlene

Moo, who will greatly be missed by the entire OTZ family.He then thanked the board of directors who gave great guidance

and directions when it came time to provide our member with new services. He also thanked the staff of OTZ for their dedication and hard work throughout the year.

He introduced Community Outreach Coordinator Ann Sieh, who not only organizes this annual meeting; but also does much more for OTZ.

Finally he gave a brief overview of 2008 and 2009.Doug introduced Ben Phillips, our Outside Plant Manager. Ben

greeted everyone and then introduced our crew. Donnie Smith, our Purchasing Agent and Building Coordinator. In the Central Office, we have Wilbur Karmun, Jr., our Central Office Technician; Margie Ubben, our Central Office Technician; and Dan Schultz our COE In-stallation Technician. Then we have Harry Baldwin, our Foreman and Journeyman Splicer; Ricky Wells, our Journeyman Lineman and Con-struction Foreman; Shaun Conwell, our Install Repairman and PBX Phone System Technician; Adam Greene, our Install Repairman; and Harold Lambert, our Warehouseman and Expeditor.

Ben took the time to recognize our company Engineers: Whit Reeve with Reeve Engineering and Frank Simpson with St. Elias Com-munications.

Ben then recognized our village representatives: Brian Cleveland of Ambler; David Lee of Buckland; Bruce Barr of Deering; John Richards and Ben Sheldon of Kiana; Theodore Booth III of Kivalina; Melford Booth and Vernon Adams Jr. of Noatak; Verne Cleveland of Noorvik; Bruce Coffin and Patrick Foster, Sr. of Selawik; and Isaac Douglas of Shungnak.

Ben summarized the 2008 completed projects, during which we:• Installed and cut over five new switches in Selawik, Kivalina, Noorvik, Buckland, and Deering.• DidacompletepolelineauditforourCPRsandintegratedthem into our mapping system.

Ben then introduced the Internet Department: Mark Iten, our Inter-net Systems Administrator; Jason Nantelle, our Network Systems Ad-ministrator; and Culum Campbell ,our Network Systems Technician.

Ben then introduced Nasruk Carl Weisner our OTZ Telecommunica-tions Operations Manager.

Carl thanked Ben and welcomed everyone to OTZ’s annual meet-ing. He then introduced the OTZ Telecommunications staff which con-sists of Sadie Ferguson-Wilson, our Billing Clerk; and Malinda Reich, our Customer Service Representative.

Carl gave an overview of the telecommunications three main opera-tions, which includes: Internet, Cellular, and Long Distance with the following presentations:

Internet: for subscribers in Kotzebue, OTZ now offers faster internet speeds at more affordable rates.

Two years of Kotzebue internet subscriber counts broken down by month was presented in a bar graph.

Cellular: Carl presented the new cellular deals, which included 50% off sale on all phones and a buy one phone and get a second for free offering, and then spoke about OTZ’s strong signal and outstanding customer service. Also, he commended Lucy Mae Lambert for her beautiful artwork displaying cellular offerings on OTZ windows and mentioned OTZ’s small size as a strength in meeting and exceeding individual customer cellular needs. Finally, he highlighted our new and popular calling rate plans.

Long distance: the One Simple rate plan for OTZ Long Distance subscribers, which is a flat 15 cents per minute anytime, anywhere and then thanked all for support to OTZ.

Carl then introduced Phyllis J. Ferguson, the Front Office Supervisor, Billing Clerk, and Customer Service Representative for Ambler, Kobuk, Shungnak and Noatak.

Phyllis thanked Carl and then greeted the cooperative members. She then introduced the front office staff which consists of: Cindy Fields, Customer Service Representative for Selawik and Billing Assis-tant; Grace Norton, Customer Service Representative for Kotzebue residents; Hadley Hess, Customer Service Representative for Kotzebue businesses; and LeAnn Schaeffer, Customer Service Representative for

cess, Customer Proprietary Network Information, and Lifeline/Linkup Program.

Phyllis then introduced Brenda Schaeffer, our Accounting Supervi-sor. She then introduced the Accounting Staff which is: Lucy Mae Lambert, Accounting Clerk and Donna McConnell, Accounting Clerk.

C. FinanceBrenda greeted our members and told them that she would be

presenting the financial report for OTZ. She then gave an outline of the financials which were for both OTZ Telephone and OTZ Telecommunications with transaction between the two companies eliminated. She informed the members that the financials were audited by an independent public accounting firm which issued a clean opinion of the cooperative’s financial statements. She then went into the financial reports, informing the membership of OTZ‘s assets, liabilities, members’ equity, statement of operations, operating revenues, total customers, total operating revenue, summary of significant cash transactions, and summary that was in this year’s annual report.

She then turned the meeting back to Larry Jones who was chairing it.

Larry then gave the cooperative members the opportunity to state their questions or concerns for the staff members or board members.

Norman Westdahl thanked not only OTZ but also the communities of Kotzebue and Noatak for the help in searching this spring when he was traveling from Noatak to Kotzebue.

IX. Unfinished BusinessThere was no unfinished business.Larry said that at this time we would have a little of bit of

entertainment by MGD: Margie Ubben, Grace Norton, and Donna McConnell. It was a good show.

X. Election ResultsLarry asked Pearl Greist to announce the election results. Pearl

greeted the membership and thanked the ballot counters: Leland Barger, Judy Stein, Heidi McConnell, Iva Smith, Ellen Booth, Polly Schaeffer, Dan Saveltik, Roberta Norton, and Della Reich. Pearl gave the results as follows: District 1 (Ambler, Kobuk, Shungnak), Jane Cleveland – 201 votes; Amanda Johnson – 12 votes; Jacob Johnson – 18 votes; Mary Jayne Ramoth – 30 votes; Eva Kitty Harvey – 42 votes; Rosa M. Larry thanked the membership for electing the two members again and said we really appreciate it and will continue to work hard for you.

Larry then thanked the school district maintenance department and Kotzebue Middle/High School for allowing us to use the facili-ties. He also thanked the radio station for airing our annual meeting live on KOTZ 720 AM. He thanked the staff for assisting with the door prizes and grand prizes and the entire staff for all their hard work preparing for the annual meeting.
