    address all poverty issues like access to credit, Livelihoods, financial freedom , health,disability and vulnerability. As part of this MEPMA having 22 DPMUs in all Districts (forRanga Reddy & Hyderabad Districts, the DPMU , Ranga Reddy is one)

    Hyderabad Gems SEZ Ltd- (Second Party)

    Established in 2006, Hyderabad Gem s SEZ is one of the country's largest Gems andJewellery SEZ housing about 200000 diamond, colour stones, pearls, semi-precious stones,Jewellery and Jewellery-watch manufacturing units. Hyderabad Geins has been an activeparticipant in the skill trainings for unemployed rural youth. In order to encourage thephysically challenged, they have undertaken trainings and placements for physicallychallenged with good hand-eye coordination. They have trained about 2000 youth and haveprovided einployment to all the trained youth. They have received National A ward for 2009as Best Employer.

    Under the ineinoranduin of understanding with NIEPMA, HYDERABAD GEMS SEZ LTDwill train and place the youth from the districts under the MEPMA Project on inutuallyaccepted terms and conditions described later in this agreem ent

    WHERE AS it has been the concern of both the parties to develop the human resource byway of imparting vocational training as per th e existing demand of the construction industryand create avenues for suitable livelihoods and expanding universe of knowledge t o produceworld class workforce.

    AND WH EREAS in pursuance of the aforesaid objectives, it is proposed to source thewilling candidate as per the eligibility criteria from AP and sending the youth to trainingcentre for training & placements.

    In pursuance thereof the Par t ies have decided t o put the agreem ent in wr i t ing thereof .

    NOW THIS AGREEMENT WITNESSTH:

    1. The First party (behalf of the First Party the Project Director, DPMU , ME PM A) shallidentify the prospective unemployed urban youth as per the percentage earmarked for eachcategory viz., Wom en (SHG mem bers)-30%, SC s and ST s must be benefited at least to theextent of the proportion of their strength in the cityltown population below poverty line(BPL), Differently-abled-3% and Minorities-1 5% to undergo the required training programsto be conducted by the Second party. The First party shall ensure youth are mobilized fromthe target segment which has been explained in the following clause, for screening by thesecond party for training.

    2. The Second party shall submit proposals for taking up placement linked skill trainings &Self employment trainings with details of market scan conducted and assess the along withdetailed description of the skill training proposed to be taken along with the following fulldetails:a) Market scans report explaining the No. of opportunities available employer-wiseb) Syllabus-course curriculum and day-w ise sched ule of trainingc) Physical infrastructures available at the center own ed by the Second partyd) Names of the faculty members and their qualifications. Any change of the faculty

    me mb er shall be with prior approval of MD, M EPMAe) Name & Address of the in-charge of the centerf) Nam es of the persons responsible for placement & post placement services available at

    the Tow n levelg) Duration training No. of hours & days theoretical as well a s practicalh) Toolkit given to the trainees (course material / soft copies / required material).i) Detailed content of the course methodology, llourly session plan with detailed notes.j) The Mo U of the second party with prospective en~ ploy ees .

    3. The S econd party shall undertake trainings by their own training centres and they shall notconduct trainings either through franchise or any third party.

    4. The Second party shall screen the candidates mobilized by the DPM U to ensure that theyare from the target group of IKP-Urban i.e. unemployed urban youth with economic statusas BPL (Preferable Poorest of the Poor), Vulnerable SCIST lMinorities.

    5. The Second party shall issue the call letters in the DPM U (IKP-U rban) prescribed form at tothe short listed candidates and shall follow all the processes laid down by ME PMA as pertheir operational guidelines o r standard operating procedure.

    6. The Second party would provide admission to the selected candidates after screening(interest inventory test and parents counseling).

    7. The Second party in coordination with First party will design and prepare the coursecurricula, training module, and course duration etc, which is as per Modular Employableskills (MES ) or as decided by the First party in case of Higher-end trainings and conduc t thecourses as per their curriculum and skills standards which are monitored on regular basis bythe First Party.

    8. The Second party shall organize the qualified trainers for imparting skills (includingdedicated spoken English Trainer), teaching aids, required tools, consumable material,practical material, et c to the trainees.

    9. The Second party shall provide extensive training in technical skills (both theory andpractical), Com munication skills, work readiness and all related contemporary skills to thetrainees. The timings of trainings on any training day will be 9.00 AM to 05.00 PM. Thetraining pattern consisting of 2 hours theory, 3 hours practical, 1 hour soft skills and 1 hourfor English and com munication skills10. Th e First and S econ d parties sha ll work together to ens ure that the trainees depute d totraining centre shall complete the training successfully.

    11. The Second party shall ensure parents meeting twice (beginning of the course and beforethe placements) in coordina tion with First party.

    12 . The Second party shall monitor and review the program componeilts to assess quality ofdelivery and learning achievement once in every 7 days in the form of assignments, tests,group discussion, demonstration work, industry faculty assessment etc.

    13. The Second party must place all the trained youth with good salaries, not less than thecurrent minimum wage at work place as prescribed by the AP Government for therespective trades/ sectors and ensure that sector of placement in sync with the area oftraining.

    14. The Se cond Party shall maintain the database of each candidate being trained in specifiedtrade /skill, placed beneficiary with the Name of Employer, Contact number, salary anddesignation of the trained youth with contact No.and the sam e should be shared withMEPM A to be updated in ME PMA website www.apmepma.~ov.in (Employer &Em ployee contact No. must be updated in the website)

    15. Th e Second Party shall carry out continuous follow up Em ployer Agen cy and will stay intouch with the aspirants for at least 3 months after they start working. Post placementreport should be submitted after 3 months of placement to the first party and the postplacement details should be entered in the website of MEPM A every month after placementfor continuous 3 months retention period. Further, the second party shall conduct refreshertraining 2 days once in a three months for a period of one year to the placed candidates. Therefresher training preferably during the holidays.

    16. The Second party shall, periodically upgrade, modify content of training modules offered asand when required and shall keep on informing the first party for the purpose of keepingtheir curriculum information update.

    17. Th e Second party ensu res that every training centre should h ave N ame Board I Stickers IPosters, ID Cards and Course Com pletion Certificates as prescribed by the M EPMA .

    18. The second party shall provide N CV T certificate1 Industrial certificate to all the candidateswho h ave completed the training successfully, and the cost towards N CVT certification willbe borne by MEPM A, if RDA T does not pay.

    19.Th e Second party should upload the following reports in MEPM A software.a. Inception R eport - UJithin 15 days after commencement of training day

    The inception Report shall contain course duration, subject skills details, life skillsdetails, material etc. to be given to candidates. Further, it also include the trainingschedule proposed period wise, trade wise, faculty wise and communicated to alltrainees and professionalism etc. details of com munity, locality, educational status oftrainee faculty profile etc. Th e inception report should also contain Employer detailsfor placement after training, written willingness of the candidate to undergo trainingand to take up the placement proposed to be given by the training agency.

    b. Placement Rep ort - Within 15 Days after completion of training day. The placementreport should contain the following details for the trained candidates who have beenplaced.(i) Name of the organization/remuneration/date of placementlworking hours/contact

    No. of organization/Contact No. of the placed cand idate.(ii) Written confirmation reports obtained from the candidates in support of their

    placements.(Follow the instructions/guidelines issued for the year 201 1-12 under STEP-UP)

    20. The second party shall update the details of the youth in MEPMA software in the giventime fiame. The First party shall consider the same data which is entered with in timeframe and releases the payments in the time line as per the data available with MEPMAwebsite www.apmepma.~ov.n and Project Director's report.

    21. Targets allotted by the First party w ill be reviewed o nce in a 3 months, incase Second partyfailed to achieve the allotted target, further opportunity will not be provided and penaltieslevied as per the penalty schedule.

    22. The representation of the Second party will attend review meeting at MEPMA as and whencalled without fail.

    23 . The bio-metric system of attendance will be followed for trainees and faculty members andthis will be monitored online using the software developed by C GG by the both the parties.

    24.The Second party will provide placements minimum of 75% o ft he trained candidates25. Eligibility criteria: - Qualification as prescribed for the course and age between 18-30 years.Nationality: Indian, Gen der: Male /Female, Marital S tatus: Un-married1Married26. Payment schedule: (EGMM Training Partners / State level approved agencies (CAP

    Foundation)Th e payment w ill be released in 3 installments based on online performance Indicators andfollowing procedure w ill be adopted for the release of payments.

    27. Unless otherwise terminated either parties in writing as per terms of this Agreement, thisMOU will remain in force for a period of one year and renewed thereafter on mutualconsent.

    28. Notwithstanding the provision of above clause, the first party shall be entitled to terminatethis Agreement immediately and without further notice in the event of the other partycommitting a material breach of the terms and condition of this Agreement, and failing toremedy such breach within 3 0 (thirty) days after receipt of written notice calling upon suchparty to remedy the breach com plaint of.

    29. However, either party may term inate it by providing the other party with 90 days advancednotice. Su ch termination shall take effect at the end of the three-month period or the end ofthe program(s) in progress at that tim e, which shall occu r later.

    i 30. The parties hereby represent and w arrant to each other that;(a) It is duly established and existing under the law s of jurisdiction stated against its name of

    this Agreement and as the legal power and authority by virtue of statute/resolution, tosign this Agreement, perform and comply with its duties and obligations under thisagreement.

    (b) This agreement constitutes legal, valid and binding obligation and is enforceablei. against it in accordance with the terms hereof ; order decree of regulation of any

    court, Governmental instrumentality of functions; or.11. any othe r documents or to the best of its knowledge any inden ture, contract oragreem ent to which it is a party or by which it may be bound

    (c) There are no actions, suits, writs or proceedings pending or, to the best of knowledgeagainst it before any court, governmental instrumentality or arbitral tribunal or quasi-judicial authority that restrains it from performing its duties and obligations under thisagreement; and

    (d) No representation or warranty made herein contains any untrue statement based on thefacts and circumstances.

    3 1. Any law restraining the validity and enforceability of any provision of this agreement shallnot affect the validity or enforceability of the remaining provisions of this Agreement, shallbe deemed as not containing the invalid provisions. The remaining provisions of thisagreement shall remain in full force and effect, unless the invalid or unenforceableprovision comprises an integral part of or otherwise inseparable from the remainingAgreement. In such a case, the parties of this Agreement shall attempt to agree on aprovision that is valid and enforceable a nd sim ilar to the original provision.

    32 . The parties to this agreement shall not be liable to each other for failure or delay in theperformance of any of its obligations under this Agreement for the time and to the extentsuch failure or delay is caused by riots, civil commotion, wars, hostilities between nations,government loss, orders regulations, embargoes, action by the government(s) or any agencythereof act of G od, storms, fires, accidents, strikes, sabotages, explosions, or other similar ordifferent categories beyond the reasonable control of the respective parties to thisAgreement

    33. In the event that either party is wholly or in part, prevented fro m or hindered in carrying outor observing any of the terms or conditions of this Agreement for any cause set forthhereinabove, such party shall give written notice to the other party by the most expeditiousmeans as soon as possible after the occurrence of the cause relied on, given full particularsof the reason for such prevention or hindrances, and the party shall in good faith consulteach other and take necessary measures for the resolution of the affairs so prevented orhindered.

    34. If any doubt arises as to the interpretation of the provisions of this Agreement or as tomatters not provided therein, the parties to this Agreement shall consult with each other foreach instance and resolve such doubts in good faith

    35. No Amendment for change hereof or addition hereto shall be effective or binding on eitherof the parties hereto unless set in writing and executed by the respective duly authorizedrepresentatives of ea ch o f the parties hereto.

    36. Any dispute between the parties shall always be tried to be resolved by mutual consultationwithout any resort to any form of legal remedy including resort to court of law. In case offailure to resolve the issue, MD , MEP MA decision is final.

    37. If at any point it is found that the agency (Second party) has given false figures ofplacements, trainings or se t up bogus institutes he w ill be penalized1 have to pay double thecost of training charges claimed & face criminal action under CrPC & IPC.

    38. Third Party Evaluation will be done by the First Party on trainings and placements once in 2months. In case, Second party failed to fulfill the norms and could not get the satisfactoryranking in third party evaluation his contract will be terminated without any notice and nomoney shall be paid to the second party for the service s rendered so far.

    39 . For effective implementation and monitoring of the Scheme as envisaged in the MOU,MISSION DIRECTOR, ME PMA , HYDE RABAD will be the "FIRST PARTY" and VicePresident - Hr & Admn, Hyderabad Gems SEZ Ltd, Hyderabad will be the NODALOFFICER on behalf of the "SECOND P ARTY".

    40. The Annexure to this MoU shall be a part this document and be equally enforceable as anyother provision of this Mo U.
