1. The Corporate Box1.1 Thecorporateboxisaprivatesuitewith8seatsandmustnotbe

occupiedbymorethaneightpersonsatanyonetime.

1.2 Theclienthasexclusiveaccesstoanduseoftheboxforthe durationoftheMoorillaHobartInternationalEvent(orasotherwise agreedwithTennisAustralia).

1.3 Theclientanditsguestsshallonlybeentitledtousethecorporate boxiftheyarethebearersofappropriateticketsforadmissionto thebox.

1.4 TennisAustralia,TennisTasmaniaandtheVenueowner,andtheir officers,agents,employeesandcontractors(includingtheCaterer shallbeentitledtoaccesstheboxasreasonablynecessary.

2. Dress Code2.1 TennisAustraliaencouragessmartcasualattireforallguests.Eg.

Collaredshirtandtailoredpantsorshortsformales.Norubber thongs.

3. Furnishings, Décor and Maintenance3.1 Theboxisfurnishedandequippedwithfixturesandfurnishings.

3.2 TennisAustralia(TA)shallprovidenecessaryrepairs,maintenance andcleaningtothebox.TheclientshallnotifyTAofanyrequestfor repairs,maintenanceorcleaning.

3.3 Noadditions,changes,alterationsorotherimprovementsmaybe madetotheboxwithoutthepriorwrittenconsentofTA.

4. Reservations4.1 Reservationswillonlybeacceptedonreceiptofacompleted

reservationformtogetherwithfullpayment.

4.2 ATennisAustraliaconfirmationletter/receiptwillbeissuedtoall clientsinrespectofallsuccessfulreservations.

4.3 Notwithstandinganythinginthisclause4,TennisAustraliacannot guaranteethatallrequestedreservationswillbesuccessful,and reservestherighttorejectanyapplicationforticketsinitsabsolute discretion(andwillreturntheclient’spayment).

5. Payments5.1 InconsiderationofbeinggrantedtheuseoftheCorporateBox,the

clientwillpayTennisAustraliatheapplicablefeessetoutonthe reservationformatthetimeofsubmittingthatreservationform.

5.2Allpaymentsreceivedafter1December2011mustbe: a)Bankchequeb)EFT;orc)CreditCard. Personalorcompanychequeswillnotbeacceptedafterthatdate.

5.3ThereservationformbecomesanofficialtaxinvoiceforGST purposeswhenpaymentisconfirmedbyTennisAustralia.

5.4AllpricesareinclusiveofGST.TennisAustraliareservestherightto adjustpricesduetoanyincreaseordecreaseinGST.

5.5WhereanypaymentamountforCorporatepackagesexceedsthe cardholder’sdailylimit,itistheresponsibilityofthecardholder tocontacttheirfinancialinstitutiontogainpre-approvalforthe transactionpriortopaymentbeingmade.

5.6TennisAustraliaadvises,andtheclientacknowledges,thataCreditCard fee, will apply in respect of all Credit Card purchases, where anyportionofthetotalfeeispaidbycreditcard.

5.7TennisAustraliaadvises,andtheclientacknowledges,thatanAdmin fee, will apply in respect of all Credit Card purchases, where anyportionofthetotalfeeispaidbycreditcard.

5.8 TheAdminFeeforpurchaseswillbe3%forallcardtypes–inclusiveofGST.

6. Ticket Possession and Use6.1 Allticketsprovidedtotheclientare:

a) subjecttotheEventticketingpolicies;and b) forthesoleandexclusiveuseoftheclientanditsguests.

6.2 SaleofeachcorporatepackageandticketcreatesacontractbetweenTennisAustraliaandthepurchaserwhichgivesthepurchaseratransferablebutconditionallicenseforadmissiontotheDomainTennisCentreforacertainsessionoftheHobartInternational.Thelicensewillautomaticallyterminateifthepurchaseroranysubsequenttransferee,withoutthepriorwrittenconsentofTennisAustralia,resellsthepartorallofthecorporatepackageorticket(s)includingbutnotlimitedtosalesatapremiumorthroughabrokeroragent;advertisesoroffersthepackageorticket(s)forresaleontheinternetorinanyothermedium;orpackages,advertisesorusesthepackageorticket(s)foradvertising,promotionorothercommercialpurposes(includingcompetitionsortradepromotions)ortoenhancethedemandforothergoodsorservices.Ifacorporatepackageorticketissoldorusedinbreachoftheseconditionsandthelicensehasterminated,TennisAustraliahastherighttodenyadmissiontothebeareroftheticket,tocanceltherelevantpackage,ortotakeotheraction,withoutanyguaranteeofarefund.

7. Tickets7.1 Ticketswillbeissueduponreceiptoffullpayment.

7.2 TicketswillbeforwardedtotheclientinmidtolateNovember.

7.3 Lostorstolentickets,canbereissuedon: a) Paymentofafeeof$25foreachlostorstolenticket, b) Receiptofawrittenrequestspecifyingthenumberoflost ticketsandsessiondetails,aswellasrowandseatnumbers (whereapplicable).

8. Signage8.1 SilverandGoldPackageholderswillberequiredtoprovidetheir

companylogototheeventappointedcontractorforappropriatesignage.Pleasenote:signage,textandfontisatthediscretionofTAandsignagecanonlybeprovidedifthereisnoconflictwithexistingeventsponsors.

8.2 NoadvertisingorpromotionbyacorporateclientortheirguestswillbepermittedwithintheDomainTennisCentresiteorsurroundingprecinctwithoutthepriorwrittenconsentofTennisAustralia.

9. Food and Beverage9.1 Theclientagreesthatitshallnotpermititsgueststobringfoodor

beveragesintothebox.

9.2 TAshallmakeavailabletotheclientcateringviatheofficialcorporatecatererattheEvent(“Caterer”).Thecostofsuchcateringistobe bornebytheclient.

9.3 FoodandbeveragesprovidedbytheCaterertoacorporateboxmustnotbeconsumedortakenoutsidecorporatebox.

10. Indemnity and Liability10.1CorporateHospitalityclientsareresponsiblefortheactsand

omissionsoftheiremployees,inviteesandguestswhilstattheDomainTennisCentre;andthecorporatehospitalityclientagreestoreleaseandindemnify,defendandholdharmlessTennisAustraliaandTennisTasmania,andtheirrespectiveemployees,servantsandagents,inrespectofanyloss,liabilityorexpensewhatsoever(includingdamagecausedtothecorporateboxandthecostofrepairorreplacementofanyfixtures,furnishingsandequipment)andhowsoeverarising(includinglegalfeesonanindemnitybasisor,ifdeemedinappropriate,onasolicitor/clientbasis)resultingfromorin connection with the acts of omissions of that corporate hospitality clients’employees,inviteesandguests,ortheclient’sbreachofthesetermsandconditions.

10.2Tothemaximumextentpermittedbylaw,thecorporatehospitalityclientagreesthatTennisAustralia,TennisTasmaniaandtheirrespectiveofficers,directors,employees,representativesandagents are released and discharged of and from any and all claims, demands,suits,damages,lossandinjurythatthecorporatehospitalityclientmaysufferorsustain,bynegligenceorotherwise.TotheextentthatTennisAustralia,TennisTasmaniaandtheirrespectiveofficers,directors,employees,representativesandagentscannotexcludeliabilitythen,tothemaximumextentpermittedbylaw,theiraggregateliabilityislimited(atitselection)torepayingamountspaidbythecorporatehospitalityclientorsupplyingorresupplyinganyticketswhichhavebeenreservedforthecorporatehospitalityclientinaccordancewiththeseTermsandConditionsofSaleandEntry.

11. Refunds and Transfers11.1Allpackagesarenon-refundable.11.2Onceconfirmed,seats,corporateboxesandordiningcannotbe

relocated.SubjecttotheseCorporateTermsandConditionsofSaleandEntry,corporatesessionpackagesandticketsarenottransferabletoothersessions.

11.3TheMoorillaHobartInternationalmatchscheduleissubjecttochangeandmaybealteredatthesolediscretionoftheTournamentDirector,MoorillaHobartInternationalatanytime.Theclientwillnotbeentitledtoanyrefundifscheduledmatchormatchesdonotoccuronthescheduleddayortime.

12. Force Majeure12.1 Neitherpartywillbeliableforanydelayinperformingorfailure to

performitsobligationsunderthesetermsandconditionsifthedelayorfailureresultsfromanyeventbeyondthecontroloftheparties,includingbutnotlimitedtoanyactofGod,fire,explosion,flood,war,actsofterrorism,travelrestrictions,theft,maliciousdamage,strikes,lock-outs,orindustrialactionofanykind,governmentregulationorrequirementandarestraintbyagovernmentorgovernmentalagency(‘ForceMajeureEvent’).

12.2IfapartyispreventedfromorhinderedinperformingitsobligationsunderthisAgreementbyaForceMajeureEvent,performanceofthoseobligationsissuspendedtotheextentthatperformanceispreventedorhinderedbytheForceMajeureEventandsuchnonperformancewillnotbedeemedtobeabreachofthesetermsandconditions.

13. General13.1AnyissuesregardingdisputeorinterpretationoftheseCorporate

TermsandConditionsofSaleandEntrymustberesolvedinaccordancewiththelawsofStateofVictoria,Australiaandthepartiessubmittothejurisdictionofthecourtsofthatstate.

13.2InadditiontotheseCorporateTermsandConditionsofSaleandEntry,ticketbearersareboundbyanypublishedconditionscontainedonticketsaswellastheMoorillaHobartInternationalConditionsofSaleandEntryaspublishedat www.hobartinternational.com.auorprovidedonrequest,asamendedfromtimetotime.

13.3TennisAustraliareservestherighttovarytheseTermsandConditionsatanytimebyproviding30dayswrittennotice.

13.4TennisAustraliareservestherighttorefusetosellCorporateboxestoanycompanyorindividual.

13.5TennisAustralia,actingingoodfaith,reservestherightinitabsolutediscretiontodeterminethefinallocationofseats.

13.6SeatallocationsforMoorillaHobartInternational2011arenoguaranteeofsameseatingatfuturetournaments.

13.7 Allclientsshouldnote(includingcorporateclients)thatthisisanoutdoorevent.Thereforeitishighlyrecommendedthatyoubringappropriateprotectionfromthesunandweathergenerally(i.e.hats,sunscreen, raincoats or warm clothing depending on the weather conditions)regardlessofthelocation(whetherindoor,outdoor,undercoveroruncovered)ofyourallocatedseat.
