MEMORANDUM OF UNDERSTANDING Between The John Marshall Law School of Chicago, lliinois And The Faculty of Law of Masaryk University This Memorandum of Understanding (MOD) between The John Marshall Law School of Chicago, Illinois (JMLS) and The Faculty of Law ofMasaryk University (Masaryk) is entered this 17th day of May 2018. JMLS and Masaryk (collectively, the Parties) wish to continue a cooperative program of legal education as memorialized in this MOU and as further described in The John Marshall Law School Czech Law Program description ("The Program Description", attached as Exhibit N. Therefore, for the mutual covenants and benefits set forth below, the Parties agree as follows: 1. Shared Goals and Responsibilities A In addition to the Program Description, JMLS and Masaryk desire to continue the Czech Legal Study Tour (the Tour) for attorneys and judges from the United States. B. Masaryk will continue to plan and organize the Tour for the participants' study in Brno. C. Participants from JMLS will make their own travel and living arrangements for the Tour. JMLS will notify Masaryk in a timely manner if it is unable to recruit sufficient registrants for the Program to make it self-sustaining, as determined by JMLS. D. JMLS and Masaryk will strive to schedule conferences for law teachers, students, lawyers, and other interested persons throughout the term of this MOU on different aspects of Czech, American, and European Union Law. When deemed appropriate as mutually agreed upon by the Parties, proceedings from these conferences will be submitted for publication to mutually agreed upon media outlets and scholarly publications. The Parties will share equally the mutually agreeable costs of such conferences and publications. E. To the extent possible, both Parties will promote the exchange of faculty with each other's institutions. F. JMLS and Masaryk will inform each other of conferences at their respective school and will cooperate in trying to raise funds to enable faculty members from the non-hosting institution to attend these conferences within the parameters of U.S., Czech, EU, and international law. G. JMLS and Masaryk will cooperate in promoting student exchanges. To the extent that funds are available, Masaryk students will be invited to attend courses at JMLS. These students will receive credit and be allowed to take

This Memorandum of Understanding (MOD) between The John Marshall Law School of Chicago, Illinois (JMLS) and The Faculty of Law ofMasaryk University (Masaryk) is entered this 17th day of May 2018. JMLS and Masaryk (collectively, the Parties) wish to continue a cooperative program of legal education as memorialized in this MOU and as further described in The John Marshall Law School Czech Law Program description ("The Program Description", attached as Exhibit N.
Therefore, for the mutual covenants and benefits set forth below, the Parties agree as follows:
1. Shared Goals and Responsibilities
A In addition to the Program Description, JMLS and Masaryk desire to continue the Czech Legal Study Tour (the Tour) for attorneys and judges from the United States.
B. Masaryk will continue to plan and organize the Tour for the participants' study in Brno.

G. JMLS and Masaryk will cooperate in promoting student exchanges. To the extent that funds are available, Masaryk students will be invited to attend courses at JMLS. These students will receive credit and be allowed to take
their examinations at Masaryk to the extent allowed by Czech laws and Masaryk regulations. JMLS will encourage its students to travel to Masaryk for specialized courses or independent study where appropriate.
H. JMLS and Masaryk will cooperate in trying to organize and raise money for specialized programs such as for legal writing workshops, moot court competitions, and clinical and other skills-focused education to take place at one of their institutions.
I. JMLS and Masaryk will cooperate in promoting publishing opportunities for visiting students and faculty members in scholarly and professional journals.
J. Any moneys received in excess of expenses from any conference or other activities conducted pursuant to this MOU shall be used to support the student exchange program described in The Program Description.
K. Professor Michael P. Seng will act as JMLS liaison to the Program. Dean Marketa Selucka will act as Masaryk liaison to the Program.
2. Term, Termination, and Amendments:
A. This MOU shall be effective as of May 17, 2018.
B. Either party may, upon 30 days prior written notice to the other, terminate this MOU for any reason and without cause.
C. Either party may terminate this MOU for cause in the event the other party defaults in the performance of its obligations and fails to cure the default within a reasonable time period after receiving written notice of such default.
D. This MOU may not be assigned without prior written consent of the Parties.
E. Specific projects or activities not already covered by this MOU may be agreed upon between the Parties in writing as an amendment hereto. Such amendment shall constitute a portion of this MOU as though originally contained herein.
F. This MOU may be amended only upon the written agreement of the Parties.
3. Miscellaneous:
A. In performance of this MOU, the Parties are at all times acting independently to fulfill their mutual obligations under this MOU and neither of them nor their respective employees shall claim to be employees, partners, joint venturers, or agents of the other.
B. The employees of JMLS and Masaryk shall not for any reason be considered employees or agents of each other and each party shall assume full
responsibility for the actions of its personnel while fulfilling the obligations under this MOU.
