Oslo Børs’ distribution service satisfies all needs related to reporting directives and places a high focus on quality and stability to ensure global and simultaneous spread of information.

    Oslo Børs has teamed up with Cision, a leading global partner in media intelligence, to provide a comprehensive distribution service. Companies can choose to distribute from two different user interfaces, NewsPoint or CisionPoint.

    Through Oslo Børs, listed companies can simultaneously distribute announcements to the market, officially appointed mechanism (OAM), and Oslo Børs NewsWeb. NewsPoint publicises and distributes the announcements through the following channels:

    • Oslo Børs Distribution Network Targeted distribution of announcements to about 45,000 dedicated subscribers of information on the Norwegian market via large market data vendors such as Thomson Reuters, Bloomberg and SIX.

    • Oslo Børs Trading System Real-time distribution through the trading system to 58 brokerages and their customers. Of these, 35 are international brokerages.

    CisionPoint

    Cision has offices in Europe, North America and Asia and partners in 125 countries. Key functionalities with CisionPoint include:

    Oslo Market Solutions’ IR Web Modules gives a complete and up-to-date picture of the company’s share value and ownership structure via continuous data feeds from Oslo Børs and VPS.

    Identifies beneficial owners and fund managers holding securities registered in nominee accounts

    Keeping track of foreign investors with nominee accounts in Norwegian registered securities is an increasing challenge for corporate actions and maintaining good investor relations.

    Oslo Børs VPS has teamed up with London-based Richard Davies Investor Relations (RD:IR) to offer Nominee ID, a service for companies that want to identify underlying shareholders not appearing in the company’s VPS shareholder registry.

    The partnership takes advantage of VPS’ expertise within ownership records and product management and Richard Davies Investor Relations’ global network of contacts and competent analysis team.

    The service is available at three levels through the web-based customer portal IR InTouch. In addition, there is a subscription available to IR InTouch’s advanced customer relationship management (CRM) system.

    The main role of the Norwegian Central Securities Depository (VPS) is to function as a shareholder register for Norwegian and foreign companies listed on Oslo Børs and Oslo Axess. VPS also makes it easier for companies to obtain capital and keep tabs on their shareholders.

    Company Services is a web solution that gives efficient and easy access to detailed information about the company’s shareholders. For example, it provides issuers with updated data on the company’s shareholders and daily updates on changes in investor stockholdings and composition, as well as information on the company’s corporate actions.

    The services are offered at three different levels based on a company’s information needs:

    The General Meeting service saves time and resources for a company by giving an overview of attendance and proxies, while enabling shareholders to notify of their attendance, register a proxy and pre-vote via Investor Services or the company’s home page.

    General Meeting will make arrangements and carry out much of the preparatory work ahead of the Annual General Meeting, as well as provide assistance at the AGM itself.

    Share-based incentive schemes are part of a new business trend to encourage employees to take ownership in their company.

    Employee Share Savings Programme is suited for companies that want to regularly grant employees savings contributions in the company’s shares, either annually or periodically throughout the year.

    Its unique integration with other VPS systems permits opening of a VPS account online, employee access to Investor Services, and integration with Company Services. The solution can be integrated into a company’s intranet so that employees can see their savings record at any given point in time.

    Electronic distribution has become increasingly more common in investor relations. It is time and cost saving, as well as environmentally beneficial.

    Shareholders who want to receive electronic reports will get a notice via e-mail as soon as the report is available through Investor Services. Investors who prefer to receive paper versions will still have this option.

    Electronic Reports is available only to Company Services’ Active or Professional Company level subscribers.

    VPS provides an all-inclusive service in which both the transfer of shares and settlement for the transfer are included.

    By co-operating with the VPS registrar on corporate actions, a company can gain information and an overview of issues and secondary offerings, redemption of warrants, share splits, mergers, and dividends, among other corporate actions.

    Corporate Actions also allows investors or employees to subscribe to issues and secondary offerings via the Internet.

    VPS provides a routine that includes everything from the transfer of subscription rights to the investor’s VPS accounts where existing shareholders have pre-emptive rights, registration of subscriptions, debiting investors, and finally delivery of shares/bonds once they have been paid for.

    The routine also includes calculation of commission to set rates for the different customer categories. Other commission rates can also be registered, both in amount and as a percentage.
