PTA may in it s by laws p rescr ibe. Mar y land PT A shal l i ssue to th is local PT A/PT SA an appropr iate char ter ev id en cing the due
organization and good standing of this local PTA/PTSA.
A local PTA/PTSA in good standing is one that:
a . adher es to the pur poses and basic po l ic ies o f the PT A;
b. rem its the nat ional and s ta te dues to the Mar y land P TA office by dates designated ;
c . ha s by laws appr oved every th ree (3 ) years accord ing to the p r ocedur es o f Mar y land PT A;
d. has a minimum of twen ty-f ive (25) members;
e . submits the name and addr ess o f the local p residen t to the Mar y land PT A office by the date designated ;
f. rem its l iab i li ty and bond ing insurance p remiums by the date designated ;
g . has an Em ployer Id en t i f icat ion Number (EIN) from the In ternal Revenu e Serv ice ( IRS) on f ile wi th M ar y land PT A;
h . ma in tains i t s s ta tus as a corporat ion ; and
i. files the app ropr iate tax forms with the IR S.
Section 2. This local PTA/PTSA shall be incorporated.
Sect ion 3 . The ar t ic les of o rgan izat ion o f th is local PTA/P TSA include:
a. the byla ws of such orga nization and

Sect ion 12 . The memb ers o f the nominat ing commit tee for o ff icers o f th is local PT A/PT SA shal l be e lected b y the general
mem ber sh ip o r board o f d i rectors (Art ic le VI Sect ion 3a) .
Sect ion .13. This local PT A/PT SA shal l ha ve bond ing and liab i l i ty insur ance.
Sect ion 14 . Th is local P TA/P TSA shal l keep such perm anen t books o f accoun t and records as shal l be su ff ic ien t to es tab l ish the
i tems o f g ross income, receip ts , and d isbursements o f the o rgan izat ion , includ ing , specifical ly , the num ber o f i t s m em ber s , the
dues co llected f rom i ts mem ber s , and the amount o f dues rem it ted to Ma ry land PT A. Such books o f accoun t an d record s shal l a t
a l l reasonab le t imes be open to inspect ion by an au thor ized represen tat ive o f Mary land PTA or by a du ly au thor ized
repr esen tat ive o f Nat ional PT A wh en requested by the comm it tee on s ta te , counci l , and local r e la t ionsh ips .

Section IS. In the event this local PTA/PTSA votes to dissolve and terminate its affairs, i t shall be done as follows:
a . The board o f d irecto rs (or o ther body that , under i t s by laws, man ages the affairs o f the const i tuen t o rgan izat ion) shal l
adop t a reso lu t ion r ecommend ing that th is local PTA /PTSA be d isso lved and d irect ing that the qu est ion o f such
d isso lu t ion b e submit ted to a vote at a special meet ing o f mem ber s hav ing vo t ing r igh ts . Wr i t ten o r p r in ted no t ice s ta t ing
that the pur pose o f such meet in g is to consider the adv isab i li ty o f d isso lv ing th is local PTA/P TSA shal l b e g iven to each
mem ber en t i t led to vo te a t such m eet ing at least th i r ty (30) days p r io r to the date o f such m eet ing .
b . Writ ten no t ice o f the adop t ion o f such reso lu t ion , accompanied by a copy o f the no t ice o f the special meet ing o fmembers , shal l be g iven to the p residen t o f the Mary land PTA at least twen ty (20) days before the date f ixed fo r such
special m eet in g o f the mem bers . On ly those per sons who were mem ber s in good stan d ing o f th is local PT A/PT SA on
the date o f adop t ion o f the reso lu t ion and who con t inue to be members in good s tand ing on the date o f the special
m eetin g shall be entitled to vote on the question of dissolut ion. App roval of dissolution of this local PT A/P TS A sha ll
requ ire the aff irm at ive vo te o f a t least two th i rds (2 /3 ) of the mem ber s p resen t and en t i t led to vo te a t th e special meet ing ,
a quorum being p resen t .
Sect ion 16 . In the even t o f a l leged v io lat ions by th is local PT A/PT SA of the by laws o f the Nat iona l PTA, the M ar y land PT A, or
said local P TA/P TSA, o r o ther p ract ices or act iv it ies o f th is PT A/PT SA that may tend to. defeat the purposes and basic po l ic ies o f
the Nat ional and M ar y land PT A, the p r ocess for involun tar y d isso lu t ion shal l be as fo l lows:
a . Ther e shal l be a commit tee on s ta te , counci l , and local re la t ionsh ips o f f ive (5) memb ers , no two (2 ) from the same
count y /counci l , appo in ted by the incoming s ta te p residen t with in th i r ty (30) days o f assum ing o ff ice . Th e comm it tee
shal l consist o f a t least th ree (3 ) mem ber s o f the board o f d irecto rs , and the term of comm it tee m emb ers shal l be two (2 )
y e a r s .b. The commit tee on s ta te , counci l , and local re la t ionsh ips , upon receiv ing the wri t ten request o f any member o f th is local
PT A/PT SA, any council member , or member o f the Mar y land Board o f Directo r s , shal l r ev iew the al leged by law s
v io lat ions o r o ther p r act ices or act iv i t ies o f th is local P TA/P TSA, an d shal l p r ov ide a wri t ten repor t to the Mar y land PT A
Execu t ive Comm it tee o f the resu l ts o f the comm it tee ' s f ind ings and i ts r ecomm enda t ions, i f any , for act ion . A copy o f
the repor t shal l be sen t to th is local PT A/PT SA and th e person who submit ted the o r iginal r equest .
c . After g iv ing due considerat ion to the repor t o f the comm it tee , and act ion is deemed n ecessar y , the execu t ive com mit t ee
shal l p rov ide an opportun i ty fo r the said PTA/PTSA to be heard and to respond in wri t ing wi th in twen ty-one (21) days
from the date of the report.
d . I f, upon such considerat ion and hear ing , the execu t ive comm it tee f inds a v io lat ion by th is local PT A/P TS A, i t may , by a
two-th i rds (2 /3 ) vo te o f a l l i t s members then in o ff ice , requ ire th is local PTA/PTSA to take appropr iate act ion wi th in a
per iod o f t ime s t ipu lated by the execu t ive commit tee . When such a requ ir ement has been m ad e by the execu t ive
co m m i t t ee an d i f the recommended act ion is no t taken by th is local PTA/PTSA with in the a l lo t ted t ime, the execu t ive
co m m i t t ee m ay . b y a two-thirds (2/3) vote of its members then in office, grant this local PTA/PTSA an extension of time
in which to ach ieve sat isfacto ry com pliance wi th the act ion requ ired by the execu t ive com mit tee .e . Fai l ing compliance by th is local PTA/PT SA, the execu t ive comm it tee may , sub ject to concurr ence in such act ion by the
board o f d i recto r s , wi thdraw the char ter o f th is local PT A/PTSA and term inate i t s sta tus as a P T A / P T S A .
Sect ion 17 . Th is local PTA/PT SA is ob ligated , upon withdr awal o f it s char ter by Ma ry land PTA:
a. To y ield up and su rrender a l l o f i t s books and records and al l o f it s assets and p roper ty to Ma ry land P TA or to
such agency as may be designated by Mary land PTA or to ano ther local PTA/PTSA organ ized under the
au thor i ty o f Mary land PTA;
b. To cease and desist f rom the fur ther use o f any nam e that impl ies o r conno tes associat ion wi th Na t ional P TA or
Mar y land PT A or s ta tus as a const i tuen t o rgan izat ion o f Nat ional PT A; and
c. To carr y ou t p romptly , under the superv is ion and d irect ion o f Ma ry land P TA, al l p r oceed ings necessa r y or
desirable for the purpose of dissolving this local PTA/PTSA.
Sect ion 18 . Th is local PTA/PT SA shal l include in i t s by laws p rov is ions corr espond ing to the p r ov is ions o f s ta te by laws
identified by the number symbol (#).

Sect ion 5 . Each memb er o f th is local PT A/PT SA shal l pay annual dues o f an amount to be deter mined ann ual ly by the boar d o f
