PREFACE

Except for the alignments of the articles, paragraphs, page numbers and the index etc. These are theapproved By-Laws of the membership as of March 12, 2006. All references to the InternationalConstitution refer to the June 2002 version.

NAME OF LOCAL UNION

ARTICLE 2

MEMBERSHIP

SECTION 1. The name of the Local Union shall be Local 900, International Union, United Automobile,Aerospace and Agricultural Implement Workers of America.

SECTION 2. To unite in one organization regardless of religion, race, creed, color, sex, politicalaffiliation, or nationality, age, handicap, marital status or sexual orientation all employees under thejurisdiction of the International Union.

SECTION 3. See Article 37, Section 2 of the International Constitution.

SECTION 1. The Local Union shall be composed of Workers eligible for membership in the InternationalUnion, United Automobile, Aerospace, and Agricultural Implement Workers of America, UA W, and overthat the Local Union is granted jurisdiction by the International Union.

SECTION 2. Shall be in compliance with Article 6, section 2, of the International Constitution as it nowexists, or may hereafter be amended.

SECTION 3. Any member of the International Union who has been suspended or expelled by anotherLocal Union of the UAW, will not be eligible for membership in this Union until all claims or chargesagainst such person(s) have been satisfactorily settled with the Local Union suspending or expelling suchmember, and written notice to this effect is furnished to this Local Union.

SECTION 4. There is hereby incorporated Article 6, Section 10 of the International Constitution as it nowexist or may hereafter amended.

SECTION 5. There is hereby incorporated Article 6, Section 8 of the International Constitution as it nowexists or hereafter amended.

SECTION 6. There is hereby incorporated Article 6, Section 14 of the International Constitution as it nowexists or hereafter amended.

SECTION 7. Labor Day Parade: If this Local, at a regular membership meeting votes to participate in aLabor Day parade in conjunction with other Locals, it becomes the duty of all members to take part in theparade.

SECTION 8. A membership card shall be provided to each member.

SECTION 9. The membership card or other proper identification (pay-stub, driver license, Ford J.D. etc.)shall be presented to the Guide or Sergeant-at-Arms before members will be allowed to sign the attendancebook at all membership meetings.

SECTION 10. It shall be the duty of each member to conscientiously seek, to understand and exemplify bypractice, the intent and purpose of his or her obligation, as a member of this Local Union 900, and theInternational Union. (See Art.31, Sec. 1 of the UA W Constitution).

SECTION 11. It shall be the duty of each member to render aid and assistance to brother or sister membersin case of illness, death, or distress and in every way to acquit himself as a loyal and devoted member ofthis Local and the International Union.

SECTION 12. Any member attending a meeting in an intoxicated condition, under the influence of acontrolled substance, who creates a disturbance, shall lose voice and their right to vote at said meeting, andat the discretion of the chairperson shall be evicted from said meeting.

ARTICLE 3

POWER OF ADMINISTRATION

SECTION 1. The highest authority of the Local Union shall be vested in the general membership meetingto be called at least once a month.

SECTION 2. Between the general membership meetings, the highest authority shall be the ExecutiveBoard of the Local, which shall meet at least once each month.

SECTION 3. Between the meetings of the Executive Board, the administrative authority of the Local shallbe vested in the President of the Local Union, subject to the approval of its Executive Board, and with theapproval of the general membership. .

SECTION 4. No member of this Local Union 900 shall be deemed eligible to hold office, includingOfficers, Bargaining committee and District committee, unless he or she has been in continuous goodstanding for a period of one year prior to their nomination, (See Art. 38 Sec. 3 of the InternationalConstitution).

ARTICLE 4

NOMINATIONS AND ELECTION OF OFFICERS AND ELECTION COMMITIEE

SECTION 1. Any member accepting nomination for anyone office cannot offer himself or herself for anyother elective office at the election. The Chairman shall read this provision at the meeting for thenomination of officers. .

SECTION 2. Any member shall be eligible as a nominee and candidate for election in the Local Unionwho has been a member in continuous good standing in the Local Union for a period of (1) yearimmediately prior to the nomination. When a member in good standing is transferred to another plant as aresult of a transfer of operation and pursuant to a collective bargaining agreement which plant is underjurisdiction of another Local Union, his continuous good standing shall not be broken and shall beconsidered in good standing in the new Local Union.

SECTION 3. The membership shall be notified at least seven (7) days in advance of the meeting in whichnominations are to be held. At this meeting all members of Local 900 shall stand nominated, who havebeen in continuous good standing for one (1) year immediately prior to the nomination. Failure of amembership meeting in the month of May, all members shall automatically stand nominated. A deadline ofseventy-two (72) hours for the acceptance of nominations should be turned into the election committee onforms provided by the Local Union.

(a) The Election of the Local Union officers, Executive Board, Unit Chairperson, Unit Committee,Committeepersons, Skilled Trades Chairperson and New Technology Representatives shall take place bysecret ballot during Mayor June and installation shall take place at the regular membership meetingfollowing the election, except as otherwise authorized by the International Executive Board.

(b) After the deadline on accepting nominations has expired, no election of so- called "sticker" or "write-in"candidates shall be considered legal.

(c) Election of all Union Officers shall require a majority of the votes cast for the office.

(d) The membership shall be duly notified at least seven (7) days in advance of the time and place of thenominations. A notice containing both the time and place of the election an any possible run-off electionshall be given at least fifteen (15) days in advance of the election.

(e) At least seven (7) days shall elapse between the time of nominations and the date the election shall takeplace. (See Art.38 Sec.2 of the International Constitution).

SECTION 4. Every member in good standing of Local 900 shall be entitled to vote at all Local Unionelections. (a) Retirees (See Art. 6, Sec. 19, of the International Constitution.

SECTION 5. Any eligible candidate in any election shall have the right to submit his commonly knownname to the Election Committee in writing as he desires it to appear on the ballot and it shall so appear. .Names to be submitted to the Election Committee not later than seventy-two (72) hours from the date ofofficial notice of acceptance is posted by the Election Committee.

SECTION 6. An Election Committee will be formed, with the number of members determined by the LocalUnion Membership at the regular Membership Meeting following the tri-annual election. This Committeeshall function for a period of three (3) years. The Election Committee shall be responsible for the Electionof Officers, Committeepersons, and Delegates to all conventions.

SECTION 7. The Election Committee shall have complete charge of all elections. It shall be responsibleonly to the membership of the Local Union.

SECTION 8. No candidate in any election shall bea member of the Election Committee havingsupervision over such elections.

SECTION 9. The election of the Local Union Officers shall be held in accordance with (Art. 38, Sec.2 ofthe International Constitution). The riominee or nominees where more than one is to be elected, receivingthe majority of the number of votes cast for the office shall be declared elected, provided however, suchhighest number of votes shall constitute a majority (more than 50%) of the votes cast. If necessary thereshall be a run-off election set by the Membership, not less than fifteen (15) days from the date ofthtf'original election.

SECTION 10. Voting machines shall be used in the triennial election of Officers, Executive BoardMembers-at-Large, Plant Chairpersons, Plant Committee, District Committeepersons, Skilled TradesChairperson, New Technology Rep. and also the election of Delegates to the National Ford Council and theInternational Constitution Convention.

. ~(c) Certified Public Accountants may be used in each of the triennial elections of dft),cers, Plant Bargainingand District Committees, Plant Chairperson, Executive Board Members-at-Large and in election ofDelegates to the International Constitutional Convention and other Councils and subject first to beingapproved by the membership in each triennial election prior to the nomination. of Officers and will remainin effect for a period of three (3) years.

(d) The election of all Local Officers, Executive Board M~mbers~-Large, Plant Bargaining Committee,District Committeeperson, Skilled Trades Chairperson, New Techiiology Rep. and Delegates to theNational Ford Council and the International Constitution Convention shall take place by secret ballotduring Mayor June, triennially. If the election is to be held on a one (1)' day basis, the hours shall be set bythe Executive Board .

(e) The dates of the election shall be established by the action of the membership. Failing membershipaction, the date or dates of the election; time and hours shall be set by the Local Union Executive Board.

~(f) Where a member has voted for more candidates than are permitted for the office, or if for any reason themember's vote for that office shall notbe counted, this shall not affect the validity of the remainder of theballot. Where the ballot bears an identified mark, the ballot shall be void.

SECTION 12. Each candidate shall have the right to have one (1) challenger present when the votes arecast and when they are tabulated .

SECTION 13. No oneexcept the Election Committee members and those voting or who are waiting tovote shall be allowed ill the place designated as a voting place. Except as provided in Section 13 of thisArticle.

SEctiON 14. 'Voters who have cast their ballots shall not be allowed to loiter in the voting place.

SECTION 15. Campaigning, distribution of posters and election literature shall not be allowed within onehundred (100) feet of the entrance to the polling place where appropriate by the Election Committee.

SECTION 16. No member of this Local Union shall circulate or cause to be circulated false propagandaagainst any candidate because of race, sex, color, nationality, age, handicap, marital statue or sexualorientation.

SECTION 17. Any candidate shall have the right to petition for a re-count. Petitions must be filed with theElection Committee, in writing within forty-eight (48) hours after the Election Committee has posted theofficial eleetion returns on bulletin boards. The petition must set forth briefly, the reason for seeking a

(a) No member oN.,Q~aI900 holding any of the following offices shall be eligible to run or beappointed to the Distric1'or Bargaining Committee, however, he or she may fill in as an alternate. '1)President; 2) Vice President; 3) Recording Secretary; 4) Financial Secretary-Treasurer; 5) Guide; 6)Sergeant-at-Arms; and 7) The thTee (3) trustees.

(b) If for any reason an elective office should become vacant, whereby the officer or committee,~erson canno longer hold office, it shall be the duty of the President to post such vacancies on the Union Bulletinboards.

(c) No member holding an executive office may accept nomination for another Executive office withoutsubmitting a letter of resignation. Such resignation would become effective at the time of installation. Theletter must be submitted to the President within seventy~two hours after the posting.

(d) When a vacancy occurs, an election to fill such vacancy must be held as soon as possible, but,IlPt laterthen forty-five (45) days, except when a vacancy, occurs ninety (90) days prior to the regular triennialelections. An appointee can fill such vacancy' until an election can be held.

(e) The Plant Chairperson shall set all districts at least thirty days prior the nominations for DistrictCommittee positions.

SECTION 19. Any voter in line at the polls at the time of closing will be permitted to vote.>~.

SECTION 20. Copies of the election regulations shall be placed in prominent positions at each electionplace and members of the Election Committee shall make themselves acquainted with the regulations.

SECTION 21. Any member of the Election Committee or any member of the Local Union violating any ofthe election regulations shall be reported to the next general membership meeting.

SECTION 22. See Article 49 of the International Constitution.

SECTION 23. Protest of elections. See Article 38, Section 10,11,12,13 and 14 of the InternationalConstitution. For Executive Officers see Article 45, Section 5 for Bargaining Committeepersons.

ARTICLE 5

LOCAL UNION OFFICERS

SECTION 1. The Local Union shall have the following executive officers: President, Vice President,Recording Secretary, and Financial Secretary-Treasurer, three (3) Trustees, Sergeant-at-Arms and Guide.See Article 38, Section 1, of the International Constitution.

SECTION 2. All Local Officers, that is the President, Vice President, Recording Secretary, FinancialSecretary-Treasurer, Guide, Sergeant-at-Arms and the three (3) Trustees, alllocai Executive Board-at-Large Members, Bargaining committee members, District committee members, shall be elected every three(3) years and shall remain in office until their successors are duly elected and properly installed in office.Their term of office to begin immediately upon installation at the first membership meeting after theelection has been completed.

SECTION 3. That one (1) Plant Bargaining committee chairperson shall be elected every three (3) yearsby their respective memberships at the same time officers are elected, and he or she shall be the UnitChairperson of the plant and subordinate to the President of the Local Union 900 UA W.

ARTICLE 6

INSTALLATION OF OFFICERS

SECTION 1. The installation ceremony may be performed by the retiring President, acting President orany regular commissioned International Representative. (See Art. 39, of the International Constitution.

ARTICLE 7

DUTIES OF OFFICERS

SECTION 1. It shall be the duty of the President to preside at all meetings of the Local Union, countersignall checks issued by the Financial Secretary-Treasurer against accounts of the Local Union when orderedby the Union. Enforce the provisions of the International Constitution and By-Laws of the Local. Appointcommittees, subject to the approval of the Executive Board not otherwise provided for. He\She shall be amember Ex-Officio of all committees except the Trial and Election Committee. (SeeArtAO, Sec.l of theInternational Constitution).

(a) The President shall be allowed to assign the Vice-President to assist the District committee andBargaining committee as it relates to the grievance procedure.

SECTION 2. Vice-President - (See Art. 40, Sec.3 of the International Constitution.

SECTION 3. Recording Secretary - (See Art. 40, Sec.3 of the International Constitution).

SECTION 4. Financial Secretary - Treasurer - (See Art. 40, SecA thru 11 of the InternationalConstitution).

SECTION 5. Trustees - (See Art. 40, Sec. 12 of the International Constitution). One Chairperson of theTrustees will be selected among themselves taking into consideration that the chairperson to be selectedshould be qualified to hold the position. Criteria (seniority in the position and past experience). If thisselection is not made and approved by the Local Executive Board ninety (90) days after the swearing inceremonies, then the Executive Board will select one (1) Chairperson from the three (3) Trustee's by a voteof the Executive Board.

SECTION 6. Sergeant-at-Arms - (See Art. 40, Sec.13 of the International Constitution.

SECTION 7. Guide - (See Art. 40, Sec.14 of the International Constitution.

ARTICLE 8

STRUCTURE OF THE LOCAL UNION EXECUTIVE BOARD

SECTION 1. The Local Union Executive Board shall consist of all elected Union Executive Officers, One(1) Plant Chairperson from each of the respective units and Executive Board Members elected at large bythe general membership, along with One (1) Retiree elected from the Local Union Retiree Chapter. Thenumber of Board Members-at-Large eligible to run on a ratio of one (1) for each one thousand (1000)members with a minimum of five (5).

SECTION 2. When a vacancy occurs no alternates may be appointed for Executive Board Member-at-

Large. The successor to the office of Executive Board Member-at-Large shall be elected by the generalmembership at a regular membership meeting.

SECTION 3. A simple majority shall constitute a quorum of the Local Union Executive Board.

ARTICLE 9

DUTIES OF THE LOCAL UNION EXECUTIVE BOARD

SECTION 1. The duties of the Local Union Executive Board shall be those prescribed in Art. 38, Sec.7 ofthe International Constitution and these By-Laws.

SECTION 2. Upon due notice of the Local Union and the Executive Board, members shall be issuedcredentials signed by the President and Recording Secretary.

SECTION 3. Executive Board meetings willbe held prior to the regular monthly meeting on the secondSunday of the month. When the hours of work are increased from the regular eight (8) hours and are to beof a continuous nature the Local Executive Board and other committee or member's meetings will bescheduled so as not to conflict with or allow the member to lose premium or overtime work hours.

SECTION 4. The Local Union Executive Board shall carry out the By-Laws formulated and adopted bythe general membership. It shall be its duty to see that the proper procedures and methods for the trial ofLocal Union members are carried out.

SECTION 5. Special meetings may be called by a quorum consisting ofa majority of the members of theLocal Union Executive Board.

SECTION 6. Minutes, decisions, and recommendations of the Executive Board shall be read at the nextregular membership meeting.

SECTION 7. All requests or motions for appropriations or donations of Local Union funds shall bereferred to the general membership for consideration, investigation. Recommendations shall be expended inaccordance with the Constitution and By-Laws.

SECTION 8. The Executive Board shall be empowered to represent the Local Union between meetings ofthe Union when urgent business requires prompt and decisive action. In no case, shall the Board transactany business that may affect the vital interest of the Union until the approval of the membership is secured.

SECTION 9. The Local Executive Board may recommend and allocate funds in the same manner andamount as required by the Board Members-at- Large, in support of a member, or a committee, strikes notincluded, which in its judgment may be necessary for the education and welfare of the membership.

(a) The Local Union Executive Board shall establish limitations and approve the period of time for which itmay require the benefit of these services to apply.

(b) Where the Local Union Executive Board may deem and approve that the services of a continuousnature, the approval for such continuation would be referred thru compliance of Art. 11 of the By-Laws.

ARTICLE 10

DUTIES OF THE PLANT BARGAINING STRUCTURE

SECTION 1. It shall be the duty of the Plant Chairperson to preside at all committee meetings and

membership meetings concerning their respective unit. The plant Chairperson shall enforce the provisionsof the International Constitution and By-Laws of this Local Union.

(a) The plant Chairperson shall make recommendation of appointments to the President of the LocalUnion concerning the respective unit and that membership.

(b) The Plant Chairperson shall handle the grievance procedure in their respective unit according to thecurrent National Agreement.

(c) The Plant Chairperson shall attend all meetings concerning their respective unit either in the plant oroutside the plant or designate someone in his\her behalf.

(d) The Plant Chairperson shall make all committee assignments concerning the respective unit.

(e) An aggrieved member shall receive, upon request, a copy of his/her grievance, ill the first Oraldiscussion stage or when dispositioned by Management.

SECTION 2. Plant Bargaining Committee, the number that is specified in our contract, shall be elected bythe general membership of the respective unit.

(a) To represent all grievances to the management including those raised by the District Committee and bythe general membership.

(b) To review, prepare and present grievances to management.

(c) To coordinate Union activities between shifts and departments.

(d) To direct the Union activities in their respective departments, promote good will and harmony amongmembers and adjust any differences arising between departments, committeeperson and the membership.

SECTION 3. The Plant Bargaining Committee shall be responsible to the President, Plant Chairperson,Executive Board and the Local Union membership.

SECTION 4. At all stages above the first stage of the grievance procedure no grievance shall benegotiated with management for settlement except by at least two or more Bargaining Representativesbeing present.

(a) A District Committeeperson may be authorized to substitute for a bargaining Committeeperson if he orshe is unable to be present. Where it can be shown that this section of the By-Laws is not complied with, itwill be referred to the Local Executive Board and the general membership.

SECTION 5. Plant Committeeperson shall attend all District Committee meetings.

SECTION 6. All agreements between the Plant Bargaining and the company become the property ofLocal 900 and are to be filed for future references.

(a) All negotiations and ratifIcations are in accordance with the International Constitution.

DISTRICT COMMITTEEPERSON

SECTION 7. There shall be elected for each department or group, a District Committeeperson incompliance with the current Ford Agreement.

SECTION 8. District Committeeperson shall be elected by groups.

(a) When a member is elected as a part time committee person and the membership increases so that afull time committee person is required. That part time committee person will become full time. Ifthe membership decreases and only a part time Committee person is needed. The person originallyelected to the part time position will return to the part time position.

SECTION 9. The duties of the District Committeeperson shall be as follows:

(a) To receive complaints and grievances of his or her district and shall make every effort in conformitywith the grievance procedure to satisfactorily adjust and settle all grievances.

(b) To call a special meeting of his or her district and make every effort in conformity with the grievanceprocedure to satisfactorily adjust and settle all first stage grievances.

(c) To refer all grievances that cannot be satisfactorily adjusted through the regular grievance procedure tothe Plant Bargaining Committee.

(d) To confine his or her activities to his or her own group/ district.

(e) To carry proper identification with him or her at all times and show the same upon a proper requestbeing made.

(f) To carry out all duties as prescribed by the International Union, the Local Union By-Laws and to abideby the decisions of the general membership, the Local Executive Board and the members of his or herdistrict and the duly elected Officers of the Local Union.

(g) To return all papers, documents, funds and all other Union property at the conclusion of his or her termof office to the Local Union or to his or her successor in office and obtain a receipt thereof.

(h) To instruct the alternate District Committeeperson in his or her duties in case of absence of theCommitteeperson.

(i) A meeting of all committee persons shall be held at least once a month. A simple attendance record ismade.

G) The District Committeeperson shall exchange opinions relative to grievances and demands in thevarious districts and departments along with establishing policies relative to the grievance procedures andother organizational problems.

(k) All actions of the District Committee shall be subject to review by the Executive Board and the generalmembership of the Local Union.

ARTICLE 11

EXPENSE ALLOWANCES AND WAGES OF FULL TIME REPRESENTATIVES

SECTION 1. The office of President ofUA W Local 900 shall be employed full time on Local Unionbusiness and shall be paid 35 hours of pay per week at his/her regular hourly rate, plus COLA and shiftfactor if applicable, from the Local Union, plus, the additional pay at his/her regular hourly rate, plusCOLA, shift factor and Holiday salary differential factornegotiated in the 1999 UAW-Ford MasterAgreement of Local Union Presidents, effective September 20, 1999. In addition the President will receivethree (3)week's longevity pay for each full year served as the President ofUA W Local 900. The monies

will be set aside in a separate account each year commencing in June 1994 for the President's termbeginning June 1993. The amount to equal three (3) weeks pay at hislher current salary effective in June ofeach year. The President will receive this longevity pay when he/she leaves office. Upon death thePresident's estate will receive these funds.

SECTION 2. The Vice President shall be employed full time on Local Union business, and shall be paidfive thousand ($5,000.00) less than the President of the Local Union.

SECTION 3. ' The Financial Secretary-Treasurer shall be employed full-time on Local Union business, andshall be paid the same as the Vice President.

SECTION4. EXPENSES

(a) The President shall receive two hundred ($200.00) per week, also cellular phone bill to be paid by LocalUnion.

(b) The Vice-President shall receive an expense allowance of one hundred dollars ($100,00) per week.

(c) The Recording Secretary shall receive an expense allowance of one hundred dollars ($100,00) per week.

(d) The Financial Secretary-Treasure shall receive an expense allowance of one hundred dollars ($100.00)per week.

(e) The Trustees shall receive an expense allowance of twenty dollars ($20.00) per week.,

(f) The Guide shall receive an expense allowance of twenty dollars ($20.00) per week.

(g) The Sergeant-at Arms shall receive an expense allowance of twenty dollars ($20.00) per week.

(h) Each Executive Board-at-Large member shall receive an expense allowance of twenty dollars ($20.00)per week.

(I) The Chairperson of their respective unit shall receive an expense allowance of one hundred dollars($100.00) per week, cellular phone bill to be paid up to $25.00 a month by the Local Union with properreceipts.

(J) The members of the Plant Bargaining Committee shall receive an expense allowance of fifty-five($55.00) per week. Additionally, the Local Union will pay up to $25.00 per month Cell Phone Bills withproper receipts.

(K) Each District Committeeperson shall receive an expense allowance offorty-five ($45.00) per week.

(L) The International Union appointed Health and Safety, Benefits, Employee Resource Coordinator,Quality, Employee Support Services Program, Education Training Coordinator, Family Service andLearning Center, Work Standards, and Joint Apprentice Committee Representative shall receive $55.00weekly to be paid in one monthly check.

(m) All expense allowances paid by the Local Union shall be on a weekly basis, but paid in one monthlycheck. '

SECTION 5. Expenses of the Local Union Officers shall be adjusted in the following manner: At anyregular business meeting of the Local Union, a motion may be made and must be seconded, providing forthe adjustment.

SECTION 6. The motion as amended shall lie on the table thirty (30) days and shall be taken up at thenext regular membership meeting. It shall be mandatory that such meeting be called and the motion toadjust the Officer's expense shall be acted upon as the first order of business under unftnished business.

SECTION 7. In these instances where officers and committeepersons are paid expense allowances fornormal performance of their duties, they shall be excluded from this provision. However, in the event theyare assigned to duties on behalf of the Local Union other than their normal duties and mileage expense isincurred, they shall be compensated said mileage at the IRS approved rate. Itemized statements for losttime, gas, mileage, and telephone calls must be turned into the Local before payment will be made.

SECTION 8. Any member of this Local delinquent in payment of any funds owed to this Local, suchpayment will be deducted from any monies the member may be eligible to receive from this Local.

SECTION 9. The Local Union 900 will pay any monies due to all full time Officers of the Local Union forProfit Sharing, vacations, (including vacations in lieu) Christmas bonuses and any other and all incentivesthat are lost as a result of being employed full time at the Local Union effective 1981.

Any vacation in lieu money owed by the Company shall not affect the salaries of the Officers. ProfitSharing will be based on the percentage factor agreed to by the UA Wand Ford Motor Company for all itshourly employees in any Profit Sharing years.

Profit Sharing paid will be the percentage factor times the salary of full time Officers in effect onDecember 31st of the particular Profit Sharing year, minus Profit Sharing paid by the Ford MotorCompany.

Vacation eligibility will be accrued according to the UAW Ford National Agreement, Article IX, Section24, sub section (b). Upon completion of the procedure outlined in the interpretation section of Article 48,Section 6 of the International Constitution.

SECTION 10. In the event, the membership per capita reaches (1500) fifteen hundred, the office of thePresident shall become full time. In the event, the membership per capita drops below (1500) fifteenhundred, the full time status of the President shall be reviewed by the Executive Board and themembership.

SECTION 11. In the event the membership per capita reaches (4500) forty-five hundred the office of VicePresident shall become full time. In the event the membership per capita drops below (4500) forty-fivehundred, the full time status of the Vice President shall be reviewed by the Executive Board and theMembership.

SECTION 12. In the event the membership per capita reaches (1500) fifteen hundred; the office of theFinancial Secretary- Treasurer shall become full time. In the event, the membership per capita drops below(1500) fifteen hundred, the full time status of the Financial Secretary-Treasurer shall be reviewed by theExecutive Board and the membership.

ARTICLE 12

STRIKES

SECTION 1. In case of a dispute, we shall follow the required procedure on Strikes, Article 50 of the2002 International Constitution. In case of a Strike ballot, it will be the duty of all members to vote.

TRIALS OF MEMBERS

SECTION 1. See Article 31, Section 1 thru 24 of the International Constitution.

ARTICLE 14

APPEALS OF MEMBERS

SECTION 1. Article 33 of the International Constitution provides- that a member feeling aggrieved bysome action of the Local Union or one of its representatives must initiate his/her complaint or appeal fromthat action within sixty (60) days of the time the member is aware of the action or reasonably should havebeen aware. After the Local Union Membership has decided on the matter properly before its body, themember then has thirty (30) days to advance appeal to the IEB. (See Article 33 of the IntemationalConstitution).

ARTICLE 15

LOCAL UNION MEETINGS

SECTION 1. Regular membership meetings shall be held at least once each month. This meeting shall beheld on the second Sunday of each month time to be set by the general membership.

SECTION 2. Special membership meetings may be called when deemed necessary by the Local Union. Executive Board. It shall be the duty of the Local Union Executive Board or the President of the LocalUnion to call a special membership meeting upon petition of two-hundred and fifty (250) members in goodstanding. Notification shall be made by mail, bulletin boards or the Local's newspaper and no otherbusiness shall be transacted except that business stated in the notice.

ARTICLE 16

QUORUM

SECTION 1. Eighty (80) members present at a regular or special meeting of the membership, of the LocalUnion, shall constitute a quorum for the transaction of business.

ARTICLE 18

BY-LAWS, CHANGES, AND AMENDMENTS

SECTION 1. These By-Laws shall be amended, altered, or revised only in conformity with the followingprocedure:

(a) A written resolution or motion, written calling for amendment, alteration, or revision shall be presentedand read to a regular membership meeting. It must be seconded by a member other than the maker.

(b) The resolution or motion shall then be referred to the By-Laws Committee and shall be reported on bythe said coIi1mittee at the regular membership meeting together with the recommendation of the committee.

(c) A vote shall then be taken on the recommendation of the By-Laws Committee and it shall require a voteof two-thirds (2/3) of those voting for adoption.

SECTION 2. The By-Laws shall at all times be subordinate and subject to the provisions of theConstitution of the International Union, UAW, as such Constitution now exists or may form time to time bealtered or amended. In the event of any conflicts, the Constitution of the International Union shall govern.

SECTION 3. Two copies of these By-Laws or any additions, alterations or revisions shall be submitted tothe Regional Director's Office for submission to the International Executive Board for approval.

ARTICLE 19

STANDING COMMITTEES

SECTION 1. SECTION 2. There shall be for each standing CoIi1mittee, a Chairperson and a Secretary to be elected bythe members of each Standing Committee representing each unit where possible.

SECTION 3. The establishment of all Standing Committees shall take place within thirty (30) days afterthe installation of Officers. Members of the respective committees shall serve for a period of three (3)years.

SECTION 4. All committee Chairpersons shall submit a written report of all their activities to theExecutive Board and the general membership meeting.

SECTION 5. All Standing Committees shall meet once a month with a minimum of(5) five members toconstitute a quorum after working hours unless otherwise authorized by the membership.

SECTION 6. The purpose of this section is to encourage participation in the standing Committees, anymember of a standing committee who is absent for three (3) consecutive meetings without just cause shallbe automatically removed from the committee, although each committee may use discretionary powers.Any members so affected may appeal to the general membership meeting.

SECTION 7. Duties of the Committee Chairperson:

The Chairperson shall direct the functioning of the Committee in accordance with these By-Laws and theConstitution of the International Union.

SECTION 8. Each Officer and member of the various committees at the completion of their duties shallturn over all papers, documents, funds, and any other Union property in their possession to the LocalUnion.

ARTICLE 20

CONSTITUTION AND BY-LAWS COMMITTEE

SECTION 1. The By-Laws Committee shall consist of at least five (5) or more members. The duties ofthe By-Laws Committee shall be to formulate governing laws for the Local Union.

ARTICLE 21 (insert)

CHAPLAINCY

SECTION 1. The Chaplaincy Committee shall consist of at least five (5) members. The duties of thecommittee shall be to counsel members in distress, attend members funerals whenever possible, and givethe invocation at membership meetings.

ARTICLE 22

UNION LABEL COMMITTEE

SECTION 1. The Union Label Committee shall perform its duties in accordance with Art.54 of theInternational Constitution.

ARTICLE 23

EDUCATION COMMITTEE

SECTION 1. The Education Committee shall consist of not less than five (5) members. The duties of theEducation committee shall be as follows:

(a) To supervise and direct all education work engaged in by the Local Union.

(b) To have charge of all education classes and meetings.

(c) To engage instructors for classes.

(d) To have charge of the purchase and sale of all education literature, books and pamphlets.

ARTICLE 24

CONSERVATION AND RECREATION COMMITTEE

SECTION 1. The Recreation Committee shall consist of at least five (5) members. The duties of thecommittee shall be as follows:

(a) It shall supervise and direct all entertainment engaged in by the Local Union.

(b) It shall appoint additional temporary members as may be required.

(c) It shall have charge of obtaining grounds and such places as may be required for entertainmentpurposes.

(d) It shall be responsible for the safe keeping and preservation of properties owned by the Local Union asused for entertainment purposes.

(e) It shall obtain or purchase such prizes as may be awarded by the Local Union.

(f) It shall carry out all other duties concerning conservation in compliance with the InternationalConstitution.

ARTICLE 25

COMMUNITY SERVICES COMMITTEE

SECTION 1. The Community services Committee shall consist of not less than five (5) members and theFinancial Secretary-Treasurer of the Local Union. Their duties shall be as follows:

(a) It shall visit all members who are in distress or who are ill.

(b) It shall supervise and direct all welfare work of the Local Union.

(c) It shall offer assistance or render aid in the burial of a deceased member or bereaved member of theirfamilies.

(d) To develop and supervise a program on Union, public and private out plant services. This includes:Workmens 'Compensation; Unemployment Compensation; Social Security and any other CommunityServices.

(e) To help train members to become Union Counselors.

(1) Send a prayer book or Bible instead of flowers.

(g) All request for prayer books or Bibles for a deceased member or members of their immediate familymust be received before the funeral. No request will be accepted thirty (30) days from the date of the

funeral.

ARTICLE 26

LEGISLATIVE AND CAP COMMITTEE

SECTION 1. The duties of the committee shall be as follows:

(a) To analyze labor legislation and keep the membership informed thereon.

(b) To ascertain the qualification of political candidates and inform the members of the issues of the local,state and federal elections.

(c) To investigate and approve all political petitions before they are permitted to be circulated by the LocalUnion.

(d) To see that all members vote in all public elections and if necessary to appoint a subcommittee toachieve this end.

(e) To see that proper action is taken by the local, state and federal public officials on the Local Unions'decision, reconunendation, protest or endowments.

(f) To advise the membership of pending legislation or action to organize effective protest, endorsement orother action among the members of the Local Union.

(g) To see that all literature, pamphlets, placards and other political material issued by the InternationalUnion and the Local Union are properly and effectively distributed among the members and others.

(h) To see that labor is properly represented on draft boards, appeal boards and as appeal agents.

ARTICLE 27

WOMEN'S COMMITTEE

SECTION 1. All Women's committee members should acquaint themselves with the policy of the UA Wrelative to women workers, UA W Constitutional Convention resolutions, and International ExecutiveBoard Administrative Policy letters and should further acquaint themselves with their Local Unioncontract.

SECTION 2. The committee may discuss problems of women workers in the plant, and makerecommendations for solutions to the Local Union Executive Board.

SECTION 3. Arrange Women's classes on various subjects such as community services, shop problems,political awareness, effective speaking, parliamentary procedure, Social Security entitlement, psychologyof Union leadership, history of the Labor movement and policy of the UA W relative to women.

SECTION 4. Women's committees raise funds and present gifts to various charity groups or institutionssuch as veteran's hospitals, children's hospitals, nursing homes and community agencies concerned with thedeaf, blind or otherwise handicapped. This involves the women in the work that many fuid satisfying and italso does a good public relations job for the Union.

FAIR PRACTICE AND ANTI-DISCRIMINATION

SECTION 1. It shall be mandatory that each Local Union set up A Fair Practice and Anti-DiscriminationCommittee. The specific duties of this committee shall be to promote fair employment practices andendeavor to eliminate discrimination affecting the welfare of the individual members of the Local Union,the International, the Labor movement and the nation. (See Art. 26 of the International Constitution).

ARTICLE 29

CONSUMERS AFFAIRS COMMITTEE

SECTION 1. Consumer Affairs Committee membership same as other Committees.

(a) The duties shall be as prescribed by the International Constitution.

ARTICLE 30

EDITORIAL COMMITTEE

SECTION 1. The Editorial Committee shall consist of three (3) members (including the editor) who shallbe approved by the Local Executive Board, one to serve as editor and the other two to act as co-editors.

SECTION 2. The duties of the committee shall be as follows:

(a) To have charge of editing the Local Union Newspaper.

(b) To give proper publicity to the affairs and activities of the Local Union.

(c) To promote and publicize the objectives of the Local Union.

(d) By vote of the membership, July 11,1943, cost of publishing and distributing the Local Newspapershall be born by the general fund of the Local Union.

SECTION 3. The Editorial Committee shall devote sufficient space in the Local Newspaper and/or bulletinto pending legislation affecting labor unions and shall apprise the members of the nature and effect of suchlegislation. It shall also devote space for publicizing fair and firm products.

(See Art. 29, of the International Constitution)

ARTICLE 31

VETERAN'S COMMITTEE

SECTION 1. The Veterans Committee shall consist of not less than five (5) members. The duties of thiscommittee shall be as follows:Provide needed information to Veterans and their families.Monitor and report on all legislation issues dealing with Veterans.The Committee may discuss problems of Veterans in and out of the work place.The Veterans Committee may raise funds and present gifts to various charity groups or institutions(Veterans and Children's Hospital, etc.)

ARTICLE 32

ELECTION COMMITTEE

SECTION 1. The Chairperson of the Election Committee shall be elected by the members of the Election

Committee.

(a) The Election Committee shall be out on lost time only on the days of election business with theexception of the Chairperson, who may be out at other times provided it has first been approvedby the action of the Local Union.

(b) If the Chairperson of the Election Committee finds that additional help would be required from othermembers of the Committee on days other than Election Day or days. The Chairperson must first have itapproved by the proper Local Union authority.

SECTION 2. The duties of the committee shall be as follows:

(a) To ascertain the eligibility of the candidates, to provide for the printing of the ballot, see that theelection is properly advertised through bulletin boards, by cards and maintain the proper polling place orplaces.

(b) Certified Public Accountants may be used if the membership so desires with the Election Committee toassist in the supervision of the voting, counting the votes, provides an adequate count to prevent fraud andreport the results of the election at the next membership meeting of the Local Union.

(c) To publish the names of all candidates at least seven (7) days preceding the election, publication to bemade on Local Union bulletin boards in the plant or plants and in any other manner which would giveproper publicity to the candidates for office.

(d) To obtain from the Financial Secretary- Treasurer of the local before the election a poll book containingthe list of eligible voters. It shall be the duty of the Financial Secretary- Treasure of the Local Union to turnover the poll book to the Election Committee upon its request.

(e) To take the necessary precautions and institute the required regulations to see that no member votesmore than once and to make sure other regulations as well to insure a fair and iinpartial election.

(f) To use a container sealed at both ends as its receptacle for ballots except where machines are beingused.

(g) The Election Committee shall be paid lost time for all election business at which they serve and will bepaid eighteen ($18.00) dollars in town expenses when election hours exceed lost time hours.

SECTION 3. At the conclusion of the voting the openings shall be sealed and countersigned by themembers of the Election Committee. If the election is to be for more than One day, the committee shall atthe end of each day of voting, seal the opening and such seals shall be countersigned by the members of theElection Committee, except where machines are being used. No candidate shall be permitted to act aschallenger.

SECTION 4. All ballots cast at any election shall remain in the custody of the Election Committee.

SECTION 5. All ballots shall be preserved for one (1) year after the close of the election and a notarizedstatement by the Election Committee shall be made with regard to the election results and the disposition ofthe ballots. The ballots may be destroyed at the end of that period unless there is an appeal pending, thenthe ballots must be preserved indefinitely until the appeal is fmally resolved. (See Art. 38, Sec.12 of the1989 International Constitution).

SECTION 6. The Election Committee shall be responsible to the Local Membership and shall not beinterfered with by any Officer of the Executive Board or other division ofthe local.

SECTION 7. Upon receipt of a petition for a recount from any candidate the Election Committee shallmake known its decision on such request within seven (7) days after the decision has been made. Theresults of such recounts shall be made known within forty-eight (48) hours after the conclusion of therecount.

SECTION 8. Members of the Election Committee shall require all members voting to produceidentification.

ARTICLE 33

STRIKE COMMITIEE

SECTION I. The Strike Committee shall consists of all elected and appointed UA W Local 900 membersand any other members they deem necessary to conduct a successful strike.

ARTICLE 34

DELEGATES

SECTION 1. Nominations and election of delegates to the International Constitution Convention shall bein compliance with Art. 8 and Art. 10 of the 1995 International Constitution.

Nominations for delegates to-the conventions other than the UAW will take place at a regular membershipmeeting.

A voting tabulation on the action of the Local 900 delegates during the convention business sessions shallbe posted on all bulletins boards throughout the plant or inserted in the Local newspaper or bulletin for thebenefit and information of the general membership.

Each delegate to a convention or other Union business shall be expected to submit a report at the request ofthe general membership.

The terms of delegates elected by the Local Union shall be three (3) years. To avoid unnecessary expensein district councils, the Local Union may empower as many delegates as they desire to carry and vote theentire vote of the Local Union.

Election of delegates to district councils will be held immediately following each tri-ennial election and allheld on the same day or whatever additional day the Local Executive board may decide.

The Delegates to Sub Council II will come from the Bargaining Committee structure in their respectiveunits. The ratio of Council representation will be decided by the Sub Council II By-Laws, with theunderstanding that each unit's representation will be based on their respective unit population. The order ofattendance will be rotated within the Bargaining Committee structure based on the vote counts in the tri-ennial election in each unit if necessary.

(g)National Ford Delegates in each plant or unit shall have as designated delegates the President of theLocal and/or the chairperson of each Bargaining unit. These delegates shall be included in the plant orunits; total delegation with the remainder ofthe delegates to be elected by their respective units.

SECTION 2. The Local Union shall pay a representative or member lost time only when thatrepresentative or member is performing necessary duties for and on behalf of the Local Union during a timefor which she/he would otherwise be compensated by the employer. The amount of lost time should never

exceed the amount which the Local Union representative or member would btherwise have received fromher/his employer for the same period of time for which shelhe is being compensated by the Local Union.

(a) All other duly elected or appointed delegates attending conventions outside the Metropolitan area ofDetroit shall be paid round trip Coach airfare.

(b) When required to stay overnight: HotellMotel -single room occupancy rate of Yz of a double room rate ifshared with another member plus $42.00 for meals. Not to exceed $42.00 per day with hotel receipt. Not toexceed $20.00 per day on day of return.

(c)Transportation:The actual cost of airfare not to exceed coach fare, or the IRS-approved rate for mileage, whichever is moreeconomical. Expense is to be paid for the actual mode of transportation used. Mileage expense can only bepaid to the driver of the vehicle.

(d) All duly elected or appointed representatives of Local 900 attending any conference or meeting in theMetro-Detroit area will be paid up to twenty-five dollars ($25.00) upon reasonable receipts for mileagefrom Local 900 parking lot.

(e) Local 900 Members traveling to the Walter and May Reuther UAW Family Education Center (BlackLake) in Onaway, Michigan will be paid mileage (determined by the Federal guidelines) from UAW Local900 to Black Lake including the return trip. Local 900 members must have proper receipt(s) from theOnaway, Michigan area. This By-Law change will be retro active to March 1,2004. These funds will beavailable only when no other mileage reimbursement exist. Mileage expense can only be paid to the driverof the vehicle.

SECTION 3. When the Local Union pays a registration fee for any member to attend any conference andthat delegate does not attend the conference, that member must pay back to the Local Union the amountthat was paid for registration. If it is an elected or appointed member the amount can be deducted from anyexpense he/she would receive. If not repaid that member will be considered in bad standing with the LocalUnion, per Article 48, section 6 of the International Constitution.

ARTICLE 35

FISCAL YEAR

SECTION 1. The fiscal year of the Local Union shall begin with the first day of January of each year andend on the 31st ofDecember of each year. (See Art. 48 Sec.1 of the International Constitution).

ARTICLE 36

ATTENDANCE REQUIREMENTS

SECTION 1. MEMBERSHIP MEETINGS

SECTION 2 All elected officers, Executive Board Members-at-Large, Plant and District Committee, PlantChairpersons, Health and Safety Representatives, E.I. Representatives, E.S.S.P. Representatives, BenefitsRepresentatives, Quality Representatives ETC, JAC Reps. and Work Standards Representatives arerequired to attend two (2) of three (3) Executive Board meetings or a combination of three (3) of six (6)

meetings including members meetings in any three month period. Failure to attend two (2) meetings in anythree (3) month period without reasonable excuse subject to the approval of the Executive Board will besubjected to Article 37, Sec. 5 of the International Constitution.

(a) In addition to the membership meetings, the Executive Board members of the Local Union are requiredto attend two (2) out of three (3) Executive Board meetings. Failure to attend three (3) out of six (6)meetings in any three (3) month period without reasonable excuse shall constitute automatic removal fromoffice.

(b) All Plant and District Committeepersons, Health and Safety Representatives, E.I., Benefits and E.S.S.P.Representatives, Work Standards, ETC, JAC Reps. and Quality Representatives are required to attend two(2) out of three (3) committee meetings scheduled.

(c) It shall be mandatory for the President to abide by the above By-Laws (Art. 37, Sec.5 of theInternational Constitution).

(d) Any member affected by these By-Laws may bring the validity of his or her excuse before the generalmembership.

(e) A member removed from office for failure to comply with the attendance requirements shall not beeligible to run for any elective office including all Delegates or positions included in Section I-A for theremainder of his or her term, except Delegate to the International Constitutional Convention.

(f) The provisions of these By-Laws cannot be employed to make attendance of meetings a condition ofeligibility to run for office. The attendance provision can only be applied after a member is elected to aLocal Union position.

ARTICLE 37

DESIGNATED WEARING APPAREL

SECTION 1 Approved Union Apparel may be purchased from a designated union supplier. Shirts orsweaters may be purchased at a maximum cost of $260.00 including taxes per annum. The $260.00 isdesignated for full time representatives only. Part time representatives are allotted $52.00 including taxesper item. The apparel is to be trimmed in UA W colors; with the UA W emblem, monogrammed with thewords "Local 900 and the name and title of the representative"

(a) The individuals holding the following positions will be eligible for the above-described wearing apparelalong with the dollar amount they are entitled to.
