A sack meal shall include at least a solid meat sandwich, carrot and celery s~icks, fresh fruit, bag of chips or candy bar, one-half pint of milk or canned soft drink, and cookies. Special meals s~all be available for vegetarians or others on special diets.~

If 5 . GENERAL OPERATIONAL CONDITIONS I
a. The Contractor shall be responsible for the administration and collection of the board meal fees. Accounts Receivable (AIR) credits for FY 95-96 will be taken into consideration in negotiating rate adjustments for FY 96-97. University policies (rules) will govern the payment and collection of these fees. Deferred payments must be authorized by the University. Rules on student debt to the University shall apply. Unauthorized deferred payments will be the s.ole responsibility of the contractor. The contractor shall submit to the University for approval, sixty (GO) days after award of Contract, administrative procedures to include, but not limited to, the sale of the board meal programs, brochures, promotions, policy, location of sales, office telephone number, collections, accountability, changes, cancellation and refund procedures policy on lost meal cards, service charges for changes, cancellations, and lost meal cards. The University shall furnish the Contractor a complete listing of residence hall students and staff members, including addresses, required to be under the board meal plan within fourteen (14) days prior to the beginning of each semester and summer sessions. The University shall notify the Contractor of changes to the board meal listing within two (2) work days and submit no later than fifteen (15) days after the close of the month complete and updated list· of residence hall students and staff required to be under the Board Meal Plan. Non-resident students, faculty, and staff shall be of fered Board Meal Plan.s .. "

THIS AMENDMENT, dated Apri129, 1999, is between UNIVERSITY OF HAWAll AT HILO ("University") and SODEXHO MARRIOTI MANAGEMENT, INC. ("SMM").
WITNESSETH:
WHEREAS, University and SMM (Successor by name change to Marriott Management Services Corp.) entered into a certain Management Agreement, dated January 1, 1991, as amended ("Agreement"), whereby SMM manages and operates University's Food Services operation at the Premises in illIo, Hawaii.
WHEREAS, SMM operates coffee concessions at the University of Hawaii - Hilo theater; and
WHEREAS, the parties now desire to further amend the aforesaid Agreement;
NOW, THEREFORE, in consideration of the promises herein contained and for other good and valuable consideration, the parties hereto agree as follows:
1. Commencing on May 17,1999, SMM shall transfer the righ~ to provide Coffee Concessions Service at the University of Hawaii - Hilo Theater to the University. SMM and University agree to the following with respect to such transfer:
A. Inventories of China and Smallwares. University shall purchase inventories of smallwares from SMM and shall thereafter own such inventories.
B. Food, Beverage, Goods, Me'rchandise and Supply Inventories.. University shall purchase inventories of food, beverages, goods, merchandise and supplies from SMM and shall thereafter own such inventories. University shall purchase coffee and related supplies directly from SMM. SMM shall invoice University for such items in accordance with Attachment A~ attached hereto and made a part hereof.
c. Employees. University shall provide its own"employees to provide said Service. All personnel employed by University shall at all times and for all purposes be solely in th~ employment of University.
D. Billing. No later than thirty (30) days after the end of each Accounting Period, Sl\.1M shall submit to University an invoice for all products purchased by University. University shall pay the invoiced amount within thirty (30) days after the invoice date and shall pay interest on the principal amount remaining unpaid at the effective rate equal to the prime rate for each calendar quarter plus two percent. Interest rate shall be adJusted quarterly in accordance with the prevailing prime rate and shall not exceed twelve percent (12%). Interest payment shall be calculated commencing on the·thirtieth day following receipt of statement or satisfactory delivery of goods or performance of service, whichever is later, and"ending on the date of the warrant.
2. This Amendment is effective May 17,1999, and thereafter, unless amen4ed. All other tenns and conditions contained in the Agreement shall remain unchanged and in full force and effect, except by necessary implication.

7. DESCRIPTION OF MOD1FICATION
a. Pursuant to General Condition 19, MODIFICATION OF CONTRACT, -contract shall be modified as follows:
1) Operational Provision 5, GENERAL OPERATIONAL CONDITIONS, Sub-item a, shall be deleted and replaced with the following paragraph:·
"The University agrees to collect payment for meals served under the board meal ~ans and pay the Contractor within a reasonable time after receipt of the invoice. The Contractor shall use the magnetic strip located on student's identification card to track and account for specific board meal plan purchased, number of meals used, flex point remaining and detailed transactions log. The Contractor shall submit to the University for approval, SIXTY (60) days prior to any changes of the administrative procedures to include, but not limited to, policy, changes, cancellation and refurKJ procedures policy on lost meal cards, service charges for changes, cancellations, and lost meal cards. The University shall furnish the Contractor a complete listing of residence halls students and s{aff members, required to be under the Board Meal Plan within FOURTEEN (14) days prior to the beginning of each semester. The University shall notify the Contractor of changes to the board meal listing within TWO (2) business days. Non-resident students, faculty, and staff shall be offered Board Meal Plans."

3) Operational Provision 7,BOARD MEAL PLAN, Sub-item a, shall be amended to include the following paragraphs:
The University will provide the Contractor with participants list FIFTEEN (15) calendar days prior to the start of each semester. The University will revise the list of participants with. mandatory meal plan requirements, as residents move in and out of the residence haUs.
Based upon the Fall semester opening number of participantsControctor will require an Advance Board bill. The Advance Board bill will be due FIFTEEN (15) calendar days prior to the first board day. Contractor will credit the Advance Board bill to the last board bill of the Spring semester.
Example: .# of participants x 30 days x average daily board rate = Advance Board bill 400 participants x 30 days x $11.99 = $143,880.00
Contractor shall submit to the University a Weekly Board bill based on participation Friday through Thursday. Contractor will adjust weekly billings and participation based on written notification from the University and ATTACHMENT F, SLIDING SCALE RATES, attached hereto and made a part hereof.
Payment by the University for meal plans will be done monthly with the issuance of University of Hawaii pur.chase orders.
4) ATTACHMENT C, FOOD SERVICE OPERATING HOUR, shall be amended in accordance with revised Attachment C, attached hereto and made a part hereof. All other hours shall remain the same.
5) Special Provision 10, PAYMENTS. Due to renovations of the Hale Kehau Resident Dining room scheduled for Spring 2007, the Contractor shall not be required to make rebate payments from collected Board Meal Plans during the time that the resident dining room is closed for renovations.
