C) In pur$ant to and the terms and conditions of the said DevelopmentAgrcement, the Owners/Pdncipals are executing this Power of Attomey infavour of the rcprcsentatives of the said Developers Merlin Projects Ltd.and Noble Trexim P\4. Ltd, Mr. Pradip B. Mehta and Mr. Dinesh Sanghvirespectively, to be our true and lawful attomeys and in our name, place and
stead to do the following acts, deeds and things, rclated for thedevelopment of the "Said Property" jointly and/or severally.
NOW KNOW ALL MEN BY TIIESE PRESENTS WITNESSETH ThAt, WC
Owners above named do hereby appoint, nominate and constitute Mr. Pradip B.Mehta atrd Mr. Ditresh Sanghvi, to be our true and lawful Aftomeys and in ourname, place and stead to do the following acts and deeds and things for the
development ofthe "Said Property" jointly and/or severally that is to say:
l. To take all the necessary steps like appointing Architects, Engineers,
Surveyors, and other consultants, as may be required for survey, soil testing,
preparing the proposed building plan and obtaining the sanction and/or revised
sanctioned thereof, from the Uttarpara Kotrung Municipality (JKtrO and/or other
concemed authorities for development of the "Said Propeffy", and to make the
payment of their fees/charges.
2. To represent us before the appropriate registering authority for the puPose ofregistration of boundary declaration, and/or any other document, as may be
required and to admit the exeaution thereof and receive the same aft€I the
registration. for the above said purpose.
3. To take all the necessary steps including to execute, sign, submit and receive
all the documents, which may be required for obtaining, the necessary
permissions, clearances, approvals and sanctions aom the various authorities
including the sanction of Foposed building plan and/or rcvised sanction plans
from the Unarpara Kotrung Municipality, (UKM) and /or other statutory authority
in respect ofthe "Said Property".
4. To take alt the necessary steps and/or to sign necessary documents, to pay the
sanction fees and/or charges for obtaining and receiving the proposed sanction
plan, and/or revised sanition plan from the Uttarpara Kotrung Municipality'

Property".
5. To sign, execute, register and submit all deeds, applications, indemnities,

clearances from time to time, for the development ofthe "Said Property" in temsofthe said Dovelopment Agreement dtd. 05.09.2017.
6. To mortgage and/or create the charge upon the "Said Property" and to depositthe title deeds for crcating an equitable charge and/or mortgage, and for the saidpupose, to sign and execute all deeds, documents, instruments and papers, as maybe necessary and/or required and to cause the same to be registered with the
authorities concemed.
7. To take all the necessary steps fo! marketing and selling of the flats/units in the
new building/s to be constructed on the "Said Property" and for that purpose todo the booking and / or enter into an agreement for sale, or to execute the deed ofconveyance in favour of the prospective purchaser/s, and to receive the advance
amount and/or sale considerdtion from such prospective purchaser/s and to issue
the valid receipt thereof.
8. To execute, present and register th€ deed ofconveyance/s and /or agreement forsale before the concemed registrar and/or authority for effectually selling and./or
transfening, the flats /urits, to the prospective purchaser/s, and to receive such
registered documents from the registrar/concemed authority.
9. To appropriate and./ or disburse the advance amount and/or sale consideration
amount recaived from the prospective purchaser/s to the Ownels and the
Developers, in terms ofthe said Development Agreement dtd. 05.09.2017.
10. To sign, submit and receive the drainage plan, intemal water line, sinking oftube well, permission for lift erection, supPly ofelectricity and for other utiliries
as may be necessary for the construction and development of the proposed
building/s at the 'Said Property'.
11. To wam off, prchibit and if necessary proceed against in due process of law
against all tlespassels on the "Said Property" or any parts thereof and to take
appropriate steps whether by action or otherwise including filing ofcomplaints in
loiic" Station/ Oepartrnents and to represent the Owners/Principals before the
appropriate Police Authority and to approach appropriate court of law, if required
foi tt e "Sula Rrop".ty" and to abate nuisances as may be necessary to protect the
"Said Property".
12. To apply for and obtain such Certificate and/or permission under any law

To represent the Owners/Principals in any of the Couts, all departments ofUttaryara Kotrung Municipality, (UKN0 and concemed Oflices of B.L.& L.RO.,D.L.& L.R.O., District Magistate, Urban Land Ceiling Department, PoliceDepMment, CESC Limited/wBSEDCL, West Bengal Fire and EmergencyServices, Chief Electrical Inspector, Got4. of West Bengal, West BengalPollution Boald, Environment Department, Dept. of Micro Wave, Competent
Authority appointed under West Bengal Building Registration (Promotion ofconstuction and Transfer by Promote6 Rules) 1995, Government of West
Bengal, Income Tax Officers, Revenue Offices or any other relevant Oflice(s) orbefore any authority or authorities or Society or Body Corporate or otherperson(s) for any purpose relating to development of the "Said Property" and as
may become necessary for fully effectually and./or any of the powers herein and
hereby conferred and to sign, execute, and if required to register, deeds,
applications, indemnities, affidavits and other pape$ as may be necessary and/or
required from time to time.
14. To appoint Advocates and other legal agents, sign declare and/or aflirm any
vakalatnamas, plaints, wdts, written statements, petitions, consents, including
application, affidavits, undertakings, declarations, memorandum ofAppeal or any
other documents or papers as may be required from time to time and to defend
and prosecute any legal action and/or initiate legal proceedings including filing ofwit applications, to appear and give evidence, to prefer any appeal revisions or
reviews from any order or decree as the case may be in respect to the "saidPropeny".
15. To sign, declare and/or affirm any plaints, w tten statements, petitions,
consents, application for filing suits or initiating any proceedings against any third
party for difending any suit or proceeding in connection with the 'Said Property'
and also for execution of a decree for filing any Memorandum of Appeal or any
other documents or papers in any proceedings connected with the 'Said Property'
and for that to appoint, engage pleaders, advocates or solicitors, whenever our
said Attomeys shall think fit and proper to do so and to discharge and/or terminate
their appointment, for the above said purpose.
t6. To appear before the Notary Public, Registrar of Assurances, District
Registrar, -Sub-Registrar
or Assuances, Metropolitan Magistmte and other
autlority having.luiisdiction to acknowledge, Prcsent for Registration and receive
back thi same after the registration of all deeds, doauments, instrumants for the

Be it expressly stated that this Power of Attomey does not create, constitute orassume any kind of transfer, enjo),rnent or making profit in favour of theAttomey/s, it is only for the purpose of doing all the acts, deeds and things fordeveloping the "Said Property", and also for marketing and selling the flatvunitsto the prospective Puchaser/s on behalfofthe Owners / Principals in tems ofthesaid Development Agrcement dated 05.09.2017.
18. All the rlet amount receivable will be paid back to Principals, afterappropriating / adjusting all the payable by Pdncipals for the development ofthe"Said Propedy".
AND GENERALLY to jointly and/or severally do all such acts, deeds and thingsin the name of the Owners/Principals as the Owners/Principals could have donelawfully for the development ofthe "Said Propefy", and we do hereby ratift and
aonfllm and agrce to ratiff and confirm all the acts, deeds and things whatsoever
done by the said Attomeys under these presents shall lawfully do or cause to be
done into or about the "Said Properfy" by virnre of these prcsents and also
such powers and/or authority being granted sepamtely to be read with this withoutany further act, deed oI thing on the part ofthe Owners/Principals.
AND we do hereby ratify and confirm and agree to ratify and conflrm all and
whatsoever our said Aftomeys or any one ofthem shall lawfully do or commit or
caus€ to be done or committed in and about the "Said Propefy" as aforesaid byvitue of these presents.
