Australia Country Clauses
The following terms amend and/or supplement the HSBC Corporate Account Opening Portal-Terms and Conditions and Privacy Statement (“Site
Term s and Conditions ”) and shall apply to any access to the Site in Australia and in all cases when the Australian Privacy Act applies (“Australian
Country Clauses” ).
1. Interpretation and Definitions
1.1. Unless otherwise defined, capitalised terms used in the Australian Country Clauses shall have the same meaning as in the Site Terms and
Conditions or the Privacy Policy (as applicable).
1.2. References to “the Customer” or “you” shall mean you, or, if applicable, your Connected Persons
(collectively and individually, “the Customer” or “you”).
1.3. “Authorities” includes any judicial, administrative, public or regulatory body, any government, any tax authority, securities or futures exchange,
court, central bank or law enforcement body, or any of their agents, with jurisdiction over any part of the HSBC Group.
1.4. “Connected Person” means a person or entity w hose information (including Personal Data) you provide, or is provided on your behalf , to any
member of the HSBC Group in connection with the provision of the Site. Connected Person may include, but is not limited to, any guarantor, a
director or officer of a company, partners or members of a partnership, any “substantial owner”, “controlling person”, or beneficial owner, trustee or
settler of a trust, account holder of a designated account, payee of a designated payment, representative, agent or nominee, or your principal w
here you are acting on another’s behalf , or any other persons or entities with whom you have a relationship that is relevant to your banking or other
service relationship with the HSBC Group.
1.5. “Customer Information” means Personal Data and/or confidential information of either the Customer or a
Connected Person.
1.6. “Personal Data” means any information or opinion in whatever form relating to an individual, from which the individual can be identified,
including, without limitation, sensitive personal data.
1.7. “Privacy Act” means Privacy Act 1988 (Commonwealth) as amended and supplemented from time to time.
1.8. “Privacy Policy” means the HSBC Australia Privacy Policy, which is located at www.hsbc.com.au or is otherwise available upon request.
1.9. “Purposes” is defined in clause 3.1 herein.
2. Processing of Data
2.1. HSBC and/or members of the HSBC Group will process, use, transfer and disclose Customer Information in connection with the purposes set
out in the Privacy Policy and the Site Terms and Condit ions.
3. Sharing of Data
3.1. By using the Site, you agree that HSBC may (as necessary and appropriate f or the purposes set out in the Privacy Policy and the Site Terms
and Conditions (“Purposes”)) transfer and disclose any Customer Information, including to the following recipients (who may also process, use,
transfer and disclose such Customer Information f or the purposes set out in the Privacy Policy and the Site Terms and Conditions):
a. any member of the HSBC Group;
b. any sub-contractors, agents, service providers, or associates of the HSBC Group (including their employees, directors and officers);
c. any party as may be necessary f or the provision of the Site to you;
d. any Authorities;
e. anyone acting on your behalf , transaction parties, payment recipients, beneficiaries, account nominees, intermediary, correspondent and agent
banks, clearing houses, clearing or settlement systems, market counterparties, upstream withholding agents, swap or trade repositories, stock
exchanges, companies in which you have an interest in securities (w here such securities are held by HSBC f or you);
f. any party involved in the acquiring of an interest or assuming of risk in or in connection with the
Site;
g. other financial institutions, credit reference agencies or credit bureaus, f or obtaining or providing credit references;
h. any third party fund manager providing you with asset management Site;
i. any introducing broker to whom HSBC provides introductions or referrals; and
j. any party in connection with any HSBC business alliance, transfer, disposal, merger or acquisition, wherever located, including in jurisdictions
which do not have data protection law s that provide the same level of protection as the jurisdiction in which the Site are supplied.
4. Customer Acknowledgements
4.1. You confirm that every Connected Person w hose information (including Personal Data) you (or anyone on your behalf) have provided, or will from time to
time provide to HSBC or a member of the HSBC Group, has been notified of and agreed to the processing, disclosure and transfer of their information as set out
in these terms. You shall, at the same time, advise Connected Persons that they may have rights of access to, and correction of, their Personal Data.
4.2. You acknowledge that:
a. HSBC has collected and will collect Customer Information from you or another party in the course of implementing and/or providing the Site and associated
services to you;
b. the collection of some or all of the Customer Information may be required or authorised under tax law s, law s regulating financial crime or any other law s;
c. Customer Information is collected f or the Purposes;
d. if Customer Information is not collected by HSBC, HSBC may not be able to provide, or continue to provide all or part of , the Site to you;
e. Customer Information may be transferred and disclosed to the recipients as detailed herein;
f. the Privacy Policy contains information about how an individual may access their Personal Data that is held by HSBC and seek the correction of
such information;
g. the Privacy Policy also contains information about how an individual may complain about a breach of the Privacy Act and how HSBC will deal
with such a complaint; and
h. HSBC will disclose Customer Information to overseas recipients, including members of the HSBC Group operating overseas. A list of the

5. Data Protection
5.1. Whether it is processed in a home jurisdiction or overseas, in addition to any applicable data protection legislation, Customer Information will be protected
by a strict code of secrecy and security which all members of the HSBC Group, their staff, and third parties with whom HSBC has entered into a written contract,
are subject to. For this reason, HSBC will not take further steps to ensure that the overseas recipients do not breach the Privacy Act in relation to an individual’s
information disclosed to overseas recipients.
Czech Republic Country Clauses
The following terms amend and/or supplement the HSBC Corporate Account Opening Portal-Terms and Conditions and Privacy Statement (“Site
Terms and Conditions”) and shall apply to any access to the Site in the Czech Republic and in all cases when Czech Data Protection Act applies (
“Czech Re public Country Claus e s ”).
1. Interpretation
1.1. Unless otherwise defined, capitalised terms used in the Czech Republic Country Clauses shall have the same meaning as in the Site Terms
and Conditions
1.2. “Czech Civil Code” means the Act No. 89/2012 Coll, the Civil Code, as from time to time amended, restated or re-enacted.
1.3. “Czech Data Protection Act” means Act No. 101/2000 Coll., on the protection of personal data, as f rom
time to time amended, restated or re-enacted
2. Miscellaneous
2.1. You acknowledge and agree that any information provided to you by us shall not be deemed advice within the meaning of Section 2950 of the
Czech Civil Code.
2.2. For avoidance of any doubt, processing or to process has, in relation to Personal Data, the meaning given to it in the Czech Data Protection
Act.
Poland Country Clauses
The following terms amend and/or supplement the HSBC Corporate Account Opening Portal-Terms and Conditions and Privacy Statement (“ Site
Term s and Conditions ”) and shall apply to any access to the Site in Poland and in all cases when Poland Data Protection Act applies (Poland
Country Clause s ” ).
The Site Terms and Conditions are subject to the mandatory provisions of Polish Law.
HSBC Bank Polka S.A. with its seat in Warsaw, at Rondo ONZ 1, 00-124 Warsaw, registered in the District
Court f or the Capital City of Warsaw in Warsaw, XII Commercial Division of the National Court Register under the number KRS 0000030437 is the
Personal Data administrator.
You are entitled to access your Personal Data and to request that it is corrected.
By using the site, you agree, on behalf of the entity for whom you are accessing the site (the “Customer”), with HSBC Bank Canada and its
respective subsidiaries and affiliates that the Site Terms and Conditions and these Canada Country Conditions are binding on you and the
Customer, and may be enforced by HSBC Bank Canada or any member of the HSBC Group.
The Customer expressly consents to the Bank sending the Customer and individuals acting on its behalf commercial electronic messages via any
form of telecommunications and to the Bank installing computer programs on the Customer’s systems for the purposes of the Customer’s access to

Information the Customer submits through the Website may be stored inside or outside of Canada, and may be subject to the laws of jurisdictions
other than Canada. HSBC Canada may disclose information the Customer submits to other members of HSBC Group or to third parties for

order for us to review, develop and improve the products and services which we are providing to you (including without limitation to ensure that the
products and services offered are relevant to you);
j. conducting financial reporting and analysis related to our business operations;
k. managing our infrastructure and business operations and complying with internal policies and procedures;
l. archival of documents and records in both electronic and physical form for record keeping purposes;
m. maintaining records of customer instructions, whether through phone recordings, hard copy documents, soft copy documents or instructions
given via electronic or other means;
n. conducting credit checks and ensuring your ongoing creditworthiness, and the collection of amounts outstanding from you and any person
providing security or guarantees for your obligations;
o. determining the amount of indebtedness owed to or by you;
p. facilitating business asset transactions (which may extend to any merger, acquisition or asset sale) involving any HSBC group company;
q. facilitating the verification and checks of your Personal Data in order to provide you with our products and services which you have requested;
r. preventing, detecting and investigating crime, including fraud and any form of financial crime, and analysing and managing other commercial
risks;
s. compliance with any applicable local or foreign statute, rule, law, regulation, judgment, decree, directive, code of practice, guideline,
administrative requirement, sanctions regime, court order, agreement between any HSBC group company and an Authority (as defined in section
5.1(k) of the Singapore Country Clauses), agreement or treaty between Authorities, international guidance and internal policies or procedures,
which may apply to any HSBC group company or which any such company is subject to, or to assist in or with law enforcement and investigations
by any Authority or to comply with any request from an Authority; and
t. subject to applicable law, any other purpose set out in the Terms and Conditions.
You should ensure that all Personal Data submitted to us is complete, accurate, true and correct. Failure on your part to do so may result in our
inability to provide you with products and services you have requested.
3.2In addition, HSBC may collect, use and/or disclose your Personal Data for the following purposes, if you are a corporate customer (in the case of
Sole Proprietorship or Partnership) or a representative of a corporate customer or corporate account holder, HSBC may collect, use and/or disclose
your Personal Data for the following purposes:
a. administering, maintaining, managing and operating the products and services offered to you (in the case of Sole Proprietorship or Partnership)
or the corporation or company of which you are a representative;
b. processing and executing the instructions issued by you (in the case of Sole Proprietorship or Partnership) or the corporation or company of
which you are a representative (including without limitation verification of orders and instructions, securing regulatory and internal approvals);
c. preparation of the relevant documentation for the products and services used by you (in the case of Sole Proprietorship or Partnership) or the
corporation or company of which you are a representative, and communications in connection therewith; and
d. any other purpose directly relating to any of the above.
3.3Notwithstanding the above, we may collect, use and/or disclose your Personal Data for the following purposes, in accordance with the PDPA:
a. the purposes for which we have specifically obtained your consent: and
b. the purposes for which you have provided your Personal Data to us.
4. Marketing / Optional Purposes
4.1 Where you have specifically provided us with additional consents, HSBC may also collect, use and/or disclose your Personal Data for the
following purposes:
a. providing benefits to you, including without limitation promotions, loyalty and reward programmes and sending you details of products, services,
special offers and rewards, either to our customers generally, or which may be of interest to you;
b. matching your Personal Data with other data collected for other purposes and from other sources (including third parties) in connection with the
provision or offering of products and services, whether by any HSBC group company, or other third parties;
c. fulfilling your referral requests;
d. administering contests and competitions;
e. participation in HSBC's marketing initiatives;
f. participation in HSBC's branding activities (including without limitation written or video/audio recordings of your quotes and testimony for media
pitching, press releases and HSBC's internal publications and broadcasts );
g. invitations to participate in HSBC's corporate sustainability activities, and the video/audio recording of your feedback and testimony in relation
thereto; and
h. developing special offers and marketing programmes.
If you have provided your Singapore telephone number(s) and have indicated that you consent to receiving marketing or promotional information via
your Singapore telephone number(s), then from time to time, we may contact you using such Singapore telephone number(s) (including
via voice calls, SMS, fax or other means) with information about our products and services (including discounts and special offers).
5. Disclosure of Personal Data
5.1 Personal Data will be protected and kept confidential but, subject to the provisions of any applicable law, may be disclosed for the purposes
listed above (where applicable) to the following parties:
a. HSBC group companies;
b. companies providing services relating to insurance and/or reinsurance to HSBC;
c. private investigators, hospitals or clinics in connection with claims or underwriting assessment;
d. associations of insurance companies, including the Life Insurance Association Singapore;
e. agents, contractors or third party service providers who provide services, such as telecommunications, call centre, mailing, information
technology, payment, payroll, data processing, training, market research, storage and archival, to HSBC;
f. the Credit Bureau, or in the event of default or disputes, any debt collection agencies or dispute resolution centres (whether in Singapore or
otherwise) such as the Financial Industry Disputes Resolution Centre Ltd;
g. any business partner, investor, assignee or transferee (actual or prospective) to facilitate business asset transactions (which may extend to any
merger, acquisition or asset sale) involving HSBC;
h. any liquidator, receiver, official assignee / trustee, judicial manager or any other person appointed under or pursuant to any applicable law or
court order in connection with the bankruptcy, liquidation, winding up, judicial management or any other analogous process in respect of any
individual, company or business;
i. banks, financial institutions, credit card companies and their respective service providers;
j. our professional advisers such as our auditors and lawyers;
k. any judicial, administrative or regulatory body, any government or public or government agency, instrumentality or authority, any domestic or
foreign tax, revenue, fiscal or monetary authority or agency, securities or futures exchange, self-regulatory organization, trade repositories, central
counterparties, court, central bank or law enforcement body or any agents thereof, having jurisdiction over any HSBC group company (collectively
referred to as "Authorities" and each an "Authority");
l. operators of payment systems, such as the Singapore Clearing House Association, Network for Electronic Transfers (Singapore) Pte Ltd., their
member banks and third party financial institutions as well as credit card companies such as Visa Inc, Mastercard Inc, American Express Inc, and
securities and investment services providers in connection with any payments, charges or other related instructions you may issue, as well as
recipients of these payments and charges;
m. any trade or merchant, or any other party accepting use of the ATM card and their agents or contractors in respect of transactions using the
ATMs of banks or financial or non-financial institutions;
n. any business alliance partner, insurance broker and direct or indirect provider of credit protection as may be necessary for the carrying out of the
purposes set forth above;
o. third party reward, loyalty, privileges and co-branding programme providers;
p. co-branding partners of HSBC (the names of such co-branding partners will be provided during the application of the relevant services and
products, as the case may be); and
q. any other person in connection with the purposes set forth above.
6. Withdrawal of Consent
If you wish to withdraw your consent to any use or disclosure of your Personal Data as set out in the Singapore Country Clauses, you may contact
us via our customer service hotlines.
Please note that if you withdraw your consent to any or all use or disclosure of your Personal Data, depending on the nature of your request, we
may not be in a position to continue to provide our products or services to you or administer any contractual relationship in place. Such withdrawal
may also result in the termination of any agreement you may have with us. HSBC’s legal rights and remedies are expressly reserved in such event.
7. Access and Correction of your Personal Data
You may request access to or make corrections to your Personal Data records, but HSBC has the right to charge a reasonable fee for processing

Acknowledgements Where personal data is submitted by you on behalf of another individual or concerns another individual other than yourself (or,
in the case of situations where you, as a representative of your company or organisation, are submitting the personal data of individuals as part of
the disclosures by the company or organisation to us), you represent and warrant to us that all the necessary consents (procured in accordance
with all applicable data protection legislation, including without limitation the PDPA, for such purposes stated in the relevant sections of the
Singapore Country Clauses) have been obtained from the relevant individuals and that you have retained proof of these consents, such proof to be
provided to us upon our request.
You understand that the Singapore Country Clauses forms a part of the terms and conditions governing your relationship with HSBC.
Hong Kong Country Clauses
The following terms amend and/or supplement the HSBC Corporate Account Opening Portal-Terms and Conditions and Privacy Statement (“Site
Terms and Conditions”) and shall apply to any access to the Site in Hong Kong and in all cases when the Personal Data (Privacy) Ordinance
applies (“Hong Kong Country Clauses”).
By using the site, you agree, on behalf of the entity for whom you are accessing the site (the “Customer”), with The Hongkong and Shanghai
Banking Corporation Limited (the “Bank” or “we”) and its respective subsidiaries and affiliates that the Site Terms and Conditions and these Hong
Kong Country Clauses are binding on you and the Customer, and may be enforced by the Bank or any member of the HSBC Group. Reference to
“you” shall mean the Customer, or, if applicable, any individual authorized by the Customer to give instructions relating to a Service.
1. Interpretation
1.1. Unless otherwise defined, capitalised terms used in the Hong Kong Country Clauses shall have the same meaning as in the Site Terms and
Conditions.
1.2. “Connected Person” means a person or entity (other than you) whose information (including Personal Data or Tax Information) is provided by
you, or on your behalf, to any member of the HSBC Group or which is otherwise received by any member of the HSBC Group in connection with the
provision of the Services. A Connected Person may include any guarantor, a director or officer of a company, partners or members of a partnership,
any "substantial owner", "controlling person", or beneficial owner, trustee, settlor or protector of a trust, account holder of a designated account,
payee of a designated payment, your representative, agent or nominee, or any other persons or entities with whom you have a relationship that is
relevant to your relationship with the HSBC Group.
1.3. “controlling persons” means individuals who exercise control over an entity. For a trust, these are the settlor, the trustees, the protector, the
beneficiaries or class of beneficiaries, and anybody else who exercises ultimate effective control over the trust, and for entities other than a trust,
these are persons in equivalent or similar positions of control.
1.4. “Notice” means the Notice relating to the Personal Data (Privacy) Ordinance (formerly known as Notice to Customers relating to the Personal
Data (Privacy) Ordinance) that applies to you and other individuals, a copy of which is provided in Appendix I.
1.5. “Personal Data” means any information relating to an individual from which such individual can be identified.
1.6. “Personal Data (Privacy) Ordinance” means the Personal Data (Privacy) Ordinance (Cap 486, the Laws of Hong Kong) as amended and
supplemented from time to time.
1.7. “Services” includes (a) the opening, maintaining and closing of your accounts, (b) the provision of credit facilities and other banking products
and services, processing applications, credit and eligibility assessment, and (c) maintaining our overall relationship with you, including marketing
services or products to you, market research, insurance, audit and administrative purposes.
1.8. “Tax Information” means documentation or information about your tax status or the tax status of a Connected Person.
1.9. “Your Information” means all or any of the following items relating to you or that of a Connected Person, where applicable: (a) Personal Data,
(b) information about you, your accounts, transactions, use of our products and services and your relationship with the HSBC Group and (c) Tax
Information.
Reference to the singular includes the plural (and vice versa).
2. Use of Data
2.1. We and members of the HSBC Group may use, transfer and disclose Your Information (i) in connection with the purposes set out in the
applicable account terms and conditions (applicable to Your Information other than Personal Data), (ii) as set out in the Notice (applicable to
Personal Data) and (iii) in connection with matching against any data held by us or the HSBC Group for whatever purpose (whether or not with a
view to taking any adverse action against you) ((i) to (iii) are collectively referred to as the "Purposes").
3. Sharing of Data
3.1. We may (as necessary and appropriate for the Purposes) transfer and disclose any of Your Information to the recipients set out in the Notice
(who may also use, transfer and disclose such information for the Purposes) and the applicable account terms and conditions (applicable to Your
Information other than Personal Data).
4. Customer Acknowledgements
4.1. You confirm that every Connected Person whose information (including Personal Data or Tax Information) has been (or will be) provided to us
or a member of the HSBC Group has (or will at the relevant time have) been notified of and agreed to the processing, disclosure and transfer of
their information as set out in the applicable account terms and conditions and the Notice (as may be amended or supplemented by us from time to
time). You shall advise any such Connected Persons that they have rights of access to, and correction of, their Personal Data.
4.2. You consent and shall take such steps as are required from time to time for the purposes of any applicable data protection law or secrecy law
to permit us to use, store, disclose, process and transfer all of Your Information in the manner described in these Sites Terms and Conditions. You
agree to inform us promptly in writing if you are not able or have failed to comply with the obligations set out in this Clause 4 in any respect.
Appendix I
*NOTICE RELATING TO THE PERSONAL DATA (PRIVACY) ORDINANCE (THE "ORDINANCE")
(a) From time to time, it is necessary for individuals to supply the Bank with data in connection with the opening or continuation of accounts and the
establishment or continuation of banking facilities or provision of banking services or compliance with any laws, guidelines or requests issued by
regulatory or other authorities.
(b) Failure to supply such data may result in the Bank being unable to open or continue accounts or establish or continue banking facilities or
provide banking services.
(c) It is also the case that data are collected from (i) customers in the ordinary course of the continuation of the banking relationship (for example,
when customers write cheques, deposit money or apply for credit), (ii) a person acting on behalf of the individual whose data are provided, and (iii)
other sources (for example, information obtained from credit reference agencies). Data may also be generated or combined with other information
available to the Bank or any member of the HSBC Group ("HSBC Group" means HSBC Holdings plc, its affiliates, subsidiaries, associated entities
and any of their branches and offices (together or individually) and "member of the HSBC Group" has the same meaning).
(d) The purposes for which data may be used are as follows:
(i) considering applications for products and services and the daily operation of products, services and credit facilities provided to customers;
(ii) conducting credit checks (including without limitation upon an application for consumer credit (including mortgage loans) and upon periodic or
special reviews of the credit which normally will take place one or more times each year);
(iii) creating and maintaining the Bank's credit and risk related models;
(iv) assisting other financial institutions to conduct credit checks and collect debts;
(v) ensuring ongoing credit worthiness of customers;
(vi) designing financial services or related products for customers' use;
(vii) marketing services, products and other subjects as described in (f) below;
(viii) determining the amount of indebtedness owed to or by customers;
(ix) collecting of amounts outstanding from customers and those providing security for customers' obligations;
(x) meeting obligations, requirements or arrangements, whether compulsory or voluntary, of the Bank or any of its branches or any member of the
HSBC Group to comply with, or in connection with:
(1) any law, regulation, judgment, court order, voluntary code, sanctions regime, within or outside the Hong Kong Special Administrative Region
("Hong Kong") existing currently and in the future ("Laws");
(2) any guidelines, guidance or requests given or issued by any legal, regulatory, governmental, tax, law enforcement or other authorities, or self-
regulatory or industry bodies or associations of financial services providers within or outside Hong Kong existing currently and in the future and any
international guidance, internal policies or procedures;
(3) any present or future contractual or other commitment with local or foreign legal, regulatory, judicial, administrative, public or law enforcement
body, or governmental, tax, revenue, monetary, securities or futures exchange, court, central bank or other authorities, or self-regulatory or industry
bodies or associations of financial service providers or any of their agents with jurisdiction over all or any part of the HSBC Group (together the
"Authorities" and each an "Authority") that is assumed by, imposed on or applicable to the Bank or any of its branches or any member of the HSBC
Group; or
(4) any agreement or treaty between Authorities;
(xi) complying with any obligations, requirements, policies, procedures, measures or arrangements for sharing data and information within the
HSBC Group and/or any other use of data and information in accordance with any programmes for compliance with sanctions or prevention or
detection of money laundering, terrorist financing or other unlawful activities;
(xii) conducting any action to meet obligations of the Bank or any member of the HSBC Group to comply with Laws or international guidance or
regulatory requests relating to or in connection with the detection, investigation and prevention of money laundering, terrorist financing, bribery,
corruption, tax evasion, fraud, evasion of economic or trade sanctions and/or any acts or attempts to circumvent or violate any Laws relating to
these matters;
(xiii) meeting any obligations of the Bank or any member of the HSBC Group to comply with any demand or request from the Authorities;
(xiv) enabling an actual or proposed assignee of the Bank, or participant or sub-participant of the Bank's rights in respect of the

customer to evaluate the transaction intended to be the subject of the assignment, participation or sub-participation; and
(xv) purposes relating thereto.
(e) Data held by the Bank or a member of the HSBC Group relating to an individual will be kept confidential but the Bank or a member of the HSBC
Group may provide such information to the following parties (whether within or outside Hong Kong) for the purposes set out in paragraph (d):
(i) any agents, contractors, sub-contractors, service providers or associates of the HSBC Group (including their employees, directors, officers,
agents, contractors, service providers, and professional advisers);
(ii) any third party service provider who provides administrative, telecommunications, computer, payment or securities clearing or other services to
the Bank in connection with the operation of its business (including their employees, directors and officers);
(iii) any Authorities;
(iv) any person under a duty of confidentiality to the Bank including a member of the HSBC Group which has undertaken to keep such information
confidential;
(v) the drawee bank providing a copy of a paid cheque (which may contain information about the payee) to the drawer;
(vi) any persons acting on behalf of an individual whose data are provided, payment recipients, beneficiaries, account nominees, intermediary,
correspondent and agent banks, clearing houses, clearing or settlement systems, market counterparties, upstream withholding agents, swap or
trade repositories, stock exchanges, companies in which the customer has an interest in securities (where such securities are held by the Bank or
any member of the HSBC Group) or a person making any payment into the customer's account;
(vii) credit reference agencies, and, in the event of default, to debt collection agencies;
(viii) any person to whom the Bank or any of its branches or any member of the HSBC Group is under an obligation or required or expected to make
disclosure for the purposes set out in, or in connection with, paragraph (d)(x), (d)(xi) or (d)(xii);
(ix) any actual or proposed assignee of the Bank or participant or sub-participant or transferee of the Bank's rights in respect of the customer; and
(x) (1) any member of the HSBC Group;
(2) third party financial institutions, insurers, credit card companies, securities and investment services providers;
(3) third party reward, loyalty, co-branding and privileges programme providers;
(4) co-branding partners of the Bank or any member of the HSBC Group (the names of such co-branding partners will be provided during the
application process for the relevant services and products, as the case may be);
(5) charitable or non-profit making organisations; and
(6) external service providers (including but not limited to mailing houses, telecommunication companies, telemarketing and direct sales agents, call
centres, data processing companies and information technology companies) that the Bank engages for the purposes set out in paragraph (d)(vii).
Such information may be transferred to a place outside Hong Kong.
In connection with paragraph (vii) above,
(A) of all the data which may be collected or held by the Bank from time to time in connection with mortgages, the following data relating to the
customer (including any updated data of any of the following data) may be provided by the Bank, or on its behalf and/or as agent, to the credit
reference agency:
(i) full name;
(ii) capacity in respect of each mortgage (as borrower, mortgagor or guarantor);
(iii) Hong Kong Identity Card Number or travel document number or certificate of incorporation number;
(iv) date of birth or date of incorporation;
(v) correspondence address;
(vi) mortgage account number in respect of each mortgage;
(vii) type of the facility in respect of each mortgage;
(viii) mortgage account status in respect of each mortgage (e.g. active, closed, write-off); and
(ix) if any, mortgage account closed date in respect of each mortgage.
The credit reference agency will use the above data supplied by the Bank for the purposes of compiling a count of the number of mortgages from
time to time held by the customer (as borrower, mortgagor or guarantor respectively, whether in sole

name or joint names with others) for sharing in the consumer credit database of the credit reference agency by credit providers; and
(B) before the right referred to in (g)(v) below may be exercised, (I) in the event of any default in payment, unless the amount in default is fully
repaid or written off (otherwise than due to a bankruptcy order) before the expiry of 60 days as measured by the Bank from the date such default
occurred, the customer is liable to have his account repayment data retained by the credit reference agency at least until the expiry of five years
from the date of final settlement of the amount in default and (II) in the event of any amount being written off due to a bankruptcy order being made
against the customer, the customer is liable to have his account repayment data retained by the credit reference agency, regardless of whether the
account repayment data reveal any material default, until the expiry of five years from the date of final settlement of the amount in default or the
expiry of five years from the date of discharge from a bankruptcy as notified by the customer with evidence to the credit reference agency,
whichever is earlier. Account repayment data include amount last due, amount of payment made during the last reporting period, remaining
available credit or outstanding balance and default data (being amount past due and number of days past due, date of settlement of amount past
due, and date of final settlement of amount in material default (if any)). Material default is a default in payment for a period in excess of 60 days.
(f) Use of Data in Direct Marketing
The Bank intends to use a customer's data in direct marketing and the Bank requires the customer's consent (which includes an indication of no
objection) for that purpose. In this connection, please note that:
(i) the name, contact details, products and other service portfolio information, transaction pattern and behavior, financial background and
demographic data of a customer held by the Bank from time to time may be used by the Bank in direct marketing;
(ii) the following classes of services, products and subjects may be marketed:
(1) financial, insurance, credit card, banking and related services and products;
(2) reward, loyalty, co-branding or privileges programmes and related services and products;
(3) services and products offered by the Bank's co-branding partners (the names of such co-branding partners will be provided during the
application for the relevant services and products, as the case may be); and
(4) donations and contributions for charitable and/or non-profit making purposes;
(iii) the above services, products and subjects may be provided by or (in the case of donations and contributions) solicited by the Bank and/or:
(1) any member of the HSBC Group;
(2) third party financial institutions, insurers, credit card companies, securities and investment services providers;
(3) third party reward, loyalty, co-branding or privileges programme providers;
(4) co-branding partners of the Bank and the HSBC Group (the names of such co-branding partners will be provided during the application of the
relevant services and products, as the case may be); and
(5) charitable or non-profit making organisations;
(iv) in addition to marketing the above services, products and subjects itself, the Bank also intends to provide the data described in paragraph (f)(i)
above to all or any of the persons described in paragraph (f)(iii) above for use by them in marketing those services, products and subjects, and the
Bank requires the customer's written consent (which includes an indication of no objection) for that purpose;
(v) the Bank may receive money or other property in return for providing the data to the other persons in paragraph (f)(iv) above and, when
requesting the customer's consent or no objection as described in paragraph (f)(iv) above, the Bank will inform the customer if it will receive any
money or other property in return for providing the data to the other persons.
If a customer does not wish the Bank to use or provide to other persons his data for use in direct marketing as described above, the customer may
exercise his opt-out right by notifying the Bank.
(g) Under and in accordance with the terms of the Ordinance and the Code of Practice on Consumer Credit Data approved and issued under the
Ordinance, any individual has the right:
(i) to check whether the Bank holds data about him and of access to such data;
(ii) to require the Bank to correct any data relating to him which is inaccurate;
(iii) to ascertain the Bank's policies and practices in relation to data and to be informed of the kind of personal data held by the Bank;
(iv) in relation to consumer credit, to be informed on request which items of data are routinely disclosed to credit reference agencies or debt
collection agencies, and be provided with further information to enable the making of an access and correction request to the relevant credit
reference agency or debt collection agency; and
(v) upon satisfactory termination of the credit by full repayment and on condition that there has been, within five years immediately before such
termination, no material default under the credit as determined by the Bank, to instruct the Bank to make a request to the relevant credit reference
agency to delete from its database any account data relating to the terminated credit.
PUBLIC
(h) In accordance with the terms of the Ordinance, the Bank has the right to charge a reasonable fee for the processing of any data access request.
(i) The person to whom requests for access to data or correction of data or for information regarding policies and practices and kinds of data held
are to be addressed as follows: The Data Protection Officer The Hongkong and Shanghai Banking Corporation Limited PO Box 72677 Kowloon
(j) The Bank may have obtained a credit report on the customer from a credit reference agency in considering any application for credit. In the event
the customer wishes to access the credit report, the Bank will advise the contact details of the relevant credit reference agency.
(k) Nothing in this Notice shall limit the rights of customers under the Ordinance.
Note: In case of discrepancies between the English and Chinese versions, the English version shall apply and prevail.

India Country Clauses
The following terms amend and/or supplement the HSBC Corporate Account Opening Portal-Terms and Conditions and Privacy Statement (“Site
Terms and Conditions”) and shall apply to any access to the Site in India (India Country Clauses”).
The Site Terms and Conditions are subject to the mandatory provisions of Indian Law.
HSBC and other members of the HSBC Group are required to and may take any action to meet Compliance Obligations relating to or in connection
with the detection, investigation and prevention of Financial Crime (“Financial Crime Risk Management Activity”) and act in accordance with the
laws, regulations and requests of public and regulatory authorities operating in various jurisdictions which relate to Financial Crime. HSBC may
take, and may instruct (or be instructed by) any other member of the HSBC Group to take, any action which it or such other member, in its sole and
absolute discretion, considers appropriate to take in accordance with all such laws, regulations and requests.
Such action may include but is not limited to (a) combining Customer Information with other related information in the possession of the HSBC
Group, and/or (b) making further enquiries as to the status of a person or entity, whether they are subject to a sanctions regime, or confirming your
identity and status (c) share information on a confidential basis with such HSBC Group offices whether located in India or overseas in relation to
prevention of Financial Crime.
Exceptionally, our Financial Crime Risk Management Activity may lead to us delaying, the processing of your instructions or application for Services
or the provision of all or part of the Services. To the extent permissible by law, neither we nor any other member of HSBC Group shall be liable to
you or any third party in respect of any loss (whether direct or consequential and including, without limitation, loss of profit or interest, however it
arose) that was suffered or incurred by you or a third party, caused in whole or in part in connection with the undertaking of Financial Crime Risk
Management Activity.
In certain circumstances, the action which HSBC may take may prevent or cause a delay in the processing of certain information. Therefore, neither
HSBC nor any member of the HSBC Group warrants that any information on the HSBC's systems relating to any payment messages or other
information and communications which are the subject of any action taken pursuant to this clause is accurate, current or up-to-date at the time it is
accessed, whilst such action is being taken.
For the purpose of the present clause:
“Compliance Obligations” means obligations of the HSBC Group to comply with: (a) laws or international guidance and internal policies or
procedures, (b) any demand or request from authorities or reporting, disclosure or other obligations under laws, and (c) laws requiring us to verify
the identity of our customers.
“Financial Crime” includes money laundering, terrorist financing, bribery, corruption, tax evasion, fraud, evasion of economic or trade sanctions,
and/or any acts or attempts to circumvent or violate any laws relating to these matters
By accessing the Site, you acknowledge and agree that The Hongkong and Shanghai Banking Corporation Limited (HSBC) remains entitled to
assign activities, including but not limited to account opening, data processing and data analysis to third party agencies/service providers at its sole
discretion. You further acknowledge and agree that HSBC shall be entitled to transfer any information (including information relating to the entity on
whose behalf any application is completed, as well as information relating to any individuals related to that entity) on a confidential basis to any

Macau Country Clauses
The following terms amend and/or supplement the HSBC Corporate Account Opening Portal-Terms and Conditions and Privacy Statement (“Site
Terms and Conditions”) and shall apply to any access to the Site in Macau and in all cases when the Personal Data (Privacy) Ordinance applies
(“Macau Country Clauses”).
5. INTERPRETATION
5.1. Unless otherwise defined, capitalised terms used in the Macau Country Clauses shall have the same meaning as in the Site Terms and
Conditions.
5.2. “Authorities” includes any local or foreign judicial, administrative, public or regulatory body, any government, any Tax Authority, securities or
futures exchange, court, central bank or law enforcement body, self-regulatory or industry bodies or associations of financial service providers or
any of their agents with jurisdiction over any part of the HSBC Group.
5.3. “Compliance Obligations” means obligations of the HSBC Group to comply with (i) any Laws or international guidance and internal policies or
procedures, (ii) any demand from Authorities or reporting, disclosure or other obligations under Laws, and (iii) Laws requiring the HSBC Group to
verify the identity of its customers.
5.4. “Connected Person” means a person or entity (other than you) whose information (including Personal Data or Tax Information) is provided by
you, or on your behalf, to any member of the HSBC Group or which is otherwise received by any member of the HSBC Group in connection with the
provision of the Services. A Connected Person may include any guarantor, a director or officer of a company, partners or members of a partnership,
any “substantial owner”, “controlling person”, or beneficial owner, trustee, settlor or protector of a trust, account holder of a designated account,
payee of a designated payment, a representative, agent or nominee, or any other persons or entities with whom you have a relationship that is
relevant to your relationship with the HSBC Group.
5.5. “controlling persons” means individuals who exercise control over an entity. For a trust, these are the settlor, the trustees, the protector, the
beneficiaries or class of beneficiaries, and anybody else who exercises ultimate effective control over the trust, and for entities other than a trust,
these are persons in equivalent or similar positions of control.
5.6. “Financial Crime” means money laundering, terrorist financing, bribery, corruption, tax evasion, fraud, evasion of economic or trade sanctions,
or any acts or attempts to circumvent or violate any Laws relating to these matters.
5.7. “Financial Crime Risk Management Activity” means any action to meet Compliance Obligations relating to or in connection with the detection,
investigation and prevention of Financial Crime that any member of the HSBC Group may take.
5.8. “HSBC Group” means HSBC Holdings plc, its affiliates, subsidiaries, associated entities and any of their branches and offices (together or
individually), particularly including the receiver of Your Information, and “member of the HSBC Group” has the same meaning.
5.9. “Laws” includes any local or foreign law, regulation, judgment or court order, voluntary code, sanctions regime, agreement between any
member of the HSBC Group and an Authority, or agreement or treaty between Authorities and applicable to any member of the HSBC Group.
5.10. “Personal Data” means any information relating to an individual from which such individual can be identified.
5.11. “Services” includes (i) the opening, maintaining and closing of your accounts, (ii) the provision of credit facilities and other banking products
and services, processing applications, credit and eligibility assessment, and (iii) maintaining our overall relationship with you, including marketing
services or products to you, market research, insurance, audit and administrative purposes.
PUBLIC
5.12. “substantial owners” means any individuals entitled to more than 10% of the profits of or with an interest of more than 10% in an entity, directly
or indirectly.
5.13. “Tax Authorities” means Macau or foreign tax, revenue or monetary authorities.
5.14. “Tax Certification Forms” means any forms or other documentation as may be issued or required by a Tax Authority or by us from time to time
to confirm your tax status and/or the tax status of a Connected Person.
5.15. “Tax Information” means documentation or information about your tax status and/or the tax status of a Connected Person.
5.16. “Your Information” means all or any of the following items relating to you or a Connected Person, where applicable: (i) Personal Data, (ii)
information about you, your accounts, transactions, use products and services and your relationship with the HSBC Group and (iii) Tax Information.
Reference to the singular includes the plural (and vice versa).
6. COLLECTION, USE AND SHARING OF YOUR INFORMATION
6.1. This Macau Country Clauses explains how HSBC Group will use information about you and Connected Persons. By using the Services, you
expressly agree that any members of the HSBC Group may use Your Information in accordance with this Macau Country Clauses.
6.2. Your Information will not be disclosed to anyone, other than where:
- Any member of the HSBC Group is legally required to disclose;
- Any member of the HSBC Group has a public duty to disclose;
- the HSBC Group’s legitimate business purposes require disclosure;
- the disclosure is made with the data subject’s consent;
- it is disclosed as set out in this Macau Country Clauses.
Collection
6.3. Any member of the HSBC Group may collect, use and share Your Information. Your Information may be requested by any member of the
HSBC Group, and may be collected from you directly, from a person acting on your behalf, from other sources (including from publicly available
information), and it may be generated or combined with other information available to any member of the HSBC Group.
Use
6.4. Your Information will be processed, transferred and disclosed by any member of the HSBC Group, in accordance with the applicable Laws, in
connection with the following Purposes:
(A) considering applications for products and services;
(B) approving, managing, administering or effecting Services or any transaction that you request or authorise;
(E) collecting any amounts due and outstanding from you and from those providing guarantee or security for your obligations;
(F) conducting credit checks (including without limitation upon an application for consumer credit (including mortgage loans) and upon periodic or
special reviews of the credit which may take place one or more times each year) and obtaining or providing credit references;
(G) assisting other financial institutions to conduct credit checks and collect debts;
(H) enforcing or defending the right of any member of the HSBC Group;
(I) meeting internal operational requirements of the HSBC Group (including credit and risk management, system or product development and
planning, insurance, audit and administrative purposes);
(J) creating and maintaining HSBC Group’s credit and risk related models;
(K) ensuring your ongoing credit worthiness and of those providing guarantee or security for your obligations;
(L) marketing, designing, improving or promoting Services or related products to you (and to Connected Persons to the extent permissible by Laws)
and conducting market research;
(M) determining the amount of indebtedness owed to or by you and by those providing guarantee or security for your obligations;
(N) complying with any obligations, requirements or arrangements that any member of the HSBC Group is expected to comply according to:
(i) any Laws or Compliance Obligations;
(ii) any codes, internal guidelines, guidelines or guidance given or issued by any Authorities;
(iii) any present or future contractual or other commitment with any Authorities with jurisdiction over all or any part of the HSBC Group; or
(iv) any agreement or treaty between Authorities;
(O) complying with any obligations, requirements, policies, procedures, measures or arrangements for sharing data and information within the
HSBC Group or any other use of data and information in accordance with any programmes for compliance with sanctions or prevention or detection
of Financial Crime;
(P) meeting any obligations, demand or request from Authorities;
(Q) enabling an actual or proposed assignee of the HSBC Group, or participant or sub-participant of the HSBC Group’s rights in your respect to
evaluate the transaction intended to be the subject of the assignment, participation or sub-participation;
(R) maintaining the HSBC Group’s overall relationship with you;
(S) matching against any data held by the HSBC Group for whatever purpose (whether or not with a view to taking any adverse action against you);
(T) any purposes relating or incidental to any of the above.
(the “Purposes”).
Sharing
6.5. By using the Services, you expressly agree that any member of the HSBC Group may, as necessary and appropriate for the Purposes, transfer
and disclose any Your Information in accordance with applicable Laws to the following recipients globally, for example, in Hong Kong, UK and USA
(who may also process, transfer and disclose Your Information for the Purposes):
(A) any member of the HSBC Group;
(B) any agents, contractors, sub-contractors, service providers or associates of the HSBC Group (including their employees, directors, officers,
agents, contractors, service providers and professional advisers);
(C) any Authorities, in response to their requests, including, but not limited to, reporting for purposes relating to the Foreign Account Tax
Compliance Act;
(D) any persons acting on your behalf or any person acting on the behalf of payment recipients, beneficiaries, account nominees, intermediary,
correspondent and agent banks, clearing houses, clearing or settlement systems, market counterparties, upstream withholding agents, swap or
trade repositories, stock exchanges, companies in which you have an interest in securities (where such securities are held by any member of the
HSBC Group for you) or a person making any payment into your account;
(E) the drawee bank providing a copy of a paid cheque (which may contain information about the payee) to the drawer;
(F) any party acquiring an interest in, or assuming risk in, or in connection with, the Services;
(G) any debt collection agencies, in the event of default;
(H) any credit reference agencies or credit bureaus, for obtaining or providing credit or bankers’ references;
(I) any other third party financial institutions, insurers, credit card companies, securities and investment services providers;
(J) any charitable or non-profit making organisations;
(K) any third party fund manager who provides asset management services to you;
(L) any introducing broker to whom the HSBC Group provides introductions or referrals;
(M) any third party reward, loyalty, co-branding and privileges programme providers, and any co-branding partners of any member of the HSBC
Group (the names of such co-branding partners will be provided during the application process for the relevant services and products, as the case
may be);
(N) any actual or proposed assignee of the HSBC Group or participant or sub-participant or transferee of the HSBC Group’s rights in respect of you;
(O) any party involved in any business transfer, disposal, merger or acquisition by any member of the HSBC Group
wherever located, including in jurisdictions which do not have data protection laws that provide the same level of protection as the jurisdiction in
which the Services are supplied.
Your obligations
6.6. You expressly agree to inform the HSBC Group promptly and in any event, within 30 days in writing if there are any changes to Your
Information supplied to any member of the HSBC Group from time to time, and to respond promptly to any request for Your Information from any
member of the HSBC Group.
6.7. You confirm that every Connected Person whose information (including Personal Data or Tax Information) has been (or will be) provided to any
member of the HSBC Group has (or will at the relevant time have) been notified of and agreed to the processing, disclosure and transfer of their
information as set out in this Macau Country Clause (as may be amended or supplemented by the HSBC Group from time to time). You advise any
such Connected Persons that they have rights of access to, and correction of, their Personal Data.
6.8. You consent and shall take such steps as are required from time to time for the purposes of any applicable data protection law or secrecy law
to permit any member of HSBC Group to use, store, disclose, process and transfer all Your Information in the manner described in the Site Terms
and Conditions. You agree to inform the HSBC Group promptly in writing if you are not able or have failed to comply with the obligations set out in
2.7 and 2.8 in any respect.
6.9. Where
- you or any Connected Person fails to provide promptly Your Information reasonably requested by the HSBC Group, or
- you or any Connected Person withhold or withdraw any consents that the HSBC Group may need to process, transfer or disclose Your Information
for the Purposes (except for purposes connected with marketing or promoting products and services to you), or
- any member of the HSBC Group has, suspicions regarding Financial Crime or an associated risk,
the HSBC Group may:
(1) be unable to provide new, or continue to provide all or part of the Services to you and reserve the right to terminate its relationship with you;
(2) take actions necessary for the HSBC Group to meet the Compliance Obligations; and
(3) block, transfer or close your account(s) where permitted under local Laws.
In addition, if you fail to supply promptly your, or a Connected Person’s, Tax Information and accompanying statements, waivers and consents, as
may be requested, then the HSBC Group may make its own judgment
with respect to the status of you or the Connected Person, including whether you or a Connected Person is reportable to a Tax Authority, and may
require the HSBC Group or other persons to withhold amounts as may be legally required by any Tax Authority and to pay such amounts to the
appropriate Tax Authority.
Data Protection
6.10. Whether it is processed in a home jurisdiction or overseas, in accordance with data protection legislation, Your Information will be protected by
a strict code of secrecy and security which all members of the HSBC Group, their staff and third parties are subject to.
6.11. Under relevant data protection legislation, you have the right to request copies of certain categories of Personal Data which may be held and
to request that any errors in such data are corrected.
6.12. You have the right to request access to and correction of any of the Personal Data or to request the Personal Data not to be used for direct

7. FINANCIAL CRIME RISK MANAGEMENT ACTIVITY
7.1. Financial Crime Risk Management Activity may include: (1) screening, intercepting and investigating any instruction, communication, drawdown
request, application for Services, or any payment sent to or by you, or on your behalf; (2) investigating the source of or intended recipient of funds;
(3) combining Your Information with other related information in the possession of the HSBC Group; and (4) making further enquiries as to the
status of a person or entity, whether they are subject to a sanctions regime, or confirming the identity and status of you or a Connected Person.
7.2. The HSBC Group’s Financial Crime Risk Management Activity may lead to the delay, blocking or refusing the making or clearing of any
payment, the processing of your instructions or application for Services or the provision of all or part of the Services. To the extent permissible by
law, none of the member of the HSBC Group shall be liable to you or any third party in respect of any loss (howsoever it arose) that was suffered or
incurred by you or a third party, caused in whole or in part in connection with the undertaking of Financial Crime Risk Management Activity.
8. TAX COMPLIANCE
8.1. You acknowledge that you are solely responsible for understanding and complying with your tax obligations (including tax payment or filing of
returns or other required documentation relating to the payment of all relevant taxes) in all jurisdictions in which those obligations arise and relating
to the opening and use of account(s) or Services provided by any member of the HSBC Group. Each Connected Person acting in his/its capacity as
a Connected Person also makes the same acknowledgement in his/its own regard. Certain countries may have tax legislation with extra-territorial
effect regardless of your or a Connected Person’s place of domicile, residence, citizenship or incorporation. None of the member of the HSBC
Group provides tax advice. You are advised to seek independent legal and tax advice. None of the member of the HSBC Group has responsibility in
respect of your tax obligations in any jurisdiction which may arise including any that may relate specifically to the opening and use of account(s) and

Clauses nationales australiennes
Les conditions suivantes amendent et/ou complètent les Conditions générales et la Politique de confidentialité de l'Espace Ouverture de compte
HSBC Entreprise (les « Conditions générales du Site ») et s'appliquent à tout accès au Site en Australie et lorsque la loi australienne sur la
protection de la vie privée s'applique (les « Clauses nationales australiennes »).
1. Interprétation et définitions
1.1. Sauf dispositions contraires, les termes commençant par une majuscule mentionnés aux Clauses nationales australiennes
s'entendent au sens qui leur est attribué dans les Conditions générales du Site ainsi que dans la Politique de confidentialit é
(le cas échéant).
1.2. Toute référence au « Client » ou à « vous » se réfère à vous ou, le cas échéant, aux Personnes liées (collectivement
et individuellement, le « Client » ou « vous »).
1.3. Le terme « Autorités » comprend tout organisme judiciaire, administratif, public ou réglementaire, tout gouvernement, toute
autorité fiscale, toute bourse des valeurs mobilières ou d'instruments à court terme, tribunal, banque centrale ou organisme
chargé de l'application de la loi ou tout agent de ces derniers, exerçant leur juridiction sur toute partie du Groupe HSBC.
1.4. « Personne lié » désigne toute personne ou entité dont les informations (y compris les Données personnelles) sont
communiquées, par vous ou pour votre compte, à tout membre du Groupe HSBC en relation avec le Site. La notion de
Personne liée comprend mais ne se limite pas à tout garant, administrateur ou dirigeant d'une société, tout associé ou
membre d'un partenariat, tout « propriétaire substantiel », ou
propriétaire effectif, tout fiduciaire ou auteur d'une fiducie, tout titulaire d'un compte désigné, tout bénéficiaire d'un paiement,
représentant, mandataire ou personne désignée, votre mandataire lorsque vous agissez pour le compte d'une partie, ou toute
autre personne ou entité avec laquelle vous entretenez une relation ayant un lien avec votre relation bancaire ou autre avec
le Groupe HSBC.
1.5. « Informations client » désigne les données personnelles et/ou informations confidentielles relatives au Client ou à la
Personne liée.
1.6. « Données personnelles » désigne toute information ou opinion, quelle que soit sa forme, relative à un individu, laquelle
permet d'identifier l'individu en question, y compris mais ne se limitant à toute donnée à caractère personnel sensible.
1.7. « Loi sur la protection de la vie privée » désigne la loi sur la protection de la vie privée de 1988 (Commonwealth
australien) telle que modifiée ou complétée de temps à autre.
1.8. « Politique de confidentialité » désigne la Politique d'HSBC Australie, laquelle se trouve sur www.hsbc.com.au ou
autrement disponible sur demande.
1.9. Les « Fins » sont définies dans l'article 3.1. des présentes.
2. Traitement des données
2.1. HSBC et/ou tout membre du Groupe HSBC traitera, utilisera, communiquera et divulguera les Informations client liées
aux fins définies dans la Politique de confidentialité et dans les Conditions générales du Site.
3. Partage des données
3.1. En utilisant le Site, vous acceptez qu'HSBC peut, le cas échéant et si nécessaire aux fins définies dans la Politique de
confidentialité et dans les Conditions générales du Site (les « Fins »), communiquer et divulguer toute Information client, y
compris aux destinataires ci-dessous (lesquels peuvent également traiter, utiliser, communiquer et divulguer les dites
Informations client aux fins définies dans la Politique de confidentialité et dans les Conditions générales du Site) :

gia ngoài Hoa Kỳ. Ngân Hàng HSBC Hoa Kỳ có thể công bố thông tin mà Khách Hàng nộp cho các thành viên khác của Tập Đoàn HSBC hoặc cho
các bên thứ ba cho các mục đích xử lý và giám sát, và có thể được yêu cầu công bố thông tin này cho các bên thứ ba, bao gồm các cơ quan quản
lý và thực thi pháp luật, phù hợp với luật áp dụng.

Bố Quyền Riêng Tư (“Các Điều Khoản và Điều Kiện của Trang Điện Tử”) và sẽ áp dụng đối với bất kỳ truy cập nào đến Trang Điện Tử tại nước
Cộng Hòa Singapore và trong tất cả các trường hợp khi Đạo Luật Bảo Mật Dữ Liệu Cá Nhân của Singapore áp dụng (“Các Điều Khoản Quốc Gia
Singapore”).
Giải Thích
1.1. Trừ khi được định nghĩa khác đi, các thuật ngữ viết hoa được sử dụng tại Các Điều Khoản Quốc Gia Singapore sẽ có cùng ý nghĩa như được
quy định tại Các Điều Khoản và Điều Kiện của Trang Điện Tử.
1.2 "HSBC", "cho chúng tôi", " chúng tôi" hoặc "của chúng tôi" dẫn chiếu đến Ngân Hàng Hồng Kông và Thượng Hải, Chi nhánh Singapore và các
công ty tập đoàn của chúng tôi.
1.3 "Dữ Liệu Cá Nhân" dẫn chiếu đến bất kỳ dữ liệu nào hoặc thông tin nào về quý khách mà từ đó có thể nhận dạng được quý khách hoặc (a) từ
dữ liệu đó; hoặc (b) từ dữ liệu đó và thông tin khác mà chúng tôi có hoặc có khả năng truy cập. Các ví dụ về Dữ Liệu Cá Nhân đó bao gồm:
a. tên của quý khách, NRIC, số hộ chiếu hoặc số chứng thực khác, (các) số điện thoại, địa chỉ gửi thư, địa chỉ thư điện tử và bất kỳ thông tin nào
khác liên quan đến quý khách mà quý khách đã cung cấp cho chúng tôi dưới bất kỳ hình thức nào, mà quý khách đã nộp cho cúng tôi, hoặc dưới
bất kỳ hình thức tương tác nào khác với quý khách;
b. thông tin về việc sử dụng của quý khách đối với trang web và các dịch vụ của HSBC, bao gồm cookies, địa chỉ IP, chính sách và thông tin về lịch
sử khiếu nại;
c. kinh nghiệm làm việc, trình độ học vấn, và mức thu nhập của quý khách;
d. các thông tin liên quan đến giao dịch của quý khách, chẳng hạn như tài khoản ngân hàng hoặc thông tin thẻ tín dụng, và lịch sử tín dụng của quý
khách; và
e. thông tin về việc sử dụng và tương tác của quý khách với trang web và/hoặc các dịch vụ của chúng tôi bao gồm máy tính và thông tin kết nối,
dung lượng thiết bị, băng thông, số liệu thống kê về số lần xem trang, và lưu lượng truy cập đến và từ trang web của chúng tôi.
1.4 "PDPA" có nghĩa là Đạo Luật Bảo Mật Dữ Liệu Cá Nhân.
2. Thu Thập Dữ Liệu Cá Nhân
2.1 Nhìn chung, HSBC có thể thu thập Dữ Liệu Cá Nhân của quý khách theo các cách sau:
a. khi quý khách đăng ký một tài khoản với chúng tôi;
b. khi quý khách truy cập trang web của chúng tôi hoặc thực hiện một giao dịch trực tuyến;
c. khi quý khách tương tác với bất kỳ nhân viên nào của chúng tôi (bao gồm các nhân viên dịch vụ khách hàng);
d. khi quý khách nộp một đơn đăng ký cho chúng tôi để mua các sản phẩm của chúng tôi hoặc để sử dụng các dịch vụ của chúng tôi;
e. khi quý khách phản hồi yêu cầu cung cấp bổ sung Dữ Liệu Cá Nhân của chúng tôi;
f. khi quý khách yêu cầu được đưa vào danh sách thư điện tử hoặc danh sách gửi thư khác;
g. khi quý khách yêu cầu chúng tôi liên lạc với quý khách;
h. khi quý khách phản hồi với các sáng kiến hoặc chương trình khuyến mãi của chúng tôi; và
i. khi quý khách nộp Dữ Liệu Cá Nhân của quý khách cho chúng tôi vì bất kỳ lý do nào khác.
2.2 Khi quý khách duyệt trang web của chúng tôi, quý khách thường thực hiện việc đó một cách ẩn danh, nhưng vui lòng tham chiếu đến Cổng
Thông Tin Mở Tài Khoản Doanh Nghiệp của HSBC – Chính Sách Cookies để biết thêm thông tin.
3. Mục Đích Thu Thập, Sử Dụng và Công Bố Dữ Liệu Cá Nhân của Quý Khách
3.1 Nhìn chung, HSBC có thể thu thập, sử dụng và/hoặc công bố Dữ Liệu Cá Nhân của quý khách cho các mục đích sau:
a. đánh giá và đưa ra tư vấn và/hoặc đề xuất cho quý khách liên quan đến loại sản phẩm và dịch vụ phù hợp với nhu cầu của quý khách;
b. đánh giá và xử lý bất kỳ đơn đăng ký hoặc yêu cầu nào của quý khách đối với các sản phẩm và dịch vụ do HSBC cung cấp;
c. liên hệ với quý khách để thông báo cho quý khách về các thay đổi và cập nhật đối với các chính sách, điều khoản và điều kiện của chúng tôi và
các thông tin hành chính khác, bao gồm nhưng không giới hạn cho các mục đích phục vụ quý khách liên quan đến các sản phẩm và dịch vụ cung
cấp cho quý khách;
d. quản trị, duy trì, quản lý và vận hành các sản phẩm và dịch vụ được cung cấp cho quý khách, bao gồm các chương trình của chính phủ;
e. xử lý và quản lý các quyền lợi hoặc quyền liên quan đến các dịch vụ của chúng tôi mà quý khách đã đăng ký, bao gồm quản lý chương trình
khách hàng trung thành và các chương trình thưởng;
f. xác minh danh tính của quý khách cho mục đích cung cấp các dịch vụ của chúng tôi cho quý khách;
g. giải đáp các thắc mắc và yêu cầu của quý khách và xử lý khiếu nại;
h. cung cấp cho quý khách dịch vụ cá nhân, kể cả tại các điểm chăm sóc khách hàng của chúng tôi;
i. thực hiện nghiên cứu thị trường để mô tả về thống kê và các mục đích khác để hiểu và xác định các ưu đãi khách hàng và số liệu thống kê dân
số để chúng tôi rà soát, phát triển và cải thiện các sản phẩm và dịch vụ mà chúng tôi đang cung cấp cho quý khách (bao gồm nhưng không giới
hạn bởi việc đảm bảo rằng các sản phẩm và dịch vụ được cung cấp là phù hợp với quý khách);
j. thực hiện báo cáo tài chính và phân tích liên quan đến hoạt động kinh doanh của chúng tôi;
k. quản lý cơ sở hạ tầng và hoạt động kinh doanh của chúng tôi và tuân thủ các chính sách và quy trình nội bộ;
l. lưu trữ các tài liệu và hồ sơ cả hình thức điện tử và bản cứng cho các mục đích lưu trữ hồ sơ;
m. lưu trữ tài liệu về các chỉ dẫn khách hàng, cho dù thông qua ghi âm điện thoại, tài liệu bản cứng, tài liệu bản mềm hoặc các chỉ dẫn được cung
cấp qua các phương tiện điện tử hoặc phương tiện khác;
n. thực hiện kiểm tra tài chính và đảm bảo khả năng thanh toán nợ hiện tại, và thu hồi số tiền chưa thanh toán từ quý khách và bất kỳ tổ chức/cá
nhân nào cung cấp bảo đảm hoặc bảo lãnh cho các nghĩa vụ của quý khách;
o. xác định số sợ mà quý khách phải trả hoặc phải trả cho quý khách;
p. hỗ trợ các giao dịch tài sản kinh doanh (mà có thể áp dụng cho bất kỳ việc sáp nhập, mua lại hoặc bán tài sản) liên quan đến bất kỳ công ty tập
đoàn HSBC nào;
q. hỗ trợ việc xác minh và kiểm tra Dữ Liệu Cá Nhân của quý khách để cung cấp cho quý khách các sản phẩm và dịch vụ của chúng tôi mà quý
khách đã yêu cầu;
r. ngăn chặn, phát hiện và điều tra tội phạm, bao gồm gian lận và bất kỳ hình thức tội phạm tài chính nào, và phân tích và quản lý các rủi ro thương
mại khác;
s. tuân thủ bất kỳ đạo luật, quy chế, luật, quy định, phán quyết, nghị định, chỉ thị, bộ quy tắc ứng xử, hướng dẫn, quy định tài chính, biện pháp
trừng phạt, quyết định của tòa án, thỏa thuận giữa bất kỳ công ty tập đoàn HSBC nào và một Cơ Quan Có Thẩm Quyền (theo định nghĩa tại Phần
5.1(k) của Các Điều Khoản Quốc Gia Singapore), thỏa thuận hoặc hiệp định giữa các Cơ Quan Có Thẩm Quyền, các hướng dẫn quốc tế và các
chính sách hoặc quy trình nội bộ có thể áp dụng với bất kỳ công ty tập đoàn HSBC nào hoặc được áp dụng với bất kỳ công ty nào như vậy, hoặc
để trợ giúp trong hoặc với việc thực thi pháp luật và điều tra của bất kỳ Cơ Quan Có Thẩm Quyền nào hoặc để tuân thủ bất kỳ yêu cầu nào từ một
Cơ Quan Có Thẩm Quyền; và
t. phụ thuộc vào luật áp dụng, bất kỳ mục đích nào khác quy định tại Các Điều Khoản và Điều Kiện.
Quý khách nên đảm bảo rằng tất cả Dữ Liệu Cá Nhân được nộp cho chúng tôi là đầy đủ, chính xác, trung thực và đúng đắn. Việc phía quý khách
không thực hiện được điều đó có thể dẫn đến việc chúng tôi không thể cung cấp cho quý khách các sản phẩm và dịch vụ mà quý khách đã yêu
cầu.
3.2 Ngoài ra, HSBC có thể thu thập, sử dụng và/hoặc công bố Dữ Liệu Cá Nhân của quý khách cho các mục đích sau, nếu quý khách là một khách
hàng doanh nghiệp (trong trường hợp Doanh Nghiệp Tư Nhân hoặc Công Ty Hợp Danh) hoặc một đại điện của khách hàng doanh nghiệp hoặc
chủ sở hữu tài khoản doanh nghiệp, HSBC có thể thu thập, sử dụng và/hoặc công bố Dữ Liệu Cá Nhân của quý khách cho các mục đích sau đây:
a. quản trị, duy trì, quản lý và vận hành các sản phẩm và dịch vụ được cung cấp cho quý khách (trong trường hợp Doanh Nghiệp Tư Nhân hoặc
Công Ty Hợp Danh) hoặc doanh nghiệp hoặc công ty mà quý khách là người đại diện;
b. xử lý và thực hiện các chỉ dẫn của quý khách (trong trường hợp Doanh Nghiệp Tư Nhân hoặc Công Ty Hợp Danh) hoặc doanh nghiệp hoặc
công ty mà quý khách là người đại diện (bao gồm nhưng không giới hạn bởi việc xác minh các quyết định và chỉ thị, bảo đảm cho các chấp thuận
nội bộ và chấp thuận pháp lý);
c. chuẩn bị tài liệu liên quan cho các sản phẩm và dịch vụ được sử dụng bởi quý khách (trong trường hợp Doanh Nghiệp Tư Nhân hoặc Công Ty
Hợp Danh) hoặc doanh nghiệp hoặc công ty mà quý khách là người đại diện, và thông tin trao đổi liên quan đến các tài liệu đó; và
d. bất kỳ mục đích nào khác liên quan trực tiếp đến bất kỳ nội dung nào nêu trên.
3.3 Cho dù có các quy định trên đây, chúng tôi có thể thu thập, sử dụng và/hoặc công bố Dữ Liệu Cá Nhân của quý khách cho các mục đích sau,
phù hợp với PDPA:
a. các mục đích cho việc chúng tôi đã nhận được chấp thuận của quý khách một cách cụ thể: và
b. các mục đích của việc quý khách đã cung cấp Dữ Liệu Cá Nhân của quý khách cho chúng tôi.
4. Các Mục Đích Tiếp Thị / Không Bắt Buộc
4.1 Trong trường hợp quý khách đã cung cấp cho chúng tôi các chấp thuận bổ sung một cách cụ thể, HSBC cũng có thể thu thập, sử dụng và/hoặc
công bố Dữ Liệu Cá Nhân của quý khách cho các mục đích sau:
a. cung cấp các quyền lợi cho quý khách, bao gồm nhưng không giới hạn bởi các chương trình khuyến mãi, các chương trình khách hàng trung
thành và các chương trình thưởng và gửi cho quý khách các thông tin chi tiết về sản phẩm, dịch vụ, các đề xuất đặc biệt và quà tặng, hoặc gửi
chung cho khách hàng của chúng tôi, hoặc theo mối quan tâm của quý khách;
b. kết hợp Dữ Liệu Cá Nhân của quý khách với các dữ liệu khác được thu thập cho các mục đích khác và từ các nguồn khác (bao gồm cả các bên
thứ ba) liên quan đến việc cung cấp hoặc đề xuất các sản phẩm và dịch vụ, cho dù bởi bất kỳ công ty tập đoàn HSBC nào, hoặc các bên thứ ba
khác;
c. thực hiện các yêu cầu giới thiệu của quý khách;
d. quản lý các cuộc thi và cạnh tranh;
e. tham gia vào các ý tưởng tiếp thị của HSBC;
f. tham gia vào các hoạt động quảng bá thương hiệu của HSBC (bao gồm nhưng không giới hạn bởi việc ghi lại bằng văn bản hoặc hình ảnh/âm
thanh các trích dẫn và chứng nhận của quý khách cho ý tưởng truyền thông, thông cáo báo chí và các ấn phẩm và quảng bá nội bộ của HSBC);
g. mời tham dự các hoạt động phát triển bền vững doanh nghiệp của HSBC, và việc ghi lại bằng hình ảnh/âm thanh các phản hồi và chứng nhận
của quý khách liên quan đến các hoạt động đó; và
h. phát triển các đợt khuyến mãi và các chương trình tiếp thị.
Nếu quý khách đã cung cấp (các) số điện thoại Singapore của quý khách và đã cho biết rằng quý khách đồng ý với việc nhận thông tin tiếp thị hoặc
khuyến mãi qua (các) số điện thoại Singapore của quý khách, thì tại từng thời điểm, chúng tôi có thể liên hệ với quý khách sử dụng (các) số điện
thoại Singapore đó (kể cả thông qua các cuộc gọi thoại, SMS, fax hoặc các phương tiện khác) với các thông tin về các sản phẩm và dịch vụ của
chúng tôi (bao gồm giảm giá và các đợt khuyến mãi).
5. Công Bố Dữ Liệu Cá Nhân
5.1 Dữ Liệu Cá Nhân sẽ được bảo vệ và bảo mật nhưng, phụ thuộc vào các quy định của bất kỳ luật áp dụng, có thể được công bố vì các mục
đích được nêu trên đây (nếu phù hợp) cho các bên sau đây:
a. các công ty tập đoàn HSBC;
b. các công ty cung cấp các dịch vụ liên quan đến bảo hiểm và/hoặc tái bảo hiểm cho HSBC;
c. thám tử tư, các bệnh viện hoặc trạm y tế liên quan đến các khiếu nại hoặc định giá bảo hiểm;
d. các hiệp hội công ty bảo hiểm, bao gồm Hiệp Hội Bảo Hiểm Nhân Thọ Singapore;
e. các đại lý, nhà thầu hoặc các nhà cung cấp dịch vụ bên thứ ba cung cấp các dịch vụ, ví dụ như viễn thông, trung tâm chăm sóc khách hàng, gửi
thư, công nghệ thông tin, thanh toán, tính lương, xử lý dữ liệu, đào tạo, nghiên cứu thị trường, lưu trữ và lưu giữ, cho HSBC;
f. Cục Quản Lý Tín Dụng, hoặc trong trường hợp vi phạm hoặc tranh chấp, bất kỳ cơ quan thu hồi nợ nào hoặc các trung tâm giải quyết tranh chấp
(cho dù ở Singapore hoặc nước khác) ví dụ như Trung Tâm Giải Quyết Tranh Chấp Ngành Tài Chính;
g. bất kỳ đối tác kinh doanh, nhà đầu tư, bên nhận chuyển giao hoặc bên nhận chuyển nhượng (trên thực tế hoặc tiềm năng) để hỗ trợ các giao
dịch tài sản kinh doanh (mà có thể áp dụng với bất kỳ sáp nhập, mua lại hoặc bán tài sản) liên quan đến HSBC;
h. bất kỳ người thanh lý, người quản lý tài sản, bên nhận chuyển giao / bên nhận ủy thác chính thức, người quản lý tư pháp hoặc bất kỳ tổ chức/cá
nhân nào khác được chỉ định theo hoặc phù hợp với bất kỳ luật áp dụng nào hoặc quyết định của tòa án liên quan đến phát sản, thanh lý, giải thể,
quản lý tư pháp hoặc bất kỳ quá trình tương tự nào khác đối với bất kỳ cá nhân, công ty hoặc doanh nghiệp;
i. ngân hàng, các tổ chức tài chính, các công ty thẻ tín dụng và các nhà cung cấp dịch vụ tương ứng của họ;
j.các nhà tư vấn chuyên môn khác của chúng tôi như các kiểm toán viên và luật sư của chúng tôi;
k. bất kỳ cơ quan tư pháp, hành pháp hoặc quản lý nào, bất kỳ chính phủ hoặc phòng, ban hoặc đơn vị công quyền hoặc cơ quan nhà nước, bất kỳ
cơ quan hoặc đơn vị trong nước hoặc nước ngoài về thuế, doanh thu, tài chính hoặc tiền tệ, sở giao dịch chứng khoán hoặc sở giao dịch hợp đồng
tương lai, tổ chức tự quản, hệ thống đăng ký giao dịch, các đối tác trung tâm, tòa án, ngân hàng trung ương hoặc cơ quan thực thi pháp luật hoặc
bất kỳ đơn vị nào thuộc các phòng, ban hoặc đơn vị vừa nêu, có thẩm quyền đối với bất kỳ công ty tập đoàn HSBC nào (gọi chung là "Các Cơ
Quan Có Thẩm Quyền" và gọi riêng là một "Cơ Quan Có Thẩm Quyền");
l. các bên vận hành của các hệ thống thanh toán, ví dụ như Hiệp Hội Hãng Thanh Toán Bù Trừ Singapore, Công Ty TNHH Mạng Lưới Chuyển
Giao Điện Tử (Singapore), các ngân hàng thành viên và các tổ chức tài chính bên thứ ba của họ cũng như các công ty thẻ tín dụng như Visa Inc,
Mastercard Inc, American Express Inc, và các nhà cung cấp dịch vụ chứng khoán và đầu tư liên quan đến bất kỳ khoản thanh toán, phí hoặc các
chỉ dẫn liên quan khác mà quý khách có thể đưa ra, cũng như các bên nhận các khoản thanh toán và phí này;
m. bất kỳ thương gia hoặc thương nhân, hoặc bất kỳ bên nào khác chấp nhận sử dụng thẻ ATM và các đại lý hoặc các nhà thầu của họ đối với các
giao dịch sử dụng ATM của ngân hàng hoặc các tổ chức tài chính hoặc phi tài chính;
n. bất kỳ đối tác liên minh doanh nghiệp, môi giới bảo hiểm và nhà cung cấp trực tiếp hoặc gián tiếp dịch vụ bảo mật tín dụng cần thiết cho việc
thực hiện các mục đích nêu trên;
o. các nhà cung cấp bên thứ ba các chương trình thưởng, khách hàng trung thành, đặc quyền và hợp tác thương hiệu;
p. các đối tác hợp tác thương hiệu của HSBC (tên của các đối tác hợp tác thương hiệu đó sẽ được cung cấp trong quá trình đăng ký các dịch vụ và
sản phẩm liên quan, tùy trường hợp áp dụng); và
q. bất kỳ tổ chức/cá nhân nào khác liên quan đến các mục đich nêu trên.
6. Rút Lại Chấp Thuận
Nếu quý khách muốn rút lại chấp thuận đối với bất kỳ việc sử dụng hoặc công bố Dữ Liệu Cá Nhân của quý khách theo quy định tại Các Điều
Khoản Quốc Gia Singapore, quý khách có thể liên hệ với chúng tôi thông qua các đường dây nóng chăm sóc khách hàng của chúng tôi.
Xin vui lòng lưu ý rằng nếu quý khách rút lại chấp thuận đối với bất kỳ hoặc tất cả việc sử dụng hoặc công bố Dữ Liệu Cá Nhân của quý khách, tùy
thuộc vào bản chất yêu cầu của quý khách, chúng tôi có khả năng không thể tiếp tục cung cấp các sản phẩm hoặc dịch vụ của chúng tôi cho quý
khách hoặc quản lý bất kỳ mối quan hệ theo hợp đồng nào có sẵn. Việc rút lại đó cũng có thể dẫn đến chấm dứt bất kỳ thỏa thuận nào giữa quý
khách và chúng tôi. Các quyền hợp pháp và biện pháp khắc phục của HSBC được bảo lưu rõ ràng trong trường hợp đó.
7. Truy Cập và Chỉnh Sửa Dữ Liệu Cá Nhân của Quý khách
Quý khách có thể yêu cầu truy cập hoặc chỉnh sửa các hồ sơ Dữ Liệu Cá Nhân của quý khách, nhưng HSBC có quyền tính một mức phí hợp lý
cho việc xử lý yêu cầu của quý khách. Đề nghị gửi yêu cầu của quý khách cho Nhân Viên Bảo Mật Dữ Liệu tương ứng thông qua thông tin liên hệ
chi tiết được nêu tại đây để chúng tôi tiếp tục xử lý.
8. Liên Hệ Với Chúng Tôi
Nếu quý khách có bất kỳ câu hỏi hoặc khiếu nại nào liên quan đến việc sử dụng hoặc công bố Dữ Liệu Cá Nhân của quý khách, hoặc nếu quý
khách muốn biết thêm về các chính sách và thực hành bảo mật dữ liệu của chúng tôi, đề nghị liên hệ Nhân Viên Bảo Mật Dữ Liệu tương ứng thông
qua thông tin liên hệ chi tiết được nêu tại đây.
9. Xác Nhận của Khách Hàng
Trong trường hợp dữ liệu cá nhân được quý khách gửi thay mặt cho cá nhân khác hoặc liên quan đến cá nhân khác ngoài quý khách (hoặc, trong
trường hợp nếu quý khách, với tư cách là một đại diện của công ty hoặc tổ chức của quý khách, đang gửi các dữ liệu của các cá nhân như là một
phần của công bố thông tin của công ty hoặc tổ chức cho chúng tôi), quý khách cam đoan và bảo đảm với chúng tôi rằng tất cả các chấp thuận cần
thiết (nhận được theo tất cả luật bảo mật dữ liệu áp dụng, bao gồm nhưng không giới hạn bởi PDPA, cho các mục đích nêu tại các phần liên quan
của Các Điều Khoản Quốc Gia Singapore) đã nhận được từ các cá nhân liên quan và rằng quý khách đã giữ lại bằng chứng của các chấp thuận
này, các bằng chứng đó sẽ được cung cấp cho chúng tôi theo yêu cầu của chúng tôi.
Quý khách hiểu rằng Các Điều Khoản Quốc Gia Singapore tạo thành một phần của các điều khoản và điều kiện điều chỉnh mối quan hệ giữa quý
khách và HSBC.
Các Điều Khoản Quốc Gia Hồng Kông
Các điều khoản sau đây sửa đổi và/hoặc bổ sung Cổng Thông Tin Mở Tài Khoản Doanh Nghiệp HSBC – Các Điều Khoản và Điều Kiện và Tuyên
Bố Quyền Riêng Tư (“Các Điều Khoản và Điều Kiện của Trang Điện Tử”) và sẽ áp dụng đối với bất kỳ truy cập nào đến Trang Điện Tử tại Hồng
Kông và trong tất cả các trường hợp khi Pháp Lệnh (Quyền Riêng Tư) Dữ Liệu Cá Nhân áp dụng (“Các Điều Khoản Quốc Gia Hồng Kông”).
Bằng việc sử dụng trang điện tử, quý khách, thay mặt cho tổ chức mà quý khách đang truy cập trang điện tử cho tổ chức đó (“Khách Hàng”), đồng
ý với Ngân Hàng Hồng Kông và Thượng Hải (“Ngân hàng” hoặc “chúng tôi”) và các công ty con và công ty liên kết tương ứng của Ngân Hàng
Hồng Kông và Thượng Hải rằng Các Điều Khoản và Điều Kiện của Trang Điện Tử và Các Điều Khoản Quốc Gia Hồng Kông này mang tính ràng
buộc quý khách và Khách Hàng, và có thể thi hành bởi Ngân Hàng hoặc bất kỳ thành viên nào của Tập Đoàn HSBC. Dẫn chiếu đến “quý khách” sẽ
có nghĩa là Khách Hàng, hoặc, nếu áp dụng, bất kỳ cá nhân nào được Khách Hàng ủy quyền để đưa ra chỉ dẫn liên quan đến một Dịch Vụ.
1. Giải Thích
1.1. Trừ khi được định nghĩa khác đi, các thuật ngữ viết hoa được sử dụng tại Các Điều Khoản Quốc Gia Hồng Kông sẽ có nghĩa tương tự như
được quy định tại Các Điều Khoản và Điều Kiện của Trang Điện Tử.
1.2. "Người Có Liên Quan" có nghĩa là cá nhân hoặc tổ chức (ngoại trừ quý khách) có thông tin (bao gồm Dữ Liệu Cá Nhân hoặc Thông Tin Thuế)
được cung cấp bởi quý khách, hoặc nhân danh của quý khách, cho bất kỳ thành viên nào thuộc Tập Đoàn HSBC hoặc thông tin do bất kỳ thành
viên nào thuộc Tập Đoàn HSBC nhận được bằng phương thức khác có liên quan đến việc cung cấp các Dịch Vụ. Một Người Có Liên Quan có thể
bao gồm bất kỳ bên bảo lãnh nào, giám đốc hoặc nhân viên quản lý của một công ty, thành viên hợp danh hoặc thành viên của công ty hợp danh,
bất kỳ “chủ sở hữu lớn”, “người nắm quyền kiểm soát”, hoặc chủ sở hữu thụ hưởng, bên nhận ủy thác, bên ủy thác hoặc bên quản lý tài sản của
một quỹ ủy thác, chủ sở hữu tài khoản của tài khoản chỉ định, người nhận thanh toán của khoản thanh toán chỉ định, đại diện, đại lý hoặc người
được chỉ định của quý khách, hoặc bất kỳ cá nhân hoặc tổ chức khác có quan hệ với quý khách mà quan hệ đó có liên quan đến quan hệ giữa quý
khách và Tập Đoàn HSBC.
1.3. “Người nắm quyền kiểm soát” có nghĩa là các cá nhân thực hiện quyền kiểm soát đối với một tổ chức. Đối với quỹ ủy thác, bao gồm bên ủy
thác, bên nhận ủy thác, bên quản lý tài sản, người hoặc nhóm người thụ hưởng, và bất kỳ cá nhân nào khác thực thi quyền kiểm soát sau cùng đối
với quỹ ủy thác, và đối với trường hợp là pháp nhân mà không phải là quỹ ủy thác, đó là là những người có thẩm quyền kiểm soát tương đương
hoặc tương tự.
1.4. “Thông Báo” có nghĩa là Thông báo liên quan đến Pháp Lệnh (Quyền Riêng Tư) Dữ Liệu Cá Nhân (trước đây được gọi là Thông Báo cho
Khách Hàng liên quan đến Pháp Lệnh (Quyền Riêng Tư) Dữ Liệu Cá Nhân) được áp dụng với quý khách và các cá nhân khác, một bản sao của
thông báo được cung cấp tại Phụ Lục I.
1.5. “Dữ Liệu Cá Nhân” có nghĩa là bất kỳ thông tin nào liên quan đến một cá nhân mà từ các thông tin đó có thể xác định được một cá nhân.
1.6. “Pháp Lệnh (Quyền Riêng Tư) Dữ Liệu Cá Nhân” có nghĩa là Pháp Lệnh (Quyền Riêng Tư) Dữ Liệu Cá Nhân (Cap 486, Luật Pháp Hồng
Kông) được sửa đổi và bổ sung tại từng thời điểm.
1.7. “Dịch Vụ” bao gồm (a) mở, duy trì và đóng tài khoản của quý khách, (b) việc cung cấp các hợp đồng tín dụng và các sản phẩm và dịch vụ ngân
hàng khác, xử lý đơn đăng ký, đánh giá tín dụng và tính hợp lệ, và (c) duy trì quan hệ tổng thể của chúng tôi với quý khách, bao gồm các dịch vụ
và sản phẩm tiếp thị cho quý khách, nghiên cứu thị trường, bảo hiểm, các mục đích kiểm toán và hành chính.
1.8. “Thông Tin Thuế” có nghĩa là tài liệu hoặc thông tin về tình trạng thuế của quý khách hoặc tình trạng thuế của một Người Có Liên Quan.
1.9. “Thông Tin của Quý Khách” có nghĩa là tất cả hoặc bất kỳ các khoản mục sau đây liên quan đến quý khách hoặc của một Người Có Liên
Quan, nếu phù hợp: (a) Dữ Liệu Cá Nhân, (b) thông tin về quý khách, tài khoản của quý khách, các giao dịch, việc sử dụng các sản phẩm và dịch
vụ của chúng tôi và quan hệ của quý khách với Tập Đoàn HSBC và (c) Thông Tin Thuế.
Dẫn chiếu đến số ít bao gồm cả số nhiều (và ngược lại).
2. Sử Dụng Dữ Liệu
2.1. Chúng tôi và các thành viên của Tập Đoàn HSBC có thể sử dụng, chuyển giao và công bố Thông Tin của Quý Khách (i) liên quan đến các mục
đích nêu tại các điều khoản và điều kiện của tài khoản áp dụng (áp dụng với Thông Tin của Quý Khách ngoại trừ Dữ Liệu Cá Nhân), (ii) như được
nêu tại Thông Báo (áp dụng với Dữ Liệu Cá Nhân) và (iii) liên quan đến việc đối chiếu với bất kỳ dữ liệu nào mà chúng tôi hoặc Tập Đoàn HSBC
nắm giữ vì bất kỳ mục đích nào (cho dù nhằm thực hiện bất kỳ hành động có hại nào đối với quý khách) (các nội dung từ (i) đến (iii) được gọi
chung là "Mục Đích").
3. Chia Sẻ Dữ Liệu
3.1. Chúng tôi có thể (khi cần thiết và phù hợp cho Mục Đích) chuyển giao và công bố bất kỳ Thông Tin của Quý Khách cho các bên nhận nêu tại
Thông Báo (các bên nhận này cũng có thể sử dụng, chuyển giao và công bố thông tin đó cho Mục Đích) và các điều khoản và điều kiện của tài
khoản áp dụng (áp dụng với Thông Tin của Quý Khách ngoại trừ Dữ Liệu Cá Nhân).
4. Xác Nhận của Khách Hàng
4.1. Quý khách xác nhận rằng mỗi Người Có Liên Quan mà thông tin của Người Có Liên Quan đó (bao gồm Dữ Liệu Cá Nhân hoặc Thông Tin
Thuế) đã được (hoặc sẽ được) cung cấp cho chúng tôi hoặc một thành viên của Tập Đoàn HSBC đã (hoặc sẽ tại thời điểm phù hợp đã), được
thông báo và đã đồng ý với việc xử lý, công bố và chuyển giao thông tin của họ theo quy định tại các điều khoản và điều kiện của tài khoản áp
dụng và Thông Báo (được chúng tôi sửa đổi hoặc bổ sung tại từng thời điểm). Quý khách sẽ thông báo cho bất kỳ Người Có Liên Quan nào như
vậy rằng họ có quyền truy cập, và chỉnh sửa, Dữ Liệu Cá Nhân của họ.
4.2. Quý khách đồng ý và sẽ thực hiện các biện pháp theo yêu cầu tại từng thời điểm cho các mục đích của bất kỳ luật bảo vệ dữ liệu áp dụng nào
hoặc luật bảo mật để cho phép chúng tôi sử dụng, lưu giữ, công bố, xử lý và chuyển giao tất cả Thông Tin của Quý Khách theo cách được quy
định tại Các Điều Khoản và Điệu Kiện Của Trang Điện Tử này. Quý khách đồng ý thông báo kịp thời cho chúng tôi bằng văn bản nếu quý khách
không thể hoặc đã không tuân thủ các nghĩa vụ được nêu tại Khoản 4 này dưới bất kỳ hình thức nào.
Phụ Lục I
*LƯU Ý LIÊN QUAN ĐẾN PHÁP LỆNH (QUYỀN RIÊNG TƯ) DỮ LIỆU CÁ NHÂN ("PHÁP LỆNH")
(a) Tại từng thời điểm, các cá nhân cần phải cung cấp cho Ngân Hàng dữ liệu liên quan đến việc mở hoặc duy trì các tài khoản và thiết lập hoặc
duy trì các thể thức hoạt động ngân hàng hoặc cung cấp dịch vụ ngân hàng hoặc tuân thủ bất kỳ luật, hướng dẫn hoặc yêu cầu do các cơ quan
quản lý hoặc cơ quan có thẩm quyền khác đưa ra.
(b) Việc không cung cấp các dữ liệu đó có thể dẫn đến việc Ngân Hàng không thể mở hoặc duy trì các tài khoản hoặc thiết lập hoặc duy trì các thể
thức hoạt động ngân hàng hoặc cung cấp các dịch vụ ngân hàng.
(c) Dữ liệu được thu thập từ (i) các khách hàng trong quá trình duy trì quan hệ ngân hàng bình thường (ví dụ, khi khách hàng viết séc, gửi tiền hoặc vay tín dụng), (ii) một tổ chức/cá nhân hành động thay mặt cho cá nhân mà dữ liệu của cá nhân đó được cung cấp, và (iii) các nguồn khác (ví dụ, thông tin nhận được từ tổ chức cung cấp thông tin tín dụng). Dữ liệu cũng có thể được tạo ra hoặc kết hợp với các thông tin khác được cung cấp cho Ngân Hàng hoặc bất kỳ thành viên nào của Tập Đoàn HSBC ("Tập Đoàn HSBC" có nghĩa là HSBC Holdings plc, các công ty liên kết, các công ty con, các tổ chức liên kết của HSBC Holdings plc và bất kỳ chi nhánh và văn phòng của các công ty liên kết, các công ty con, các tổ chức liên kết đó (cùng với nhau hoặc một cách riêng lẻ) và "thành viên của Tập Đoàn HSBC" có nghĩa tương tự).
(d) Dữ liệu có thể được sử dụng cho các mục đích sau:
(i) xem xét việc đăng ký các sản phẩm và dịch vụ và việc vận hành hàng ngày các sản phẩm, dịch vụ và tín dụng cấp cho khách hàng;
(ii) thực hiện kiểm tra tài chính (bao gồm nhưng không giới hạn bởi đăng ký tín dụng tiêu dùng (bao gồm vay thế chấp) và soát xét tài chính định kỳ và đặc biệt thường diễn ra một hoặc nhiều lần mỗi năm);
(iii) tạo lập và duy trì các mô hình tín dụng và mô hình liên quan đến rủi ro của Ngân Hàng;
(iv) hỗ trợ các tổ chức tín dụng khác thực hiện kiểm tra tài chính và thu hồi nợ;
(v) đảm bảo khả năng trả nợ của khách hàng;
(vi) tạo ra các dịch vụ tài chính hoặc các sản phẩm liên quan cho khách hàng sử dụng;
(vii) các dịch vụ, sản phẩm tiếp thị và các đối tượng khác theo mô tả tại phần (f) dưới đây;
(viii) xác định khoản nợ của khách hàng hoặc của Ngân Hàng đối với khách hàng;
(ix) thu hồi các khoản nợ từ khách hàng và những người bảo đảm cho các nghĩa vụ của khách hàng;
(x) đáp ứng các nghĩa vụ, yêu cầu hoặc sắp xếp, dù bắt buộc hay tự nguyện, của Ngân Hàng hoặc bất kỳ chi nhánh nào hoặc bất kỳ thành viên
nào của Tập Đoàn HSBC phải tuân thủ, hoặc có liên quan tới:
(1) bất kỳ luật, quy định, phán quyết, lệnh tòa án, thông lệ, biện pháp trừng phạt nào thuộc hoặc ngoài lãnh thổ Đặc Khu Hành Chính Hong Kong
(“Hong Kong”) hiện hành và trong tương lai (“Luật”);
(2) bất kỳ các hướng dẫn hoặc yêu cầu hiện hành hoặc trong tương lai nào được đưa ra hoặc ban hành bởi các cơ quan pháp lý, quản lý chính
phủ, thuế, hành pháp hoặc các cơ quan có thẩm quyền khác hoặc các cơ quan quản lý ngành hoặc hiệp hội các nhà cung cấp dịch vụ tài chính
trong hoặc ngoài lãnh thổ Hong Kong và bất kỳ hướng dẫn quốc tế, các chính sách hoặc quy trình nội bộ nào.
(3) bất kỳ các cam kết hợp đồng hiện tại hoặc tương lai hoặc cam kết khác với cơ quan pháp lý, quản lý, tư pháp, quản trị, công quyền hoặc hành
pháp nước ngoài hoặc các cơ quan nhà nước, thuế, doanh thu, tiền tệ, chứng khoán hoặc sàn giao dịch tương lai, tòa án, ngân hàng trung ương
hoặc các cơ quan có thẩm quyền khác, hoặc các cơ quan tự quản hoặc cơ quan quản lý ngành hoặc các hiệp hội các nhà cung cấp dịch vụ tài
chính hoặc bất kỳ đại lý nào thuộc các tổ chức này có thẩm quyền tài phán đối với toàn bộ hoặc một bộ phận thuộc Tập Đoàn HSCB (được gọi
chung là “Các Cơ Quan Có Thẩm Quyền” và gọi riêng là “Cơ Quan Có Thẩm Quyền”) được giao kết bởi, áp đặt hoặc áp dụng cho Ngân Hàng
hoặc bất kỳ chi nhánh nào hoặc bất kỳ thành viên nào thuộc Tập Đoàn HSBC; hoặc
(4) bất kỳ thỏa thuận hoặc hiệp ước nào giữa các Cơ Quan Có Thẩm Quyền;
(xi) tuân thủ bất kỳ các nghĩa vụ, các yêu cầu, chính sách, thủ tục, biện pháp hoặc quy định về chia sẻ dữ liệu và thông tin trong nội bộ Tập Đoàn
HSBC và/hoặc bất kỳ việc sử dụng dữ liệu và thông tin nào khác theo bất kỳ chương trình tuân thủ các chế tài hoặc ngăn chặn hoặc điều tra về các
hoạt động rửa tiền, tài trợ khủng bố hoặc các hoạt động phi pháp khác;
(xii) tiến hành bất kỳ hành động nào nhằm đáp ứng các nghĩa vụ của Ngân Hàng hoặc bất kỳ thành viên nào thuộc Tập Đoàn HSBC về việc tuân
thủ Luật hoặc hướng dẫn quốc tế hoặc các yêu cầu của cơ quan quản lý liên quan đến hoặc có liên đới đến việc phát hiện, điều tra và ngăn chặn
hành động rửa tiền, tài trợ khủng bố, hối lộ, tham nhũng, trốn thuế, lừa đảo, lẩn tránh các biện pháp trừng phạt về kinh tế hoặc thương mại và/hoặc
bất kỳ hành động hoặc nỗ lực lẩn tránh hoặc vi phạm bất kỳ Luật nào liên quan đến các vấn đề vừa nêu;
(xiii) đáp ứng bất kỳ các nghĩa vụ nào của Ngân Hàng hoặc bất kỳ thành viên nào thuộc Tập Đoàn HSBC để tuân thủ bất kỳ yêu cầu hoặc đề nghị
nào từ Các Cơ Quan Có Thẩm Quyền;
(xiv) cho phép bên nhận chuyển giao trên thực tế hoặc dự kiến của Ngân Hàng, hoặc bên tham gia hoặc bên tham gia phụ trong các quyền của
Ngân Hàng đối với khách hàng để đánh giá giao dịch dự kiến là đối tượng của việc chuyển giao, tham gia hoặc tham gia phụ; và
(xv) các mục đích khác liên quan đến bất kỳ mục đích nào nêu trên.
(e) Dữ liệu do Ngân Hàng hoặc một thành viên thuộc Tập Đoàn HSBC lưu giữ liên quan đến một cá nhân sẽ được bảo mật nhưng Ngân Hàng
hoặc thành viên thuộc Tập Đoàn HSBC có thể cung cấp thông tin đó cho các bên như sau (thuộc hoặc nằm ngoài lãnh thổ Hồng Kông) vì các mục
đích được quy định tại đoạn (d):
(i) bất kỳ đại lý, nhà thầu, nhà thầu phụ, nhà cung cấp dịch vụ hoặc tổ chức liên quan của Tập Đoàn HSBC (bao gồm nhân viên, các giám đốc, các
viên chức, đại lý, nhà thầu, các nhà cung cấp dịch vụ và các tư vấn chuyên môn)
(ii) bất kỳ nhà cung cấp dịch vụ là bên thứ ba nào cung cấp các dịch vụ hành chính, viễn thông, máy tính, thanh toán hoặc bù trừ chứng khoán
hoặc các dịch vụ khác cho Ngân Hàng liên quan đến hoạt động kinh doanh của Ngân Hàng (bao gồm các nhân viên, giám đốc và nhân viên quản
lý);
(iii) bất kỳ Cơ Quan Có Thẩm Quyền nào;
(iv) bất kỳ bên nào chịu trách nhiệm về bảo mật của Ngân Hàng bao gồm một thành viên thuộc Tập Đoàn HSBC đã cam kết bảo mật các thông tin
đó;
(v) ngân hàng thanh toán hối phiếu cung cấp một bản sao của séc đã được thanh toán (trong đó có thể có thông tin về người nhận thanh toán) cho
người ký phát hối phiếu;
(vi) bất kỳ người nào hành động nhân danh một cá nhân là người có dữ liệu được cung cấp, bên nhận thanh toán, bên thụ hưởng, người được chỉ
định liên quan đến tài khoản, các ngân hàng trung gian, ngân hàng xác nhận và ngân hàng đại lý, trung tâm thanh toán bù trừ, hệ thống thanh toán
hoặc hệ thống bù trừ, bên đối tác trên thị trường, đơn vị tạm thu, hệ thống hoán đổi hoặc đăng ký giao dịch, thị trường chứng khoán, các công ty
mà khách hàng hưởng lợi thông qua chứng khoán (trong trường hợp các chứng khoán đó được Ngân Hàng hoặc bất kỳ thành viên nào thuộc
HSBC nắm giữ) hoặc một người thực hiện bất kỳ khoản thanh toán nào vào tài khoản của khách hàng;
(vii) các tổ chức cung cấp thông tin tín dụng, và, trong trường hợp trong trường hợp vi phạm, cho các tổ chức thu hồi nợ;
(viii) bất kỳ người nào mà Ngân Hàng hoặc bất kỳ chi nhánh nào của Ngân Hàng hoặc bất kỳ thành viên nào thuộc Tập Đoàn HSBC có nghĩa vụ
hoặc được yêu cầu hoặc dự kiến tiết lộ thông tin vì các mục đích được quy định tại, hoặc có liên quan đến đoạn (d)(x), (d)(xi) hoặc (d)(xii);
(ix) bất kỳ bên nhận chuyển giao trên thực tế hoặc dự kiến của Ngân Hàng hoặc bên tham gia hoặc bên tham gia phụ hoặc bên nhận chuyển
nhượng các quyền của Ngân Hàng đối với khách hàng; và
(x) (1) bất kỳ thành viên nào thuộc Tập Đoàn HSBC;
(2) các tổ chức tài chính là bên thứ ba, các bên bảo hiểm, các công ty thẻ tín dụng, các nhà cung cấp dịch vụ chứng khoán và dịch vụ đầu tư;
(3) các nhà cung cấp bên thứ ba các chương trình thưởng, chương trình khách hàng trung thành, đặc quyền và hợp tác thương hiệu;
(4) các đối tác hợp tác thương hiệu của Ngân Hàng hoặc bất kỳ thành viên nào thuộc Tập Đoàn HSBC (tên của các đối tác hợp tác thương hiệu sẽ
được cung cấp trong quá trình đăng ký các sản phẩm và dịch vụ liên quan, tùy từng trường hợp);
(5) các tổ chức từ thiện và các tổ chức phi lợi nhuận; và
(6) các nhà cung cấp dịch vụ bên ngoài (bao gồm nhưng không giới hạn các công ty chuyển phát, các công ty viễn thông, các đại lý bán hàng trực
tiếp và tiếp thị qua điện thoại, các trung tâm khách hàng, các công ty xử lý dữ liệu và các công ty công nghệ thông tin) mà Ngân Hàng hợp tác vì
các mục đích được quy định tai đoạn (d)(vii).
Các thông tin đó có thể được chuyển tới một địa điểm nằm ngoài lãnh thổ Hong Kong.
Liên quan đến đoạn (vii) nêu trên,
(A) trong số tất cả các dữ liệu có thể được Ngân Hàng thu thập hoặc lưu giữ tùy từng thời điểm liên quan đến các khoản thế chấp, các dữ liệu sau
liên quan đến khách hàng (bao gồm bất kỳ dữ liệu cập nhật nào của bất kỳ các dữ liệu sau) có thể được cung cấp bởi Ngân Hàng, hoặc được cung
cấp nhân danh và/hoặc với tư cách là đại lý của Ngân Hàng, cho một tổ chức cung cấp thông tin tín dụng:
(i) tên đầy đủ;
(ii) tư cách liên quan đến mỗi khoản thế chấp (với tư cách là bên vay, bên thế chấp hoặc bên bảo lãnh);
(iii) Số Thẻ Căn Cước Hong Kong hoặc số giấy tờ thông hành hoặc số chứng nhận thành lập;
(iv) ngày tháng năm sinh hoặc ngày thành lập;
(v) địa chỉ liên hệ;
(vi) số tài khoản thế chấp liên quan đến mỗi khoản thế chấp;
(vii) loại tín dụng liên quan đến mỗi khoản thế chấp;
(viii) tình trạng tài khoản thế chấp liên quan đến mỗi khoản thế chấp (ví dụ còn hoạt động, đã đóng, đã xóa nợ); và
(ix) nếu có, ngày đóng tài khoản thế chấp liên quan đến mỗi khoản thế chấp.
Tổ chức cung cấp thông tin tín dụng sẽ sử dụng các dữ liệu trên do Ngân Hàng cung cấp phục vụ mục đích tổng hợp số lượng các khoản thế chấp
tùy từng thời điểm do khách hàng nắm giữ (với tư cách lần lượt là bên vay, bên thế chấp hoặc bên bảo lãnh, cho dù là độc lập hay chung với các
bên khác) để chia sẻ trong cơ sở dữ liệu tín dụng tiêu dùng của tổ chức cung cấp thông tin tín dụng bởi các bên cấp tín dụng; và
(B) trước khi quyền được dẫn chiếu tại mục (g)(v) dưới đây có thể được thực thi, (I) trong trường hợp có bất kỳ vi phạm thanh toán nào, trừ khi
khoản tiền vi phạm được hoàn lại đầy đủ hoặc được xóa sổ (hoặc được xử lý theo cách khác theo một lệnh phá sản) trước khi hết thời hạn 60
ngày do Ngân Hàng tính toán từ ngày mà vi phạm đó xảy ra, khách hàng sẽ chịu trách nhiệm yêu cầu tổ chức cung cấp thông tin tín dụng lưu giữ
dữ liệu thanh toán của khách hàng ít nhất cho đến khi hết hạn thời hạn năm năm kể từ ngày thanh toán cuối cùng khoản tiền vi phạm và (II) trong
trường hợp bất kỳ khoản tiền nào được xóa bỏ do một lệnh phá sản được thực hiện đối với khách hàng đó, khách hàng sẽ chịu trách nhiệm yêu
cầu tổ chức cung cấp thông tin tín dụng lưu giữ dữ liệu thanh toán của mình, bất kể việc dữ liệu thanh toán tài khoản có phản ánh bất kỳ vi phạm
nghiêm trọng nào không, cho đến khi hết thời hạn năm năm kể từ ngày thanh toán cuối cùng số tiền vi phạm hoặc hết thời hạn năm năm kể từ
ngày đươc giải trừ do phá sản theo thông báo của khách hàng cùng với bằng chứng được gửi tới tổ chức cung cấp thông tin tín dụng, bất kể sự
kiện nào xảy ra sớm hơn. Các dữ liệu thanh toán tài khoản bao gồm khoản tiền đến hạn cuối cùng, khoản thanh toán thực hiện trong giai đoạn báo
cáo cuối cùng, khoản tín dụng còn lại hoặc bảng cân đối dư nợ và dữ liệu vi phạm (là khoản đã quá hạn và số ngày quá hạn, ngày xử lý khoản tiền
quá hạn, và ngày xử lý cuối cùng khoản tiền vi phạm nghiêm trọng (nếu có)). Vi phạm nghiêm trọng là một vi phạm thanh toán trong một thời hạn
vượt quá 60 ngày.
(f) Việc Sử Dụng Dữ Liệu trong Tiếp Thị Trực Tiếp
Ngân Hàng dự kiến sử dụng các dữ liệu của khách hàng trong tiếp thị trực tiếp và Ngân Hàng yêu cầu có sự chấp thuận của khách hàng (bao gồm
một chỉ thị không phản đối) để phục vụ mục đích đó. Liên quan đến vấn đề này, vui lòng lưu ý rằng:
(i) tên, các thông tin liên hệ, thông tin về danh sách các sản phẩm và dịch vụ, hành vi và dạng thức giao dịch, dữ liệu tài chính và nhân khẩu học
của một khách hàng do Ngân Hàng nắm giữ tùy từng thời điểm có thể được Ngân Hàng sử dụng phục vụ hoạt động tiếp thị trực tiếp;
(ii) các loại dịch vụ, sản phẩm và chủ thể sau có thể được tiếp thị:
(1) các dịch vụ và sản phẩm tài chính, bảo hiểm, thẻ tín dụng, ngân hàng và các sản phẩm và dịch vụ liên quan;
(2) giải thưởng, phần thưởng, các chương trình đặc quyền và hợp tác thương hiệu và các sản phẩm và dịch vụ liên quan;
(3) các dịch vụ và sản phẩm do các đối tác hợp tác thương hiệu của Ngân Hàng chào bán (tên của các đối tác hợp tác thương hiệu đó sẽ được
cung cấp trong quá trình đăng ký các sản phẩm và dịch vụ liên quan, tùy từng trường hợp); và
(4) các khoản tài trợ hoặc đóng góp phục vụ các mục đích từ thiện và/hoặc phi lợi nhuận;
(iii) các dịch vụ, sản phẩm và chủ thể trên có thể được cung cấp bởi hoặc (trong trường hợp các khoản tài trợ và đóng góp) được chào mời bởi
Ngân Hàng và/hoặc:
(1) bất kỳ thành viên nào của Tập Đoàn HSBC;
(2) các tổ chức tài chính là bên thứ ba, các công ty bảo hiểm, các công ty thẻ tín dụng, các nhà cung cấp các dịch vụ chứng khoán hoăc đầu tư;
(3) giải thưởng, phần thưởng của bên thứ ba, các nhà cung cấp chương trình đặc quyền và hợp tác thương hiệu;
(4) các đối tác hợp tác thương hiệu của Ngân Hàng và Tập Đoàn HSBC (tên của các đối tác hợp tác thương hiệu sẽ được cung cấp trong quá trình
đăng ký các sản phẩm và dịch vụ liên quan, tùy từng trường hợp); và
(5) các tổ chức từ thiện và các tổ chức phi lợi nhuận;
(iv) ngoài tiếp thị các dịch vụ, sản phẩm và các chủ thể nêu trên, Ngân Hàng cũng dự định cung cấp các dữ liệu được mô tả trong đoạn (f)(i) nêu
trên cho tất cả hoặc bất kỳ người tổ chức/cá nhân được mô tả trong đoạn (f)(iii) nêu trên để họ sử dụng tiếp thị các sản phẩm, dịch vụ và chủ thể
đó, và Ngân Hàng yêu cầu có sự chấp thuận của khách hàng bằng văn bản (bao gồm một chỉ thị không phản đối) để phục vụ mục đích đó;
(v) Ngân Hàng có thể nhận được tiền hoặc tài sản khác để đổi lại việc cung cấp dữ liệu cho các bên thuộc đoạn (f)(iv) nêu trên và, khi yêu cầu sự
chấp thuận của khách hàng hoặc thỏa thuận không phản đối như quy định tại đoạn (f)(iv) nêu trên, Ngân Hàng sẽ thông báo cho khách hàng nếu
Ngân Hàng nhận được bất kỳ khoản tiền hoặc tài sản nào khác để đổi lại việc cung cấp các dữ liệu cho các bên khác.
Nếu một khách hàng không muốn Ngân Hàng sử dụng hoặc cung cấp cho các bên khác dữ liệu của khách hàng đó để sử dụng tiếp thị trực tiếp
như quy định nêu trên, khách hàng đó có thể thực thi quyền hủy đăng ký bằng cách thông báo cho Ngân Hàng.
(g) Theo và tuân thủ các điều khoản thuộc Pháp Lệnh và Thông Lệ về Việc Thực Hành Dữ Liệu Tín Dụng Tiêu Dùng được phê duyệt và ban hành
theo Pháp Lệnh, bất kỳ cá nhân nào đều có quyền:
(i) kiểm tra liệu Ngân Hàng có giữ các dữ liệu về họ và truy cập vào các dữ liệu đó;
(ii) yêu cầu Ngân Hàng sửa bất kỳ dữ liệu chưa chính xác nào liên quan đến cá nhân đó;
(iii) tìm hiểu các chính sách và thông lệ của Ngân Hàng liên quan đến các dữ liệu và được thông báo về loại dữ liệu cá nhân do Ngân Hàng nắm
giữ;
(iv) Liên quan đến tín dụng tiêu dùng, được thông báo khi có yêu cầu phần dữ liệu nào được tiết lộ theo định kỳ cho các tổ chức cung cấp thông tin
tín dụng hoặc các tổ chức quản lý nợ, và được cung cấp thêm thông tin để cho phép thực hiện truy cập và đề nghị sửa đối với tổ chức cung cấp
thông tin tín dụng hoặc tổ chức thu hồi nợ liên quan; và
(v) ngay khi đáp ứng việc chấm dứt tín dụng bằng việc thanh toán đầy đủ và dựa trên điều kiện rằng, trong vòng năm năm ngay trước khi chấm
dứt, đã không có vi phạm nghiêm trọng nào đối với khoản tín dụng theo quyết định của Ngân Hàng, chỉ thị cho Ngân Hàng thực hiện đề nghị tổ
chức cung cấp thông tin tín dụng liên quan xóa bất kỳ dữ liệu tài khoản nào trên cơ sở dữ của tổ chức này liên quan đến khoản tín dụng đã chấm
dứt.
(h) Theo các điều khoản thuộc Pháp Lệnh, Ngân Hàng có quyền thu một mức phí hợp lý cho việc xử lý bất kỳ yêu cầu truy cập dữ liệu nào.
(i) Địa chỉ tiếp nhận các yêu cầu về truy cập dữ liệu hoặc sửa dữ liệu hoặc thông tin liên quan đến chính sách và thông lệ và bất kỳ loại dữ liệu nào
được lưu giữ như sau: The Data Protection Officer The Hongkong and Shanghai Banking Corporation Limited PO Box 72677 Kowloon Central Post
(j) Ngân Hàng có thể đã có được một báo cáo tín dụng về khách hàng từ một tổ chức cung cấp thông tin tín dụng để xem xét bất kỳ hồ sơ đăng ký
cấp tín dụng nào. Trong trường hợp khách hàng mong muốn truy cập báo cáo tín dụng đó, Ngân Hàng sẽ thông báo các thông tin liên lạc của tổ
chức cung cấp thông tin tín dụng liên quan.
(k) Không có điều nào trong Thông Báo này sẽ hạn chế các quyền của khách hàng theo quy định của Pháp Lệnh.
Lưu ý: Trong trường hợp có mâu thuẫn giữa bản tiếng Anh và tiếng Trung Quốc, bản tiếng Anh sẽ được ưu tiên áp dụng.

Các Điều Khoản Quốc Gia Ấn Độ
Các điều khoản sau đây sửa đổi và/hoặc bổ sung Cổng Thông Tin Mở Tài Khoản Doanh Nghiệp HSBC – Các Điều Khoản và Điều Kiện và Tuyên
Bố Quyền Riêng Tư (“Các Điều Khoản và Điều Kiện của Trang Điện Tử”) và sẽ áp dụng đối với bất kỳ truy cập nào đến Trang Điện Tử tại Ấn Độ
(“Các Điều Khoản Quốc Gia Ấn Độ”).
Các Điều Khoản và Điều Kiện của Trang Điện Tử tuân thủ các quy định bắt buộc theo Pháp Luật Ấn Độ.
HSBC và các thành viên khác thuộc Tập Đoàn HSBC được yêu cầu và có thể thực hiện bất kỳ hành động nào để đáp ứng Các Nghĩa Vụ Tuân Thủ
liên quan hoặc liên hệ đến việc phát hiện, điều tra và ngăn chặn Tội Phạm Tài Chính (“Hoạt Động Quản Lý Rủi Ro Tội PHạm Tài Chính”) và hành
động theo pháp luật, các quy định và yêu cầu của các cơ quan công quyền và cơ quan quản lý hoạt động tại nhiều quốc gia khác nhau có liên quan
đến Tội Phạm Tài Chính. HSBC có thể thực hiện, và có thể chỉ thị (hoặc được chỉ thị bởi) bất kỳ thành viên nào thuộc Tập Đoàn HSBC thực hiện,
bất kỳ hành động nào mà HSBC hoặc thành viên khác đó, tùy theo suy xét của mình, cho là phù hợp để tuân thủ theo tất cả các luật, quy định và
yêu cầu đó.
Hành động đó có thể bao gồm nhưng không giới hạn việc (a) kết hợp Thông Tin Khách Hàng với các thông tin liên quan khác mà Tập Đoàn HSBC
sở hữu, và/hoặc (b) điều tra bổ sung về tình trạng của một người hoặc một tổ chức, liệu họ có là đối tượng của một biện pháp trừng phạt, hoặc xác
nhận danh tính và tình trạng của Quý khách (c) chia sẻ thông tin trên cơ sở bảo mật với các văn phòng của Tập Đoàn HSBC đặt tại Ấn Độ hoặc ở
nước ngoài liên quan đến việc ngăn chặn Tội Phạm Tài Chính.
Trường hợp đặc biệt, Hoạt Động Quản Lý Rủi Ro Tội Phạm Tài Chính của chúng tôi có thể dẫn đến việc chúng tôi trì hoãn, xử lý các chỉ thị hoặc
đề nghị sử dụng Các Dịch Vụ hoặc việc cung cấp toàn bộ hay một phần Các Dịch Vụ. Trong phạm vi được pháp luật cho phép, chúng tôi hoặc bất
kỳ thành viên nào thuộc Tập Đoàn HSBC sẽ không chịu trách nhiệm trước Quý khách hoặc bất kỳ bên thứ ba nào liên quan đến bất kỳ thiệt hại
(cho dù là trực tiếp hoặc là hệ quả và bao gồm, không giới hạn, thiệt hại về lợi nhuận hoặc lãi suất, phát sinh theo bất kỳ hình thức nào) mà Quý
khách hoặc một bên thứ ba phát sinh hoặc gánh chịu một phần hoặc toàn bộ do nguyên nhân liên quan đến việc thực hiện Hoạt Động Quản Lý Rủi
Ro Tội Phạm Tài Chính.
Trong một số trường hợp nhất định, hành động mà HSBC có thể thực hiện có thể sẽ ngăn chặn hoặc gây trì hoãn việc xử lý một số thông tin nhất
định. Do đó, HSBC hoặc bất kỳ thành viên nào thuộc Tập Đoàn HSBC đều không bảo đảm rằng bất kỳ thông tin nào trên các hệ thống của HSBC
liên quan đến bất kỳ yêu cầu thanh toán nào hoặc các thông tin và liên lạc khác là đối tượng của bất kỳ hành động nào được thực hiện theo điều
khoản này là chính xác, hiện thời hoặc cập nhật tại thời điểm thông tin đó được tiếp cận, trong khi hành động đó đang được thực thi.
Vì mục đích của điều khoản hiện tại:
“Các Nghĩa Vụ Tuân Thủ” có nghĩa là các nghĩa vụ của Tập Đoàn HSBC phải tuân thủ: (a) pháp luật hoặc hướng dẫn quốc tế và các chính sách
hoặc các quy trình nội bộ, (b) bất kỳ yêu cầu hoặc đề nghị từ các cơ quan có thẩm quyền hoặc việc báo cáo, tiết lộ hoặc các nghĩa vụ khác theo
quy định của pháp luật, và (c) pháp luật yêu cầu chúng tôi xác minh danh tính của các khách hàng của chúng tôi.
“Tội Phạm Tài Chính” bao gồm hành vi rửa tiền, tài trợ khủng bố, hối lộ, tham nhũng, trốn thuế, lừa đảo, lẩn tránh các biện pháp trừng phạt về kinh
tế hoặc thương mại, và/hoặc bất kỳ hành động hoặc nỗ lực lẩn tránh hoặc vi phạm bất kỳ Luật nào liên quan đến các vấn đề vừa nêu
Bằng cách truy cập vào Trang Điện Tử này, Quý khách xác nhận và đồng ý rằng The Hongkong and Shanghai Banking Corporation Limited
(HSBC) được quyền giao các hoạt động, bao gồm nhưng không giới hạn đến việc mở tài khoản, xử lý dữ liệu và phân tích dữ liệu cho các tổ chức
là bên thứ ba/các nhà cung cấp dịch vụ theo toàn quyền quyết định của mình. Quý khách xác nhận và đồng ý thêm rằng HSBC sẽ được quyền
chuyển bất kỳ thông tin nào (bao gồm các thông tin liên quan đến tổ chức mà thay mặt tổ chức đó bất kỳ đơn đăng ký nào được hoàn thiện, cũng
như là các thông tin liên quan đến bất kỳ cá nhân nào liên quan đến tổ chức đó) trên cơ sở bảo mật tới bất kỳ văn phòng nào của Tập Đoàn HSBC
hoặc các tổ chức là bên thứ ba/các nhà cung cấp dịch vụ, cho dù là tại Ấn Độ hoặc ở nước ngoài vì mục đích đáp ứng các dịch vụ hỗ trợ theo bất
kỳ bản chất nào bởi HSBC, mà không cần bất kỳ sự chấp thuận hay ủy quyền cụ thể nào từ bất kỳ cá nhân hoặc tổ chức nào.

Các điều khoản sau đây sửa đổi và/hoặc bổ sung Cổng Thông Tin Mở Tài Khoản Doanh Nghiệp HSBC – Các Điều Khoản và Điều Kiện và Tuyên
Bố Quyền Riêng Tư (“Các Điều Khoản và Điều Kiện của Trang Điện Tử”) và sẽ áp dụng đối với bất kỳ truy cập nào đến Trang Điện Tử tại Macau
và trong tất cả các trường hợp khi Pháp Lệnh (Quyền Riêng Tư) về Dữ Liệu Cá Nhân được áp dụng (“Các Điều Khoản Quốc Gia Macau”).
5. GIẢI THÍCH
5.1. Trừ khi được định nghĩa khác đi, các thuật ngữ viết hoa được sử dụng tại Các Điều Khoản Quốc Gia Macau sẽ có cùng ý nghĩa như được quy
định tại Các Điều Khoản và Điều Kiện của Trang Điện Tử.
5.2. “Cơ Quan Có Thẩm Quyền” bao gồm bất kỳ cơ quan tư pháp, hành pháp, cơ quan công quyền hoặc cơ quan quản lý, bất kỳ chính phủ, cơ
quan thuế, sở giao dịch chứng khoán hoặc sở giao dịch hợp đồng tương lai, tòa án, ngân hàng trung ương hoặc cơ quan thực thi luật pháp trong
nước và nước ngoài, hoặc bất kỳ đơn vị nào của các cơ quan vừa nêu, có thẩm quyền pháp lý đối với bất kỳ thành viên nào thuộc Tập Đoàn
HSBC.
5.3. “Các Nghĩa Vụ Tuân Thủ” có nghĩa là các nghĩa vụ của Tập Đoàn HSBC phải tuân thủ (i) bất kỳ Luật hoặc hướng dẫn quốc tế và các chính
sách và quy trình nội bộ, (ii) bất kỳ yêu cầu nào từ Các Cơ Quan Có Thẩm Quyền hoặc việc báo cáo, tiết lộ hoặc các nghĩa vụ khác theo quy định
của Luật, và (iii) Luật yêu cầu Tập Đoàn HSBC xác minh danh tính của các khách hàng của Tập Đoàn.
5.4. "Người Có Liên Quan" có nghĩa là cá nhân hoặc tổ chức (không phải là Quý khách) mà thông tin của cá nhân hoặc tổ chức đó (bao gồm Dữ
Liệu Cá Nhân hoặc Thông Tin Thuế) được cung cấp bởi, hoặc nhân danh Quý khách cho bất kỳ thành viên nào thuộc Tập Đoàn HSBC hoặc bất kỳ
thành viên nào thuộc Tập Đoàn HSBC nhận được bằng phương thức khác có liên quan đến việc cung cấp các Dịch Vụ. Người Có Liên Quan có
thể bao gồm bất kỳ bên bảo lãnh nào, giám đốc hoặc viên chức của công ty, thành viên hợp danh hoặc thành viên của công ty hợp danh, bất kỳ
“chủ sở hữu lớn”, “người nắm quyền kiểm soát”, hoặc chủ sở hữu thụ hưởng, bên nhận ủy thác, bên ủy thác hoặc bên quản lý tài sản, chủ sở hữu
tài khoản của tài khoản chỉ định, người nhận thanh toán của khoản thanh toán chỉ định, đại diện, đại lý hoặc người được chỉ định, hoặc bất kỳ cá
nhân hoặc tổ chức khác có quan hệ với Quý khách mà quan hệ đó có liên quan đến quan hệ ngân hàng giữa Quý khách và Tập Đoàn HSBC.
5.5. "Người nắm quyền kiểm soát" có nghĩa là các cá nhân thực thi quyền kiểm soát đối với một thực thể. Đối với quỹ ủy thác là bên ủy thác, bên
nhận ủy thác, bên quản lý tài sản, người hoặc nhóm người thụ hưởng, và bất kỳ cá nhân nào khác thực thi quyền kiểm soát sau cùng đối với quỹ
ủy thác, và đối với trường hợp là các thực thể mà không phải là quỹ ủy thác, là những người có thẩm quyền kiểm soát tương đương hoặc tương
tự.
5.6. "Tội Phạm Tài Chính" có nghĩa là hành vi rửa tiền, tài trợ khủng bố, hối lộ, tham nhũng, trốn thuế, lừa đảo, lẩn tránh các biện pháp trừng phạt
về kinh tế hoặc thương mại, hoặc các hành động hoặc nỗ lực lẩn tránh hoặc vi phạm bất kỳ Luật hoặc quy định nào có liên quan đến các vấn đề
vừa nêu.
5.7. “Hoạt Động Quản Lý Rủi Ro Tội Phạm Tài Chính” có nghĩa là bất kỳ hành động nào đáp ứng Các Nghĩa Vụ Tuân Thủ liên quan hoặc liên hệ
đến việc phát hiện, điều tra và ngăn chặn Tội Phạm Tài Chính mà bất kỳ thành viên nào thuộc Tập Đoàn HSBC có thể thực thi.
5.8. “Tập Đoàn HSBC” có nghĩa là HSBC Holdings plc, các kỳ công ty liên kết, công ty con, tổ chức liên kết của HSBC Holdings plc và bất kỳ các
chi nhánh và văn phòng của HSBC Holdings plc (chung hoặc riêng), bao gồm cụ thể là người nhận Thông Tin Của Quý Khách, và “thành viên
thuộc Tập Đoàn HSBC” có nghĩa tương tự.
5.9. “Luật” bao gồm bất kỳ luật, quy định, phán quyết hoặc lệnh của tòa án, thông lệ, biện pháp trừng phạt trong nước hoặc nước ngoài, thỏa thuận
giữa bất kỳ thành viên nào thuộc Tập Đoàn HSBC và một Cơ Quan Có Thẩm Quyền, hoặc thỏa thuận hoặc hiệp ước giữa các Cơ Quan Có Thẩm
Quyền và được áp dụng cho bất kỳ thành viên nào thuộc Tập Đoàn HSBC.
5.10. Dữ Liệu Cá Nhân” có nghĩa là bất kỳ thông tin nào liên quan đến một cá nhân mà từ các thông tin đó có thể xác minh danh tính của cá nhân
đó.
5.11. “Các Dịch Vụ” bao gồm (i) việc mở, duy trì và đóng các tài khoản ngân hàng của Quý khách, (ii) cấp tín dụng và các sản phẩm và dịch vụ
ngân hàng khác, xử lý hồ sơ, đánh giá tín dụng và đánh giá tính khả thi của sản phẩm, và (iii) duy trì quan hệ tổng thể của HSBC với Quý khách,
bao gồm tiếp thị các sản phẩm hoặc dịch vụ đến Quý khách, nghiên cứu thị trường, bảo hiểm, kiểm toán và các mục đích điều hành.
5.12. “Chủ Sở Hữu Lớn” có nghĩa là bất kỳ cá nhân nào có quyền đối với, dù trực tiếp hoặc gián tiếp, trên 10% lợi nhuận hoặc lợi ích của một tổ
chức.
5.13. “Cơ Quan Thuế” có nghĩa là các cơ quan thuế, ngân sách, tài chính hoặc tiền tệ trong nước hoặc ngoài nước.
5.14. “Tờ Khai Chứng Nhận Thuế” có nghĩa là bất kỳ biểu mẫu hoặc tài liệu nào khác có thể được Cơ Quan Thuế hoặc HSBC phát hành hay yêu
cầu tùy từng thời điểm xác nhận tình trạng thuế của Quý khách và/hoặc Người Có Liên Quan.
5.15. “Thông Tin Thuế” có nghĩa là tài liệu hoặc thông tin về tình trang thuế của Quý khách và/hoặc tình trạng thuế của một Người Có Liên Quan.
5.16. “Thông Tin Của Quý Khách” có nghĩa là tất cả hoặc bất kỳ các mục sau liên quan đến Quý khách hoặc một Người Có Liên Quan, tùy trường
hợp áp dụng: (i) Dữ Liệu Cá Nhân, (ii) các thông tin về Quý khách, các tài khoản của quý khách, các giao dịch, việc sử dụng các sản phẩm và dịch
vụ và mối quan hệ của Quý khách đối với Tập Đoàn HSBC và (iii) Các Thông Tin Thuế.
Dẫn chiếu đến số ít bao gồm cả số nhiều (và ngược lại).
6. THU THẬP, SỬ DỤNG VÀ CHIA SẺ THÔNG TIN CỦA QUÝ KHÁCH
6.1. Các Điều Khoản Quốc Gia Macau này giải thích cách thức mà Tập Đoàn HSBC sẽ sử dụng các thông tin về Quý khách và Người Có Liên
Quan. Bằng cách sử dụng Các Dịch Vụ, Quý khách đồng ý rõ ràng rằng bất kỳ thành viên nào thuộc Tập Đoàn HSBC cũng có thể sử dụng Thông
Tin Của Quý Khách theo quy định tại Các Điều Khoản Quốc Gia Macau này.
6.2. Thông Tin Của Quý Khách sẽ không được tiết lộ cho bất kỳ ai, trừ trường hợp:
- Bất kỳ thành viên nào thuộc Tập Đoàn HSBC buộc phải tiết lộ thông tin theo quy định của pháp luật;
- Bất kỳ thành viên nào thuộc Tập Đoàn HSBC có trách nhiệm với cộng đồng phải tiết lộ thông tin;
- HSBC phải tiết lộ thông tin vì mục đích kinh doanh hợp pháp của Tập Đoàn HSBC;
- việc tiết lộ thông tin được thực hiện có sự chấp thuận của chủ thể dữ liệu;
- tiết lộ thông tin theo quy định của Các Điều Khoản Quốc Gia Macau này.
Thu thập
6.3. Bất kỳ thành viên nào thuộc Tập Đoàn SHBC có thể thu thập, sử dụng và chia sẻ Thông Tin Của Quý Khách. Thông Tin Của Quý Khách có thể
được yêu cầu bởi bất kỳ thành viên nào thuộc Tập Đoàn HSBC, và có thể được thu thập trực tiếp từ Quý khách, từ một người hành động nhân
danh Quý khách, từ các nguồn khác (bao gồm các thông tin được phổ biến rộng rãi), và có thể được tạo ra hoặc tập hợp cùng với các thông tin
khác mà bất kỳ thành viên nào thuộc Tập Đoàn HSBC sở hữu.
Sử dụng
6.4. Thông Tin Của Quý Khách sẽ được xử lý, chuyển và tiết lộ bởi bất kỳ thành viên nào thuộc Tập Đoàn HSBC, theo các quy định của Luật áp
dụng, liên quan đến các Mục đích sau:
(A) xem xét việc đăng ký sử dụng các sản phẩm và dịch vụ;
(B) phê duyệt, quản lý, quản trị hoặc thực thi Các Dịch Vụ hoặc bất kỳ giao dịch nào mà Quý khách yêu cầu hoặc ủy thác;
(C) đáp ứng Các Nghĩa Vụ Tuân Thủ;
(D) thực thi Hoạt Động Quản Lý Rủi Ro Tài Chính;
(E) thu hồi bất kỳ các khoản nợ đến hạn và chưa thanh toán nào của Quý khách và từ các tổ chức/cá nhân bảo lãnh hoặc bảo đảm cho các nghĩa
vụ của Quý khách;
(F) thực hiện kiểm tra tài chính (bao gồm nhưng không giới hạn đăng ký tín dụng tiêu dùng (bao gồm vay thế chấp) và soát xét tài chính định kỳ và
đặc biệt thường diễn ra một hoặc nhiều lần mỗi năm) và yêu cầu cung cấp hoặc cung cấp các thông tin tham khảo về tài chính;
(G) hỗ trợ các tổ chức tín dụng khác thực hiện kiểm tra tài chính và thu hồi nợ;
(H) thực thi hoặc bảo vệ quyền của bất kỳ thành viên nào thuộc Tập Đoàn HSBC;
(I) đáp ứng các yêu cầu hoạt động nội bộ của Tập Đoàn HSBC (bao gồm quản lý rủi ro và tín dụn, phát triển và quy hoạch hệ thống hoặc sản
phẩm, bảo hiểm, kiểm toán và các mục đích quản trị);
(J) thiết lập và duy trì các mô hình liên quan đến tín dụng và rủi ro của Tập Đoàn HSBC;
(K) đảm bảo duy trì khả năng chi trả của Quý khách và của những tổ chức/cá nhân bảo lãnh hoặc bảo đảm cho các nghĩa vụ của Quý khách;
(L) tiếp thị, thiết kế, cải thiện hoặc xúc tiến Các Dịch Vụ hoặc các sản phẩm liên quan đến Quý khách (và đến Người Có Liên Quan trong phạm vi
được Luật cho phép) và thực hiện nghiên cứu thị trường;
(M) xác định khoản nợ của HSBC đối với Quý khách hoặc của Quý khách đối với HSBC và với tổ chức/cá nhân bảo lãnh hoặc bảo đảm cho các
nghĩa vụ của Quý khách;
(N) tuân thủ bất kỳ nghĩa vụ, yêu cầu hoặc sắp xếp nào mà bấ kỳ thành viên nào thuộc Tập Đoàn HSBC dự kiến phải tuân thủ theo:
(i) bất kỳ Luật hoặc Các Nghĩa Vụ Tuân Thủ nào;
(ii) bất kỳ bộ luật, các hướng dẫn nội bộ, các hướng dẫn được đưa ra hoặc ban hành bởi Các Cơ Quan Có Thẩm Quyền;
(iii) bất kỳ các cam kết hợp đồng hiện tại hoặc tương lai nào hoặc cam kết khác với Các Cơ Quan Có Thẩm Quyền có thẩm quyền đối với toàn bộ
hoặc bất kỳ thành viên nào thuộc Tập Đoàn HSBC; hoặc
(iv) bất kỳ thỏa thuận hoặc hiệp ước nào giữa Các Cơ Quan Có Thẩm Quyền;
(O) tuân thủ bất kỳ các nghĩa vụ, các yêu cầu, chính sách, quy trình, biện pháp hoặc sắp xếp về chia sẻ dữ liệu và thông tin trong Tập Đoàn HSBC
hoặc bất kỳ mục đích sử dụng nào khác đối với các dữ liệu và thông tin theo bất kỳ chương trình tuân thủ các chế tài hoặc ngăn chặn hoặc phát
hiện Tội Phạm Tài Chính nào;
(P) đáp ứng bất kỳ nghĩa vụ, yêu cầu hoặc đề nghị nào của Các Cơ Quan Có Thẩm Quyền;
(Q) cho phép bên nhận chuyển giao trên thực tế hoặc dự kiến của Tập Đoàn HSBC, hoặc bên tham gia hoặc bên tham gia phụ của các quyền của
Tập Đoàn HSBC đối với khách hàng đánh giá giao dịch dự kiến là đối tượng của việc chuyển giao, tham gia hoặc tham gia phụ;
(R) duy trì mối quan hệ tổng thể của Tập Đoàn HSBC với Quý khách;
(S) khớp số liệu bất kỳ do Tập Đoàn HSBC nắm giữ vì bất kỳ mục đích nào (cho dù có hoặc không có ý định thực hiện bất kỳ hành động bất lợi nào
đối với quý khách);
(T) bất kỳ các mục đích nào liên quan hoặc phát sinh từ bất kỳ mục nào nêu trên.
(“Mục Đích”).
Chia sẻ
6.5. Bằng cách sử dụng Các Dịch Vụ, Quý khách đồng ý rõ ràng rằng bất kỳ thành viên nào thuộc Tập Đoàn HSBC có thể, tùy theo mức độ cần
thiết và phù hợp đối với Mục Đích, chuyển và tiết lộ bất kỳ Thông Tin Của Quý Khách nào theo quy định của Luật áp dụng tới những bên tiếp nhận
sau trên toàn cầu, ví dụ, tại Hong Kong, Vương Quốc Liên Hiệp Anh và Hoa Kỳ (là các bên cũng có thể xử lý, chuyển và tiết lộ Thông Tin Của Quý
Khách để phục vụ cho Mục Đích):
(A) bất kỳ thành viên nào thuộc Tập Đoàn HSBC;
(B) bất kỳ đại lý, nhà thầu, nhà thầu phụ, nhà cung cấp dịch vụ hoặc các tổ chức liên quan thuộc Tập Đoàn HSBC (bao gồm nhân viên, giám đốc,
viên chức, đại lý, nhà thầu, nhà cung cấp dịch vụ hoặc các tư vấn chuyên môn của Tập Đoàn HSBC);
(C) bất kỳ Cơ Quan Có Thẩm Quyền nào, để phản hồi các yêu cầu của các Cơ Quan này, bao gồm, nhưng không giới hạn, việc báo cáo phục vụ
các mục đích liên quan đến Luật Tuân Thủ Thuế Đối Với Tài Khoản Nước Ngoài;
(D) bất kỳ người nào hành động nhân danh một cá nhân là người có dữ liệu được cung cấp, bên nhận thanh toán, bên thụ hưởng, người được chỉ
định liên quan đến tài khoản, các ngân hàng trung gian, ngân hàng xác nhận và ngân hàng đại lý, trung tâm thanh toán bù trừ, hệ thống thanh toán
hoặc hệ thống bù trừ, bên đối tác trên thị trường, đơn vị tạm thu, hệ thống hoán đổi hoặc đăng ký giao dịch, thị trường chứng khoán, các công ty
mà Quý khách hưởng lợi thông qua chứng khoán (trong trường hợp các chứng khoán đó được bất kỳ thành viên nào thuộc HSBC nắm giữ) hoặc
một người thực hiện bất kỳ khoản thanh toán nào vào tài khoản của Quý khách;
(E) ngân hàng thanh toán hối phiếu cung cấp một bản sao của séc đã được trả (trong đó có thể có thông tin về người phải trả) tới người ký phát
hối phiếu;
(F) bất kỳ bên nào được hưởng lợi ích, hoặc có rủi ro từ, hoặc có liên quan đến các Dịch Vụ;
(G) bất kỳ tổ chức quản lý nợ nào, trong trường hợp xảy ra vi phạm;
(H) bất kỳ tổ chức cung cấp thông tin tín dụng nào hoặc các cơ quan quản lý tín dụng, để đạt được hoặc cung cấp tín dụng hoặc các dẫn chiếu của
các ngân hàng;
(I) bất kỳ tổ chức tài chính nào là bên thứ ba, công ty bảo hiểm, các công ty thẻ tín dụng, các bên cung cấp dịch vụ chứng khoán và đầu tư;
(J) bất kỳ tổ chức từ thiện hoặc phi lợi nhuận nào;
(K) bất kỳ tổ chức quản lý quỹ là bên thứ ba nào cung cấp các dịch vụ quản lý tài sản cho Quý khách;
(L) bất kỳ bên môi giới nào mà HSBC giới thiệu;
(M) bất kỳ giải thưởng, phần thưởng của bên thứ ba, các nhà cung cấp chương trình đặc quyền và hợp tác thương hiệu, bất kỳ đối tác hợp tác
thương hiệu nào của bất kỳ thành viên nào thuộc Tập Đoàn HSBC (tên của các đối tác hợp tác thương hiệu sẽ được cung cấp trong quá trình
đăng ký các sản phẩm và dịch vụ liên quan, tùy từng trường hợp);
(N) bất kỳ bên nhận chuyển giao trên thực tế hoặc dự kiến nào của Tập Đoàn HSBC hoặc người tham gia hoặc người tham gia phụ hoặc bên nhận
chuyển nhượng các quyền của Tập Đoàn HSBC đối với Quý khách;
(O) bất kỳ bên nào liên quan đến bất kỳ giao dịch chuyển giao, định đoạt, sáp nhập hoặc mua bán bởi bất kỳ thành viên nào thuộc Tập Đoàn HSBC
bất kể nơi đặt văn phòng của các đối tượng nêu trên, bao gồm cả trường hợp được đặt tại các quốc gia mà pháp luật về bảo mật thông tin không
có cùng cấp độ bảo mật như pháp luật ở quốc gia nơi các Dịch Vụ được cung cấp.
Các nghĩa vụ của Quý khách
6.6. Quý khách đồng ý rõ ràng sẽ nhanh chóng thông báo bằng văn bản cho Tập Đoàn HSBC và trong bất kỳ trường hợp nào, trong vòng 30 ngày
nếu có bất kỳ thay đổi về Thông Tin Của Quý Khách nào được cung cấp cho bất kỳ thành viên nào thuộc Tập Đoàn HSBC tùy từng thời điểm, và
nhanh chóng phản hồi bất kỳ yêu cầu nào về Thông Tin Của Quý Khách từ bất kỳ thành viên nào thuộc Tập Đoàn HSBC.
6.7. Quý khách xác nhận rằng mỗi Người Có Liên Quan mà thông tin của họ (bao gồm Dữ Liệu Cá Nhân và Thông Tin Thuế) đã được (hoặc sẽ
được) cung cấp cho bất kỳ thành viên nào thuộc Tập Đoàn HSBC đã (hoặc sẽ tại thời điểm liên quan ) được thông báo và đồng ý xử lý, tiết lộ và
chuyển thông tin của họ như được quy định tại Các Điều Khoản Quốc Gia Macau này (được sửa đổi và bổ sung bởi Tập Đoàn HSBC tùy từng thời
điểm). Quý khách thông báo bất kỳ Người Có Liên Quan nào rằng họ có quyền truy cập và sửa Dữ Liệu Cá Nhân của họ.
6.8. Quý khách chấp thuận và sẽ thực hiện các bước theo yêu cầu tùy từng thời điểm vì các mục đích theo quy định của bất kỳ luật bảo vệ dữ liệu
áp dụng nào hoặc luật bảo mật để cho phép bất kỳ thành viên nào thuộc Tập Đoàn HSBC sử dụng, lưu trữ, tiết lộ, xử lý và chuyển tất cả Thông Tin
Của Quý Khách theo cách thức được quy định tại Các Điều Khoản và Điều Kiện Của Trang Điện Tử. Quý khách đồng ý nhanh chóng thông báo
bằng văn bản cho Tập Đoàn HSBC nếu Quý khách không thể hoặc đã không tuân thủ các nghĩa vụ được quy định tại mục 2.7 và 2.8 dưới bất kỳ
hình thức nào.
6.9. Trong trường hợp
- Quý khách hoặc bất kỳ Người Có Liên Quan nào không cung cấp nhanh chóng Thông Tin Của Quý Khách một cách hợp lý theo yêu cầu của Tập
Đoàn HSBC, hoặc
- Quý khách hoặc bất kỳ Người Có Liên Quan nào từ chối hoặc rút lại bất kỳ chấp thuận nào mà Tập Đoàn HSBC có thể cần để xử lý, chuyển hoặc
tiết lộ Thông Tin Của Quý Khách để phục vụ cho Mục Đích (trừ các mục đích liên quan đến hoạt động tiếp thị hoặc xúc tiến các sản phẩm và các
dịch vụ đến Quý khách), hoặc
- bất kỳ thành viên nào thuộc Tập Đoàn HSBC có các nghi ngờ liên quan đến Tội Phạm Tài Chính hoặc một rủi ro liên quan,
Tập Đoàn HSBC có thể sẽ:
(1) không thể cung cấp toàn bộ hoặc một phần các Dịch Vụ mới, hoặc không thể tiếp tục cung cấp tất cả hoặc một phần các Dịch Vụ cho Quý
khách và bảo lưu quyền chấm dứt quan hệ của Tập Đoàn HSBC với Quý khách;
(2) thực hiện các hành động cần thiết để Tập Đoàn HSBC đáp ứng Các Nghĩa Vụ Tuân Thủ; và
(3) phong tỏa, chuyển hoặc đóng (các) tài khoản của Quý khách trong trường hợp luật pháp địa phương cho phép.
Ngoài ra, nếu Quý khách không thể cung cấp nhanh chóng Thông Tin Thuế của Quý khách, hoặc của một Người Có Liên Quan và các chứng từ
kèm theo, các giấy tờ miễn trừ và các chấp thuận, có thể được yêu cầu, thì Tập Đoàn HSBC có thể tự đưa ra quyết định liên quan đến tình trạng
của Quý khách hoặc Người Có Liên Quan, bao gồm việc liệu Quý khách hoặc Người Có Liên Quan có để được báo cáo tới Cơ Quan Thuế, và có
thể yêu cầu Tập Đoàn HSBC hoặc các bên khác giữ các khoản tiền do bất kỳ Cơ Quan Thuế nào yêu cầu hợp pháp và chi trả các khoản tiền đó
cho Cơ Quan Thuế phù hợp.
Bảo Vệ Dữ Liệu
6.10. Trong trường hợp Thông Tin Khách Hàng được xử lý trong nước hoặc tại nước ngoài, theo quy định về bảo mật dữ liệu, Thông
Tin Của Quý Khách sẽ được bảo mật theo đúng quy định nghiêm ngặt về bảo mật và an ninh áp dụng đối với tất cả các thành viên của Tập Đoàn
HSBC, các nhân viên và các bên thứ ba.
6.11. Theo quy định pháp lý về bảo vệ dữ liệu liên quan, Quý khách có quyền yêu cầu nhận các bản sao một số hạng mục Dữ Liệu Cá Nhân có thể
được lưu giữ và yêu cầu sửa bất kỳ lỗi nào thuộc bộ dữ liệu đó.

7. HOẠT ĐỘNG QUẢN LÝ RỦI RO TỘI PHẠM TÀI CHÍNH
7.1. Hoạt Động Quản Lý Rủi Ro Tội Phạm Tài Chính có thể bao gồm: (1) thẩm tra, can thiệp và điều tra bất kỳ chỉ thị, liên lạc, yêu cầu rút vốn, yêu
cầu cung cấp Dịch Vụ, hoặc bất kỳ khoản thanh toán nào gửi đến hoặc gửi đi bởi Quý khách, hoặc nhân danh Quý khách; (2) điều tra nguồn gốc
hoặc người nhận tiền dự kiến; (3) tổng hợp Thông Tin Của Quý Khách với các thông tin có liên quan khác mà Tập Đoàn HSBC đang có; và (4) thẩm tra thêm về tình trạng của một cá nhân hoặc tổ chức cho dù họ cò phải là đối tượng của một biện pháp trừng phạt nào hay không, hoặc để xác định thông tin về nhân thân và tình trạng của Quý khách hoặc một Người Có Liên Quan.
7.2. Hoạt Động Quản Lý Rủi Ro Tội Phạm Tài Chính của Tập Đoàn HSBC có thể dẫn đến việc trì hoãn, phong tỏa hoặc từ chối thực hiện hoặc bù
trừ bất kỳ khoản thanh toán nào, việc xử lý các chỉ thị hoặc yêu cầu sử dụng Dịch hoặc việc cung cấp toàn hộ hoặc một phần Dịch Vụ Vụ của Quý
khách. Trong phạm vi được pháp luật cho phép, không có thành viên nào thuộc Tập Đoàn HSBC sẽ phải chịu trách nhiệm đối với Quý khách hoặc
bất kỳ bên thứ ba nào liên quan đến bất kỳ thiệt hại nào (phát sinh theo bất kỳ hình thức nào) mà Quý khách hoặc một bên thứ ba phải gánh chịu
hoặc phát sinh, toàn bộ hoặc một phần do nguyên nhân liên quan đến việc thực hiện Hoạt Động Quản Lý Rủi Ro Tội Phạm Tài Chính.
8. TUÂN THỦ THUẾ
8.1. Quý khách xác nhận rằng Quý khách hoàn toàn chịu trách nhiệm trong việc hiểu và tuân thủ các nghĩa vụ thuế của quý khách (bao gồm việc nộp thuế hoặc nộp tờ khai thuế hoặc các hồ sơ cần thiết khác liên quan đến việc thanh toán tất cả các khoản thuế có liên quan) tại tất cả các quốc gia nơi phát sinh các nghĩa vụ thuế vừa nêu và có liên quan đến việc mở và sử dụng (các) tài khoản hoặc các Dịch Vụ được cung cấp bởi bất kỳ thành viên thuộc Tập Đoàn HSBC. Mỗi Người Có Liên Quan hành động với tư cách của Người Có Liên Quan cũng thực hiện việc xác nhận tương tự theo tư cách riêng của mình. Pháp luật về thuế của một số quốc gia có thể có hiệu lực áp dụng bên ngoài phạm vi lãnh thổ bất kể nơi đặt trụ sở, nơi đăng ký, quốc tịch hoặc nơi thành lập của Quý khách hoặc một Người Có Liên Quan. Bất kỳ thành viên nào thuộc Tập Đoàn HSBC đều không cung cấp các tư vấn thuế. Tập Đoàn HSBC khuyến nghị Quý khách yêu cầu ý kiến tư vấn pháp lý và tư vấn thuế độc lập. Bất kỳ thành viên nào thuộc Tập Đoàn HSBC đều không có trách nhiệm đối với các nghĩa vụ thuế của Quý khách có thể phát sinh tại bất kỳ quốc gia nào bao gồm bất kỳ nghĩa vụ nào có thể liên quan cụ thể đến việc mở và sử dụng (các) tài khoản và các Dịch vụ do bất kỳ thành viên nào thuộc Tập Đoàn HSBC cung cấp.
