Orrick is proud to be a long-standing member and supporter of the Los Angeles venture community. The CB Insights’ Los Angeles Tech Venture Capital Almanac is a valuable resource in assessing trends, and we are pleased to sponsor it. The Almanac contains an array of interesting data points about the Los Angeles venture market, but there are a couple particular points to note that are indicators of its consistency and breadth. First, the Almanac reports that Los Angeles tech startups have closed thirty or more venture deals in each of the past six quarters. Second, the data indicates that not only is seed/early stage funding surging in LA, but that the number of later-stage venture deals is on the rise as well. These are positive signs of LA’s maturing and healthy venture ecosystem. We look forward to supporting this continued growth in the years ahead. Sincerely,

Daniel M. Friedland Partner, Emerging Companies group, Los Angeles

Los Angeles is renowned as a digital media and entertainment hub. And over the past four years, LA has also developed a promising tech ecosystem with startups including Snapchat, Nasty Gal and TrueCar calling LA home. Through December, LA tech venture funding and deal activity has already hit a five-year high in 2013.

9

Page 10: LA Venture Capital Almanac

Venture capital deals to LA tech startups have risen steadily over time. In fact, LA has seen 42% more tech VC deals in the first three quarters of 2013 than in all of 2009. Each of the past six quarters has seen 30 or more venture deals to LA tech startups.

10

Page 11: LA Venture Capital Almanac

In a sign that LA tech startups are seeing healthy follow-on financing activity, mid-stage funding share (Series B/Series C) has taken just over half of all funding in 2013 YTD. Late stage funding has taken over 1/4 of share in 2013 after capturing just 14% of total funding share last year.

11

Page 12: LA Venture Capital Almanac

Seed deal share in LA has jumped from 10% in 2009 to 43% in 2012. Early-stage startups (Seed/Series A) took over 70% of all deals in 2012 and continue to see strong deal activity in 2013 YTD.

12

Page 13: LA Venture Capital Almanac

13

The Internet sector has taken over half of all venture funding to LA tech companies in each year since 2009. But 2013 has seen a funding boom within mobile startups, which have taken nearly 1/4 of all LA tech VC funding dollars in the year to date.

Page 14: LA Venture Capital Almanac

Since the start of 2010, Internet and mobile startups have garnered over 4/5 of all VC deals in the greater LA area. The mobile sector has taken nearly 1 in every 5 deals in Los Angeles in 2013 YTD and has already hit its highest deal tally since 2009.

Rincon Venture Partners invests primarily in early stage web-based businesses that are located in Southern California.

Rincon aims to fill the need for more modest first-round funding. The firm's initial investment in a company is typically in

the range of $500,000 to $1.5 million, and Rincon is typically a company's first institutional investor. The firm generally

likes to see a completed offering that has been embraced by early adopters. Rincon generally does not consider seed

investments but will do so when significant effort by either a predecessor entity or a university research program will

dramatically accelerate a young companys progress. Within Southern California, Rincon's focus regionally is the area

bounded by San Luis Obispo, CA to the north, and Orange County to the south. Rincon will consider investments

outside of this area, but generally only in conjunction with co-investors who are located near the company. The firm

believes its primary investment themes span sectors and the themes of focus for Rincon include: (1) the digitization of

communications and content of all kinds; (2) the provision of information technology as a service; (3) the reduction of

fossil fuel consumption; and (4) consumer adoption of technology. As a result of these themes of focus, Rincon Venture

Partners does find its sector focus primarily in digital media, technology-enabled services, cleantech, and consumer

Internet. As with geography, Rincon will consider investments outside our target themes and sectors only in conjunction

with co-investors who have strong relevant expertise. In terms of investment criteria, Rincon looks for the following

attributes in portfolio company investments: (1) Referral from a trusted, informed source; (2) Highly differentiated

approach to a large market opportunity; (3) Compelling core team already in place; (4) Clearly defined milestones and

associated financial plan; (5) Clearly defined routes to market; (6) Attractive plausible exit strategies Rincon generally

makes investments with the following structure: - The firm generally owns a minority interest with executives and

founders controlling their companies - Co-invest alongside partners - Rincon along with its investment partners must

own a meaningful interest in each portfolio company (at least 20%) - Rincon Venture Partners or its investment partners

hold a Board seat - Initial investment can range from $500,000 to $1,000,000 from Rincon in rounds from $500,000 to
