Article 1) Definitions1.“Exhibitor”meananycompany,entityorindividualwhosubmittedregistrationapplicationtoparticipateinthisexhibitioneventforthepurposeofexhibiting.2.“Exhibition”means“KoreaInternationalChemical IndustryExpo2012(KICHEM2012)”event.

3.“Organizer”shallmean“TheFairsCo.Ltd.”.

Article 2) Participant’s application to the Exhibition event 1.ApplicationtoparticipateintheexhibitioneventasexhibitorshallbesubmittedintheprescribedregistrationformtotheOrganizer.

2.Exhibitorshallpay initial50%ofparticipation feeasexhibitioncontractdeposittoestablishexhibitioncontract.However,incaseorganizerhasoversoldexhibitionspacesor incaseorganizerdecides thataparticularapplicant’s itemtobeexhibited isnotsuitable for theevent,organizermayrefuseregistration.Also,organizer,within15daysfromdateofapplicant’sregistration,maycanceltheregistrationandrefundcontractdepositalreadypaid-in.

Article 3) Allocation of Exhibition spaces 1.Organizershallhavetheauthority toallocateexhibitionspacesbetween participating exhibitors, according to the order ofapplicationsorbydiscretion.Exhibitorhasnorighttointervene.

2.Organizershallhave theright tochange thepositionandsizeofexhibitionspaceallocatedtoaparticularexhibitorbymutualdiscussionatanytimepriortocommencementofexhibitionbuild-upperiod.Theexhibitor,unlessthereisanunavoidablecausetoremainat theoriginalallocatedpace,agreestocooperatewithorganizer’schangerequests.

Article 4) Management of Exhibition spaces1.Exhibitorshallmanageitsexhibitionbooth inthewaytoprovidethebestexhibitionservice,byexhibitingproperexhibit itemsdesignatedonitsparticipationregistrationandstaffingthespacewithpermanentlystationedpersonnel.

2.Incaseexhibitorexhibitsitemsun-identicalwiththosedesignatedonregistrationapplication,ornotsuitablefortheexhibitionevent,organizermay immediatelyorder tostop,removeandtakeoutthe itemsfromthevenue. Inthiscaseorganizerwillnotrefundparticipation feeandexhibitorshallhavenoright toclaim forcompensationfordamages.

3.Ifnecessary,organizermaylimitaparticularperson’saccesstotheexhibitionvenue.Exhibitorshallnottransfer,resaletoathirdpartyorexchange,allorpartof theexhibitionspacesallocatedwithotherexhibitors,withoutwrittenconsent fromorganizer inadvance.

4.Exhibitorshallnotaffectalterationof theoriginalstateof theexhibitionvenuebypainting,nailingetc.onfloor,ceiling,pillarandwalletc.andshallcompensateproperlyfordamagestoexhibitionvenuespursuanttorestorationrequestbyorganizer.

5.Organizermayselectivelylimitparticularexhibititemsorprohibitactofexhibitingforthepurposeofmaintenanceoforderlyandsafemanagementandpreventionofbehaviorssusceptible tosocialcriticisminthevenue.

Article 5) Payment terms of participation fee 1.Exhibitorshallpayin50%ofregistrationfeeasexhibitioncontractdepositwithin5daysfromdateofapplication.Theremaining50%shallbepaidbyAugust7,2012.

2.Incaseexhibitorfailstopaythesecondpaymentwithinduedate,organizermay terminate theexhibitioncontract. In thiscaseexhibitorshallhavenorighttoclaimrefundtheparticipationfeealreadypaid.

3.Incaseexhibitordefaults inpaymentofvariouscostssuchasparticipationfee,technicalassistance,organizermaycreatelienonthedefaultingexhibitor’sexhibititemsuntilfullypaid.Alllien-relatedexpensesshallbebornbythedefaultingexhibitor.

Article 6) Cancellation of Exhibition contract by Exhibitor1.Inscaseexhibitorcancelsallorpartof theexhibitionspacescontracted,exhibitorshall immediatelyinformtotheorganizerinwriting.

2.Intheeventthatexhibitorfailstouseallorpartofanyspaceafterparticipationregistrationandsubmissionofexhibitioncontract,the followingpenaltywillbeputupon theexhibitor tobepaidwithin15daysofcancellationtotheorganizer.Participationfeesalreadypaidshallbetakenforthepenalty.Shouldthatamountnotbesufficient,thedifferencemustbepaidandanyexcessamountshallbereturned.-If theexhibitorcancelsapplicationofwholespacebyJune30, 2012Organizer charges thepenalty equivalent to 50%ofparticipation fees(boothoccupation),and25% incaseofreductionofexhibitionspaces(noV.A.T).-IncasethatexhibitorcancelsapplicationbetweenJuly1,2012andJuly31,2012organizerchargesthepenaltyequivalent to80%ofparticipationfees(boothoccupation),and50%incaseofreductionofexhibitionspaces(noV.A.T).-It exhibitor cancels the application after August 1, 2012,organizerchargesthepenaltyequivalentto100%ofparticipationfees(booth occupation), and 75% in case of reduction ofexhibitionspaces(noV.A.T).

3.Anyrefundedamountwillnotbearinterest.

Article 7) Cancellation or changes by OrganizerIncaseorganizercancelsexhibitionevent,anyandallparticipationfeealreadypaidshallberefunded.However, theorganizersmaycarry thedepositpaid inover to thenextexhibitionevent to theextentthatsuchsituationoccurredbyforcemajeureorduetoanycircumstancesnotwithinorganizer’scontrol. Inthiscase,exhibitorhasnorighttoclaimcompensationtoorganizerasaresultof thecarryover.

Article 8) Booth installation and exhibit display ExhibitorshallcompleteboothInstallation,displayofexhibititemsbythedatestipulatedbyorganizer.

Article 9) Removal of exhibitsTheremovalof theexhibitsandboothsmustbecompletedbythedateandtimestipulatedbytheorganizer.Exhibitorshallimmediatelyreimbursetheorganizeragainstanycosts,whichmaybecausedbydelayedremoval.

Article 10) Security guard, risk responsibility and insurance1.Organizershallarrangeproperguardsstationedinthevenuefortheinterestofsecurityforexhibitorsandguests.

2.Exhibitorshallbeheldfullyresponsibleforanydamageincurredtoorganizerorotherpartiesduetoanyfire,theft, lossorotheraccidentwhichexhibitorhascausedby intentionornegligence.Exhibitorsarealsorequiredtosubscribetoallrisks insurancepolicyonallexhibitsetc.

Article 11) Fire regulations1.Materialsusedand installed indisplayedstructuresshallbeproperlyfire-proofedinaccordancewiththeregulationsofKorea.

2.Theorganizershavetheright,shouldcircumstancesnecessitate,makechangesintheexhibitor’sboothintheinterestoffirecontrol.

Article 12) Supplementary regulationsI f necessary, the organizer shall have the right to issuesupplementaryregulations inaddition to those in theexhibitioncontract.

Article 13) Dispute resolutionAnydisputearisinghereafter between theorganizer and theexhibitorconcerningthetrueconstructionofthiscontractshallbesettledinaccordancewiththeCommercialArbitrationRulesoftheKoreanCommercialArbitrationBoard.
