Hyatt Lost Pines Resort – Bastrop 4:00 p.m.
1. Consider the minutes from the January 23, 2015, Board meeting. 2. Sixteenth Annual Riley Fletcher Basic Municipal Law Seminar update
and evaluations.
3. TCAA June 17-19, 2015, Summer Conference final program, including attendee list and Galen Sparks/Susan Rocha Award winners.
4. Authorize staff to prepare TCAA Fall Conference in San Antonio,
scheduled for September 24, 2015.
5. Adopt TCAA budget for fiscal year 2014-2015.
6. Consider $10 dues increase for each membership class (to be submitted to membership at 2015 fall conference).
7. Kathy Davis request to sponsor Government Lawyers Seminar. See
attached policy.
8. Consider amending TCAA Constitution to allow electronic voting by the board.
9. Consider moving annual January board meeting to the Friday afternoon of Riley Fletcher Municipal Law Seminar, which is typically held in February.
10. Next TCAA Board meeting to be held on September 23, 2015, in San
Antonio (exact time and location to be determined).
11. Other business.

Friday, January 23, 2015 – Austin City Hall Board President Mary Kay Fischer called the meeting to order at 10:10 a.m.

1. Consider the minutes from the October 1, 2014, board meeting.
Motion by Sylvia Firth was made and seconded by Kathy Davis to approve the minutes and the minutes were unanimously approved.
2. Summer 2016 honorary member inductee list for board consideration.
Motion by K.O. was made and seconded by Sylvia Firth to nominate Don Cheatham and Jay Doegey as 2016 honorary member inductees to be voted on by the membership at the fall 2015 meeting and awarded at the summer 2016 meeting. The motion was unanimously approved.
3. Approve 2015-2016 TML affiliate services agreement.
A motion was made by Kathy and seconded by Paige to approve the agreement, and the motion was unanimously adopted.
4. Approve program for 2015 Summer Conference in Bastrop.
A motion was made by Kathy and seconded by Paige to approve the program with some minor changes and to direct staff to implement it, and the motion was unanimously adopted
5. Other business.
Staff mentioned the lack of authority in the TCAA Constitution for electronic voting procedures, and the board directed staff to place the issue on the next agenda.
6. Adjourn. The next TCAA Board meeting to be held in Bastrop at 4:00 p.m. on June 17, 2015.

RileyFletcherBasic Municipal Law Seminar
The Texas City Attorneys Association (TCAA) is
proud to announce the Riley Fletcher Basic
Municipal Law Seminar. The seminar honors Riley
Fletcher, who was an attorney for 25 years with the
Texas Municipal League. During much of his tenure,
Mr. Fletcher was the one and only TML
attorney handling dozens of questions from city
officials each day. By the time he retired in 1987
at the age of 75, he was a part-time
“Special Counsel,” but was still able to
answer virtually any question about municipal law by
reciting the appropriate statute or court
case from memory.
Mr. Fletcher passed away on September 1, 1998.
This seminar is our way of letting his memory live on.
He was truly loved by Texas city officials and gained
the respect, admiration, and affection of
thousands of people.

INCLUDED IN PROPOSED AGENDA Bickerstaff Heath Delgado Acosta LLP Vanessa Gonzalez, an employment and litigation attorney with our firm, would be available to present on either of the following two topics: (1) Employment Constitutional Claims – this presentation will cover all employment law claims against government employers that may be brought under the U.S. Constitution including claims brought under the 1st, 4th, and 14th Amendments; or (2) ADAA Update – this presentation focuses on developments in case law under the new ADAA as well as the new EEOC guidelines on pregnancy discrimination. Brad Castleberry, Lloyd Gosselink, Austin Would like to present on environmental audits (this was proposed for the summer conference, and Brad would like to have it considered for the fall conference): "Environmental Audits : An Often Overlooked Tool for Cities." The Audit Privilege Act is a tool used frequently by industry to self audit activities that have environmental consequences. The purpose of the Act is to allow a regulated entity to self reflect on what they are doing, determine the risk liability of any potential noncompliant activities, and then self disclose, or not, all under a protected privilege. Industry uses this tool, in part, to avoid fines and enforcement for anything they may find during the audit process. The noncompliant events are disclosed, a corrective action schedule is developed, and the industry is brought back into compliance. For some reason, municipalities have yet to fully utilize this tool. Cities are probably one of the largest consumers of environmental regulations. Think about it - cities have water, wastewater, landfills, air emission sources, and a host of other environmental concerns. Plus, many of the regulatory provisions cross reference OSHA or UFC requirements so other regulatory obligations are essentially boot-strapped into what would otherwise be pure environmental regulations. This presentation will provide background on the Act, explain how to engage this tool, and provide the audience with real world examples of how the Act has been utilized by political subdivisions for their benefit. As the regulatory climate continues to get more complicated and rigorous, cities could clearly benefit from a bet understanding of this tool. Jonathan T. Koury, Assistant City Attorney, Bryan I would be interested in giving a speech on Real Estate for City Attorneys at the Fall conference. My speech would be in three parts.
1) Classification: difference between deed and easement, what is a right-of-way, why does it matter;
2) Acquisition: general issues related to acquisition of property including fair market value, conflicts of interest, open meetings issues (I would not cover condemnation); and
3) Sale: requirements/options from Ch. 272, Ch. 253, and Charter provisions. Alternatively, since the animal thing worked well a couple years ago, I could do a different speech on Animal Protection and Cities. Again, the speech would be in three parts.
1) Cruelty Regulations: State law (Penal Code, Health and Safety Code), Common ordinances, and a brief discussion of some enforcement issues;
2) Animal Control: Trap Neuter Release programs and possible ordinance amendments needed to make them legal, Field re-homing and the regional cooperation necessary to make that work; Alternative approach to nuisance abatement; and
3) Animal Shelters: SOP modifications to improve quality of life by preventing disease, contracting with non-profits/foster families to reduce population, facilitating volunteerism (waivers, contracts, municipal court)

Sheila Gladstone, Lloyd Gosselink, Austin would like to provide an update on same sex marriage laws, sexual orientation and gender identity discrimination, and practical effects on city services and employment. By September, we should have the US Supreme Court’s ruling on the constitutionality of same sex marriage bans. If Texas’s ban is struck down, cities will need to change definitions of “spouse” throughout their policies, ordinances, and services offered. Meanwhile, cities throughout Texas have been initiating their own protections against sexual orientation and gender identity discrimination, both through ordinance and policy language changes. Learn national and statewide trends, and discuss how these changes affect employment, jail administration, public restrooms, public participation in city-run programs, to name a few. MEMORANDUM TO: TCAA Membership FROM: TCAA Board of Directors DATE: September 24, 2015 SUBJECT: Proposed TCAA Membership Dues Increase
________________________________________________________________________________ Current membership dues for TCAA members are as follows:
Active members who are city attorneys: $60.00 Active members who are assistant city attorneys: $30.00 Associate members: $70.00
The TCAA Constitution provides, in Article VI, Section 1 (Dues), that:
The dues of each active member and of each associate member of the association shall be payable annually in advance, and may be changed upon recommendation of the executive committee and approved by a majority vote of the members present at any annual or semi-annual meeting.
TCAA Board of Directors recommends that the TCAA membership vote to approve a flat dues increase of $10.00 for each class of membership at the Business Meeting at the Semi-Annual Conference in San Antonio on September 24, 2015. The increased dues would be as follows:
Active members who are city attorneys: $70.00 Active members who are assistant city attorneys: $40.00 Associate members: $80.00
In support of the recommendation, the TCAA Board of Directors shows the following:
1. The last dues increase was 11 years ago in 2004. That dues increase was the first in 10 years and raised dues to $30.00 (assistant city attorneys), $60.00 (city attorneys), and $70.00 (associate members).
2. Due to increased operating costs over the past 10 years and the addition of TCAA programs, including an Internet Web site, the dues increase is necessary to adequately fund the activities of the association.
3. Membership dues for associate members would be only $6.67 per month after the proposed increase.
4. Membership dues for active members who are city attorneys would be only $5.83 per month after the proposed increase.
5. Membership dues for active members who are assistant city attorneys would only be $3.33 per month after the proposed increase.
6. Current revenue from membership dues is $23,080, and revenue under the proposal would increase to $27,700, resulting in a modest annual revenue gain of $4,620.

RE: Sponsorship Request for Advanced Government Law Course Reception
DATE: May 29, 2015 I’m sure many of you have attended the Suing and Defending Governmental Entities Course, sponsored by the Government Law Section, in past years. That course has been renamed the Advanced Government Law Course and the scope has been broadened. The conference will be presented in Austin on July 22-24. The Government Law Section sponsors a reception at the conference, which will take place on Thursday evening. We are requesting sponsors for this event. In 2012, the TCAA Board authorized a $500 sponsorship. All funds received from various sponsors were used solely for the reception. Many TCAA members attend both the seminar and the reception. TCAA’s sponsorship, and placement of advertising materials at the reception, would allow TCAA to reach government lawyers who might not be aware of TCAA. The Government Law Section has many members who are also members of TCAA and it is not unusual for TCAA members to serve on the Government Law Section Council. In fact, I am currently serving as council chair, and KO Oommen is a council member. Finally, the Government Law Section sponsors an annual Outstanding Government Lawyer Award. Two of the four award winners have been closely affiliated with both TCAA and the municipal law profession, demonstrating that the Government Law Section recognizes the contributions of municipal attorneys in the State of Texas. TEXAS CITY ATTORNEYS ASSOCIATION
SPONSORSHIP POLICY
The Constitution of the Texas City Attorney Association (TCAA) provides that:
The purpose of this association shall be the general improvement of municipal law administration by the following means: First, to encourage the cooperation of city attorneys in the practical study of all municipal legal problems. Second, the holding of annual and semi-annual meetings for the discussion of legal and other questions affecting municipal government. And, third, the practical study of legislation, court decisions, and administrative rulings relating to the public interest of municipal corporations.
The TCAA board shall consider the purposes of the organization as stated above when deciding whether a sponsorship is appropriate. A sponsorship is defined as a mutually beneficial exchange whereby TCAA will provide funds or services to another entity.
GENERAL GUIDELINES
1. Does giving TCAA funds to another entity lead to the general improvement of municipal law administration?
2. Does giving TCAA funds to another entity benefit TCAA and its members?
3. Does giving TCAA funds to another entity provide an opportunity to attract additional TCAA members?
4. Will TCAA receive sufficient benefit from the entity in the form of publicity,
complimentary attendance, or otherwise?
5. Could sponsoring another entity be viewed by TCAA members or others as unfavorable in any way to TCAA?
APPROVAL
An entity seeking TCAA sponsorship must submit a written request. When the request is received, the TCAA board will evaluate the request and make a final decision, and/or may delegate decision-making authority to TCAA staff.

A RESOLUTION AMENDING THE TEXAS CITY ATTORNEYS ASSOCIATION CONSTITUTION
AS IT RELATES TO TELEPHONIC AND ELECTRONIC COMMUNICATIONS BY THE BOARD OF DIRECTORS
WHEREAS, the Texas City Attorneys Association (TCAA) Constitution provides for a board of directors to govern the association; and WHEREAS, those directors’ local duties sometimes necessitate conducting TCAA business through telephonic and electronic communications; and WHEREAS, the TCAA Constitution does not currently authorize such official communications; and WHEREAS, technology can be used to facilitate the good governance of the association by the best-qualified directors. NOW, THEREFORE, BE IT RESOLVED that:
1. Article IV. of the TCAA Constitution be amended by adding a new Section 6 to read as follows:
Section 6. Telephonic and Electronic Communication. Any and all Directors may
participate in a meeting of the Board of Directors by means of conference telephone, or by any other means of communication by which all Directors participating in the meeting are able to hear each other at the same time. Such participation shall constitute the presence in person by such Directors at such meeting. A written record shall be made of all actions taken at any meeting conducted by means of a conference telephone or other means of communication. Directors may also meet and vote via electronic means such as email so long as the identity of each Director is made clear in the means of voting.
2. The question of amending the TCAA Constitution as indicated above be submitted to the
TCAA membership for approval at the business meeting on September 24, 2015. PASSED AND APPROVED by the TCAA Board of Directors this 17th day of June, 2015, at Bastrop, Texas.
