GENERAL  PROVISIONS:  DEFINITIONS  

JMUCC: John Molson Undergraduate Case Competition CASA: Commerce and Administration Students’ Association JMSB: John Molson School of Business BOD: Board of Directors The Executive: President, Vice Presidents and Directors of JMUCC Subsidiaries: Committees and Associations that fall under the CASA umbrella Membership: Every undergraduate student registered in a credit course within the John Molson School of Business and currently enrolled in a major or minor within said faculty. Associate Membership: Every undergraduate student registered in a credit course within the John Molson School of Business and currently enrolled in another faculty of Concordia University.

ARTICLE  1:  NAME  OF  THE  ORGANIZATION  

1.1. The name of the organization shall be The John Molson Undergraduate Case Competition, hereafter referred to by its acronym “JMUCC”. It is an official subsidiary of the Commerce and Administration Students’ Association.

ARTICLE  2:  OBJECTIVES  

2.1. The Members of the JMUCC, a committee that hosts an annual undergraduate business case competition at JMSB, hereby establish this Constitution, which shall serve as the by-laws of the organization. We reaffirm our commitment to the following goals of the organization:

2.1.1. To provide a liaison between JMSB and the domestic and international business community.

2.1.2. To create activities which enhance the educational, professional, and social environment of students.

2.1.3. To act as a “recruitment link” between the firms and the students.

2.1.4. To build and maintain relationships with business schools and universities from around the world.

2.1.5. To improve and expand JMSB and Concordia University’s international reputation.

2.1.6. To heighten student learning by providing them with the opportunity to take their classroom knowledge and apply it to real-world business cases.

ARTICLE  3:  CONFIDENTIALITY  

3.1. It is understood and agreed to that JMUCC may provide business case-related information that is and must be kept confidential. To ensure the protection of such information, to preserve any confidentiality necessary for the company presenting the case, and to maintain the integrity of the competition, it is agreed that:

3.1.1. The Executive may not disclose the Confidential Information obtained to anyone prior to, and during JMUCC, regardless of whether such information is designated as “Confidential Information” at the time of its disclosure, and unless specifically told otherwise by the JMUCC President.

3.1.2. The Confidential Information can be described as, and include:

3.1.2.1. Names of leads for potential 3-hour and 24-hour cases. 3.1.2.2. Official names of three (3) signed 3-hour cases and one (1) signed 24-hour case. 3.1.2.3. Sensitive company information, which may include, and is not limited to, financial statements and projections; profit and margin information; marketing strategy; current or future business plans or models; current company obstacles or issues; research and development and new product ideas.

3.1.3. Any disclosure of such Confidential Information by the Executive to any outside party will be considered a just cause for dismissal.

3.1.4. Sections 3.1.1. and 3.1.2. are equally applied to JMUCC volunteers and members of the Board of Directors.

3.1.4. Any addition or modification to Section 3.1.1. must be made in writing and signed by the parties.

3.1.5. Members of the Executive may be asked to sign Confidentiality Agreements at the start of their mandates, at the discretion of the JMUCC President.

ARTICLE  4:  BOARD  OF  DIRECTORS  

4.1. Mandate

4.1.1. The mandate of the JMUCC BOD is to: • Attend board meetings scheduled by the JMUCC President four (4) times

per year; • Oversee and approve of all decisions made by the JMUCC Executive; • Provide guidance and assistance in specific JMUCC projects; • Elect incoming JMUCC Presidents.

4.1.2. The JMUCC Board of Directors will be composed of three (3) main types of directors:

• Internal board members; • External board members; • Ex-Officio Directors.

4.1.3. The voting members of the Board of Directors are as follows:

• The JMUCC President; • Internal board members from the Concordia and JMSB Community,

including former JMUCC Presidents; • External board members from the business community.

4.1.4 Ex-Officio Directors have the right to speak at and attend BOD Meetings; however they are not reserved the right to vote.

4.1.4.1. The Executive, with the exception of the President, shall hold seats as Ex-Officio Directors of the BOD.

4.2. Composition of the Board of Directors

4.2.1. The composition of the Board of Directors is at the discretion of the JMUCC President, and shall be announced annually on May 1st.

4.2.2. Former JMUCC Presidents will sit on the BOD for the two years following the end of their mandates. This can be extended at the discretion of the JMUCC President.

ARTICLE  5:  MEMBERSHIP  

5.1. Members of the CASA have priority when considering appointment for executive positions within JMUCC.

5.1.1. In the event that no Members of the CASA wish to apply for a given position on the JMUCC Executive and/or that no Members of the CASA possess the qualifications required for a given position on the JMUCC Executive, the JMUCC President may choose to appoint a JMSB alumnus, provided that the student is

not enrolled in any post-graduate program, and is within one year of having graduated from an undergraduate JMSB program.

5.1.2. Due to the complex and highly experienced nature of the position, the role of the VP Academic Affairs may be held by a JMSB alumnus, provided that the student is not enrolled in any post-graduate program, and is within one year of having graduated from an undergraduate JMSB program.

5.1.3. The position of Judges Coordinator may solely be held by a first year member of the CASA.

5.2. All full-time and part-time volunteers for JMUCC must be Members and/or Associate Members of the CASA.

5.3. The JMUCC President reserves the right to request unofficial copies of the student’s transcript or class schedule as proof of membership in all appointment decisions.

ARTICLE  6:  EXECUTIVE  STRUCTURE  AND  DUTIES  

6.1. The Organizing Committee for the John Molson Undergraduate Case Competition may consist of the following positions:

1. President 2. VP Academic Affairs 3. VP External Affairs 4. VP Corporate Relations 5. VP Logistics 6. VP Marketing 7. VP Communications 8. VP Development 9. VP Finance 10. Director of Sponsorship 11. Judges Coordinator (First-year representative)

6.2. The President has the sole authority to create additional positions not listed in the Constitution, or to merge positions listed in the Constitution. Such positions shall vary according to the needs of the committee. 6.3. The President may select one Vice-President to act as the Executive Vice-President. This is not mandatory and is at the discretion of the President.

6.4. Duties of the President

6.4.1. Oversee the entire planning process and execution of the JMUCC. 6.4.2. Act as the liaison between the Organizing Committee and the BOD. 6.4.3. Serve as an ex-officio director on the CASA Board of Directors.

6.4.4. Act as the primary signing officer of JMUCC. • Responsible for all contracts, pertaining to hotels, sponsors and cases.

6.4.5. Planning and management of all Executive meetings.

6.5. Duties of the VP Academic Affairs

6.5.1. Selection and creation of case studies, with assistance of a case writer: • Selection of three 3-hour case studies; • Selection of one 24-hour case study.

6.5.2. Implementation and enforcement of rules, evaluation and scoring system:

• Provide results for individual scores and cumulative scores. • Facilitate coaches’ meetings.

6.5.3. Recruitment of business executives for judging panel:

• Provide final approval of judges invited by the Judges Coordinator. • Facilitate judges’ training sessions.

6.6. Duties of the VP External Affairs

6.6.1. Serve as liaison with university members:

• Create content for invitation package and send out invitations; • Coordinate information of participating universities (ie: arrivals,

departures, room bookings, registration information, etc.); • Collect registration fees / follow up with outstanding payments.

6.6.2. Selection of participating universities:

• Create selection criteria to be used in university selection process; • Communicate a clear selection process to internal and external JMUCC

stakeholders. 6.6.3. Develop new relations with international universities.

6.7. Duties of the VP Corporate Relations

6.7.1 Generation of sponsorship revenue:

• Create content for corporate relations package; • Collect internal/external funds to support the execution of the competition.

6.8. Duties of the VP Logistics

6.8.1. Booking of university facilities:

• Hospitality Concordia: Room Bookings, Easels, etc.; • IITS: Laptop Rentals, Audio Visual, Projectors, Printers, etc.

6.8.2. Selection and booking of events and activities:

• Includes venues and menus for breakfast, lunch and dinner; • Includes social and professional activities throughout the week.

6.8.3. Book and manage transportation between venues: • Reservation of shuttle buses for certain occasions.

6.9. Duties of the VP Marketing

6.9.1. Creation of all JMUCC promotional material:

• Includes, and is not limited to the information package, corporate relations package, banners, newsletters, program booklets, and all other presentation material for JMUCC events, in both physical formats, and digital formats for website and social media.

6.9.2. Responsible for developing an integrated marketing communications strategy for the competition, in collaboration with the VP Communications.

6.10. Duties of the VP Communications

6.10.1. Responsible for media relations:

• Internal Media: Websites, Newspapers, and Magazines; • External Media: Newspapers, Radio Stations and Television Stations.

6.10.2. Responsible for all off-site/on-site communication:

• Prior to the competition, providing responses to all questions sent via the JMUCC website, JMUCC information email account, or JMUCC social media pages;

• During the competition: provide information as requested. 6.10.3. Responsible for website and social media content:

• Manage and provide regular updates to the website; • Provide regular updates and informative posts on JMUCC’s various social

media platforms (Facebook, Twitter, Instagram, LinkedIn).

6.10.4. Responsible for developing an integrated marketing communications strategy for the competition, in collaboration with the VP Marketing.

6.11. Duties of the VP Development

6.11.1 Selection of volunteers:

• Coordinate interview and recruitment process for team ambassadors, runners, and time keepers.

6.11.2 Coordinate and train group of selected volunteers during the week of the

competition 6.11.3. Develop relationships with JMUCC alumni and members of the Canadian

business, social, and political landscape, for speaker and networking event opportunities.

6.12. Duties of the VP Finance

6.12.1 Responsible for budgeting:

• Assign and manage a budget for various aspects of the competition; • Provide a financial snapshot at a semi-annual Board of Directors’

meeting; • Provide opening and closing budgets for the CASA BOD.

6.12.2 Manage cash flow of operations

• Collect payments and invoice statements, and issue cheques.

6.13. Duties of the Director of Sponsorship

6.13.1. Develop a corporate sponsors database • Coordinate with the VP Sponsorship new sponsorship leads.

6.13.2. Assist VP Corporate Relations in the generation of sponsorship revenues.

6.14. Duties of the Judges Coordinator (First-Year Representative)

6.14.1. Recruitment of Judges • Send judging invitations to members of the corporate community; • Coordinate availabilities; • Schedule judging dates and times.

6.14.2. Manage judge relations in coordination with VP Academics

6.14.3. Provide assistance to all executives in all aspects of the competition (when and if needed).

ARTICLE  7:  REMOVAL  FROM  OFFICE  

7.1. Any member of the Executive may be dismissed from office by the President following a majority vote of the Executive. A meeting must be called for the specific reason of dismissing an executive, and they must be invited to attend and defend themselves.

7.2. Any member of the Executive may be dismissed from office by the President if it is deemed that they have neglected their duties as outlined in this Constitution, or as outlined in a list of obligations signed by the Vice President in question when taking office. 7.3. The JMUCC President may resign from his or her position by submitting a written notification to the CASA Vice President Internal, and to the BOD. Upon resignation, the Executive Vice President shall hold the office previously held by the President. In the event that there is no Executive Vice President, the BOD will appoint a current member

of the JMUCC executive to the position. 7.4. The JMUCC President may be dismissed from office following a majority vote of the BOD.

ARTICLE  8:  TERMS  OF  MANDATE  

8.1. The fiscal year shall officially commence on May 1st of a given year, and terminate on April 30th of the following year.

ARTICLE  9:  SUCCESSION  

9.1. The JMUCC President shall be selected annually at a special board of directors meeting held in March.

9.2. Eligibility

9.2.1. Any Executive who has been a member of the JMUCC Organizing Committee for a minimum of 6 months preceding the appointment period is eligible to apply for the role of President.

9.2.2. In the event that no one is eligible or willing to run for the position of President, the position may be opened to any of the following:

• JMUCC volunteers; • JMUCC competitors; • Executives within a CASA subsidiary; • The CASA executive team.

External candidates must be approved by the current President before being considered by the Board of Directors.

9.3. Application Process

9.3.1. Candidates must submit their application (curriculum vitae and letter of intent) to the President within 10 days following the final day of the competition. Upon receipt of the applications, the President will call a special board of directors meeting.

9.4. Appointment

9.4.1. Applicants will be required to present to the board for a maximum of five minutes.

9.4.2. Voting will be held in a closed session by secret ballot. The applicant must receive a simple majority (51%) of the BOD votes to be elected as JMUCC

President.

9.4.2.1. In the event of a tie, the final decision will be made based on the recommendation of the outgoing President.

ARTICLE  10:  ALTERATION  OF  THE  CONSTITUTION  

10.1 Any changes to this constitution must be approved by a majority (51%) at a BOD meeting prior to being brought to the CASA’s Policy Committee for ratification.

ARTICLE  11:  CASA  CONSTITUTION  

11.1 Where items are not defined in this Constitution or there are inconsistencies with CASA’s Constitution and Book of Policies, the latter shall take effect and precedent.
