    A. The Executive Board shall constitute the Executive

    Committee as that term is used in Florida Statutory Corpo-

    ration Law.MembersoftheExecutiveBoardmustbeMembers

    ofUCO,andbedomiciledandinresidenceinCenturyVillage,

    WestPalmBeach,Florida,foraperiodofnotlessthannine

    (9)monthsofeachyearduringtheterminwhichtheyserve.

    AnyvacancyontheExecutiveBoardoccurringbeforetheexpirationofanelectedterm,maybelledbytheafrmative

    voteofthemajorityoftheDelegatespresentatanylawfully

    calledandconvenedmootingoftheDelegateAssembly.Inthe

    alternative,aformalelectionbytheDelegateAssemblymayto

    heldtollthevacancy.

    B.(1) The Executive Board shall consist of all the Ofcers

    of UCO and, in addition, twenty (20) elected members.

    electedbythe DelegateAssembly attheMarchmeetingof

    thatbody.The President may appoint additional members

    to the Executive Board, not to exceed eight (8) in number,

    with each appointment being subject to the approval of the

    Delegate Assembly.Thetotalappointmentsmustnotexceed

    eight(8)innumber. The term of each appointment shall

    expire at the Annual Installation. The President may notappoint the same individual more than twice, regardless of

    the number of terms a President may serve.Eachappointee

    mustbeaUCOMember,andmustbedomiciledandinresidence

    inCenturyVillage,WestPalmBeach,Florida,foraperiodof

    notlessthannine(9)monthsofeachyearduringthetermin

    whichtheyserve.

    (2) Two-Year Terms

    There shall be created staggered two-year terms, such that

    the March 2010 election shall elect twenty (20) members.

    The ten (10) candidates receiving the highest number of

    votes shall serve for a two-year term. The ten (10) candidates

    receiving the next highest number of votes shall serve for

    a one-year term. Each subsequent election thereafter shall

    elect ten (10) members to two-year terms.

    Eventhoughtheproblemofthedeadshhasbynowmostly

    disappeared,Iwasassuredthatthedeathswerethoseofshad

    whodieafterspawning,andnottheresultofanychemicalsin

    thewater.

    OurcondolencesgoouttoAnitaCruz,whosefatherpassed

    awayonFridayafterashortillness.Maysheknownomore

    sorrow.

    Save the DateThe UCO Installation Luncheon is scheduled for Sunday, March

    14, 2010 at the Marriott Hotel in West Palm Beach. This is a goodtime to notify your Association so that they may put the price ofyour tickets in their 2010 budget.

    We will be installing a new UCO President, Vice Presidents,Treasurer, Corresponding Secretary, and Recording Secretary. TheExecutive Board will be installed too.

    A delicious brunch will be served as well as music for dancing.The good news is that we have been able to keep the cost per

    person to $35. More information will follow as we get closer to2010.

    ThePresidentEmeritusshallperformsuchdutiesasmaybe

    requestedbythecurrentPresident,withtheapprovalofthe

    ExecutiveBoard.He shall be ex ofcio, a member of all com-

    mittees except the Election Committee and the Ombudsman

    Committee.

    mittees except the Election Committee and Ombudsman

    eliminatethepowerofthePresidenttollvacanciesinofce,

    evenonatemporarybasis.Itisproposedthatsuchtemporary

    appointmentsshouldbeplacedinthehandsoftheremaining

    membersof theOfcersCommittee andsuchappointments

    will continueto besubjectto the approvalof theDelegate

    Assembly.Thefollowingaddedlanguageclariestheevents

    Theresponsibilitiesofthisvacantofceshallbefairlydivided

    AMENDMENT #3

    C.Any vacancy of an elected ofce occurring before the

    expiration of a term shall be lled by the President on an

    emergency basis.IntheeventthatthevacancyisintheOfce

    ofPresident,suchvacancyshallbelledbyathe afrmativevote of the majority of the remaining Ofcers Commit-

    tee Members. The lling of any vacancy in ofce must be

    approved at the next meeting of the Delegate Assembly at

    which a quorum is present. In thealternative,event that the

    remaining ofcers fail to agree on an appointment, or, the

    Delegate Assembly fails to approve the appointment, an

    specialelection by the Delegate Assembly shall be held to

    ll the vacancy. Such ofcer shall serve for the unexpired

    term of the seat being lled.In the event that a vacancy is

    in the Ofce of Vice President and less than four (4) months

    remain until the completion of the term of that ofce, the

    remaining ofcers may determine that the vacancy shall

    As a member of the Insurance Committee (10 years) and Chairman (8 years), Ive been

    instrumental in keeping coverage le

    vels high and premium moderate.

    Ive successfully coordinated the hurricane damages payments, and all of the claims in

    the Village were paid in full.

    I negotiated with insurance companies to lower premiums and reverse decisions to deny

    claims or reduce payments.

    I worked successfully to get Wellington residents a premium return of $850,000.

    I introduced the mitigation reports, which have reduced insurance premiums forresidents by 30%.

    As a member of the Executive Board (11 years), and the Security, Advisory, Safety,

    Transportation, and Maintenance Committees, I have shared my insurance expertise as

    an advisor and resource. Ive also used these opportunities to educate and inform our

    residents of changes and the consequences to them.
