WELLNESS CONFERENCE KENYA EXHIBITOR AGREEMENT RULES AND REGULATIONS1. EXHIBIT LOCATION: THE NAIROBI HOSPITAL2. EXHIBITOR REGISTRATION: All persons represen ng the Exhibitor MUST be registered for the
conference. Booth exhibit fee includes registra on waivers for two representa ves for the Main Conference; table fee includes one waiver. Exhibit Hall-only passes are available. The registra on badge is necessary for admi ance to the exhibit hall and conference sessions. All exhibit personnel must check in/register at conference exhibit hall, with exhibit coordinator, upon arrival, before exhibit set-up. Exhibi ng company must iden fy its representa ves by Aug 31st 2019. A Ksh 1,500/= processing fee will be assessed for each registra on submi ed or changed a er November 1st 2019.
3. INSTALLATION OF EXHIBITS: Only designated exhibitor personnel will be allowed access to the exhibit hall during installa on hours. If assembly of an exhibit has not begun by 4:00 p.m.on Tuesday,
company will be billed for all charges incurred. All exhibits must be ready for inspec on by 5:30 p.m. on Tuesday,
Changes in these hours remain at the discre on of WCK. In order to secure the exhibit hall andto allow exhibitors to a end conference sessions, WCK requires that all exhibitors respect theexhibit hall hours. Mee ngs may be held in exhibitor’s own booth during open registra on hours.
4. REMOVAL OF EXHIBITS: Dismantling of exhibits may not begin un the closing of the exhibit hall, on Friday, 29th Nov., at 6:00 p.m. Materials not removed by Saturday, Nov. 30th,2019 6.00 p.m. will be removed and stored at the Exhibitor’s expense. There will be a Ksh 7,500 fee charged to any exhibit requiring early removal from the Exhibit Hall. Absolutely no dismantling is allowed during exhibit hours.
5. EXHIBIT LIMITATIONS: Exhibitors shall display professional products that are in character with the theme of the conference. Character of the exhibits is subject to the approval
of WCK. WCK reserves the right, in its sole discre on, to refuse any applica on based upon the product to be exhibited. Further, WCK also reserves the right to require the Exhibitor to remove any product from the exhibit which WCK, in its sole discre on, determines is not a conference- related product.
6. SUBLETTING OF SPACE: Exhibitors may not assign, sublet, or share exhibit space without the expressed wri en consent of WCK.

9. CARE OF EXHIBIT SPACE: Exhibitors are, at their own expense, responsible for keeping their exhibit space clean and in neat order. WCK will provide cleaning of the aisles and walkways.
10. ADMITTANCE TO EXHIBIT HALL: Admi ance during exhibit hours is open only to all persons persons wearing “exhibitor” & Visitor registra on badges.
11. OVER-THE-COUNTER SALES: Over-the-counter sales ARE permi ed by Exhibitors at the Trade Fair. Exhibitors shall be solely responsible for having a seller’s permit and for the collec on and remi ance to the Kenya Government sales tax due and owing on the sale of their products.
12. SIZE OF EXHIBIT/SPECIAL EFFECTS AND DEVICES: All Exhibitor ac vi es and demonstra ons must be kept within the bounds of the contracted exhibit space and may not infringe on the aisle space. Any exhibit exceeding 3M in height must no fy WCK about specific height requirements. All audio effects, visual effects, and a en on-a rac ng devices must be kept at a low enough intensity so as, in the opinion of WCK, to not create condi ons that are objec onable to neighboring Exhibitors. Table-only exhibits may not extend beyond the front or
sides of the table. Affixing of materials to exhibi on building walls is strictly prohibited.
14. EXHIBITOR’S WARRANTIES: Exhibitor represents that its use or sale of goods at the Conference & Trade Fair will not infringe upon or conflict with the rights held by any third party under any patent, trademark, copyright, trade secret, or proprietary right. Exhibitor warrants that it accepts the exhibit space provided hereunder upon its own inves ga on and that the Exhibitor has not relied on any representa on made by WCK or any of its agents or employees in making its decision to enter into this contract.
17. FORCE MAJEURE: Neither party shall be liable for defaults or delays due to acts of God or the public enemy, acts or demands of any government or governmental agency, strikes, fires, flood accidents, or other unforeseeable negligence. Each party shall no fy the other of the cause of such delay immediately a er the beginning thereof.
18. SUBSEQUENT WAIVER: A waiver of any provision by WCK under this contract shall not be deemed a subsequent waiver of that same provision or of any other provision.
19. NOTICES: All no ces required to be in wri ng hereunder shall be deemed served on the receiving party when personally served or deposited into the Kenya Postal Mail or sent via e-mail.
20. RELEASE: The Exhibitor, in par al considera on of being allowed to par cipate in the 2019 5TH Interna onal Annual Corporate Wellness Conference Trade Fair & does hereby release and forever discharge WCK, its employees, agents, successors, and assigns and TNH
and its agents, employees, successors, and assigns from any claims or causes of ac on which the Exhibitor may now have or which may subsequently accrue to the Exhibitor by reason of any ma er connected with the Exhibitor’s par cipa on in the 2019 Wellness ConferenceTrade Fair

21. GENERAL: All issues not addressed by these regula ons are subject to the decision of WCK. These regula ons may be amended at any me by WCK and all such amendments will be equally binding to all par es. WCK will provide wri en no fica on of any amendments or addi ons to all Exhibitors affected by them.
22. VIOLATIONS: Viola ons of these regula ons on the part of the Exhibitors, their employees or agents, shall annull the right to occupy space and such Exhibitor will forfeit to WCK all monies that may have been paid. WCK has the right to terminate the right to occupy space and remove all persons and goods at the Exhibitor’s expense and risk. The Exhibitor shall pay all of such expense and damages that WCK may incur and forfeit all monies paid or due WCK on account thereof. Exhibitor expressly waives the service of wri en no ce to re-enter and terminate.
23. PAYMENT: Payments will be made to Wellness Conference Kenya. Exhibitor commitment prior to Sept. 30th, 2019 must include 50% deposit (30% non-refundable). All balances due by 15/10/2019

24. PHOTOGRAPHY: Exhibitor gives permission to WCK to use photography from this conference to help promote future conferences and the WCK through adver sing, marke ng, campaigning, or any promo onal collateral, print or web-based.
25. CANCELLATION POLICY: All cancella on no ces must be made in wri ng. The deposit paid at the me of applica on is non-refundable. Cancella ons postmarked prior to 30th 09, 2019, will receive a full refund of monies paid, less the 30% non-refundable deposit. No refunds for cancella ons postmarked or later.
26. FINAL AGREEMENT: This agreement, together with any a achments hereto, is intended by both par es to be a final expression of their understanding and as a complete exclusive statement of the terms thereof. It can only be modified in wri ng and signed by both par es.

INBOUND SHIPPING INSTRUCTIONS: Due to limited storage, shipments will be accepted at theaddress below ONLY Nov. 9th-12th, 2019, between the hours of 8:30 a.m. and 4:30 p.m. Allfees associated with shipment of exhibit materials are the responsibility of the Exhibitor. No COshipments will be accepted. WCK and Laico Regency will not accept responsibility fordamaged materials.
RETURN SHIPPING INSTRUCTIONS: Exhibitor is responsible for making return shipping andpayment arrangements with the shipper of their choice. Exhibitor must call for their ownpick-up. Boxes must be properly stored, sealed, have shipping labels affixed and bills of ladingfor shipments correctly completed before deparng the exhibit hall. No COD shipments willbe accepted by shippers. Exhibitors who do not comply with these instrucons will be chargedhandling fees. WCK and The Nairobi Hospital are not responsible for improperly labeled orimproperly packaged exhibit materials or shipments for which the Exhibitor has not securedappropriate advance return shipping arrangements.
SECURITY: Exhibitors should not leave valuables unaended in the exhibit booth. WCK andThe Nairobi Hospital will not assume responsibility for lost, stolen, and/or damaged exhibitmaterials.

15. LIMITS OF LIABILITY: WCK and TNH shall not be responsible for damage to materials thathave been delivered to WCK or TNH and placed in storage, held in the exhibit space, orheld in storage prior to being collected from the exhibit space at close of the exhibion. Exhibitorsare responsible for obtaining insurance on their own exhibit materials, at their own expense, andare solely responsible for making sure that their exhibit materials are properly insured against fire,the, and all hazards while in transit to and from the exhibit, and for the duraon of the exhibit.
LIABILITY, HOLD HARMLESS, AND INDEMNITY BY EXHIBITOR: As part considera�on for gran�ng of space to the undersigned Exhibitor, said Exhibitor assumes en�re responsibility and hereby agrees to protect, indemnify, defend, and hold harmless WCK, TNH, and its employees and agents against all claims, losses, and damages to person or property, governmental charges or fines, and legal fees arising out of any use of the exhibion premises or part thereof by the Exhibitor. Further, Exhibitor agrees to protect, save, and hold harmless WCK and TNH from any damages or charges imposed for viola�on of any law or ordinance whether occasioned by the negligence, inadvertence, or inten�onal ac�ons of Exhibitor, its agents or employees, or those holding under the Exhibitor.
