TENDER NOTICE
Delhi International Airport Ltd. (DIAL) invites sealed bids
under single stage two-bid system (Technical & Commercial Bid
in separate envelopes) from the legal owners/registered power of
attorney holders

of premises for hiring of building having carpet area of approx.
48,000 sqft to accommodate CISF staff preferably within a radius of
01 Km of the existing either CISF Camp at AAI Complex, Bijwasan or
CISF Camp at Shahabad, New Delhi. The lease period will initially
be for 3 (Three) years and extendable further on mutual
consent.
Interested parties having clear title may download the Tender
document free of charge from www.newdelhiairport.in from 05.01.2021
to 18.01.2021.
IMPORTANT NOTICE
1. This Notice Inviting Tender (“NIT”) is being issued for the
determination of Interested Parties for the execution of Services
(hereinafter defined) at Indira Gandhi International Airport at New
Delhi. This NIT provides the conditions and timelines to assist
entities to whom this NIT is issued, (“Interested Parties”) to
submit a quotation in response to this NIT. The information
contained in this NIT is being provided for the limited purposes of
enabling the Interested Parties to submit quotation(s) and for no
other purpose. In no circumstances shall DIAL, or its respective
advisors, consultants, contractors, officers, representatives,
servants, employees and/or agents incur any liability arising out
of or in respect of the issue of this NIT, or the bid process.

2. The use and its possession of this NIT/Tender document in any
manner contrary to any Applicable Law is expressly prohibited. The
Interested Party (ies) shall inform themselves concerning, and
shall observe any and all applicable legal requirements in
submission of their quotation(s).
3. This NIT does not purport to contain all the information that
the Interested Parties and their
advisors would desire or require in reaching a decision as to
the submission of the quotation. This NIT is a summary of available
information and no reliance shall be placed on any information or
statements contained herein, and no representation or warranty,
expressed or implied, is or will be made in relation to such
information and no liability is or will be accepted by DIAL, its
respective advisors, consultants, contractors, officers,
representatives, employees, servants and/or its agents in relation
to the accuracy, adequacy or completeness of such information or
statements made, nor shall it be assumed that such information or
statements will remain unchanged.
4. The information does not purport to be comprehensive or to
have been independently verified.
DIAL and its respective consultants and advisors will not be
liable for any costs or expenses, howsoever incurred by the
Interested Parties in connection with the preparation and/or
submission of a quotation. DIAL reserves the right to amend this
NIT and any information contained herein at its sole discretion, at
any time by written notice to the Interested Parties.
5. Nothing in this NIT is, nor shall be relied upon as, a
promise or representation as to DIAL's
ultimate decision in relation to the Services. DIAL expects to
select an entity for the execution of the Services (“Service
Provider”) in accordance with this NIT on the basis of the
quotation submitted by the Interested Parties. However, DIAL
reserves the right to change the basis of or the procedures
(including the timetable) relating to the tender process, reject
any, or all, of the Interested Parties, not to invite a Interested
Party to proceed further, not furnish a Interested Party with
additional information nor otherwise to negotiate with a Interested
Party in respect of the Services at any time. DIAL does not
undertake to accept the lowest or indeed any quotation.
6. No person other than the Tender Officer has been authorized
by DIAL to give any information or
to make any representation, not contained in this NIT and, if
given or made, any such information or representation shall not be
relied upon as having been so authorized.
7. This NIT outlines DIAL’s expectations in relation to the
quotation(s) to be submitted by the
Interested Parties. DIAL, its respective advisers, consultants,
contractors, officers, representatives, employees, servants and/or
agents do not accept any responsibility for the legality, validity,
effectiveness, adequacy or enforceability of any documentation
executed, or which may be executed, in relation to the Services. No
legal or other obligation shall arise between an Interested Party
and DIAL unless and until the Agreement has been formally executed
between DIAL and the selected Party and any conditions precedent to
the effectiveness of such Agreement have been fulfilled. DIAL shall
not be obliged to appoint any of the Interested Party(s) and
reserves its right not to proceed with the bid process and to
withdraw from the bid process, or any part thereof, at any time at
its absolute discretion.
9. Each Interested Party must rely on the terms and conditions
contained in the Agreement when,
and if, finally executed, subject to such limitations and
restrictions which may be specified in the Agreement. Any reference
to this NIT in the Agreement or any correspondence between DIAL and
the Interested Party shall not be construed so as to have the
effect of this NIT forming part of the Agreement.
10. The Interested Parties are prohibited to effect, undertake,
abet or prompt any form of collusion or
arrangement by and/ or between any one or more Interested
Party(s) (directly or through their advisers or consultants) in an
attempt to influence the bid and award process or dispersing any
kind of information, which is not factually correct or may
adversely affect the competitive bidding process. Giving or
offering of any gift, bribe or inducement to any officer/ employee
of DIAL or to any other person in a position to influence the
decision of DIAL for showing any favor in relation to this NIT or
any other contract, shall render the Interested Party to such
liability/ penalty as DIAL may deem proper, including but not
limited to rejection of the quotation of the Interested Party.
11 This NIT is subject to the Laws of the Republic of India. The
courts at Delhi shall have exclusive
jurisdiction in relation to any disputes arising from this
NIT.

12. Each Interested Party's acceptance of delivery of this NIT
constitutes its agreement to, and
acceptance of, the terms set forth in this Disclaimer and as set
forth in the Letter of Undertaking for Non-Disclosure executed and
submitted by the Interested Parties to DIAL. By acceptance of this
NIT, the recipient agrees that this NIT, any information herewith
supersedes document(s) or earlier information, if any, in relation
to the subject matter hereof.

NOTICE INVITING TENDER
RFP/NIT REFERENCE NO: DIAL/P&C/2020-2021/380
Delhi International Airport Limited (hereinafter referred to as
the "Employer" or "DIAL"), has entered into the Operations,
Maintenance and Development Agreement dated April 4, 2006 (“OMDA”)
pursuant to which AAI, has inter alia, granted to DIAL, and DIAL
has accepted the right to undertake the project to construct,
upgrade, modernize, finance and manage the Indira Gandhi
International Airport in New Delhi (“Airport”). DIAL invites bids
Single stage two bid system (i) Part 1: Technical bid and (ii) Part
2: Commercial bid for Hiring of Building for CISF Staff deployed At
IGI Airport, New Delhi as per attached Specifications for Hiring of
Building for CISF Staff accommodation deployed At IGI Airport, New
Delhi for 3 years (refer Annexure-A) on the terms and conditions
contained in this NIT. The Part 1 and Part 2 should be sealed in
separate envelopes and both these envelopes should be put in a
single sealed outer envelope super scribing the Tender Reference
No. Tender description & Bid Due Date. Bids shall be
unconditional, firm and remain valid for three calendar months from
the final bid due date. A bid valid for a shorter period may be
rejected by the purchaser as non-responsive. However, DIAL may
request the Interested Parties to extend the quotation beyond the
quotation Validity Period by written notice to the Interested
Parties. The Interested Party(s) may visit the Site to understand
the routes and obtain for itself on its own responsibility and
cost, all information that may be necessary for preparing the
quotation and entering into the Agreement. The site inspection, if
required, if any, shall be carried out as per the timeline
identified in this NIT, subject to the security clearances, if any.
Interested Parties are advised to study the tender documents
thoroughly. Submission of tender shall be deemed to have been done
after careful study and examination of the tender document with
full understanding of its implications. It will be imperative on
each interested party to fully acquaint himself with all the local
conditions and factors which would have any effect on the
performance of the contract and cost of the goods / services. No
request for the change of price or time schedule delivery will be
considered. The tender document is not transferable. Interested

Section 1
Part A: General Terms and Conditions for the Submission of Bid
1. Qualification of the
Interested Parties 1.1 1.2
The Interested Parties who will submit its quotation shall be a
registered private or public legal owners/registered power of
attorney holders/entity of premises registered in India having
adequate financial capacity, experience and technical know-how to
undertake Services. No firm which has been blacklisted by any Govt
Organization shall be allowed to participate in the tender process.
All intending firms shall be under obligation to inform in writing
about criminal cases pending against them (including Directors
,Managing Directors ,Managing Partners and Managers who may be
authorized to look after their work),if any. The bidders shall also
furnish names and residential address of their Directors, Managing
Directors, Managing Partners and Managers.
2. Pre-bid meeting & Queries and Clarification of Notice
Inviting Tender
Within the time as notified in Notice Inviting Tender., any of
the Interested Parties requiring any clarification/ query of the
NIT or related to the Services may notify the Tender Officer in
writing or by Email at the Tender Officer’s address indicated in
this NIT. The Employer may respond to any request for clarification
which it receives in accordance with the timelines set out in
Notice Inviting Tender.
3. Site Visit The bidders, who submit the Bid fulfilling all the
tender requirements, will be informed in writing by DIAL for
arranging site inspection of the offered premises.
4. Amendment of Notice Inviting Tender
4.1 If any addendum is issued by the Tender Officer with respect
to this NIT prior to quotation submission date then to afford
Interested Parties reasonable time in which to take an addendum
into account in preparing their quotation, the Employer may extend
the deadline for submission of quotation.
4.2 In case after issuance of any addendum, Interested Parties
who have already submitted their quotation, do not resubmit their
quotations, it shall be deemed that such Interested Parties do not
intend to modify their quotation on the basis of the addendum and
the addendum has been taken into account.
5. Preparation of quotation
5.1 The quotation submitted by the Interested Parties shall
comprise of the technical offer, price quotation (duly filled Price
Schedule/Schedule of Rates) and other documents as may be required
and set out in this NIT.
5.2 Interested Parties shall quote for the entire Services, such
that the total price quotation covers all its risks, obligations
and liabilities set out in or to be reasonably inferred from the
NIT in accordance with the requirements of the Work and applicable
laws.
5.3 In price quotation, the Interested Parties shall quote all
prices exclusive of service tax. The Service Tax if applicable
shall be payable extra by DIAL All other taxes, duties, levies as
may be applicable for the Services shall be included in the quoted
prices except service tax which shall be payable extra by DIAL.
6. Form of quotation
and Other Documents Comprising the quotation
The Interested Parties shall submit the quotation in the form
attached to this NIT as Attachment 1 .The Interested Parties shall
along with the quotation submit a valid power of attorney in the
form set out in Attachment 2 to this Section 1 or a valid
resolution of the Board of Directors of the Interested Parties or
other valid authorization, authorizing the signatory of the
quotation to commit the Interested Parties.

7. Tender Security 7.1 The Interested Parties shall submit to
the Tender Officer a Tender Security
in the following manner: Rs. 2,00,000/- (INR Two Lakhs Only)
from any scheduled Bank having branch in New Delhi, India or any
entity approved by Employer in the form of a Demand Draft payable
at Delhi in favor of Delhi International Airport Limited, valid for
a period of 90 (Ninety) days after the final bid due date as
specified in tender documents/subsequent communications. No
interest will be payable by the purchaser on this amount.
7.2
The Tender Security of the unsuccessful Parties shall be
returned by the Tender Officer after Award of Work by the Employer
to the successful Party.
7.3 The Tender Security of the successful Parties shall be
returned by the Tender Officer within seven (7) days of the receipt
of an acceptable performance guarantee in favour of the Employer in
accordance with the Agreement to be executed between the Parties.
The successful Interested Parties shall keep the Tender Security
valid until the date of submission of the performance
guarantee.
7.4 The Tender Security shall be forfeited, if: (a) The
Interested Parties has, without the written consent of the
Employer, withdrawn its quotation during the quotation Validity
Period; or
(b) The Interested Parties has refused to accept the correction
of errors in its quotation in accordance with this NIT; or
(c) The Interested Parties has executed the Agreement with the
Employer, but has failed to deliver a performance bond in
accordance with the Agreement; or
(d) The Interested Parties has failed to execute the Agreement
within Thirty (30) days of being required to do so by the Tender
Officer.

10.Format and Signing of quotation
10.1 The quotation shall be typed and signed by a person or
persons duly authorized to sign on behalf of the Interested
Parties. All pages of the quotation shall be initialed by the
person or persons signing the quotation. The quotation shall be
submitted in one original and one photocopy.
10.2 The Interested Parties shall submit the bids in two part
system. The Part 1(Technical Bid) and Part 2(Commercial Bid) should
be sealed in separate envelopes and both these envelopes should be
put in a single sealed outer envelope super scribing the tender
reference no & bid due date.
10.3 The inner and outer envelopes shall: (a) be addressed to
the Tender Officer at the address mentioned in
Notice Inviting Tender ; and (b) bear the following
identification:

11 Evaluation of Price
quotations The Tender Officer will examine the quotation to
determine whether they
are complete, whether the documents have been properly signed,
whether the quotation are substantially compliant to the
requirements of the Notice Inviting Tender; and whether the
Interested Parties have provided any clarification and/or
substantiation that the Tender Officer may have required. Process
of evaluation of quotations shall be confidential. To assist in the
examination, evaluation and comparison of quotations, the Tender
Officer may, at its discretion, request any Interested Party for
clarification of its quotation. The Tender evaluation Committee
shall evaluate the quotations received and select the most
advantageous quotation taking into account the technical and price
details submitted by the Interested parties. The Employer is not
bound to award the Work to the party offering lowest price
quotation.
12. Award of Work 12.1 12.2
The Purchaser reserves the right to accept any bid and to annul
the bid process and reject all bids at any time, without assigning
any reason, prior to placement of supply order/signing of contract,
without thereby incurring any liability to the affected party(s) or
any obligation to inform the affected party(s )of the grounds for
the purchaser’s action. The Tender Officer shall present the
results of the evaluation of the Price quotation to the Employer
and with the consent of the Employer, will award the Contract to
the successful Parties whose quotation has been determined to be
substantially compliant and who has offered the most advantageous
quotation giving best value for money for carrying out the
Services, in accordance with this NIT.

Part B: Special Terms and Conditions for the Submission of
Bid
1. The Terms and condition shall form part of tender to be
submitted by the bidder to the Delhi
International Airport Ltd. hereinafter termed as “DIAL”. 2. All
columns in the tender document should be duly filled in and no
column should be left blank.
“NIL” or “Not applicable” should be marked, where there is
nothing to report. All the pages of the tender document should be
signed by the owner or his authorized registered power of attorney.
Any other cutting of use of white ink should be duly initialed by
the bidder. The DIAL reserves its right to reject the incomplete
tender or in case information submitted is found to be
incorrect.
3. In case space in tender document is found to be insufficient,
the bidder may use separate sheet to
provide full information. 4. Tender documents received by DIAL
after due date and time i.e. 1700 Hrs on 18.01.2021 shall be
rejected outright and no correspondence in this regard shall be
entertained. 5. The offer should remain valid for three months.
During the validity period of the offer, the bidder
should not withdraw / modify the offer in terms of area and
price and other terms and condition quoted in the Technical or
Commercial bids. The bidder has to submit an undertaking on
non-judicial stamp paper of requisite value duly signed by legal
owner or his registered power of attorney holder that the bidder
shall not back out / cancel the offer / offers made to DIAL during
the validity
period.
6. There should not be any deviation in terms and condition as
have been stipulated in the tender
document.
7. The tender will be acceptable only from original owner of the
building or having valid registered power of attorney. The space
offered should be free from all encumbrances/claims and disputes
/any liability and litigation with respect to its ownership, lease
/ renting and pending payments against the offered space.
8. Offers received from Government Bodies / Public Sector
Undertakings / State Housing Boards etc.
would be encouraged.
9. The building offered should be ready for immediate
occupation.
10. The building should have separate electricity and having
sufficient installed electricity load and water connection. If
separate connection is not available sub-meter etc. to be got
installed by the owner along with wiring.
11. The payment terms mentioned in the Lease deed agreement
attached in section 3 of this tender
shall be strictly followed and no deviations will be
allowed.
12. Canvassing in any form will automatically disqualify the
offer. No brokerage will be paid.
13. The particulars of amenities provided/proposed to be
provided inside the property / building complex should be clearly
furnished in the Technical Bid.
14. The Technical Bid is required to be submitted along with
certified copies of approved drawings from
relevant competent authority, certified copy of Land Deed,
Municipal receipts, approved plan of building and copy of ownership
of building. Technical Bids received without these documents are
liable to rejection without any reference to the party whatsoever.
Originals of these documents / certificates shall be produced at
the time execution of Lease Agreement.
15. The bidder is required to enter into Lease Agreement in the
prescribed format in section 3 of this
Tender.
16. DIAL reserves the right to verify/inspect the building
before finalization of Tender and reject it outrightly, if the
building is not according to the specification required by
DIAL.

17. All existing and future rates, taxes insurance fee including
public liability insurance, including
property taxes, assessment charges and other outgoings
whatsoever of description in respect of the said premises payable
by the owner thereof, shall be continued to be paid by
landlord.
18. The Service Provider shall, inter alia, be responsible for
taking all applicable insurances at its own
cost but not limited to following :- (i) Insurance of machinery,
material and equipment deployed at site or in transit for the
purpose
of execution of Services including third party and (ii) Such
other insurances as may be considered appropriate.
19. Service Provider hereby agree to fully indemnify and keep
indemnified DIAL, its employees, agents,
directors and officers against any loss, damage or injury caused
to any person resulting from the violation of any statute,
ordinance or regulation by Service Provider or any of its agents,
employees, officers. In addition, Service Provider also agree to
indemnify, defend and hold harmless DIAL from and against any and
all claims, liabilities, losses, costs or damages arising out of:
a. breach of any of its obligations hereunder or directions issued
by DIAL from time to time; b. breach of any Applicable Law(s), any
omission, commission or deficiency in execution of the
Services hereunder, by Service Provider; c. Any warranty,
representation or statement Service Provider have made or may make
to a third
party in connection with the Work/ Services provided hereunder;
and/or d. the Work/ Services performed by Service Provider
hereunder
20. This document and any material transmitted herewith may
contain information proprietary to DIAL,
its subsidiaries, affiliates and such information is not to be
used by the recipient for any purposes other than the purpose for
which it was transmitted. Service Provider shall not publish,
distribute, or use any information relating to or developed under
or about the Order or use the trade name, trademark or service mark
of DIAL for any business purposes or for the purposes of making an
advertisement, creating a business reference, news, website
content, or for endorsement of product or services of whatsoever
nature without the prior written approval of DIAL. The information
shall be maintained in confidence and not disclosed to third
parties without the written consent of DIAL. The foregoing
obligations as to confidentiality shall survive the termination or
expiry of this Order.
21. As the accommodation is required for Central Industrial
Security Forces (CISF) unit, no security Deposit / advance payment
will be paid. The quotes of bidders who insist on advance deposit
may not be considered for further evaluation.
22. No tender will be accepted by fax, email, telex or any other
such means.
23. Tender is likely to be rejected because of non-fulfillment
of any of the above terms.
24. The bidders who submit the bid fulfilling all tender
requirements will be informed in writing by DIAL
for arranging site inspection of the offered premises.
25. All disputes lie within the jurisdiction of New Delhi only.
The DIAL reserves the right to reject all or any tender without
assigning any reason thereof.

have ascertained that they contain no errors or other defects.
2. Other Documents attached to this Form of quotation are as
following: (a) The registered Power of Attorney or resolution of
the Board of Directors (b) Tender Security (c) Copies of previous
rent agreements of the offered premises.
(d) Signed & Stamped copy of complete NIT documents
including Technical Specification, un-priced BOQ,SLA/Scope of work,
drawings and technical deviations (if any) etc as applicable.
(e) List of all enclosures as specified in the Technical Bid
section of this Tender (f) Audited balance Sheets for preceding
three financial years and in case of individuals,
the copy of income tax returns for past 3 years. (g) The
interested party should be registered with the service tax
department or fulfill the
requirement statutory taxes being applicable in such
transactions. The interested party shall enclose a scanned valid
copy of service tax registration certificate along with copy of
latest service tax deposit receipt.
We accordingly offer to execute the Services, in conformity with
such documents and our
enclosed price quotation (including this letter) for the prices
completed and set out in price quotation –Price Schedule/Schedule
of Rates.
3. We undertake:
3.1 to keep this quotation open for acceptance without
unilaterally varying or amending its terms for the period stated in
the Notice Inviting Tender.
3.2 that if this quotation is accepted, we shall provide in such
numbers and in such form as
may be stipulated in the Agreement such Performance guarantees,
undertakings and warranties;
3.3 to continue to maintain the Tender Security as stipulated in
the Notice Inviting Tender.
4. We understand that you are not bound to accept the lowest or
any quotation you may receive. 5. This quotation shall be governed
by and construed in all respects according to the applicable
laws being in force in India. The courts at Delhi will have

The Interested Parties shall submit to the Tender Officer a
Tender Security in the following manner: Rs. 2,00,000/- (INR Two
Lakhs Only) from any scheduled Bank having branch in New Delhi,
India or any entity approved by Employer in the form of a Demand
Draft payable at Delhi in favor of Delhi International Airport
Limited, valid for a period of 90 (Ninety) days after the final bid
due date as specified in tender documents/subsequent
communications.

SERVICE LEVEL AGREEMENT /SCOPE OF WORK
Specification for Hiring of Premises / Building for CISF Unit,
IGI Airport
1. The leased premises / building must be situated near the
existing either CISF Camp at AAI Complex, Bijwasan, or CISF Camp at
Shahabad, New Delhi and it should preferably be within a radius of
01 Km of the AAI Complex so that the distance remains walk able. 2.
Proposed Building / leased premises should be abutting / adjoining
the main road or a road not less than 20 feet wide where shift bus
may be plied. 3. Building should be well ventilated and having
access to sufficient day light. 4. There should be 24 hours water
supply, preferably having its own source of potable/drinking water.
5. The building should have at least 75 lavatories , 60 bath rooms,
38 wash basins & required urinals etc. and the same is properly
fitted with sanitary wares. 6. Availability of parking space to
accommodate at least 100 no of two wheelers in / near the building
complex. 7. Proper space for arrangement/ provision of kitchen
& dining facility for approx. 300 personnel. 8. Building should
be having legal electricity connection and it should be well
equipped with adequate electrical fixtures. It should also have a
provision for power back-up. 9. All required and necessary repairs,
white washing , maintenance –civil ,electrical & mechanical,
shall be done by the building owner from time to time and for which
the entire expenses shall be borne by the building owner only.
Delhi International Airport Ltd (DIAL) shall not be responsible or
accountable in any way or in any manner for such expenses. The
proposed building should always be well maintained. 10. The total
carpet area inclusive of bath rooms, toilets, kitchen, living room,
other facilities etc should be approx. 48000 sqft. 11. The leased
premises should have carpet area of approx. 48,000 sqft and the
area could either be on the same floor of the offered building or
it can be on multiple floors i.e. ground plus four (04) maximum.
The layout of the building should contain multiple rooms & not
halls. Each room should be able to accommodate two to four persons.
12. The initial period of lease will be 03 (three) years,
extendable at the sole and exclusive discretion of DIAL. 13. Rent
shall be payable by DIAL, only for the carpet area which will
exclude the area covered by walls and columns, portico / canopy
,sanitary shafts, stair case, lift wells, balcony etc. 14. All
sorts of Municipal taxes, levies and charges like property tax and
any other tax levied, is required to be paid for, by the property
owner only.

15. The land lord / building owner shall furnish the details of
the building i.e. ownership registry, drawing with area, layout
etc. 16. The Landlord / building owner should carry out all the
modifications if needed and mutually agreed to accommodate the CISF
personnel before commencement of the Agreement at its own cost. 17.
Building should have the provision for drying individual cloths
& provision for curtains as it will be of SOs accommodation.
18. Building should have the provision for placing desert coolers
during summer. 19. Building should have the provision for of fixing
Mosquito mesh in windows and doors & also the provision for
hanging uniforms and mosquito nets. 20. Building should have the
provision for safe keeping of individual belongings. 21. Building
should have the Space for Small Gym. 22. Accommodation for 120 SOs
is required on immediate basis.

LEASE DEED - Indicative THIS DEED OF LEASE (“Lease Deed”) is
made and executed on the __________ day of _________ 2021 at New
Delhi, BY AND BETWEEN [Insert name of legal owners/registered power
of attorney holders], resident of [Insert address] (hereinafter
referred to as the “Lessor” which expression shall unless it be
repugnant to the context or meaning thereof be deemed to mean and
includes the legal heirs, successors, executors, administrators and
assigns) of the ONE PART.
AND Delhi International Airport Limited, a company incorporated
under the provisions of the Companies Act, 1956 and having its
registered office at New Udaan Bhawan, Opposite Terminal 3, Indira
Gandhi International Airport, New Delhi 110037 through its
authorised signatory, and shall hereinafter be referred to as the
“Lessee” (which expression shall unless it be repugnant to the
context or meaning thereof be deemed to mean and include its
successors, executors, administrators and assigns) of the OTHER
PART. Lessor and the Lessee shall individually be referred to as a
“Party” and collectively as “Parties”. WHEREAS,
A. The Lessor represents and warrants that he is the absolute
owner and has the absolute right to use, occupy, and possess the
property known as and situated at [Insert the address of property]
admeasuring [Insert carpet area of building] or thereabouts
(hereinafter referred to as the “Premises”) which is more
particularly described and detailed in the Schedule hereunder.
B. The Premises consist of [Insert number] of floors with

C. DIAL desires to take on lease the Premises for the purpose of
accommodation of the Central
Industrial Security Forces (CISF) personnel who have been posted
and assigned for duty at the Indira Gandhi International Airport,
New Delhi (“Airport’).
D. The Parties are desirous of entering into a lease agreement
for the said premises for the above
said purposes on the terms set forth herein.
NOW THIS DEED OF LEASE WITNESSSETH AS FOLLOWS:
1. TERM 1.1 The Lessor, in consideration of the Rent hereinafter
specified and of the Lessee’s
covenants hereinafter contained, hereby grants lease unto the
Lessee, the said Premises (“Lease”) fitted with electricity, water
connections etc., belonging thereto and to hold the same with
effect from [insert date] (hereinafter called as “Effective Date”)
for a term of 3 (Three) years i.e. till [insert date] (“Lease
Period”). The Parties may agree to renew or extend the Lease on
mutually agreed terms.
2. LEASE RENT
2.1 The Lessee shall pay to the Lessor a sum of Rs. [insert
amount] (Rupees ________ only)
per month as rent (“Rent”) for use and occupation of the
Premises during the Lease Period, which shall be payable monthly in
advance on or before the 10th day of every calendar month during
the subsistence of this Lease.

2.2 All the above rental charges are subject to deduction of tax
deducted at source (TDS) as per the provisions of the Income Tax
Act, 1961.
3. COVENANTS OF THE LESSOR
3.1 The Lessor represents and covenants that he has full right
and absolute authority to grant
the Lease of the Premises as absolute owner. 3.2 The Lessor has
represented to the Lessee that the Premises is fit for residential
use and
does not suffer from any structural damage or defect. 3.3 The
Lessor shall allow the Lessee to enjoy quiet and peaceful
possession of the Premises
during the entire period of the Lease without any interruption
by any person lawfully claiming either through or under or in trust
for the Lessor or otherwise.
3.4 The Lessor has represented that all the amounts, taxes,
charges, levies in respect of the
Premises and the utilities have been duly paid to date and the
Lessor shall continue to pay all present and future taxes,
municipal and local levies rates, cess and any other dues
levied/recovered by any government, any governmental department
statutory authorities, municipal authorities, local bodies etc.
including but not limited to house tax, property tax, municipal
charges, and all taxes, charges, levies etc. whether already levied
or which may be levied and the Lessor shall ensure that the same do
not fall in arrears in respect of the Premises.
3.5 That if the Lessor at any time during the Lease Period,
sells and/or transfers his rights in
the Premises as a whole or in any part or parts thereof to any
person or more than one person, then in such event the present
Lease shall attorn to the such transferee or transferees on the
same terms and conditions as are contained herein.
4. OBLIGATIONS OF LESSOR
That the Lessor covenants with the Lessee as follows:
4.1 That all the taxes, charges, levies and all normal out
goings whether already levied or which may be levied in respect of
the Premises shall be paid by the Lessor themselves and not to
allow the same to fall in arrears.
4.2 The Lessor shall abide by and comply with all laws, bye
laws, rules and regulations of the
local bodies and other relevant authorities in respect of the
Premises. 4.3 The Lessor shall hand over the entire Premises in
proper finished condition to the
satisfaction of management of the Lessee which cover walls etc.
for seepage of water, fans and light bulbs at all the points, new
fittings for all broken electrical switches, all windows and doors
with fittings, toilets, bathrooms, kitchen, rooms etc. exhaust
fans, drinking water facilities, distemper/whitewash of all room
and other areas.
4.4 All articles, things, installations, fixtures, fittings and
all the interiors (“Fit Outs”) installed
at the Premises by the Lessee shall be the absolute property of
the Lessee. The Lessee shall be entitled to dismantle, remove and
take away the same from time to time and when Lessee vacates the
Premises on the expiry or upon the termination of the Lease.
4.5 The Lessor shall keep the Premises in good order and proper
tenable condition. 4.6 The Lessor agrees and undertakes to provide
the required water, toilets and sanitary
fittings. 4.7 The Lessor agrees to undertake all structural
repairs and major repairs in the Premises
before handing over the possession and thereafter the
maintenance shall be the responsibility of the Lessee.

4.8 The Lessor shall allow the Lessee to place the
nameplate/signage in or upon any part of the Premises of such size
and in such position as may be thought fit from time to time
without causing any inconvenience to other users of the
neighborhood.
5. OBLIGATIONS OF LESSEE
The Lessee covenants with the Lessor as follows:
5.1 That the electricity and water charges as per meter readings
and as levied by the concerned authorities shall be paid regularly
by the Lessee. Lessor shall arrange for a separate electricity
meter for the Lessee.
5.2 That the Lessee shall not under-let, sub-let, assign,
transfer, part with or permit to use either
part or whole of the Premises without the prior written consent
of the Lessor to any third party. However, the Lessee shall be
entitled to lease, sublet, under-let, assign, transfer, part with
or permit to use either part or whole of the Premises to any of its
affiliates, group companies and/or associates during the Lease
Period after prior intimation to the Lessor in writing and the
Lessor shall not object to the same.
5.3 That the Lessee shall allow the Lessor or its agent, with or
without workmen to view the
state and the condition of the Premises and also to repair,
renovate, replace water pipes, sewerage pipes, soil pipes, ducts
and other fixtures and fittings of common use only after giving
reasonable prior notice in writing to the Lessee before such
entry.
5.4 The Lessee shall at its own cost remove articles and things
belonging to the Lessee, and
deliver vacant possession of the Premises on the expiry of the
Lease Period or in case of termination of the Lease.
5.5 The Lessee shall not make any structural alterations to/or
in the Premises except with the
Lessor’s prior approval in writing and the Lessor shall not
unreasonably withhold such request by the Lessee. However, no
approval shall be required for additions or alterations if required
by the Lessee, if done at its own cost without any material damage
to the Premises building.
5.6 The Lessee assures the Lessor that that the Premises shall
be used for residential purpose
of the CISF personnel only and it will not be used to store any
objectionable, inflammable, hazardous materials and dangerous
chemicals.
5.7 The Lessee shall keep the interior of the Premises and the
fixtures and fittings, including
electrical, sanitary and plumbing fixtures therein in good and
tenable repair and conditions, reasonable wear and tear
expected.
5.8 The Lessee shall not do or suffer to be done anything in the
Premises, which is likely to be
a nuisance or annoyance to the occupants of the neighborhood
where it is situated. 5.9 The Lessee or any person claiming through
the Lessee shall not at any time put up any claim
of tenancy or sub-tenancy or any adverse right or title in the
Premises and this Lease shall not be construed as creating any such
right or title into or upon the Premises in the favour of the
Lessee, it being expressly agreed and declared that this is a bare
lease for the Lessee during the period that the Lease subsists.
5.10 The Lessee shall not be responsible for damages resulting
from earthquake, fire, storm,
war, civil or social disturbance (including terrorism act) or
any other such calamity. 6. INDEMNIFICATION
6.1 That the Lessor hereby agrees to indemnify the Lessee and
keep indemnified the Lessee
against any and all claims, losses, injuries, liabilities,
costs, expenses, damages, actions or proceedings whatsoever, which
may be made or taken against the Lessee by any person or which may
be suffered by the Lessee arising out of any action or non-action,
accident or

otherwise, or by any reason due to the defect in title of the
Premises or breach of any of the terms of this Lease Deed or
otherwise attributable to the Lessor.
6.2 In case of misuse of the Premises by the Lessee the Lessor
will not be liable and
responsible for the same and the Lessee shall indemnify the
Lessor for all and any charges, penalty demand or any other loss
including any damages which the Lessor may have to pay and suffer
for such misuse by the Lessee.
6.3 The Lessor shall indemnify the Lessee for any and all
penalties, charges, levies, taxes and
all normal out goings in relation to the Premises which may be
levied on the Lessor by any government authority or otherwise.
7. FORCE MAJUERE
That if the whole or any part of the Premises at any time during
the Lease Period is destroyed, damaged or flooded due to any Force
Majeure Event, the Lessor shall restore the Premises as
expeditiously as possible. However, if the Premises cannot be used
by the Lessee due to such destruction or damage, the Lessee after
notifying the Lessor in writing of such situation shall not be
liable to pay the Rent for the period the Premises remain in such a
situation. Provided that if the Premises is rendered unusable for
more than 1 (one) month, then, notwithstanding the provisions of
Clause 9 of this Lease Deed, any time after the expiry of the said
1 (one) month, at the sole option of the Lessee, the Lease shall
stand terminated, upon the Lessee giving a notice in writing to
this effect to the Lessor. Further the Lessor shall be responsible
for any loss or damage caused to the Lessee’s property due to the
said reason.
8. DEFAULT OF LESSOR
In the event any of the taxes, levies, penalties and charges and
all normal outgoings are not paid by the Lessor during the Lease
Period, the Lessee may pay the same and deduct such amount from the
Rent payable to the Lessor along with service charge as the Lessee
may deem fit.
9. DEFAULT OF LESSEE
9.1 If the Lessee is in arrears of Rent payable for the Premises
for a continuous period of 45
(forty five) days from the due date of payment thereof, and does
not make such payment within 90 (ninety) days of receipt of the
notice to make good the payment, then the Lessor may at his option
terminate the Lease after the expiry of the notice period subject
to the Clause 14 of this Lease Deed.
10. TERMINATION 10.1 The Lessor may terminate the Lease Deed at
any time by giving a written notice of 3 (three)
months and the Lessor shall give sufficient time to the Lessee
to remove/dismantle the interiors, furniture, fixtures and other
installations installed/attached in the Premises by the Lessee and
to take back the Fit Outs, if any. The Lessee may terminate the
Lease Deed at any time by giving a written notice of 1 (one) month
to the Lessor.
10.2 DIAL shall be entitled to terminate this Lease Deed upon
the termination of the OMDA. 11. OPERATIONS, MANAGEMENT AND
DEVELOPMENT AGREEMENT (OMDA) 11.1 The right of DIAL to enter into
this Lease Deed with the Lessor is in accordance with the
OMDA. The Lessor does hereby expressly understand that:
(a) Upon the termination or expiry of the OMDA, howsoever
caused, all the rights and obligations of DIAL under this Lease
Deed shall stand transferred to and vested in AAI, in terms of the
OMDA.

(b) Under the provisions of the OMDA, AAI has a right, upon
termination/suspension of the OMDA, to acquire the land, buildings,
structures and other assets at the Airport, including the rights
and obligations under the Lease Deed in the manner provided under
the OMDA.
11.2 In the event of AAI exercising, during the term of this
Lease Deed (including any renewals
thereof), the right as referred to in Clause 11.1(a) above, for
any reason whatsoever, including termination due to breach of any
agreement by DIAL, all such land, buildings, structures and/or
other assets at the Airport (including the rights and obligations)
shall forthwith stand transferred/reverted to AAI or to such other
person as AAI may nominate in this regard, without there being any
requirement of further actions of the parties.
11.3 In case the Lessor is a limited or private limited company
than the Lessor shall declare the
shareholding pattern of their company applicable on the date of
signing of this Lease deed. 12. CONSEQUENCES OF TERMINATION 12.1 On
the expiry or termination of the Lease Deed, the Lessee shall hand
over the possession
of the Premises in good state and condition, normal wear and
tear accepted. 13. ATTORNMENT 13.1 Subject to Clause 13.3, if the
Lessor at any time during the Lease Period, sells and/or
transfers its rights with respect to the Premises as a whole or
in part or parts thereof to any one person or more than one person,
then in the event the Lessor shall attorn to such transferee or
transferees on the same terms and conditions as are contained
herein.
13.2 However, the Lessor shall ensure that a letter is issued by
the prospective new landlord in
favour of the Lessee confirming the terms herein agreed to shall
be binding on the new landlord and such landlord shall also
acknowledge all outstanding amounts paid by the Lessee to the
Lessor whose benefit shall be transferred to the new landlord. The
same shall also apply in case of any subsequent sale or transfer
pending the leasehold rights of the Lessee.
13.3 The Lessor agrees to give 30 (thirty) days first right of
refusal to Lessee to terminate the
Lease in case the Lessor decides to transfer the Premises during
the Lease Period. 13.4 Notwithstanding anything contained in this
Lease Deed, the Lessee shall have the right to
terminate the Lease in case the Lessor sells or transfers his
rights in the Premises after giving 90 (ninety) days’ notice in
writing.
14. NOTICE 14.1 Notices, demands or other communication required
or permitted to be given or made under
the Lease Deed shall be in writing and delivered personally or
sent by prepaid post with recorded delivery and confirmed by
registered mail/courier addressed to the intended recipient at its
address set forth below, or to such other address as any Party may
from time to time duly notify to the others:

14.2 A notice shall be deemed to have been served, if delivered
personally, on the date of
delivery, if posted on the expiration of 5 (five) days after
posting. 15. DISPUTE RESOLUTION AND GOVERNING LAW

15.1 Any dispute, controversy or claim (“Dispute”) arising out
of, relating to, or in connection
with this Lease Deed, termination or validity hereof, shall
initially be resolved by amicable negotiations among the Parties
and, if not resolved though such negotiations with 30 (thirty) days
of written notice of the existence of such Dispute, be finally
settled by arbitration by a sole arbitrator to the appointed by
Managing Director of DIAL or his nominee within 30 (thirty) days
after receipt of a request for appointment of arbitrator, which
notice shall contain all information regarding the dispute(s)
between the Parties.
15.2 The arbitration shall be conducted in accordance with the
Arbitration and Conciliation Act,
1996 as amended from time to time. The venue of arbitration
shall be New Delhi, India and it shall be conducted in the English
language.
15.3 The arbitral award shall be in writing, state the reasons
for the award, and be final and
binding on the Parties concerned. The award may include an award
of costs, including reasonable attorney’s fees and
disbursements.
15.4 The Lease Deed shall be governed by the laws of India. In
respect of all matters arising out
or relating to this Lease Deed, the courts at New Delhi, India
shall have exclusive jurisdiction.
16. MISCELLANEOUS
16.1 This Lease Deed shall supersede all other correspondences,
agreements and/or any other
documents executed/exchanged between the Parties herein and this
Lease Deed shall be final and binding on the Parties.

Checklist of List of enclosures/documents to be submitted along
with Technical Bid Attested photocopies / certified true copies of
the following documents are required to be annexed with the
Technical Bid. Technical Bids received without these documents are
liable to rejection without any reference to the party whatsoever.
Originals of these documents / certificates shall be produced at
the time execution of Lease Agreement. 1. ‘Title Deed’ showing the
ownership of the premises. 2. Certified copies of approved drawings
from relevant authorities or any other competent authority of
the area offered for rent/hire, certified copy of Land Deed,
Corporation tax receipts and copy of ownership of building.
3. Affidavit from owners and if tender is submitted by the
registered power of Attorney Holder, an
Affidavit from such registered power of Attorney Holder
regarding accommodation offered for hiring being free from any
litigation / liability / pending dues and taxes.
4. Attested / self – certified copy of completion certificate
issued by Competent Authority.
5. The copies of recent water and Electricity bill with bill
payment receipts.
6. Copies of sanctioned water and electricity loads from
relevant authorities.
7. The registered Power of Attorney or resolution of the Board
of Directors
8. Tender Security
9. Copies of previous agreements (if any).
10. List of all enclosures as specified in the Technical Bid
section of this Tender
11. Audited balance Sheets for preceding three financial years
and in case of individuals, the copy of
income tax returns for past 3 years.
12. The interested party should be registered with the service
tax department or fulfill the requirement statutory taxes being
applicable in such transactions. The interested party shall enclose
a scanned valid copy of service tax registration certificate along
with copy of latest service tax deposit receipt.
13. Signed & Stamped copy of complete NIT documents
including Technical Specification, un-priced
BOQ,SLA/Scope of work, drawings and technical deviations (if
any) etc as applicable.
14. Copies of valid Identity proofs of owner(s) / Registered
Power of Attorney Signature of Legal Owner/ Registered Power of
Attorney Holder. (NAME IN BLOCK LETTERS) (DESIGNATION AND SEAL
WHERE APPLICABLE)
