Capítulo VI

Falecimento, Incapacidade, Interdição ou Separação Judicial de Sócio Pessoa Física eExtinção da Sócia Pessoa Jurídica

Cláusula 13. A Sociedade não se dissolverá por morte, ausência declarada, interdição, exclusão

ou retirada de qualquer dos sócios pessoas físicas, continuando com os sócios remanescentes ecom os herdeiros ou sucessores do sócio falecido, se for o caso, nas condições previstas nestaCláusula.

Parágrafo Primeiro. Caso os herdeiros ou sucessores do sócio falecido não sejam sócios daSociedade, pod erão ingressar na mesm a, observando-se o q ue for decidido na p artilha do espólio,desde que comuniquem aos demais sócios essa intenção, por escrito, contra recibo, no prazo de60 (sessenta) dias a contar da data do falecimento.

Parágrafo Segundo. Por decisão do sócio ou dos sócios representando a maioria do capital,poderá ser recusada a admissão dos referidos herdeiros ou sucessores na Sociedade. Nestahipótese, nos 30 (trinta) dias seguintes ao recebimento da notificação referida no Parágrafo 1º,supra, deverão ser apurados os haveres do sócio falecido, tomando-se data base de apuração adata de falecimento do sócio.

Parágrafo Terceiro. O procedimento previsto nesta Cláusula aplicar-se-á, aos casos deincapacidade, ausência dec larada ou interdição de qualquer sócio p essoa física.

Cláusula 14. Em caso de separação judicial ou divórcio de qualquer dos sócios, meação oupartilha que im plique alteração na titularidade d as qu otas, o cônjuge que receber as q uotas sociaispoderá optar por ingressar na Sociedade, desde q ue o sócio ou os sócios representando a m aioriaabsoluta do capital social aceitem a participação, caso não haja interesse do cônjuge ou caso osócio ou os sócios representando a maioria do capital social recusem o respectivo ingresso naSociedade, serão apurados e pagos os haveres correspondentes às mesmas quotas, tomando-secom o data base de apuração a data de hom ologação da partilha.

Cláusula 17. Aplicam-se igualmente as normas previstas nesta Cláusula às sociedadessucessoras, em caso de fusão, cisão, ou incorporação envolvendo o sócio, pessoa jurídica, bemcom o nas h ipóteses de extinção, liquidação ou falência de qualquer outra, se da operaçã o resultarna titularidade do controle da me sma.

Greece Selects Prime Minister After Days of Wrangling

ATHENS — Lucas Papademos, a respected economist with an avuncular style,was named prime minister of Greece on Thursday. He will lead a unitygovernment that has pledged to quickly approve the tough terms of a Europeanaid package and save the country from bankruptcy.

The choice of Mr. Papademos, a former vice president of the European CentralBank, came after four days of tense negotiations that put Greece’s feudingpolitical parties on full display.

A written statement issued by the office of President Karolos Papoulias was

read on television in the afternoon confirming Mr. Papademos’s appointmentand adding that the “chief role of the new interim administration will be theimplementation of the decisions of the European Union summit of Oct. 26 andthe policies that are connected to this.”

Mr. Papademos made a brief appearance shortly after the announcement. Hesaid Greece still faced dire problems. But he struck an optimistic note.

“The course will not be easy,” he said. “But the problems, I’m convinced, will besolved. They will be solved faster, with a smaller cost and in an efficient way, ifthere is unity, agreement and prudence.”

After months of domestic protests and building pressure from the EuropeanUnion, Prime Minister George Papandreou agreed on Sunday to step downonce a coalition government had been formed. But the talks dragged on,apparently hostage to political maneuvering by all sides.

Mr. Papademos, however, is seen as outside the old-boy networks of Greekpolitics — a technocrat, perhaps able to take Greece on a new path.

News reports earlier this week said that Mr. Papademos was insisting onseveral measures he believed were crucial to his success, including a minimumof at least six months at the helm. Earlier, Greece’s major political parties hadagreed to new elections in just 100 days.

The reports also said that he insisted that members of the opposition NewDemocratic Party play a significant role in the unity government, which will haveto impose additional austerity measures almost immediately. (…)
