I. Introduction

“Committed to People. Committed to the Future. Toshiba”: inspired by its corporate slogan, the Toshiba Group is vigorously promoting CSR (Corporate Social Responsibility) activities. Naturally, environmental management is central to that drive. In accordance with the Toshiba Group’s Basic Policy for the Environment, Toshiba Group is working to protect the environment by stressing the “creation of new value” and championing “symbiosis with the Earth” throughout its business processes and products.

Based on this idea, the Toshiba Group has formulated Toshiba Environmental Vision 2050 and managed specific environmental activity items and their target values by backcasting from the ideal state in 2050.

In the Toshiba Solutions Group,a member of Toshiba Group, as well, we have established a Toshiba Solutions

Group’s Basic Policy for the Environment and carry out environmental activties treating environmental considerations as a primary issue when developing solutions projects.

Environmental management involves tackling various issues. Toshiba solutions Group believes that we have a responsibility to perform a comprehensive assessment of the environmental impacts of our products throughout their life cycles and in every phase, from product manufacturing and usage through to recycling of end-of-life products. The Toshiba Solutions Group is promoting green procurement as a measure during the manufacturing phase.

Green procurement involves procuring products, parts and components and materials, etc. with minimal environmental impacts from suppliers that vigorously promote environmental protection.To promote business in a way that reduces the environmental impacts and risks of hazardous chemical substances, activities encompassing the entire supply chain are necessary, for which the cooperation of suppliers, our business partners, is essential.

With this in mind, Toshiba Solutions Group has revised the Green Procurement Operation Guidelines in line with contemporary needs. In our endeavors to achieve a sustainable society, Toshiba Solutions Group invites our suppliers to share our environmental goals and work hand in hand with us to make green procurement a resounding success.

Recognizing our responsibility to maintain the health of the global environment as an irreplaceable asset for future generations, the Toshiba Solutions Group works towards the creation of new value and symbiosis with the Earth by providing timely solutions backed with knowledge backed by the latest information technologies, experience and past results; and contributes to the development of a sustainable society through continued promotion of environmental activities designed to achieve a world that is low carbon, recycling-based and environmentally harmonious.

• Toshiba Solutions Group considers environmental stewardship to be one of management’s primary responsibilities and promotes environmental activities in harmony with economic activities.

• Toshiba Solutions Group assesses the impacts of our business activities, products, services and solutions on the environment, including with regard to biodiversity, and specifies objectives and targets concerning the reduction of environmental impacts and prevention of pollution.

III. Toshiba Solutions Group’s Green Procurement Concepts 1. Objective of the Guidelines

In accordance with the Toshiba Solutions Group’s Basic Policy for the Environment, Toshiba Solutions Group is working to protect the environment by stressing the “creation of new value” and championing “symbiosis with the Earth” throughout our business processes and products. As part of these efforts, the Toshiba Solutions Group develops and provides environmentally conscious products and services, which help reduce environmental impacts throughout their life cycles. Green procurement is essential for that purpose.

The guidelines show the Toshiba Solutions Group’s Green Procurement Concets, a basic concept of the Group on green procurement, together with the specific contents of the Group’s requests to our suppliers concerning the supply of parts and components, materials, units, products, secondary materials, etc. (hereinafter collectively referred to as “procurement items”).

The Toshiba Solutions Group is working with global environmental protection activities in cooperation with our suppliers through the procurement activities under the Green Procurement Concepts described in the guidelines.

2. Scope of the Guidelines These guidelines apply to all procurement transactions and procurement items related to Toshiba Solutions

Group "procurement of materials etc. related to products (*1)" and "procurement related to production activities".

(*1) This refers to all products sold by Toshiba Solutions Group, and includes items manufactured by OEM and ODM manufacturers.

3. Precautions on Handling of the Guidelines

These guidelines provide examples of chemical substance related legal regulations and prohibitions, however these examples are provided for reference purposes only and are not intended and should not be treated as a comprehensive listing of all relevant regulations and prohibitions. Abide by the relevant laws for each individual case.

4. Definition of Terms

Definitions of the main terms and terminology used in these guidelines are as follows. [AIS] (Article Information Sheet) This is the basic information transmission sheet recommended by JAMP for chemical substances in

products, and noted information including "mass", "components", "material quality", "inclusion, substance name, content amounts and concentration per molded part for substances subject to control regulations", and is used to convey this information to downstream users.

[CMS] (Chemical substances Management System) A chemical substance management system which is aimed at establishing a plan for systematically

reducing chemical substances included in products from material procurement to product shipping. [EMS] (Environmental Management System) Environmental management system which consists of organizations and businesses independently

promoting environmental protection related measures in the course of their operations and business, setting their own environmental policies and objectives and working towards achieving and realizing them.

[JAMP] (Joint Article Management Promotion-consortium) A non-profit organization established in September 2006 to promote the construction of a system for the

smooth disclosure and dissemination of information on chemical substances in products in the supply chain. For details of its activities, please see the following URL:

JAMP URL: http://www.jamp-info.com/ [REACH Regulations] (Registration, Evaluation, Authorisation and Restriction of Chemicals) Comprehensive systems for the registration, evaluation, approval and restriction of chemical substances

in EU started June 1, 2007. [RoHS Directive] (Directive of the Restriction of the Use of Certain Hazardous Substances) Directive on the principle prohibition of inclusion of specified hazardous substances in electrical and

electronic products sold in EU after July 1, 2006. "Specified chemical substances" includes 6 substances: cadmium, hexavalent chromium, mercury, lead, polybrominated biphenyl and polybrominated diphenyl ether. Equivalent regulations exist in China, Korea, the United States and other countries outside of EU.

[SVHC] (Substances of Very High Concern) Part of the REACH regulations, referring to chemical substances in molded products (substances of very

high concern). [Intentional Addition] Refers to the use of chemical substances intentionally in forming supply items to bring about specific

properties, appearances or qualities. [Prohibited 15 Substances (Group)] Substances (group) prohibited 01-15 which are prohibited from use in materials used in environment

conscious products. Also referred to as Specified Chemical Substances Level A. [Homogenous Material] Single substances used in soldered areas, plated areas, ink, resin areas, sheets and steel materials in

parts. [Closed System] Refers to a system where chemical substances in products are not released into the earth's environment

throughout every stage of a product's lifecycle from material procurement to disposal and recycling.

5. Toshiba Solutions Group Green Procurement Standards

We believe green procurement involves procuring products, parts, materials, etc. with minimal environmental impacts from suppliers that vigorously promote environmental protection. For this reason, we have established selection standards based on the following two aspects to promote green procurement.

- Supplier Selection Standards - Procurement Item Selection Standards

(1) Supplier Selection Standards

When commencing and continuing transactions, we give precedence to suppliers who actively promote the following.

1.) Construction and Operation of the Environmental Management System (EMS)

Constructs and operates an environmental management system and obtains ISO14001 or equivalent external certification to carry out environmental protection activities.

2.) Construction and Operation of a Chemical Substance Management System (CMS) for Chemical

Substances in Products Carries out management of chemical substances in procurement items through management of chemical substances in procurement items in accordance with the "Guidelines for the Management of Chemical Substances in Products" issued by the JAMP or equivalent activities.

3.) Active promotion of environmental protection activities Carries out global environment protection activities including prevention of global warming, efficient utilization of resources, protection of biodiversity, etc.

(2) Procurement Item Selection Standards

The Toshiba Solutions Group has stipulated Appendix 1 Procurement Prohibited Substances (Group) List and Appendix 2 Procurement Controlled Substances (Group) List and utilizes procurement items which fulfill the following in our environment conscious products.

1.) Items which do not contain Procurement Prohibited Substances (Group), contain less than the threshold

value content for items with a concentration threshold for which the content information known, understood and readily able to be provided, and for which content information can be provided during surveys of chemical substance content conducted by Toshiba Solutions Group. Procurement Prohibited Substances (Group) are substances (groups) for which inclusion in procurement items (including packaging) is prohibited or restricted by domestic or overseas regulations.

2) Items for which Procurement Controlled Substances (Group) content information is known, understood

and readily able to be provided, and for which content information can be provided during surveys of chemical substance content conducted by Toshiba Solutions Group. Procurement Controlled Substances are substances whose environmental impact should be reduced, based on their actual usage, via reduction of use and substitution, or recovery and detoxification in a closed system.

3.)Items for which information can be readily provided, and for which information can be provided during

surveys conducted by Toshiba Solutions Group for the purpose of reducing environmental burden. Environmental burden reduction refers to energy saving, resource usage reduction, reusability, use of recyclable materials, ease of processing and disposal, capacity for long-term use and reduction of packaging materials.

6. Requests to Suppliers The following requests are made of business partner suppliers in order to promote green procurement.

(1) Proposal, implementation and operation of an Environmental Management System (EMS) improvement

plan. Active obtainment and maintenance of external environmental certification is recommended as an

effective method for efficient operation of the EMS.

(2) Construction, operation and continuous improvement of a system for appropriate management of chemical substance content (CMS).

(3) Cooperation with various surveys for confirmation of environmental protection activities and chemical

substance content. - Survey of suppliers' environmental activities (EMS surveys) - Surveys of supplier construction and operation of a chemical substance management and operation

system (CMS surveys) for chemical substances in products - Content surveys through Declaration of Use/Non-use of Environment-Related Substances, etc. - Content surveys through JAMP-AIS - Surveys of specified chemical substances as a result of requests by our customers

(4) Conclusion of agreements for assuring environmental quality of procurement items Toshiba Solutions Group may request suppliers to conclude an "Agreement Concerning the Restriction of

the Use of Specified Chemical Substances". Toshiba Solutions Group will make a request for conclusion of such agreements and asks for your prompt response to such requests.

(5) Handling of Noncomformities

Prompt cooperation with subsequent surveys/cause investigations and implementation of countermeasures in the event any nonconformity is discovered in products delivered to Toshiba Solutions Group.

In addition, suppliers may be requested to submit related information when any deviation from the management standards of Toshiba solutions Group is found in the hazardous substance content inspections of Toshiba Solutions Group, and suppliers are asked to cooperate fully in all surveys and provide substitute products until the cause of the deviation is found.

(6) Compliance with these "Green Procurement Guidelines" throughout the Supply Chain

Provision of instruction and support to subcontractors for which requests are made for the procurement or processing, etc. of goods delivered to the Toshiba Solutions Group by suppliers to ensure the thorough dissemination and fulfillment of these guidelines.

(7) Promotion of Continual Improvement of Environmental Activities

Toshiba Solutions Group will evaluate the state of supplier environmental activities based on submitted surveys (EMS, CMS) and notify suppliers of results.

Requests may be made to suppliers for improvements, audits of sites, etc. depending on the results of evaluations and suppliers are asked to cooperate fully with these requests.

In addition, submitted information may be shared within the Toshiba Solutions Group and used for management of environmental risk substances within the Toshiba Solutions Group or to comply with customer surveys, and may therefore be released to third parties as Toshiba Solutions Group product information.

IV. Implementation Methods for Various Green Procurement Surveys 1. Survey of Suppliers’ Environmental Activities

When selecting suppliers, suppliers are expected to submit self evaluations of the status of measures for environmental activities (EMS) including handling status of environmental laws and green procurement in addition to product quality, price, delivery date and service and management of chemical substances in products (CMS) for using the following survey forms, and then preference is given to transactions with suppliers with high evaluation ranks.

- EMS Survey Form - " Survey of Suppliers' Environmental Activities (EMS Survey)" Excel (Hereinafter the EMS Survey Table)(*1)

- CMS Survey Form - " Implementation Item List and Checksheet" Excel (Hereafter the Checksheet)(*2) -" Chemical Substances Management in Supplier Products (CMS Survey Table)"

Implementation Item List and Checksheet" in the "Guidelines for the Management of Chemical Substances in Products" on the JAMP website download area for the checksheet

The EMS Survey Form and CMS Survey Form will be sent, so fill out the forms using the requested methods and submit by the answer deadline.

When necessary, requests may be made for status checks from manufacturers, etc., so please verify the requested content and handle accordingly.

1.) Surveys will be carried out periodically. (In principle 1 time per year)

2.) The responses (self evaluations) of suppliers will be verified and if necessary requests for

improvements or site audits will be made, so please handle accordingly. 3.) Suppliers who received the highest evaluation results, may be exempted from surveys the following

year.

(2) EMS Surveys 1.) Evaluation Items

The main items on EMS survey tables are as follows. 1. Verification of environment related law and green procurement etc. implementation status 2. Verification of obtainment of ISO 14001 (or equivalent) external certification 3. Verification of environmental protection items when the external certification from 2. has not yet been

obtained.

2.) EMS Evaluation Standards Evaluation point totals are divided into ranks based on the above evaluation items, and priority will be

given to procurement from suppliers who achieve ranks S or A. Evaluation Rank Selection Standards

(3) CMS Surveys

1.) Evaluation Items The main items on checksheets are as follows.

1. Policy 2. Plan determination 3. Implementation and operation 4. Human resource and document/information control 5. Performance (implementation status) evaluation and improvement 6. Management review (revision by managers)

Fill out the CMS survey table based on the results of the checksheet self evaluation. The main items

are as follows. 1. Items requiring improvement measure details and planned completion periods 2. Management status of contractors

Trading companies, distributors and other non-manufacturers are also subject to CMS surveys.

2.) CMS Evaluation Standards

Priority will be given to procurement from suppliers who achieve a PASSing comprehensive judgment based on the checksheet.

2. Declaration of Use/Non-use of Environment-Related Substances

This is a survey to determine suitability for use in Toshiba Solutions Group’s environment conscious products. Toshiba Solution Group asks suppliers to fill out surveys and guarantee the content.

For survey form refer to [Form 3] Declaration of Use/Non-use of Environment-Related Substances Example.

(1) Substances Subject to Survey Prohibited 01-15, Controlled 01, 04,and 07 (2) Survey Request and Response Methods

Survey requests will be made for each part etc. manufacturer product code by e-mail etc., respond via the requested method and submit.

1.) When filling out the concentration (ppm) and comment field be careful of the following.

*Concentration (ppm)

- For concentration (ppm) fill out the rate of content (ppm) for chemical substance content containing part homogenous material together with the substance group.

(Homogenous material refers to single substances used in soldered areas, plated areas, ink, resin areas, sheets and steel materials in parts)

- If there are the same usage application types in multiple parts, enter the maximum value (ppm). - If there are multiple usage application, please note all applications. (If there is not enough space, use the comment field or a separate sheet (free format))

Fill out the above concentration (ppm) "part" information in as much detail as possible. Filling out example)

For "5. Lead and its compounds" Concentration (ppm) Comments

38000 Lead in connector anchor fixture: Pb-RE-4 (*1)

(*1) For uses excluded from RoHS application or where impurities are included, cite from the "intended use classification code" on the separate sheet.

2.) Submission of responses is generally done in Toshiba Solutions Group’s purchasing units (part code),

however if the part is a series part and the response content is the same, they can be entered as a series. However, responses per component part may be requested for products and unit goods when necessary.

3.) For parts for discontinued products or products that are scheduled to be discontinued (products for

which discontinuation has already been decided), if a request for a survey is made, also respond to the production discontinued field in addition to the other response content.

4.) Respond by the specified dates in order to allow for handling of alternative parts, use of new parts, etc.

If no response is received by the specified date, continued or new use may not be possible. If a response cannot be made by the specified date, or if the response cannot be made using the format specified by our company, contact us.

5.) If there is any dishonesty or discrepancies in the survey results received, and if such leads to damages

to Toshiba Solutions Group, you may be held responsible for compensation, etc. 6.) Actual measurement data may be requested.

3. JAMP-AIS Surveys

This is a survey for verifying the content and concentration of substances which include SVHC from the REACH Regulations in materials used in Toshiba Solutions Group’s products. Surveys are carried out systematically including requests for the survey from Toshiba Solutions Group.

The survey form is JAMP-AIS. Download the AIS set, and view the AIS creation manual and AIS input support tool instructions on the JAMP website download area.

(2) Survey Request and Response Methods

Survey requests will be made by e-mail etc. with a "Survey Part Name List (Attached CSV file)" attached, respond via the requested method (XML file) and submit.

1.) Response Creation

- Respond for each survey product using the AIS input support tool (Excel). After filling out the response, create an XML file using the "Generate XML" on the "Automatic Calculation Sheet" of the AIS input support tool.

2.) When Toshiba Solutions Group makes a request for a JAMP AIS survey, provide preliminary notice of

the following 2 items within 1 week of the (calendar date) of the survey request. - Planned date of response to us. - If a JAMP AIS survey of the parts in question is not possible, immediately notify us of the manufacturer

name, manufacturer product code, and reason for the inability to carry out the survey.

2.) The supplier then verifies the content, and agrees, then the person responsible for transactions at the supplier signs and seals the agreement and sends 2 copies to Toshiba Solutions Group.

3.) Once the "Agreement Concerning the Restriction of the Use of Specified Chemical Substances" reaches our company from the supplier, each procurement manager at Toshiba Solutions Group will sign and seal the agreements and send 1 copy back to the supplier as the supplier's copy.

each material/substance as an impurity. The denominator when calculating a threshold value shall be for each homogeneous material.

(*2) For packaging materials, the threshold of concentration to be prohibited shall be 100 ppm by weight for a total of four materials (cadmium and its compounds, hexavalent chromium compounds, lead and its compounds, and mercury and its compounds) for each homogeneous material composing the package.

The numerator when calculating a threshold value shall be an equivalent for metal tin (Sn), and the denominator shall be for each molded item or its component (including mixtures only for DBT).

Agreement Concerning the Restriction of the Use of Specified Chemical Substances

(Hereinafter the "Vendor") and Toshiba Solutions Corporation (Hereinafter the "Buyer") do hereby agree to the following incidental to the basic transaction agreement concluded between the two parties on the date of _______________ . Article 1 (Definitions) The terms and terminology used in this agreement are defined as follows.

(1) Specifications: Specifications related to supplies provided from the Buyer to the Vendor and marked as "Subject to green procurement"

(2) Usage Restrictions:

Restrictions on the use of specified chemical substances to at or below the allowed content in all Vendor supplies in accordance with the related regulations and Specifications

(3) Specified Chemical Substances:

15 separately noted substances specified by the buyer. These are chemical substance groups for which the use in products or sales of containing products is prohibited, restricted or requires notification in accordance with domestic and overseas regulations.

(4) Supplies: All items to be delivered by the vendor to the buyer in accordance with orders by buyer

(5) Related Regulations:

Domestic and overseas laws and regulations, detailed separately.

(6) This Agreement: This "Agreement Concerning the Restriction of the Use of Specified Chemical Substances"

Article 2 (Purpose) The purpose of this Agreement is to establish the strict adherence to and an observance system for the usage restrictions specified in related regulations and specifications. Article 3 (Observance of Related Regulations and Construction of Observance System) 1. The Vendor must strictly observe all inclusions and exclusion restrictions of specified chemical

substances set forth in specifications and related regulations for all supplies delivered to the Buyer. However, if there are usage restrictions in the specifications which differ from those stipulated by related regulations, the specifications shall be followed.

2. The vendor must construct a system which allows the realization of requests for separate

notification by the buyer to the vendor in order to strictly observe the usage restrictions of the previous item. Requests made by the Buyer shall include but not be limited to submission of certificates related to observance of usage restrictions, ingredient data and ingredient measurement data related to supplies.

Article 4 (Guarantees) The Vendor shall guarantee that the supplies and materials included in supplies conform to the preceding articles. Article 5 (Reporting and Audits) The Vendor shall submit reports to the Buyer when so requested by the Buyer in order to verify the state of observance of the terms of this Agreement by the Buyer, in addition, through mutual consultations, the Vendor shall accept on-site audits by the Buyer of the Vendor's offices or workplace or the site where supplies are procured if the Vendor does not produce the supplies themselves on-site. The details of on-site audits carried out by the buyer shall include, but not be limited to, verification of manufacturing processes and extraction of parts and materials for measurement of ingredient data.

Article 6 (Advance Notice of Changes, etc.) 1. In the event the Vendor changes the manufacturing process of supplies, they shall provide

advance notice of the details of said changes to the Buyer via separately specified methods. 2. In the event the Vendor violates the terms of this Agreement in relation to the supplies, materials,

etc., or becomes aware of circumstances which pose a risk of such, they shall immediately notify the Buyer when they become aware of said circumstances.

Article 7 (Instruction and Consultation, etc.) In the event the Vendor receives instructions or consultation from the Buyer in relation to the preceding 2 articles, the Vendor shall immediately apply revision measures and report the result of such to the Buyer. Article 8 (Compensation for Damages) 1. In the event the Vendor violates the terms of this Agreement and thereby causes damages to the

Buyer, the Buyer shall have the right to demand compensation for the relevant damages from the Vendor.

2. In the event the Vendor observes every point of the specifications but still causes damages to the Buyer, the two parties shall hold consultations to determine the handling and measures for the situation.

Article 9 (Cancellation of Orders) In the event the Vendor violates the terms of this Agreement, the Buyer shall have the right to cancel, in whole or in part, any orders placed with the Vendor. Article 10 (Approval) In the event government approval is required for the conclusion of this agreement, the Vendor shall be completely responsible (both in terms of obligations and financially) for completing all such approval. Article 11 (Resolution of Disputes) 1. In the event any questions, disparities or other disputes (Hereinafter collectively "Disputes") arise

between the Vendor and the Buyer in relation to this Agreement, the Vendor and the Buyer shall seek to resolve such disputes through good faith negotiations.

2. The court of jurisdiction for disputes related to this Agreement shall be the Tokyo Regional District Court.

Article 12 (Applicable Laws) The efficacy, interpretation and resolutions of disputes related to this Agreement shall be subject to Japanese law. As proof of the establishment of this Agreement, two identical copies shall be issued with both the Vendor and the Buyer signing and sealing each, one copy to be maintained by each party. Date:
