(787) 758-3350, FAX (787) 758-7196 GOVERNING BOARD UNIVERSITY OF PUERTO RICO CERTIFICATION NUMBER 118 2015-2016 I, Dr. Gloria Butrón Castelli, Secretary of the Board of Trustees of the University of Puerto Rico, DO HEREBY CERTIFY THAT: The Board of Trustees, in its regular meeting of June 27, 2016, upon the recommendation of its Financial Affairs and Retirement Systems Committee approved the: Deed of Confirmation and Acknowledgment of Trust of the University of Puerto Rico Retirement System that is attached and incorporated to this Certification. and provided that: The Deed of Confirmation and Acknowledgment of Trust of the University of Puerto Rico Retirement System (the “Deed”) is adopted hereby for its execution by the University of Puerto Rico (the “University”) as the “Settlor” and “Employer” that established the pension plan for its employees on February 16, 1945 pursuant to the mandate of Law No. 135 of May, 7, 1942, known as the Act of the University of Puerto Rico (the “Act”) to be represented by its President of the University of Puerto Rico, Dr. Uroyoán Walker- Ramos, and hereby authorized to appear as signatory therein; and by the University acting through its Governing Board designated by the Act and appointed by the University as Trustee with the faculty to govern the pension plan to be represented by its Vice-president, Dr. Carlos Pérez Díaz, who is hereby authorized to sign the Deed on behalf of the University; and The members of the Governing Board are hereby authorized to do and perform any and all such acts, including execution of any and all documents and instruments required by any applicable laws, as said documents shall be deem necessary of advisable, to carry out the purposes of the foregoing resolution.
