THIS FIRST AMENDMENT TO MORTGAGE, ASSIGNMENT OF AS-EXTRACTED COLLATERAL AND SECURITY AGREEMENT (this "Amendment to Mortgage") is entered into as of December 1$ , 2017 (the "Effective Date") by and between NAVITAS BUCKSKIN US, LLC (last four digits of federal taxpayer identification number: 1346), a Delaware limited liability company, whose office and mailing address is 9950 Westpark Drive, Suite 500, Houston, Texas 77063, Attention of Chanan Reichman (the "Mortgagor"), and Strauss, Lazer Trust Company (1992) Ltd., a limited liability company organized ahd existing under the laws of the State of Israel, in its capacity as trustee and agent (the "Trustee" and, herein, together with its successors and assigns, the "Mortgagee"), whose office and mailing address is 17 Yitzhak Sadeh St., Tel Aviv, Israel, for its benefit and the benefit of the Bondholders.

R E C I T A L S

A. Navitas Buckskin Financing Ltd., a limited liability company organized and existing under the laws of the State of Israel (the "Issuer"), issued Series A bonds of the Issuer (the "Existing Bonds") pursuant to an Israeli prospectus and Deed of Trust dated June 28, 2017, as amended on July 10, 2017 (as the same may be amended, supplemented, restated, amended and restated, renewed or otherwise modified from time to time, the "Deed of Trust"), executed by and between the Issuer and the Mortgagee.

B. Pursuant to a certain Loan Agreement dated as of July 18, 2017 (as the same may be amended, supplemented, restated, amended and restated, renewed or otherwise modified from time to time, the "Loan Agreement"), executed by and between the Issuer, as the lender, and the Mortgagor, as the borrower, the Issuer loaned the gross proceeds of the Bonds to the Mortgagor.

C. Under the provisions of the Deed of Trust, as a condition to the issuance of the Bonds, the Mortgagor executed that certain Mortgage, Assignment of As-Extracted Collateral and Security Agreement, dated as bf July 18, 2017 (as the same may be amended, supplemented, restated, amended and restated, renewed or otherwise modified from time to time, the "Mortgage"), and a Security Agreement (as the same may be amended, supplemented, restated, amended and restated, renewed or otherwise modified from time to time, the "Security Agreement") in favor of the Mortgagee to secure the Secured Obligations (as defined below). The Mortgage was recorded July 19, 2017, in the mortgage records of the Clerks of Court of: Vermilion Parish under Instrument Number 2017006720; Iberia Parish under File Number 2017-00006939, Book 1770, Page 87; and St. Mary Parish under File Number 328317, Book 1514, Page 609.

D. The Mortgagee and the Bondholders conditioned their obligations under the Secured Transaction Documents upon the execution and delivery by the Mortgagor of the Mortgage, and the Mortgagor entered into the Mortgage to, among other things, (i) grant and assign by the Mortgagor to the Mortgagee the Collateral (as hereinafter defined) and (ii) secure certain obligations owing to the Mortgagee and the Bondholders under the Secured Transaction Documents.

E. The Issuer has, simultaneously with the execution and delivery of this Amendment to Mortgage, issued and sold additional. Series A Bonds (the "Additional Bonds", together with the Existing Bonds, the "Bonds") pursuant to the Deed of Trust and amended and restated the Loan Agreement and the Security Agreement.

F. That certain Mortgage, the Bonds, the Deed of Trust and the Security Agreement are collectively referred to herein as the "Secured Transaction Documents."

G. The parties hereto now desire to amend the Mortgage in connection with the foregoing transactions.

H. Therefore, in order to comply with the terms and conditions of the Secured Transaction Documents and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follows:

ARTICLE I DEFINITIONS

Section 1.01 Unless otherwise defined herein, including in the text of the recitals, all capitalized terms used herein shall have the respective meanings given to such terms in Section 1.02 of the Mortgage. Each capitalized term used in this Amendment to Mortgage and not defined in the Mortgage shall have the meaning ascribed to such term in the Security Agreement. Any capitalized term not defined in either the Mortgage or the Security Agreement shall have the meaning ascribed to such term in the Applicable UCC.

Section 1.02 The interpretive rules set forth in Section 1.03 of the Mortgage shall apply to this Amendment to Mortgage in all respects.

ARTICLE II AMENDMENTS TO MORTGAGE

Section 2.01 Amendment to Section 1.01 of the Mortgage. Section 1.01 of the Mortgage is hereby amended as follows:

\ (a) by amending and restating the definition of "Bonds" in its entirety to read

as follows:

"Bonds" shall have the meaning set forth in" Recital E of the First Amendment to Mortgage.

(b) by adding the following definition in proper alphabetical sequence:

"First Amendment to Mortgage" means that certain first amendment to this Mortgage, dated as of December , 2017.

Section 2.02 Amendment to Section 7.02(a.) of the Mortgage. Section 7.02(a) of the Mortgage is hereby amended and restated in its entirety to read as follows:

(a) Maximum Amount. Notwithstanding any provision hereof to the contrary, the maximum amount of all Secured Obligations (whether principal, interest, expenses, or any other amounts or liabilities) that may be outstanding at any time and from time to time that this Mortgage secures is fixed at USD$200,000,000.

Section 2.03 Amendment to Exhibit A of the Mortgage. Exhibit A of the Mortgage is hereby replaced in its entirety with the Exhibit A attached hereto as Annex I . EXHIBIT A

MORTGAGE, ASSIGNMENT OF AS-EXTRACTED COLLATERAL AND SECURITY AGREEMENT

Introduction

The capitalized terms used but not defined in this Exhibit A are used as defined in the Mortgage. For purposes of this Exhibit A the capitalized terms not defined in the Mortgage are as follows:

1. "Working Interest" or "Gross Working Interest" and "W.I." or "G.W.I." means an interest owned in an oil, gas and mineral lease that determines the cost bearing percentage of the owner of such interest.

2. "Net Revenue Interest" or "N.R.I." means an interest (expressed as a percentage or decimal fraction), determined net of all royalties, overriding royalties, production payments or other burdens payable out of production, in and to all Hydrocarbons produced and saved from or attributable to a Well. In the case of any Well listed in Exhibit A, the Net Revenue Interest specified for such Well shall mean the sum of the percentage or decimal fraction set forth after the words "Net Revenue Interest" in the portion applicable to such Well plus, in the case of any Well with respect to which a royalty interest and/or overriding royalty is stated in this Exhibit A and applicable to such Well, the percentage or decimal fraction set forth after the words "Royalty Interest" or "Overriding Royalty Interest" in each such portion of Exhibit A.

4. "WeU" means (i) any existing well identified in Exhibit A, including any replacement well drilled in lieu thereof from which gas is now or hereafter produced and (ii) any well at any time producing or capable of producing gas attributable to the Hydrocarbons as defined above; including any well which has been shut-in, has temporarily ceased production or on which workqver, reworking, plugging and abandonment or other operations are being conducted or planned.

All references contained in this Exhibit A to the Oil and Gas Properties are intended to include references to (i) the volume or book and page, file, entry or instrument number of the appropriate records of the particular parish in the state where each such lease or other instrument is recorded and (ii) all valid and existing amendments to such lease or other instrument of record in such parish records regardless of whether such amendments are expressly described herein.
