GENERAL CONDITIONS All information requested of the vendor shall be entered in the appropriate space on the form. Failure to do so may disqualify your offer. All information shall be entered in ink or typewritten. Mistakes may be crossed out and corrections inserted before submission of your bid. Corrections shall be initialed in ink by the person signing the bid. Corrections and/or modifications received after the closing time specified will not be accepted. Time of delivery shall be stated as the number of calendar days following receipt of the order by the vendor to receipt of the goods or services by the City. Time of delivery may be a consideration in the award. Prices shall be stated in units of quantity specified in the bid document. In case of a discrepancy in computing the amount of the bid, the unit price shall govern. All quantities stated, unless indicated otherwise, are estimates and the City reserves the right to increase or decrease the quantity at the unit price bid as best fits its needs. All prices will be bid F.O.B. Destination and remain in effect for at least 90 days, unless otherwise specified. Bids shall include all charges for delivery, packing, crating, etc. unless otherwise stated in the bid document. General delivery hours are 8:30 a.m. to noon and 1:00 p.m. to 5:00 p.m. Monday – Friday. No deliveries are to be made between noon and 1:00 p.m. Prices will be considered net if no cash discount is shown. All bids shall be signed by an authorized officer or employee of the bidder. Bids must be submitted by the date and at or prior to the time specified to be considered. No late bids, telegraphic, faxed bids or telephone bids will be accepted. Submit bids in a sealed envelope, stating item being bid, closing date and time on outside of envelope. Please submit three (3) copies of your bid. Bids may be withdrawn in person by a bidder, or authorized representative, provided their identity is made known and a receipt is signed for the bid, but only if the withdrawal is made prior to the stated bid deadline. The City of Sterling Heights reserves the right to postpone the bid opening for its own convenience.

Brand names and numbers, when used, are for reference to indicate the character or quality desired, unless specifically stated as "No Substitutes". Equal items will be considered, provided your offer clearly describes the article. Offers for equal items shall state the brand and number, or level of quality. When brand, or level of quality is not stated by the bidder, it is understood the offer is exactly as specified. Samples of articles, when required, shall be furnished free of cost, of any sort, to the City of Sterling Heights. Samples of articles selected may be retained for future comparison. Samples which are not destroyed by testing, or which are not retained for future comparison will be returned upon request at your expense. The City of Sterling Heights is tax exempt. Do not include taxes in your bid. The City's normal payment terms are 30 days in connection with any cash discounts specified on this bid. Time will be computed from the date of complete delivery of supplies or equipment as specified, or from the date correct invoices are received in the City's Finance Department, if the latter date is later than the date of delivery. The City reserves the right: (1) To award bids received on the basis of individual items, or groups of items, or on the entire list of items, (2) To reject any or all bids, or any part thereof, (3) To waive any irregularity in the bids, (4) To accept the bid that is in the best interest of the City. Bid prices submitted by the successful bidder should remain firm for the length of the contract from date of award by City Council. ALL BIDS MUST INCLUDE MATERIAL SAFETY DATA SHEETS FOR MATERIALS AS REQUIRED BY M.I.O.S.H.A. ALL ELECTRONIC/COMPUTER EQUIPMENT MUST BE YEAR 2000 COMPLIANT. The City of Sterling Heights is now part of an organization called the Michigan Inter-governmental Trade Network (MITN), a group of agencies that joined forces to create a Regional Bid Notification System to notify companies of new bid opportunities. All bids, quotations and proposals are now being posted online. Please read these instructions carefully. Your bid may be disqualified if it is not submitted as detailed below. Your bid must be submitted in a sealed envelope (NO fax submissions will be accepted) or other form of sealed packaging and labeled with the following information: Vendor Name ITB-SH03-004: Heating and Cooling Maintenance Contract Date Due: Tuesday, April 29, 2003 at 2:30 p.m. If the bid is to be express mailed, “Bid Documents Enclosed” must be conspicuously marked on the package. INSTRUCTIONS TO BIDDERS The City of Sterling Heights is seeking sealed bids to contract heating and cooling maintenance of municipal buildings. Specifications are as follows. SUBMITTING SEALED BIDS Bids must be submitted on the enclosed "Bid Form" and shall be signed by an authorized officer or employee of the vendor. All bids should be clearly marked on the envelope with the name of the bid, date and time of bid opening and submitted to the Office of the City Clerk, 40555 Utica Road, Sterling Heights, MI 48313 no later than Tuesday, April 29, 2003 at 2:30 p.m. Please submit three (3) copies of your bid. Bidders may bid on Schedule A, Schedule B, or both. The City of Sterling Heights reserves the right to split the bid to realize the greatest cost savings. INDEMNITY CLAUSE The Hold Harmless and Indemnity form must be signed when bid is submitted. INSURANCE AND AWARD OF BID All bidders are held to bid prices for 90 days or bid award, whichever comes first, except for the successful bidder whose prices will remain firm through end of contract. All insurance papers should be provided at time of acceptance of proposal. The attached Form 2021 must be used by the vendor's insurance agent. Nothing else is acceptable. If awarded the contract, insurance requirements are indicated as follows:

INSURANCE REQUIREMENTS The contractor shall not commence work under this contract until he has obtained the insurance required within this contract. All insurance coverage shall be with issuance carriers acceptable to the City of Sterling Heights. If any insurance is written with a deductible or self-insured retention, the contractor shall be solely responsible for said deductible or self-insured retention. The purchase of insurance and the furnishing of a certificate of insurance shall not be a satisfaction of the contractor's indemnification of the City of Sterling Heights. The contractor is responsible to meet all MIOSHA requirements for on-the-job safety. The contractor and his subcontractor shall procure and maintain during the life of this contract the following coverage: a. Workers Compensation Insurance in accordance with all applicable statutes of the

State of Michigan. Coverage shall include Employers Liability Coverage. b. Commercial General Liability Insurance on an "Occurrence" basis with limits of

liability not less than $1,000,000.00 (as stated above level of hazard) per occurrence and/or aggregate combined single limit, Personal Injury, Bodily Injury and Property Damage.

c. Motor Vehicle Liability Coverage, including Michigan No-Fault Coverage with limits

of liability not less than $500,000.00 per occurrence combined single limit bodily injury and property damage for all vehicles used in the performance of the contract. The City reserves the right to require specific limits of coverage if the contract involves the use of a motor vehicle for other than transportation to the work site.

d. Additional Insured. Commercial General Liability Insurance as described above

shall include an endorsement stating the following shall be an additional insured: "The City of Sterling Heights, including all elected and appointed

officials and employees and all other individuals working on behalf of the City."

e. Cancellation Notice. Workers Compensation Insurance, Commercial General

Liability Insurance, and Motor Vehicle Liability Insurance as described above shall include an endorsement stating that thirty (30) days advance written notice of cancellation, non-renewal, reduction and/or material change shall be sent to:

HOLD HARMLESS AND INDEMNITY To the fullest extent permitted by law, the contractor expressly agrees to indemnify and hold the City of Sterling Heights (City), its elected and appointed officials, employees and volunteer and others working on behalf of the City, harmless from and against all loss, cost, expense, damage, liability or claims, whether groundless or not, arising out of the bodily injury, sickness or disease (including death resulting at any time therefrom) which may be sustained or claimed by any person or persons, or the damage or destruction of any property, including the loss of use thereof, based on any act or omission, negligent or otherwise, of contractor or anyone acting in its behalf in connection with or incident to this contract or the work to be performed hereunder, except that the contractor shall not be responsible to the City on indemnity for damages caused by or resulting from the City's sole negligence; and the Contractor shall, at its own cost and expense, defend any such claim and any suit, action, or proceeding which may be commenced hereunder, and the Contractor shall pay any and all judgments which may be recovered in any such suit, action or proceeding, and any and all expense, including, but not limited to, costs, attorneys' fees and settlement expenses which may be incurred therein. SPECIFICATIONS LABOR, TIME AND MATERIALS

I. A. Furnish a "FULL SERVICE AND MAINTENANCE CONTRACT" for a period of two years, for the heating and cooling systems specified at the following locations, in accordance with terms and conditions hereafter set forth.

for the equipment listed in Schedule A attached hereto. C. Contract must use competent thoroughly trained service technicians, directly employed

by the Contractor with at least five (5) years journeymen's or equivalent experience on similar equipment. Proof may be required during evaluation of bids and during contract period. Technicians must be qualified to keep the equipment operating properly and

must be specifically assigned to handle the City of Sterling Heights account. Include names of these individuals you will assign to this contract.

D. Contractor shall submit with their bid, proof of five (5) years experience in commercial

maintenance contracts required to qualify for bidding. E. Contractor shall supply names, addresses and telephone numbers of at least three (3)

customers with similar mechanical equipment and equipment application with whom he has full maintenance "less parts" contracts. References must be supplied with this bid.

F. Buildings in both Schedule A and Schedule B will be considered as one unit and

Maintenance will be provided in accordance with the following schedule: 1. Scheduled maintenance shall be rendered as determined by Facilities

Maintenance, plus a spring start up and a winter shutdown. 2. Prices shall be firm for two (2) years and must include at least one (1) spring

start-ups and one (1) winter shutdowns on all units in each building. 3. "The Contractor" shall provide shut down of (heating) boiler and necessary valve

and control changes at time of A/C start-up, tagging and dating numbered valves in conjunction with spring start-up and again at winter shut-down of A/C. This will include inspections and cleaning of boiler burners, removing dust and foreign matter, testing with Bachrach meter for proper combustion, check expansion tank level and function check all burner/boiler operating and safety controls. Contractor must provide all readings to owner at each seasonal change over on all equipment and provide "logged" type date for owners permanent records.

B. After each service call, an inspection report outlining the service performed must be

furnished to the Manager of Facilities Maintenance for his review. Any unusual or unfavorable conditions observed will be noted and corrective measures will be completed by the "Contractor" with the approval of the Manager of Facilities Maintenance or in his absence the Equipment Maintenance Coordinator. Contractor will be required to sign in and out at an area prescribed by the City.

C. The units described herein shall be covered under this contract from the local power

disconnects including the manual shut-offs, into and including all factory and field-installed portions of the units.

D. Contractor shall have established 24-hour service and emergency stand-by provisions

to insure immediate service within 2 hours of call-in. In the event service is not provided within this period, the City of Sterling Heights reserves the right to call in a service organization of their choice.

E. Contractor shall provide planned maintenance inspections as determined by Facilities Maintenance. A record of remarks shall be promptly provided of the service rendered and recommendations, also service shall include a winter and summer start up and shut down.

III. Standard Services Required Contractor shall perform the following minimum services. A. All units shall be inspected, adjusted, and lubricated per the Manufacturers'

recommendations. B. Check, test, start and record conditions on start-up of cooling. Removal of all glycol

from systems on start-up and refilling of all systems with glycol on winter shut-down. Contractor shall thoroughly flush cooling systems after draining glycol and before putting system into operation. Contractor shall store all removed glycol mixture for following season's usage.

C. Check and adjust all refrigeration controls including power checks, control circuits,

transformers, mixed air dampers, condenser, fan assemblies, main blowers, and power return exhaust assemblies.

D. Change refrigerant upon completion of acid tests, including liquid line filters concurrent

with preventative maintenance schedule. E. Clean tower and strainers, check head pressures, record suction discharge and

ambient temperature, record same on "Customer Copy" of invoice. F. Leak test refrigerant circuits, repair leaks and add refrigerant when required. G. During mid-season summer operations (planned call) again clean tower and strainers. H. Necessary repairs and replacement shall be completed promptly upon approval of

Manager of Facilities Maintenance. I. Contractor shall promptly notify the Manager of Facilities Maintenance of any operating

condition which is considered unsafe or which may cause damage to the system and/or equipment.

J. Outside cooling coils on Schedule A Buildings shall be power washed during spring

start-up and once again during mid-season. K. Contractor must be State of Michigan Mechanical licensed. Service personnel

assigned to this contract must be refrigeration grade journeymen or possess equivalent experience and be thoroughly knowledgeable of all equipment and controls at all of the

City's sites. Proof of the above license, certification and experience must be submitted with bid for each individual that will be assigned to this contract.

L. Contractor shall be responsible for the repair or replacement of room thermostats. M. The Contractor shall not be held responsible for repairs or replacement of roof exhaust

fans. IV. Items Not Included in Contract Which are Responsibility of the City. A. The City will be responsible for any cost of rental equipment (crane) etc, used to make

repairs on equipment in all Schedule A Buildings. B. It will be the City's responsibility to notify the Contractor of any unusual noises, smells,

or operating conditions of the contracted units. V. Parts Expenditures for parts will not be the responsibility of the Contractor. A. It will be the responsibility of the Contractor to procure any necessary parts if so

directed by the Manager of Facilities Maintenance. All parts will meet or exceed manufacturers specifications and shall be billed to the City except where parts are scheduled.

B. The average use of refrigerant during the air conditioning season is estimated for bid

purposes only. Contractor shall submit a firm price per pound and provide price extension for year one, year two and the total. The estimated quantity may decrease or increase significantly. The price, however, shall remain firm for total usage over both years of contract. The City reserves the right to supply refrigerant if it deems such to be in the best interest of the City.

VI. Miscellaneous

Contractor shall provide sample copies of their standard preventative maintenance log sheets and similar record keeping manuals for review by the Manager of Facilities Maintenance. Typed data sheets are not acceptable and all forms shall be of standard industry accepted format.

Contractor must provide three (3) references that he has serviced for three years or more

where the H.V.A.C. equipment is similar in size and operation to those contained in this bid (please complete attached reference sheet).

Contractor shall provide qualifications, licenses and names of any and all H.V.A.C. maintenance who will be assigned to work on H.V.A.C. equipment in City buildings (please complete attached Maintenance Personnel Sheet). Vendor must sign in and out to obtain keys for buildings from Facilities Maintenance.
