SUB JE CT : NOMINATION A N D A P P OINT ME NT OF APPOINTIVE MEMBERS OF T HEBOARD OF DIRECTORS/TRUSTEES OF GOCCs, SUBSIDIARIES ANDAFFILIATES

1. APPLICABLE LEGAL PROVISIONS

1.1. Coverage of the Law - Section 4 of Republic Act No. 10149, otherwise

known as the "GOCC Governance Act of 2011" ( R A N o . 10149), provides

that "This Act shall be applicable to all GOCCs, CICPs/GCEs, andgovernment financial institutions, including their subsidiaries, b u texcluding the Bangko Sentral ng Pilipinas, state universities and colleges,

cooperatives, local water districts, economic zone authorities and research

institutions; Provided, That in economic zone authorities an d research

institutions, th e President shall appoint one-third (1/3) of the board

members from th e list submitted by the GCG."1

1.2. Definition of "GOCC" - Section 3(o) of R.A. No. 10149 defines

"Government-Owned or -Controlled Corporation (GOCC)" a s "any agency

organized as a stock or nonstock corporation, vested with functions relating

to public needs whether governmental or proprietary in nature, and owned

by the Government of the Republic of the Philippines directly or

through its instrumentalities either wholly or, where applicable as in

th e case of stock corporations, to the extent of at least a majority of itsoutstanding capital stock."

2 It also provides that th e term "GOCC"

includes Government Instrumentalities with Corporate Powers (GICP),

Government Corporate Entities (GCE) and Government Financial

Institutions (GFI).

1.2.1. Section 3(z) defines "Subsidiary" as "a corporation where at least a

majority of the outstanding capital stock is owned or

controlled, directly or indirectly, through one or more

intermediaries, by the GOCC."3

Subsidiaries therefore fall within the definition of "GOCCs" and are

also expressly stated within the coverage of R.A. No. 10149,

Section 4 thereof.

5.3.3. For the Board of Directors/Trustees of parent GOCCs, the formal

nomination form addressed to the GCG shall be:

(a) Certified by the Chairman of the Board;

(b) Accompanied by a formal Board resolution confirming the

nomination by the Board of each of the nominees;

(c) The nominees shall be a number of at least 150% of the

one-third (1/3) of the positions for which the nomination ismade.
