    Dear Shareholders and Stakeholders,

    1. The year 2019-20 started with a host of global challenges. To mention a few, US-China trade tensions, macro-economic stress in certain emerging market economies, disruption in automobile sector in Europe, uncertainty around no deal Brexit and tight money policy in China. The IMF, in its every quarterly review, lowered successive growth rate estimates for the year 2019, from 3.9 % in April, 2019 to 2.9% in January,2020. The outbreak of Covid-19 pandemic towards end of the year, further clouded the global growth prospects. In fact, the spread of Covid-19 across the globe at quick pace and lockdown imposed by many countries virtually altered the global priority from ‘growth’ to ‘survival’.

    2. Domestically, the GDP growth which was anticipated at over 7.0% at the beginning of the year, continued to slip quarter on quarter with stress on manufacturing sector and contraction in private consumption and investment expenditure. The latest estimate put the GDP growth for FY 2019-20 at 4.2% against 6.1% during FY 2018-19.

    3. Reflecting general economic slowdown, the deposits and advances of the banking system witnessed lowered growth rate during FY 2019-20. Particularly, the advances growth rate halved to 6.1% from 13.3% during FY 2018-19. However, the general health of the Banking Sector improved during FY 2019-20, in terms of profitability parametres and assets quality.

    4. Several policy initiatives were taken by the RBI during the year. Notably among them, which had significant influence on banks are-Prudential framework on Stressed Assets, revision in Large Exposure Framework, linking of rate of interest on retail and MSME segments to external benchmark. The year also saw improvement in transmission of changes in policy rates.

    5. One of the far reaching developments during FY 2019-20 has been merger of 10 PSBs into 4 merged entities in order to create large, stronger, globally competitive new age banks.

    6. The future banking model, will essentially be woven around digital innovations. ‘Fin Techs’ and ‘Big Techs’ have now made significant inroad into the financial eco system. Therefore, apart from upgrading technology platform, the banks need to have a collaboration with ‘Fin Techs’ for expanding their reach and improving delivery mechanism. It is in this context, that the EASE reforms agenda of the Government assumes significance. Your Bank, visualizing this, is in the path of technology upgradation and expanding digitization functionalities.

    7. During FY 2019-20, although the Net Profit was impacted by higher provisions, the inherent strength of your Bank is visible in the form of healthy business growth of 7.56%, increase in operating profit by 42.34%, reduction in NPAs ratios and improvement in NIM. With the various initiatives being undertaken by the Bank, there will be further cementing of financial strength during FY 2020-21.

    2. The year 2019-20 featured several economic challenges both globally and domestically. The rising trade barriers, geopolitical tensions, demand slowdown in developed countries and economic strains in a number of emerging market economies marked the year, which dampened growth impulses throughout the year. The outbreak and spread of Covid-19 pandemic globally on an unprecedented scale towards the year end also came up as a large shock with uncertainty around growth outlook. As per the estimate by the IMF, the world economic growth declined from 3.6% in 2018 to 2.9% in 2019, even after monetary easing pursued by several counties. During FY 2019-20, the domestic economy also witnessed moderation in growth rate and GDP growth rate came down from 5.2% in Q1 to 3.1% in Q4, mainly due to lower growth registered by the manufacturing sector and drop in the fixed capital formation rate. Inflation during the year FY2019-20 remained elevated, especially since August,2019, driven mainly by food inflation. The CPI inflation which was 2.99% in April 2019 rose to 7.59% in January, 2020, after which it sobered down to 5.91% by the year end.

    3. Both the Deposits and Advances growth in the Banking System witnessed lower growth during FY 2019-20. The Deposits grew by 7.9% during the year against 10.0% during FY 2018-19 and advances grew at 6.1% against 13.3% during

    FY 2018-19. The overall G-Sec yield witnessed significant fall, particularly after the 1st quarter, although month wise variations were visible. The main reasons for the softening of yield were change in monetary policy stance by the US Fed, consecutive policy rate cuts by RBI along with change in policy stance, easing of liquidity and above all, drop in crude oil prices. The liquidity condition, barring April and May,2019, remained in surplus mode for rest of the year on account of several factors including, RBI’s forex operations, reduction of SLR, higher spending by the Government.

    4. Several monetary and regulatory policy changes were announced by the RBI during the year. The repo rate was reduced five times during FY 2019-20, the last cut was done by 75 bps on 27th March, 2020 in order to revive demand and lessen the adverse impact of the Covid-19. Apart from this, CRR was also reduced from 4.0% to 3.0% during March, 2020. In order to improve transmission mechanism, external Benchmarking of loans to Retail and MSE segments were introduced in October, 2019. One of the notable developments during the year has been introduction of Long Term Repo Operations (LTRO) and Targeted Long Term Repo Operations (TLTRO) for providing durable liquidity as well as to facilitate monetary transmission. To mitigate the economic distress arising out of Covid-19 pandemic, several relief measures were announced by the RBI, prominent among them are moratorium on term loan instalment and deferment of repayment of interest up to three months (later extended for six months).

    5. The performance of the Banking Sector during FY 2019-20 witnessed improvement in terms of profitability and NPA parametres, particularly in the case of PSBs wherein there has been notable improvement in operating profits and reduction in Gross and Net NPA ratios. The CRAR ratio of certain PSBs, with infusion of capital by the Government, also improved during the year.

    • During 2019-20, both the deposits and advances of the Bank grew at a higher pace than that of the Banking System. The Bank’s deposits increased by 11.2% against Banking System’s growth rate of 7.9%. Similarly, the Bank’s advances grew by 7.0%, against Banking System’s growth rate of 6.1%. Consequently, your Bank’s market share both in deposits and advances during FY 2019-20 has moved up.

    • The Operating Profit for full year increased by 42.34% from Rs.8,092 crore during FY 2018-19 to Rs. 11,519 crore during FY 2019-20. The net loss during the year was contained at Rs. 2,957 crore vis a vis net loss of Rs. 5,547 crore during the last year. It is pertinent to mention that net loss was due mainly to aggressive provisioning in certain accounts over and above IRAC norms.

    • There has been growth in both Net Interest Income and Non-Interest income during FY 2019-20, which went up by 11.71% and 44.09%, respectively.

    • Global NIM improved from 2.56% for FY 2018-19 to 2.93% for FY 2019-20. Domestic NIM also rose from 3.03% to 3.28% during the same period.

    • Cost to income ratio significantly got reduced from 56.93% during FY 2018-19 to 47.57% during FY 2019-20.

    • Gross NPA ratio reduced from 15.84% in March,2019 to 14.78% in March,2020.

    • Net NPA Ratio reduced from 5.61% in March, 2019 to 3.88% in March,2020, i.e. by 173 bps.

    • Provision Coverage Ratio (PCR) touched all time high of 83.75% in March,2020 compared to 76.95% in March 2019.

    • The Risk Weighted Assets (RWAs) reduced significantly from Rs.3,05,953 crore in March, 2019 to Rs. 2,94,189 crore in March, 2020, i.e. by Rs.11,764 crore or 3.85%, preventing major impairment in capital ratios.

    DIRECTOR'S REPORT

    The Board of Directors have pleasure in presenting the Bank’s Annual Report along with the audited statement of accounts and the cash flow statement for the year ended 31st March 2020.

    Performance:

    Domestic Business:

    Ø Overall Domestic Business of the Bank increased by 12.04% reached at Rs. 840,209 crore as on 31.03.2020 from Rs. 749,920 crore as on 31.03.2019.

    Ø CASA deposits increased by 8.79% on Y-O-Y and Stood at Rs. 197,751 crore, SB deposits and CD Deposits grew by 8.39% and 11.53% respectively. Share of low cost deposits (CASA), in domestic deposits stood at 41.50% as on 31.03.2020.

    Ø Total Domestic deposits of the Bank increased by 14.40% reached at Rs. 482,539 crore as on 31.03.2020 from Rs. 421,783 crore as on 31.03.2019.

    Ø Gross Domestic Advances registered a growth of 9.00% from Rs. 328,137 crore as on 31.03.2019 to Rs. 357,670 crore as on 31.03.2020. The domestic CD Ratio stood at 74.12% as on 31.03.2020.

    Ø Share of RAM Advances to Total advances is 47.28% (i.e. Rs. 169,110 crore) as on 31.03.2020 as compared to 49.19% (i.e. Rs. 161,425 crore) as on 31.03.2019.

    Ø Priority Sector lending constituted 40.81% of Adjusted Net Bank Credit and the share of Agricultural Credit to Adjusted Net Bank Credit was 17.10%.

    Ø Retail Credit grew by 7.69% from Rs 56,492 crore as on 31.03.2019 to Rs. 60,834 crore as on 31.03.2020. The share of Retail Credit to Total Domestic Credit was 17.01% as on 31.03.2020.

    Ø MSME Credit grew by 2.74% from Rs 54,595 crore as on 31.03.2019 to Rs 56,092 crore as on 31.03.2020. The share of MSME Credit to Total Domestic Credit was 15.68% as on 31.03.2020.

    Overseas Business:

    Ø Overseas business has de-grown by 14.29% and stood at Rs. 131,817 crore as on 31.03.2020 as compared to Rs. 153,803 crore as on 31.03.2019.

    Ø Gross Foreign Advances registered a growth of 7.54% from Rs. 54,723 crore as on 31.03.2019 to Rs. 58,852 crore as on 31.03.2020.

    Ø The Overseas CD Ratio stood at 80.66% as on 31.03.2020.

    Global Business:

    Ø Gross Business of the Bank registered a growth of 7.56% from Rs. 903,723 crore as on 31.03.2019 to Rs. 972,026 crore as on 31.03.2020.

    Ø Total Global deposits increased to Rs. 555,505 crore as on 31.03.2020 from Rs. 520,862 crore as on 31.03.2019.

    Ø Total Global Gross Advances increased to Rs. 416,521 crore as on 31.03.2020 from Rs. 382,860 crore as on 31.03.2020.

    Ø The Global CD Ratio stood at 74.98% as on 31.03.2020.

    Financial Parameters:

    Ø Operating profit increased by 42.34% (Rs. 3426 crore) reached at Rs.11,519 crore as on 31.03.2020 on Y-O-Y basis.

    Ø Net loss stood at Rs. 2,957 crore as on 31.03.2020 from Rs. 5,547 crore as on 31.03.2019.

    Ø Capital Adequacy Ratio stood at 13.10% as on 31.03.2020 from 14.19% as on 31.03.2019.

    Ø Net Worth stood at Rs. 21,505 crore as on 31.03.2020 from Rs. 26,152 crore as on 31.03.2019.

    Ø Book value per share is Rs.65.61.

    Ø Gross NPA amount increased by 1.47% (i.e. Rs. 889 crore) reached at Rs. 61,550 crore as on 31.03.2020 from Rs. 60,661 crore as on 31.03.2019.

    Ø Gross NPA percentage reduced to 14.78% as on 31.03.2020 from 15.84% as on 31.03.2019.

    Ø Net NPA amount reduced by 25.15% (i.e. Rs. 4,809 crore) reached at Rs. 14,311 crore as on 31.03.2020 from Rs. 19,119 crore as on 31.03.2019.

    Ø Net NPA percentage reduced to 3.88% as on 31.03.2020 from 5.61% as on 31.03.2019.

    During the current year the Bank has implemented various initiatives for a Prompt Turn Around. A few of them are mentioned as under:

    Ø Concept of Area Managers and Star Prime implemented for being more customer focused and for business development, recovery, digitization at ground level and re-activation of branches.

    Ø Strategy for re-balancing of portfolio in favour of RAM advances (Retail, Agriculture and MSME) and reducing exposure to Corporate sector.

    Ø A non-discriminatory OTS Scheme called “Mission Samaadhan” formulated for quick resolution of NPAs.

    Ø “Swarna Dhara” – Gold Loans have been intensified.

    Ø Refurbishing select branches as “Star Digi” branches with high end digitalized services for tech savvy customers.

    Ø “War Room” and “Watch room” formed in each Zone for Recovery, NPA reduction and credit monitoring/trigger management.

    Ø Tech-driven Credit Monitoring System for tracking of ‘Early Warning Signals’ under implementation.

    Ø Launched GST based Financing to MSME Borrowers.

    Ø Actively participating in the Udyami Mitra Portal - marketplace for new MSME loans.

    Ø Digi Branches: 255 Select Branches converted to Digi Branches for meeting the demands of Next Gen Customers.

    Ø Star Mahashakti- Up gradation of IT platform from FINACLE 7 to FINACLE 10.

    Ø Centralised processing centres: New 11 RBCs and 28 new SME City Centres opened and separate Gold Loan cells formed in all Zones within the existing infrastructure to increase RAM business.

    Ø Selected as an “Authorized bank for Yen credit transaction by GOI-MOF” for Yen credit transaction.

    Ø Focus on Digitisation and Alternate Delivery Channels.

    Ø Digitalizing the process of MSME Credit to improve the TAT and efficiency.

    Ø Cardless Cash withdrawal using UPI QR (QRCash) has been launched for Customers to withdraw cash from ATMs readily without the use of cards.

    Ø Mobile and Internet Banking system upgraded with enhanced features for better customer experience.

    Ø Document management system (DMS) has been introduced for retrieval of documents and also helps us to store, track, manage and access our data in a more flexible and hassle free way.

    Ø COVID-19 related specific loans/working capital/scheme promotion has been done using SMS and custom URL, using our BOI website. It also helps us in monitoring to generate leads and facilitate timely credit to interested customer.

    Ø BOI SEVA – OUR Chatbot is launched on website in English version on 7/9/2019. Hindi version of the Chatbot has also since been made available.

    Ø As an FI initiative, seamless ICT Technology based basic banking services enabled in Rural & unbanked areas.

    Ø “Enterprise wide Fraud Risk Management” framework for real-time fraud monitoring is under process.

    Ø Rationalisation of Domestic/overseas branches and ATMs being undertaken to reduce the Operational Cost.

    Ø Special drive for opening of Government Accounts & Pension accounts among branches across the country.

    Ø Debit Card Control App & Credit Card Control App have been launched to enable customers to have a full control over the card activity.

    Ø Customer Outreach Initiative’ conducted in 18 districts and participated in more than 200 districts for augmenting credit off-take and expansion of financial inclusion and digital banking.

    Ø Door Step Banking (DSB) through Universal Touch points (Call Centre, Website and an App) has been introduced for providing banking services to customers from the Agents engaged by the Bank.

    DIRECTORS’ RESPONSIBILITY STATEMENT:

    The Directors confirm that in the preparation of the annual accounts for the year ended March 31, 2020:
