A. OPENING STATEMENTS
1. Call to Order The Public Board Meeting was called to order by
Dr. Lichardi, in the Gymnasium of the Park Avenue Complex, 280 Park
Avenue, Freehold, New Jersey, at 7:01 PM. He read the Open Public
Meeting Act, C 231, P.L. 1975.
2. Pledge of Allegiance
Dr. Lichardi led all in the pledge of allegiance.
3. Roll Call
Dr. Lichardi asked Mr. Howe to call the roll. A quorum of the

C. APPROVAL OF MINUTES
Mrs. Greitz offered the following motion, seconded by Mr.
Patrick. A roll call vote was taken and the minutes were approved
with Mr. Jensen abstaining.

E. SUPERINTENDENT’S REPORT – Dr. Rocco Tomazic
1. Calendar/Announcements
Enrollment: down one student from last meeting, 1713 in District
and 22 Out of District
for a total student count of 1,735 Construction Update:
o The neighborhood meeting to discuss the Mc Elwaine exit took
place on 4/18, input from the residents was considered and there
will be an adjustment to the plan to make this an entrance rather
than an exit.
o On the Agenda there is an Item to appoint the Construction
Manager; this is a key position in making the transformation to our
expanded facility.
o Park Avenue Complex(PAC) - Design and construction drawings to
be submitted tomorrow to the SDA and DCA
o Freehold Learning Center (FLC)– should be sent in around May
5th as the wetland reviews are currently underway by both the EPA
and Freehold Soil
o Currently waiting for a date to present the site plan at FLC
to the Borough Planning Board
o DCA will take 4-6 weeks to review; hope to bid the PAC job by
June 5th and award by July 5th while FLC hopes to go to bid by June
21st and awarded by July 21st
o A ground breaking ceremony is being planned for the project
Underfunding Update:
o Today parents and community officials from 10 Districts, all
underfunded and not happy with the current funding proposal, were
in attendance along with support from their parents and community
officials. So many were in attendance two additional rooms with
live feeds had to be opened to accommodate them. Senator Beck along
with Assembly members Houghtaling and Downey were also present in
support of Freehold Borough. At 9:45 Senator Beck spoke at the
press conference. There was also several Board members and Town
Council members present.
o Next Tuesday will be the Senate Budget Committee meeting and
once again we will be in attendance with support from the
community.
o Three options to try and solve funding issue: 1) fully fund
the SFRA; 2) Senator Sweeny’s plan of running the funds through his
formula, we could see an increase of almost double our current
funding of approximately 80% of funds ; 3) find new money to fund
under adequacy aide and eliminate the caps.
o School funding is getting a lot of activity now in Trenton. o
Agenda Item tonight that if approved will allow our attorney to
begin taking
legal action toward the underfunding situation. PARCC testing in
the elementary schools will run through next Tuesday and will start
at
the intermediate school the next day. Wednesday will be the
first track meet verses Barkalow Middle School Bring your Child to
Work Day and the FLC Art Night are on Thursday Park Avenue PTO
Basket Raffle will be held on Saturday At this time Dr. Tomazic
turned the meeting over to Mr. Howe for the Budget Hearing

2. Public Hearing on 2017-2018 Budget
Mr. Howe began the Public hearing with a Power Point
presentation on the Final FY 18 Budget. Mr. Howe finished the
presentation and opened the floor for public comments on the
budget. As no one came forward with any questions Mr. Howe closed
the hearing.
3. 2017-2018 District Operations
Dr. Tomazic informed the Board that the only possibility of any
new funds would be through Grants. We currently receive funds
through the 21st Century program, the Pre-K Expansion grant,
ESSA/NCLB/IDEA grants, lunch reimbursement program, TALL, Star and
Basie programs. The Districts robotics and TSA program will be run
through our 21st Century grant. Dr. Tomazic opened questions from
the Board. With current enrollment and staffing the District will
realign all first grades to FLC and all fourth grades to PAE to
better manage class sizes.
The Superintendent recommends the following motion to the
Freehold Borough Board of Education for approval:
Mr. Patrick offered the following motion seconded by Mr. Jensen
that items F-1 through K-1 and the Addenda be approved. A roll call
vote was taken and all items were passed unanimously with Mr.
Jensen abstaining from Item F-1.

1. RESOLVED, the Board accepts the Superintendent’s report of
all cases of Harassment, Intimidation and Bullying reported since
the last Board meeting on April 3, 2017.

FLC 5-16/17 FLC No Parent reports victim being bullied by
offender. Investigation revealed physical aggression and insulting
comments following a former friendship. Did not qualify as a HIB,
but was inappropriate behavior.

2. Resolution on Realignment of the District Grade
Structure/Building Assignments
WHEREAS, the board of education engaged in a strategic planning
process that resulted, among other initiatives, in the desirability
of realigning the district building and grade structure in a new
configuration; and
WHEREAS, the board of education reviewed this proposed
realignment at its June 25, 2012 board meeting in public session;
and

WHEREAS, the board of education decided at its July 28, 2014
board meeting to accept the New Jersey Department Preliminary
Eligible Cost – Debt Service Aid Project letters based on a fully
realigned grade structure; and WHEREAS, the board of education,
recognizing that the ongoing increase in student enrollment since
2012 has justified a reexamination of the viability and
desirability of the district realignment plan; and
WHEREAS, the board of education directed district administration
to inform the entire school community of this issue, and at its
regularly scheduled meetings on January 4, 2016, and on January 25,
2016 publicly discussed the desirability and detriments of various
realignment approaches
WHEREAS the Board approved consolidating the pre-kindergarten
students under Freehold Learning Center control and all 5th Grade
students under Park Avenue Elementary control at its February 8,
2016 Meeting (Administration, Item #1) for the 2016-2017 school
year, and WHEREAS the board must operate with more students, less
classrooms (because of construction) and fixed state aid during the
2017-2018 school year,
NOW THEREFORE BE IT RESOLVED, that the board of education
approves the following actions: a. The district will continue the
realignment of the district grade structure as follows for the

I. BUSINESS
1. Approve the following resolution: PUBLIC HEARING AND ADOPTION
OF THE
2017-2018 SCHOOL YEAR BUDGET
Adoption of the 2017-2018 School Year Budget And Tax Levy
Recommend the Board approve the following resolutions:
WHEREAS, the Freehold Borough Board of Education adopted a
tentative budget on March 20, 2017 to be submitted to the Executive
County Superintendent of Schools for approval, and
WHEREAS, the tentative budget was approved by the Executive
County Superintendent of Schools on April 10, 2017 and
WHEREAS, the tentative budget was advertised in the legal
section of the Asbury Park Press on April 14, 2017; and
WHEREAS, the tentative budget was presented to the public during
a public hearing on April 24, 2017; and
Adjustment
Health Benefits
RESOLVED that the Freehold Borough Board of Education includes
in the proposed budget the adjustment for increases costs of health
benefits in the amount of $259,200. The additional funds are
included in the base budget and will be used to pay for the
additional increases in health benefits.

Travel and Related Expense Reimbursement
WHEREAS, the Freehold Borough Board of Education recognizes
school staff and Board members will incur travel expenses related
to and within the scope of their current responsibilities and for
travel that promotes the delivery of instruction or furthers the
efficient operation of the school district; and
WHEREAS, N.J.A.C. 6A:23A-7.2 et seq. requires Board members to
receive approval of these expenses by a majority of the full voting
membership of the Board and staff members to receive prior approval
of these expenses by the Superintendent of Schools and a majority
of the full voting membership of the Board; and
WHEREAS, a Board of Education may establish, for regular
district business travel as defined in NJAC 6A:23A-1.2, which
includes attendance at regularly scheduled in-State county
meetings, Department or Association sponsored events or in-State
professional development activities for which the registration fee
does not exceed $150.00 per employee or board member, where prior
Board approval shall not be required unless the annual threshold
for a staff member exceeds $1,500 in a given school year (July 1
through June 30); and
WHEREAS, the Freehold Borough Board of Education established
$100,000 as the maximum travel amount for the current school year
and has expended $14,715.00 as of this date; now
THEREFORE, BE IT RESOLVED, the Board of Education approves
travel and related expense reimbursements in accordance with
N.J.A.C. 6A: 23A-7.3, to a maximum expenditure of $75,000 for all
staff and board members for the 2017-2018 school year.
Adoption of Budget
2017-2018
NOW THEREFORE BE IT RESOLVED that the budget be adopted for the
2017-2018 School Year using the 2017-2018 state aid figures and the
Secretary to the Board of Education be authorized to submit the
following adopted budget to the Executive County Superintendent of
Schools in accordance with the statutory deadline:

RESOLVED, that the amount required for school purposes in the
school district of Freehold Borough, County of Monmouth for the
2017-2018 school year is $11,888,586 and is required to be levied
for local school district purposes.

WHEREAS, Article VIII, § IV, ¶ 1 of the New Jersey Constitution
requires the Legislature to provide for the maintenance and support
of a thorough and efficient system of free public schools; and
WHEREAS, to satisfy this Constitutional mandate, the Legislature
adopted the School Funding Reform Act of 2008 (“SFRA”), P.L. 2007,
c. 260 (N.J.S.A. 18A:7F-43 to -63), which established a school
funding formula “to develop an equitable and predictable way to
distribute State aid;” and
WHEREAS, for the 2017-18 school year, the State has not complied
with SFRA’s funding formula, which resulted in the State providing
less than required equalization aid to the District; and
WHEREAS, N.J.A.C. 6A:23A-8.1(a) requires each district board of
education adopt a budget that provides for a thorough and efficient
(T&E) education; and WHEREAS, considering the inadequacy of the
State aid provided to the District, District Administration has
done its best to prepare a budget which attempts to provide for a
T&E education; however, additional State aid – in accordance
with SFRA – would enable the District to provide for a T&E
education.
NOW THEREFORE, BE IT RESOLVED that the Board hereby approves the
2017-18 as prepared by District Administration and authorizes the
Superintendent and the School Business Administrator/Board
Secretary to implement the 2017-2018 budget pursuant to local and
state policies; and
BE IT FURTHER RESOLVED that the Board requests the State
reconsider the funding provided to the District for the reasons
expressed in Board Resolution I.1 Resolution on Underfunding in
State Aid, adopted on January 9, 2017, incorporated herein by
reference, and exercise her authority pursuant to N.J.S.A. 18A:7F-6
to direct additional funds to the District up to the District’s
adequacy budget.
2. RESOLUTION AUTHORIZING DISTRICT COUNSEL TO INSTITUTE
LITIGATION AGAINST THE STATE
OF NEW JERSEY, THE NEW JERSEY DEPARTMENT OF EDUCATION, THE NEW
JERSEY COMMISSIONER OF EDUCATION AND ANY RELATED ENTITIES OR
INDIVIDUALS IN THEIR OFFICIAL CAPACITY CHALLENGING THE DISTRICT’S
RECEIPT OF STATE AID, IN ORDER TO ENABLE THE DISTRICT TO PROVIDE A
THOROUGH AND EFFICIENT EDUCATION WHEREAS, Article VIII, § IV, ¶ 1
of the New Jersey Constitution requires the Legislature to provide
for the maintenance and support of a thorough and efficient system
of free public schools; and WHEREAS, to satisfy this Constitutional
mandate, the Legislature adopted the School Funding Reform Act of
2008 (“SFRA”), P.L. 2007, c. 260 (N.J.S.A. 18A:7F-43 to -63), which
established a school funding formula “to develop an equitable and
predictable way to distribute State aid;” and WHEREAS, for the

WHEREAS, receipt of State aid in accordance with SFRA would
enable the District to provide a T&E education. NOW THEREFORE,
BE IT RESOLVED that the Board hereby authorizes and directs the
Board Attorney, Superintendent, and Business Administrator to take
whatever steps necessary to institute litigation against the State
of New Jersey, the New Jersey Department of Education, the
Commissioner of Education and other related entities and/or
officials in their official capacity seeking receipt of State aid
in accordance with SFRA and which enables the District to provide a
T&E education.
3. A Resolution Authorizing an Agreement between the District
and Monmouth Ocean Educational
Services Commission for Paraprofessional Services
Whereas the Board has determined that it is in the best interest
of the District to prospectively procure paraprofessional services
from Monmouth Ocean Educational Services Commission (MOESC) for any
newly hired teacher assistants as of July 1, 2017; and
Whereas this agreement shall have no effect on any teacher
assistant employed by the District as of June 30, 2017; and
R E C I T A L S:
A. Because the Board requires Instructional and
Non-Instructional Aides, the Board wishes to contract with MOESC to
provide such Aides; and B. MOESC has agreed to provide the Aides
subject to the terms and conditions set forth within this
Agreement. NOW THEREFORE, in consideration of the mutual covenants
and conditions contained herein and other good and valuable
consideration, the receipt and sufficiency of which are hereby
acknowledged, and intending to be legally bound, the parties do
agree as follows:
1. The Recitals set forth above are incorporated herein as if
set forth at length. 2. MOESC shall endeavor to provide the Aides
to the Board pursuant to this
agreement. 3. The Aides shall be described as follows:

Part-time shall be defined as less than thirty (30) hours per
week with no offer of health benefits. Full-time shall be defined
as thirty (30) hours or more per week for the purposes of offering
employee-only health benefits and prescription plan. 4. MOESC will
endeavor to provide substitute Aides for employees hired under this
agreement. Whenever a need is required by applicable laws,
regulations or policy, MOESC will endeavor to provide highly
qualified aides (as defined by Federal rules) at a rate of $25.00
per hour.

5. MOESC shall invoice the Board on a semi-monthly basis as
follows: (a) at the rate of Twenty-Three and 40/100 Dollars
($23.40) per hour for each part-time, Non Highly-Qualified Aide,
provided the Board has designated the assignment to constitute less
than thirty (30) hours per week; (b) at the rate of Twenty-Five and
50/100 Dollars ($25.50) per hour for each part-time,
Highly-Qualified Aide, provided the Board has designated the
assignment to constitute less than thirty (30) hours per week; (c)
at the rate of Twenty-Nine and 45/100 Dollars ($29.45) per hour,
together with employee-only health benefits and prescription
coverage, for each full-time, Non Highly-Qualified Aide, which
shall be defined as thirty (30) hours or more per week; (d) at the
rate of Thirty-Two Dollars and 15/100 ($32.15) per hour, together
with employee-only health benefits and prescription coverage, for
each full-time, Highly Qualified Aide, which shall be defined as
thirty (30) hours or more per week.
6. The Board shall pay the MOESC invoices within thirty (30)
days of the date of the receipt of the MOESC invoices. MOESC shall
have the right to discontinue its services by providing a thirty
(30) day written notice if the Board fails to pay the MOESC
semi-monthly billing within 60 days. 7. MOESC shall separately
contract with each Aide as an employee, and MOESC shall be
responsible for any required Workers’ Compensation Insurance,
Unemployment Insurance, Tax withholding, retirement contributions
and health benefits, if applicable, and shall pay the Aides in
accordance with a wage scale established by MOESC. 8. Subject to
the discretion of MOESC, MOESC shall offer employee-only health
benefits and prescription coverage, as described in Paragraphs 3
and 5 above, to Aides working thirty (30) hours or more per week.
9. All full-time Aides shall be enrolled in the Public Employment
Retirement System (“PERS”), provided enrollment requirements are
met, and part-time Aides will be enrolled in PERS or DCRP (“Defined
Contribution Retirement Program”) or neither as may be permitted by
applicable state regulations. 10. The Board shall verify and
approve all hours worked by way of the on-site administrator’s
signature on all Aide time sheets in Veritime (Time and Attendance)
and shall timely provide and convey such time sheet information to
MOESC no later than the first business day immediately following
the previous work week.
11. The Board will advertise and conduct interviews of Aide
candidates. 12. Aide Orientation(s) and other Board Training(s)
will be provided by and paid for by the Board. 13. The Board may
request to change an Aide for just cause only upon providing 15 day
written notice to MOESC. 14. This Agreement supersedes any prior
negotiations, discussion or communications between the MOESC and
the Board. 15. Neither party may sell, assign, transfer nor
otherwise dispose of its obligations as set forth herein without
the other party's prior written consent. 16. In the event any
claims or disputes arise involving services provided under this
Agreement, then the remedy shall be limited to the replacement of
the disputed services. 17. In the event any claims or disputes
arise involving non-parties to this Agreement regarding the
provision of services by MOESC pursuant to this Agreement, the
Board shall promptly (1) notify MOESC when it becomes aware of any
such claim or dispute; and (2) cooperate with MOESC in attempting
to resolve any such third party claims or disputes, including, but
not limited to, attending, participating and joining in meetings,
conferences, hearings and dispute resolution proceedings. 18. Any
controversy or claim arising out of or relating to this Agreement
or its breach, which is unable to be resolved by the parties after
Fifteen (15) days’ notice and an opportunity

to correct, shall be confidentially resolved by non-binding
mediation. If the controversy is not resolved by mediation, then
the controversy or claim shall be brought before a retired Superior
Court Judge who shall arbitrate any such dispute. The judge shall
be mutually selected by the parties. The arbitrator may decide upon
the allocation of the costs and expenses (not to include a party’s
attorney’s fees) for the arbitration between the parties. 19. Each
party will indemnify, defend and hold harmless the other party,
including its agents, servants and employees, from any and all
suits, claims for damages, including, without limitation,
malpractice or misconduct claims, liabilities, attorney’s fees,
costs arising from any and all injuries to persons or property
damage caused by any acts or omissions by their agents, servants,
contractors and employees. This covenant shall include the
provision of defense at all stages of the judicial, administrative
or mediation/arbitration process. 20. This Agreement contains the
entire agreement of the parties and shall not be modified except by
the written agreement of the parties. 21. No representations,
inducements, promises or agreements, including descriptive
brochures, oral or otherwise, and which are not embodied herein,
shall not be of any force or effect. 22. Either MOESC or the Board
may cancel this Agreement with Sixty (60) days’ written notice. 23.
This Agreement has been negotiated at arm’s length and between
entities sophisticated and knowledgeable in the matters dealt with
in this Agreement. Accordingly, any rule of law or legal decision
that would require interpretation of any ambiguities in this
Agreement against the party that has drafted it is not applicable
and is waived. The provisions of this Agreement shall be
interpreted in a reasonable manner to effect the purposes of the
parties and this Agreement. 24. Nothing in this Agreement, whether
expressed or implied, is intended to confer any rights or remedies
under or by reason of this Agreement on any persons other than the
parties to it and their respective successors and assigns nor is
anything in this Agreement intended to relieve or discharge the
obligation or liability of any third persons to any party to this
Agreement, nor shall any provision give any third persons any right
of subrogation or action over or against any party to this
Agreement. 25. Each party to this Agreement agrees to perform any
further acts and to execute and deliver any documents that may be
reasonably necessary to carry out the provisions of this
Agreement.

15. RESOLUTION OF THE BOARD OF EDUCATION OF THE BOROUGH OF
FREEHOLD IN THE COUNTY OF MONMOUTH, NEW JERSEY AUTHORIZING
AGREEMENT FOR CONSTRUCTION MANAGEMENT SERVICES WHEREAS, there
exists a need for construction management services in connection
with the proposed school facilities capital projects of the Board
of Education of the Borough of Freehold in the County of Monmouth,
New Jersey (the "Board"); and WHEREAS, although such services are
advisory in nature, and are therefore services for which it is not
reasonably possible to draft specifications and are thus deemed to
be extraordinary and unspecifiable (and indeed, are hereby awarded
as such), it was deemed in the best interests of the Board and the
District to engage in an open and competitive process to solicit
responses and evaluate them in accordance with the criteria set
forth in the Request for Qualifications (“RFQ”) issued for these
services; and

WHEREAS, the New Jersey Schools Development Authority, which is
providing certain Section 15 Grant funds for the capital projects,
has approved of the RFQ issued for these services as to form; and
WHEREAS, the RFQ was advertised in the Asbury Park Press on
February 8, 2017, and was also included on the School District's
website; and WHEREAS, in response to the RFQ, proposals and
responses were received at 10:00am on Wednesday, March 1, 2017, at
the District’s Administrative Offices in the Park Avenue Elementary
School, located within the Borough of Freehold; and WHERAS,
proposals were timely received from the following companies: Mast
Construction (“Mast”); Legacy Construction Management (“Legacy”);
Remington & Vernick (“Remington”); Greyhawk Construction
Management (“Greyhawk”); Pinnacle Construction Management
(“Pinnacle”); Spiezle Architectural Group (“Spiezle”); New Road
Construction (“New Road”); Epic Management (“Epic”); and, P.W. Moss
(“PW”); and WHEREAS, the responses provided from all responders
were reviewed by the District, and informational interviews
undertaken with all of them in the District’s best interests; and
WHEREAS, after such review and the undertaking of the referenced
interviews, the District ranked the responses in accordance with
the criteria set forth in the RFQ, finding that New Road, Mast and
Pinnacle were the top three (3) ranked responders; and WHEREAS,
subsequent to such ranking, the District negotiated with New Road,
and reached consensus on the terms of an agreement for construction
management services as contemplated by the RFQ for these capital
projects, price and other factors considered; and WHEREAS, the
District, with the assistance of special legal counsel, prepared an
evaluative report which analyzed and ranked all responders, and
recommended that New Road be awarded an agreement for construction
management services as contemplated by the RFQ for these capital
projects, price and other factors considered; and WHEREAS, the said
evaluative report is appended hereto, and was also made available
for public review and inspection as provided for by law; and
WHEREAS, the District has determined that New Road has the
expertise, extensive training and proven reputation and has
demonstrated capability and valuable assistance in providing such
advice and construction management services, and is therefore
desirous of making an award to that firm; and WHEREAS, funds are or
will be available for this purpose. NOW, THEREFORE, BE IT RESOLVED
BY THE BOARD OF EDUCATION OF THE BOROUGH OF FREEHOLD IN THE COUNTY
OF MONMOUTH, NEW JERSEY AS FOLLOWS: Section 1. The firm of New Road
is hereby retained to provide construction management services
necessary in connection with the school capital projects of the
Board, all in accordance with the terms and conditions of the RFQ,
its response thereto, and an agreement to be negotiated between the
District and New Road (the "Contract").

Section 2. Although a competitive solicitation was utilized in
the District’s best interests to secure a qualified pool of
responders, the Contract is hereby awarded without competitive
bidding as an extraordinary unspecifiable service in accordance
with the Public School Contracts Law, N.J.S.A. 18A:18A-5(a)(2),
because it is for services of an advisory nature in connection with
the capital projects. Section 3. A copy of this resolution, as well
as the Contract, the RFQ, the evaluative report and New Road’s
response to the RFQ, shall be placed on file with the Secretary of
the Board. Section 4. A notice in accordance with the Public School
Contracts Law of New Jersey in the form attached hereto shall be
published in the Asbury Park Press. Section 5. The Recitals of this
resolution are incorporated herein as if set forth at length, same
being an integral part of this resolution. Section 6. This
resolution shall take effect immediately.
16. Disposal of Textbooks
Approve the following textbooks to be listed on the New Jersey
Department of Education textbook sharing website as noted in the
N.J.S.A 18A:34-3 State Law. Textbooks will be posted on the State
website for 120 days, and thereafter, be discarded if not
shared.

N. COMMUNICATIONS FROM SCHOOL AND COMMUNITY GROUPS
Mrs. Nicole Tate of the Park Avenue PTO spoke of attending the
meeting today in Trenton and that there will also be a bus
available for those interested in attending the next school funding
meeting, about 15 spots remain. If anyone is interested she advised
them to contact the PTO via their email.
Mrs. Tate continued with announcing that the 14th Annual Basket
Raffle will be held next weekend. This is their largest fund raiser
with over $14,000 cleared last year. The funds are used for field
day, busing for field trips and other various items throughout the
year. On behalf of the organization she thanked the Board for their
generous donation of a $100 gift card. She also mentioned that the
PTO would be accepting any other donations up to Thursday.

P. REPORTS FROM BOARD MEMBERS
Mrs. Greitz reminded the Board members that they needed to
complete CSA evaluations. Dr. Lichardi encouraged them to get them
completed. Dr. Lichardi also shared that he was one of five Board
members who attended the meetings earlier in the day in Trenton and
felt that with the support of parents and community members it was
quite a presence. Dr. Tomazic spoke at the press conference and
also expressed his appreciation of the large turnout and thanked
the Borough Council attendees and support from the PTO and
residents.
Q. EXECUTIVE SESSION WHEREAS, the Sen. Byron M. Baer Open Public
meetings Act, N.J.S.A. 10:4-6 et seq., (the “Act”) provides that
the Freehold Borough Board of Education may hold an “Executive
Session” from which the public is excluded to discuss matters that
are confidential or are one of the nine (9) subject matters listed
Section 12(b) of the Act; and WHEREAS, it is recommended by the
Business Administrator that the Freehold Borough Board of Education
go into Executive Session on April 24, 2017, at 7:52 PM to discuss
matters that are permissible for discussion in Executive Session;
and WHEREAS, the length of the Executive Session is estimated to be
thirty minutes after which the public meeting of the Board shall
not reconvene and proceed with business; and WHEREAS, that the
