Barksdale, Class A director, and Mr. Frank A. Jones, Class B director, whose terms expire December 31, 1986, there are listed the names of the candidates nominated for such directors and the banks which made the nominations. There is sent herewith to each bank in Group 1 a ballot for use in voting for a Class A director and to each bank in Group 3 a ballot for use in voting for a Class B director. An envelope bearing on its face the certificate in regard to the vote and an envelope marked “Ballot” in which the ballot is to be sealed are enclosed also. The ballot and certificate envelope must be executed by an officer who has been authorized to cast the vote. A list of the designated officers forms a part of this circular. In order that the balloting may be secret, the name of the bank and of the voting officer should not be written on the ballot but only on the certificate envelope. The following procedure is required for both the Class A and Class B ballots: (1) Mark the ballot to indicate the vote of your bank. (2) Place the ballot in the “Ballot” envelope and seal. (3) Execute the certificate on the certificate envelope. (4) Place the ballot envelope in the certificate envelope and seal. (5) Return the sealed certificate envelope to me.
