D. The lifting quantity by the successful bidder(s)/buyer(s) shall be limited to following caps:
Lower Cap Upper Cap
Monthly Quantity -15% No Cap
Quarterly Quantity -10% No Cap
Annual Quantity -5% No Cap
The upper cap shall be decided by OPaL subjected to availability of material which may
vary for different time periods.
(To be read in conjunction with Clause 2.2.6)
2.3.3 Any differential quantity not lifted below 85% of the monthly communicated quantity
(Lower cap of -15% as defined above) to be lifted by the successful bidder, shall attract
penalty on quarterly basis defined as below.
2.3.4 Quarterly Quantity shall be the sum total of quantities for the 3 contractual months
quantities being communicated to the successful bidders by OPaL. The lifted quantity by
the successful bidder in any case should not be below 90% of the Quarterly Quantity
(Lower cap of -10% as defined above) below which there shall be a penalty clause on
the quantity not lifted below 90% of the allocated quantity, over and above Monthly
penalty, defined as below.
2.3.5 Similarly, Annual Quantity shall be the sum total of quantities for the contractual months
quantities being communicated to the successful bidders by OPaL. The lifted quantity by
the successful bidder in any case should not be below 95% of the Annual Quantity (Lower
cap of -5% as defined above) below which there shall be a penalty clause on the quantity
not lifted below 95% of the allocated quantity, over and above any penalty
levied/payable, defined as below.
2.3.6 PENALTY CLAUSE:
A. If the successful bidder is unable to complete the activity of removal of the monthly
allocated quantity of Polymer waste from OPaL premises, ground rent of 2.5% of
the quantity not lifted for the specific contractual month will be charged
for the quantity not lifted below 85% of the allocated monthly quantity.
B. If the successful bidder is unable to complete the activity of removal of the quarterly
allocated quantity of Polymer waste from OPaL premises, ground rent of 5% of
the quantity not lifted for the specific contractual quarter will be charged
for the quantity not lifted below 90% of the allocated quarterly quantity.
(For example, if the bidder has to lift 100 MT in July-19 as communicated by OPaL,
the bidder has to lift a minimum of 85 MT {lower cap of -15%} in July so that the

entity doesn’t attract any penalty. In case, the bidder lifts quantity lower than 85
MT, say for example, 60 MT; the bidder shall have to pay a penalty on quantity not
lifted below tolerance level of 85% for July i.e. invoice value equivalent to (85-60=)
25 MT in July-19.
Similarly, the Quarterly penalty shall be payable for any quantity not lifted below
90% or {-10% of the lower cap} over and above Monthly Quantity penalty leviable,
if any.)
Quarter shall be defined as the block of three months starting from the date of
agreement/contract period.
The allocated quantity for a successful bidder has to be lifted by the said entity
only. In case of any differential quantity not lifted in specific month or quarter
shall be carried over to the next month to be lifted by the same entity and
shall not be re-allocated to all bidders in ordinary circumstances. However,
right of re-allocation is reserved with OPaL in unprecedented business
scenarios.
2.3.7 OPaL shall reserve the right to re-allocate material in case the lifting by the successful
bidder is not found to be up to the mark as per terms and conditions mentioned herein
only in extra-ordinary circumstances.
2.3.8 The lifting activity has to be carried out on working days and during working hours only.
However, OPaL reserves the right to allow lifting of material during holidays or extra
hours during the day only in exceptional circumstances with appropriate approvals.
2.3.9 The successful bidder(s) will make his own arrangement for lifting, loading and
transporting the material from the factory premises and he will not claim any sort of
assistance whatsoever or charges from the company. All labour, tools and equipment for
loading the items from OPaL shall be at the cost of the buyer.
2.3.10 The personnel employed for the disposal action (job) shall strictly obey the Safety Rules
in force while working in OPaL, Dahej.
2.3.11 The individual/firm is to follow all rules and procedure for gate entry/exit of OPaL.
2.3.12 The buyer’s workmen shall have to abide by the rules and regulation of the relevant
statutory Acts/Lobour laws etc.
2.3.13 Use of mobile phone is prohibited inside the plant.
2.3.14 The assigned job shall be done without damaging the premises / roads / drains / etc.
The buyer shall make good the damages, loss, etc., in the event of any occurrence
otherwise.

2.3.15 Removal and transportation of materials shall be done only during working hours and
working days of OPaL unless it is specifically permitted by OPaL in writing.
2.3.16 The material shall be collected in trucks and the quantity shall be assessed on the basis
of weighing of trucks on Weigh Bridge located inside OPaL premises.
2.3.17 No other material should be removed from the site. The bidder doesn’t have any right to
claim on any other material as such.
2.3.18 The loading of the material will be in the presence of and after the approval /
authorization of designated OPaL officials.
2.3.19 The buyer shall be responsible to secure compliance’s with all Central and State laws as
well as the rules, regulations, bye-law/notifications and orders of the local authorities
and statutory bodies as may be in force from time to time.
2.3.20 Breaking/ cutting may be allowed to the extent necessary for facilitating loading into
vehicles as per the discretion of the seller at their cost and arrangements.
2.3.21 OPaL shall not be responsible for any injury or death of any worker at site due to accident
or malfunctioning of the equipment or by negligence of staff.
2.3.22 No payment will be made to the contractor for damage caused by rains or other natural
calamities during execution of the work and no such claim on this account will be
entertained.
2.3.23 No manpower shall be engaged below 18 years of age.
2.3.24 It will be the responsibility of the contractor to meet transportation, food, medical and
any other requirements in respect of the manpower deployed by him for carrying out the
said activity. OPaL shall not be responsible for any damages, losses, claims, financial or
other injury to any person deployed by service providing agency during the course of
their performing the functions/duties, or for payment towards any compensation.
2.3.25 If any of his workmen/transporter is even found violating these restrictions, the buyer
shall be responsible for making compensation on account of the loss to the owner on
which their decision shall be final and binding.
2.3.26 For the purpose of lifting of the material, truck must reach at the entry gate on or before
9 AM on the working days. The customer has to comply with all gate entry rules and
regulations at all times. The buyer will coordinate with the designated employee of OPaL
for his truck placement on day to day basis, at least a day in advance.
2.3.27 Non-upliftment of material on any ground including non-availability of transporter,
market conditions, labours, availability of funds, weather conditions, quality issues etc.
shall not be entertained.

2.4 ALLOCATION OF MATERIAL
2.4.1 It should be kept in mind that all the material belong to waste category “below
utility/waste” material; therefore no complaint whatsoever on quality ground will be
entertained. For awarding of material each category will be considered independent from
other material category.
2.4.2 OPaL is desirous of having THREE (3) successful bidders for LOW POLYMER WAX.
2.4.3 The material shall be allocated between H1 and other party i.e. H2 onward where H2
and other parties matches the rate quoted by H1.
2.4.4 The ratio will be defined in the following manner depending on the final number of parties
who match the H1 rates. The allocation of material shall be done as follows:
i. Wherever, ONE successful bidder/buyer is required, all material available shall be
allocated to the only successful buyer (i.e. 100%);
ii. Wherever, TWO successful bidders/buyers are required, all material available shall
be allocated to the successful buyers in the ratio of 60:40;
iii. Wherever, THREE successful bidders/buyers are required, all material available shall
be allocated to the successful buyers in the ratio of 50:30:20.
2.4.5 Based on allocation mentioned above, approximate quantities* are described as below:

2.4.6 In case of only single party becomes H1, allocation shall be done as per methodology
placed below:
For PE Low Polymer Wax: Minimum allocation as per tender i.e. 20% can be
further increased to 100% as per 2.4.4
2.4.7 Any quantity not lifted below the desired tolerance limits, shall attract penalty as
enumerated vide clause 2.3.3, 2.3.4 and 2.3.5 above.
2.5 SUCCESSFUL BIDDER(S)
2.5.1 The successful bidder(s) shall be determined after price bid opening and as per the
allocation process described vide Para 2.4.
2.5.2 SECURITY DEPOSIT CUM PERFORMANCE GUARANTEE: The successful bidder(s)
shall have to deposit a sum equal to 10% (TEN PERCENT) of the total contract

value with applicable GST (i.e. 18%), towards Security Deposit Cum Performance
guarantee either in the form of performance bank guarantee executed by Nationalised/
Scheduled Banks, valid for period of completion of contract plus 02 months or by direct
RTGS from their account within 10 days of the issue of LOI by OPaL. The SD will be
computed on the basis of price prevailing on the day of issuing LoI to the party. The
format for performance bank guarantee shall be shared to successful bidders on request.
2.5.3 EMD of the successful bidder can be released post submission of Security Deposit (SD)
or can be adjusted against advance payment for lifting material commensurating the
value based on prices and discounts quoted at the prevailing at that time or can be
adjusted against the Security Deposit and would be released after 15 days of successful
completion of sales activity.
2.5.4 OPaL shall be entitled to deduct from the said deposits any loss or damage which the
company may be put to by reason of any act or default recoverable by the company from
the buyer and to call upon the buyer to maintain the deposit at its original limit by making
further deposits.
2.5.5 In the event of the buyer failing to make and maintain the security deposit in the manner
aforesaid, OPaL shall be entitled to cancel the acceptance of the tender and forfeit the
EMD/SD.
2.5.6 REFUND OF SECURITY DEPOSIT CUM PERFORMANCE GUARANTEE: OPaL shall
be entitled, without being bound to do so, to adjust the whole or any portion of the
Security Deposit towards the recovery of any amount due to us from the buyer. The
Security Deposit or such portion thereof as has not been adjusted towards the recovery
of amount due from the buyer to us will be refunded to the buyer. Security Deposit will
be refunded after successful completion of the contract. No interest will be payable by
OPaL to the Tenderer on the amount of the Security Deposit.
2.5.7 SET OFF: Any amount due and payable to the buyer (including the Security Deposit
returnable to him) under the Contract may be appropriated by OPaL against any claim
of OPaL arising under the Contract against the buyer.
2.5.8 ACQUIESCENCE OR WAIVER: Any acquiescence or waiver by OPaL of any delay,
breach or default committed by the buyer shall not be deemed to be or considered as
estoppels against OPaL nor prevent OPaL from exercising any of its rights under any of
the provisions of this Agreement.
2.5.9 In case, the information/document furnished by the bidder forming basis of evaluation
of his bid is found to be false/forged after the award of the contract, OPaL shall have full
right to terminate the contract and get the remaining job executed at the risk & cost of

such bidder without any prejudice to other rights available to OPaL under the contract
such as forfeiture of Security Deposit, withholding of payments etc.
2.5.10 In case the issue of submission of false document comes to the notice after execution of
the work, OPaL shall have full right to forfeit any amount due to the bidder along with
forfeiture of Security Deposit furnished by the bidder. Further, such bidder shall be
blacklisted for future business with OPaL.
2.5.11 JURISDICTION: The disputes, legal matters, court matters, if any shall be subject to
Vadodara jurisdiction only.
2.6 OTHER GENERAL CONDITIONS
2.6.1 SELLER reserves the right to modify and amend the terms & conditions and announce
the same at any time before the entire sales concludes.
2.6.2 Bidding in this sale shall be treated as conclusive evidence of the fact that the bidder has
inspected the materials.
2.6.3 No enquiry of bidder shall be entertained once the material is lifted by them.
2.7 PERIOD AND TERMINATION
Period: The AGREEMENT shall be valid and effective on and from the date of NOA/ Service Order
until the expiry of the CONTRACT PERIOD.
Termination:
A. Termination on expiry of the CONTRACT: This AGREEMENT shall be deemed to have been
automatically terminated on the expiry of CONTRACT PERIOD unless OPaL exercise its option
to extend this CONTRACT in accordance with the provisions, in any, of this CONTRACT.
B. Termination on account of force majeure: Either party shall have the right to terminate
this AGREEMENT on account of Force Majeure, as set forth in Clause 2.8 of GCC.
C. Termination on account of insolvency: In the event the Service provider or its collaborator
at any time during the term of this AGREEMENT becomes insolvent or makes a voluntary
assignment of its assets for the benefit of creditors or is adjudged bankrupt, then the
COMPANY shall, by a notice in Writing have the right to terminate this AGREEMENT and all
the rights and privileges hereunder, shall stand terminated forthwith.
D. Termination in the event of breach, default or deficiency by the bidder under or with
reference to the evacuation of polymeric waste products to be provided under the

AGREEMENT, OPaL reserves the right at its option and discretion to terminate this AGREEMENT
with the bidder.
E. Termination for delay in mobilization: Successful Bidder shall be required to mobilise
adequate resources for commencement of lifting of material at the specified site as conveyed
by OPaL. If the successful bidder fails to mobilise as above and/or delays in the commencement
of all or of any of the activity exceeds the Mobilization period, if any, as mentioned in the
contract, OPaL shall, without prejudice to its right to recover liquidated damages hereof, have
the right to terminate this AGREEMENT and to recover from the bidder the additional costs
incurred either by way of deduction or recovery from the invoices or from the Security Deposit
or otherwise.
2.8 FORCE MAJEURE
Any delay in or failure of the performance of either party hereto shall not constitute default
hereunder or give rise to any claims for damage, if any, to the extent such delays/failure of
performance is caused by occurrences such as Acts of God or an enemy, expropriation or
confiscation of facilities by Governmental Authority, acts of war, rebellion, sabotage or fires, floods,
explosions, riots, or strikes. The Vendor shall keep records of the circumstances referred to above
and bring these to the notice of OPaL in writing within three days of occurrence of the event. The
amount of time, if any, lost on any of these counts shall not be counted for the contract period.
Such a determined period of time lost shall be extended by OPaL to enable the Vendor to deliver
the items within such extended period of time.

1.0 CONDITIONS RELATED TO THE PRICE FORMAT
1.1. The bidder is to quote Discount/dispensations applicable on the benchmark prices of the
benchmark grade (OPaL Dahej SEZ Price for Vadodara for OPaLene HD M6008 of the Price
Circular for DTA Sales; Refer Annexure IV) in percentage only; should be positive numbers only
upto two places of decimals.
1.2. This will form the basis of arriving at the BASIC EX-WORKS PRICE of the Invoice as described
in Clause 2.0 of Annexure II for entire duration of the contract.
1.3. If any mathematical errors/overwriting are noticed in price format, the price bid shall be
summarily rejected and the same will be binding to the bidder.
• Contract will be awarded to lowest quoted, techno-commercially qualified bidder.
• The discount /dispensation quoted above shall form the Basic Price excluding all taxes and duties which shall be payable, as applicable, at the time of lifting the material by the BUYER only.
• Bidder to note that OPaL is an SEZ Unit. Taxes and duties as applicable at the time of removal
of materials shall be paid extra at actual by the by the BUYER only.

ANNEXURE-IV
PRICE CIRCULAR (FOR DTA SALES)
OPaL revises price of its products (polymers) on monthly basis or whenever market demands so, by
issuing a price circular in this regard. The document shall be shared with all the successful
bidder(s)/buyer(s) after the bidding process is over and the successful buyers accept the LOA.
The last Price Circular (for DTA sales) as declared by OPaL dtd 09.05.2019 is annexed herewith which
may be considered as current prevailing price as Reference Price which can be considered by the bidders
while working out/arriving at the “Discount/dispensations” to be quoted in their respective bids.
*ABOUT PRICE BENCHMARK
It may be noted that OPaL Dahej SEZ Price for Vadodara region as referred to in the Price Circular are
the BASIC PRICE of the respective material to be billed for destination - Vadodara.
The Ex-works Price for the polymer waste material to be disposed off in the subject tender shall be
benchmarked to this OPaL Dahej SEZ Price-Vadodara price for the benchmark grade OPaLene HD M6008
after accounting for the quoted discount/dispensation by the successful buyer.

Price Circular for Polymers DTA Sales

Enclosed herewith are the pricing zone-wise Prices for Domestic Sales of different grades of Opalene PP, HDPE & LLDPE.
I. Basic Price Pricing policy for Gradewise Ex-Dahej SEZ out gate supplies (i.e. Prices as per respective Pricing Zone) are enclosed as per Annexure DTA-01, DTA-02 & DTA-03.
Prices of non-prime grades shall be lower by Rs. 800/MT than the respective prime grade.
II. Customs Duty& GST Duty liability & GST including applicable cess will be discharged by the consignee as applicable.
III. Road Permit/E Way Bill
As per E-Way Bill prescribed under GST Act.
IV. Freight
Ex-Factory sale: Goods will be dispatched as per OPaL’s transport contract and the prevailing freight rates.
Unloading at customer's end will be arranged by the customer.
V. Packaging Prices are inclusive of packing as applicable.
VI. Discounts (Domestic Sales Only) 1. Cash Discount (CD) @ Rs.1100/MT is applicable on all grades except plant sweepings &
waste grades. a. For the material procured against Cash terms, its payment will be due on the 3rdday
from the date of invoice (eg. Invoice Date 1st:: Due Date 3rd). b. For Ex-Factory sales, CD shall be deducted from the Basic Price as per Pricing Circular
for payment of Customs duty and GST. c. For Ex-Depot/ CS Sales, CD shall be deducted on Post tax basis.

2. An Early Payment Incentive (EPI) of Rs 75/ MT/Day will be applicable for Credit customers if
full payment is received before the IFC period in single transfer.
3. Quantity Discount (QD):
a. Applicability: Prime & Non-Prime grades on monthly domestic lifting basis except Utility, Sweepings, waste grades and powder. PP, HDPE & LLDPE grades would not be allowed to be combined for the purpose of QD computation.
b. QD to be settled by credit note after completion of lifting on Post Sales basis in the following month.
c. Deemed Exports quantity not to be clubbed with domestic sales quantity for computation of eligibility of QD.
d. Customers shall be eligible for QD, on completion of monthly lifting as per the following slabs: (by clubbing domestic off-take from Plants and Depots of OPaL or its Consignment Stockist)
4. Other discounts if any shall be as per the circulars/notifications issued from time to time.
VII. The company reserves the right to pay or adjust Post Sale Discounts, through any financial asset, directly or through any other party/agent without requiring any reference.
VIII. Group Companies Customers registered as Group in OPaL books shall be considered for Quantity Discount, Performance Scheme and any other discounts as per prevailing policy and guidelines.
IX. Credit Policy A. Terms of Payment For Domestic supplies: 14 days Interest Free Credit (IFC) (excluding date of payment) shall be available to the customers on their Ex-Works off-take, in lieu of Cash Discount. IFC is applicable on all the grades except plant sweeping, waste grades and powder.

B. Delayed Payment Charges: If payment is not received as per the payment terms, interest will be charged as below:
i. For Cash Sale @ 36% per annum for the delayed period from the Date of Invoice ii. For Credit Sale:
In case Cheque / E-payment First 15 days after IFC: 21% per annum (After IFC Period) 16 days to 30 days : 24% per annum (From the date of Invoice) >30 days : 27% per annum (From the date of Invoice)
X. Penalty for ET failure
a. Rs.1000/- as penalty for the 1st day of default in a calendar month b. Rs.2500/- as penalty for every subsequent defaults in the same calendar month c. Penalty for Cheque Dishonoured :Rs.1000/- as penalty per instrument returned
XI. Price may change without any prior notice. Price prevailing at the time of filing the BOE will apply.
