The Luxembourg Specialized Investment Fund is a very flexible multi-purpose investment entity.
It provides an efficient tax regime for qualified investors.

Legal forms for Luxembourg SIFs
Luxembourg SIF can take the following legal forms:
• common fund (FCP – fonds commun de placement)
• investment companies, which can be set up as:
- SICAV – Société d’investissement à capital variable.
- SICAF – Société d’investissement à capital fixe.

Legal forms for SICAVs and SICAFsFurther on, SICAVs and SICAFs can be set up as:
• public limited company (SA);
• private limited liability company (Sàrl);
• partnership limited by shares (SCA);
• cooperative in the form of a public limited company (SCoSA).

The Luxembourg FCP The Luxembourg FCP has no legal personality.
It must be managed by a management company.
The FCP is considered a Luxembourg SIF if its place of management is located in the country.

Legislation for SIF shareholders
The Luxembourg SIF Law does not require a minimum or a maximum number of shareholders.
The legislation in this sense prescribes that the shareholders are required to subscribe a minimum share capital of 1,250,000 euros.
However, the shareholders of the investment fund are required to deposit only 5% of the capital during the registration procedures.

Taxation of a SIF in Luxembourg >>
In terms of taxation, the Luxembourg SIFs benefit from a very advantageous tax regime.
Investment funds operating under the SIF law requires the payment of an annual subscription tax of 0.01% of the net asset value.
