Pvt Ltd (referred to as the CUTOMER henceforth in this document). We are glad to serve

Proposal Details
CUSTOMER is planning to commission a 3 MWp DC Solar Power Plant. The project will be
executed by Solar Semiconductor. We will use the best in class design capabilities and the
Supply Chain management to give the best possible solution to CUSTOMER.
The project is proposed to use crystalline silicon technology PV modules. Central/String
inverters are proposed for this project and the project will use a Single Axis Tracker system.

Solar PV modules
A photovoltaic module is a packaged interconnected assembly of photovoltaic cells, which
converts sunlight into electricity. SSPL manufactures Solar PV modules of the highest quality.
The detailed module technical specifications will be available in the Module Data Sheet which
can be found at http://www.solarsemiconductor.com/asia/ssi-m6.pdf.
This project proposes to use either Solar Semiconductor modules or any other equivalent
modules.
Rest of the BOS
SSPL has a very strong supply chain management and hence has strategic partnerships with the
vendors of the major components used in the Solar PV Power Plant. An indicative BOM for the
rest for the Plant is as below.

Energy Output Guarantee
SSPL will issue the Energy Guarantee Certificate to the CUSTOMER. The annual energy output
estimated for the first year is 51 Lakhs units per annum for 3 MWp for single axis tracker system.
The annual degradation factor is 1%. The Energy output Guarantee Certificate is supported
through a Performance Bank Guarantee based on the Performance ratio and not on absolute
energy generation. The Energy Output Guarantee Certificate is provided only if Solar
Semiconductor executes the AMC contract. This aspect is covered in detail in the section on
Warranty.
Project Schedule The schedule of the project is dependent upon the date of signing of the contract. A sample
PERT chart for the EPR services is given below. The exact schedule for this project will have to be
confirmed at the placement of the order.
The schedule for REC services and PPA arrangement can be discussed at the time of signing the
contract. These are highly dependent on State and Central Government bodies/utilities.

Price and Payment Terms
The prices, payment and delivery terms shall be as follows subject to a satisfactory agreement
between the parties to be laid down in the DESIGN, Engineering, Procurement and Construction
Agreement.
Price
The price of the project for 3 MWp Single Axis Tracker system is INR 23.25 Crores (INR 7.75
Crores per MWp). All the applicable taxes and duties are extra at actuals.
This is under the assumption that CUSTOMER submits the C form. In case C Form is not available
with CUSTOMER, the applicable tax will be extra. We need to take a letter from MNRE to avail
the Concessional Customs duty exemption.
Validity This proposal is valid for a period of 15 days from proposal date. Hence this proposal is valid till
2nd
April, 2013.
Payment Terms
Customer will have to place the Modules order on SSPL and BOS items on SSEPL. Please
find the payment terms below.
a) 50% of Project Value as advance along with PO
b) 50% against irrevocable 30 days LC with provision of partial payments:
a. 45% of PO/Invoice Value against delivery of Material at site
b. 5% of Project value against the Installation and Commissioning
Terms & Conditions
a. The detailed analysis report for the structure design and load bearing capacity will be
provided specific to the site after signing the EPC contract and after submission of
the land survey reports by the CUSTOMER to Solar Semiconductor.

b. A detailed energy output report and subsequently the energy output guarantee
certificate will be provided after signing the EPC Contract. The energy output
guarantee is subject to the AMC contract being provided to Solar Semiconductor.
c. All major equipments’ viz inverters, modules, strings, monitoring systems etc… will
be covered under standard manufacturers’ warranty and not covered under the
AMC.
d. Uninterrupted power supply and water to be provided at site to Solar Semiconductor
during construction period.
The deliverables against the above mentioned timelines will be elaborated in the Design,
Engineering, Procurement and Construction Contract
Warranties
System Warranty
Solar Semiconductor gives a System Warranty for 5 years. This is applicable only if Solar
Semiconductor performs the AMC contract for the project. The detailed Warranty terms will be
given in the Warranty Documents at the time of signing the contract.
Modules Warranty
Solar Semiconductor Modules come with a 5 year Warranty for the defects in workmanship and
materials for the Product. Also, SSPL modules come with 25 year Warranty for power output
(the first 10 years at 90% minimum of rated power output and the remaining 15 years at 80%
minimum of rated power output). The detailed Warranty terms will be given in the Warranty
Documents at the time of signing the contract.
Balance Of System
The Balance of the System is covered under respective Manufacturers’ Warranty. This warranty
is on a back-to-back basis from the vendors. This BOS Warranty is applicable only if Solar
Semiconductor performs the AMC contract for the project. The detailed Warranty terms will be
given in the Warranty Documents at the time of signing the contract.

Energy Output: Performance Bank Guarantee
Solar Semiconductor gives a Performance Bank Guarantee (PBG) for the Energy output
Guarantee. The PBG amount will be based on the “Performance Ratio” based on the system
configuration selected. This PBG is offered and applicable only if Solar Semiconductor performs
the AMC contract for the project. The details of the PBG terms will be given in the Energy
Output Guarantee Document at the time of signing the contract.
