    Mr. Rakesh Malhotra (Founder):

    Rakesh studied to be an engineer and after a brief stint in the industry decided to become an entrepreneur

    who built Luminous Power Technologies from scratch. After selling it to Schneider Electric he decided to

    start all over again. He is incubating a number of new businesses Telecom, Water, Renewable Energy and

    logistics. He has also set up an India focused VC fund with an anchor investment commitment of USD 30

    million. He brings strong capabilities in technology, manufacturing, supply chain, distribution and brand

    development, besides a very deep understanding of entrepreneurial environment in the country.

    Mr. Navneet Kapoor (Chairman)

    Navneet after his engineering joined Rakesh Malhotra and together with him helped build Luminous Power

    Technologies. In the last 20 years he has across functional areas including procurement, supply chain,

    production, and project management and emerged as a powerful business leader.

    He is today working along with Rakesh Malhotra to take the SAR group to new heights.

    Mr. RS RAJAN

    With a career spanning 30 years Rajan has worked in the water, engineering and chemicals industry

    across sales operations, marketing and manufacturing. He has successfully built profitable businesses,

    created winning teams and mentored leaders in Eureka Forbes, Modi Group, ITC and Ion Exchange. He

    has successfully introduced and established brands such as Aquaguard, Zero-B, Indion, Hoover, Scotch

    Guard and Wills NBG. . He is a Bachelor of Science and a MBA in Marketing.

    Rahul Goel

    A seasoned professional with over 19 years of experience in Telecom and professional audio industry, he

    has an exemplary track record of building successful and professional brands like INQ Mobile Videocon,

    Sony Ericsson and Motorola. He has established sales organisations and conceptualized and executed

    multi0ple sales and retail management programs targeting both trade and consumers. Rahul has done

    MBA in sales and marketing and B.E in electronics & telecommunications.

    Atul Jalota

    Atul has 20 years of experience in Corporate Finance, Investment Banking and Operations. Atul was a co-

    founder of a software product company in the Telecom Billing Domain which grew to over 500 people and

    revenue of USD 30 Mil within 10 years of inception. Atul is a Chartered Accountant and has earlier worked

    with leading Indian business houses and a multi-national investment bank.

    OFFICE PROCEDURES

    Working Hours

    The normal working hours for employees shall be eight hours per day plus half an

    Hour lunch break.

    Corporate Office Timings

    Starting from 9:30 a:m with a provision of lunch break for half an hour.

    Working Days : All six days of the week

    Branch Office

    9.30 am to 6.00 pm

    Working Days : All six days of the Week

    Plants

    As per the Factory Act.

    Working Days : All six days of the Week

    Lunch Hours All locations

    Lunch break shall be of half hour duration.

    Slots:

    01.00 pm to 1.30 pm

    1.30 pm to 2.00 pm

    a) Public Holidays

    National & Festival Holidays to be observed by the Company.

  • b) Absence

    Employees are expected to be at work each day as per schedule. In case of sickness or an

    emergency, the manager concerned should be notified within two hours of starting time on that

    day. Continuous absence will lead to absence.

    c) Change of address and telephone

    All employees are expected to notify their Manager and the HR Department when there is a change

    in address or telephone number within two weeks of occurrence.

    d) Attendance

    All employees shall report for duty latest by the time mentioned in WORKING HOURS or as

    notified by the company from time to time.

    No employee should leave the office without permission or sanction of his/her immediate superior.

    However, under all circumstances the manager concerned should have approved the absence.

    Out-Door duty

    While going out of office on official work, an OD slip is to be filled in and got signed by the

    authority concerned and sent to the Front Office. In case the employee is detailed for out-door duty

    after the days work, then OD slip is to be submitted to the Front Office Executive on the day of

    return from OD.

    e) Probation

    All employees with Assistant Manager & below designation shall be on probation for a period of six

    months from the date of his/her joining duties. On completion of probation and subject to his/her

    performance being found satisfactory, employee shall be confirmed through a letter to this effect,

    issued by the Business/Head Human Resource.

    f) Retirement

    All employees shall retire on the attainment of 58 years unless specially required by the company

    in writing to continue in service beyond this age. The retirement would be effective from the last

    day of the month in which they complete 58 years of age.

    g) Notice Period

    During Probation

    The employee can leave service of the Company by giving any notice in writing or basic salary as

    notice pay in lieu thereof. Similarly, the Management may terminate the services of an employee

    by notice or (basic salary) in lieu thereof.

  • CODE OF CONDUCT

    1. All employees shall be at work in the establishment at the time fixed and notified by the

    management. An employee attending late shall be liable to be treated as absent.

    2. Any employee who has been on sick leave in cases of ailments exceeding three days leave shall

    resume duty only after he/she is declared fit by a medical practitioner.

    3. All employees are strongly encouraged to make a distinction between official company business

    and personal interests. For instance company material, equipment, tools, etc. are not for personal

    use.

    4. Employees should avoid actions which damage the reputation of the company.

    5. Whenever an employee is invited to deliver speeches and attend meetings in relation to his official

    duties, he should first take approval from the Management by making a written request to the

    Corporate HR.

    6. The SAR Group employees should avoid accepting gifts / favors in kind or cash from its Vendors /

    Associates / Service Providers etc.

    7. An employee is required to be conscious of time and cost issues and ensure no misuse of the same.

    8. The following acts and omissions on part of an employee shall amount to misconduct as per the

    standing orders/or otherwise :

    Willful insubordination or disobedience, Going on an illegal strike or abetting, aiding/instigating or acting in furtherance thereof, Willful slowing down in performance of work, Engaging in trade within the premises of the Establishment, Drunkenness or disorderly behaviour during working hours, Act subversive of discipline False claims/declarations (on non-compensation heads). Misuse of power / authority for personal gains. Taking out any property/document of outside the premises without prior approval of the

    competent authority.

    Guilty of sexual harassment as defined in, The Sexual Harassment of Women at Workplace (Prevention, Prohibition And Redressal) Act 2013.

  • 9 For misconduct committed by an employee, the Company shall inflict any of the following

    punishments:

    Warning Suspension Discharge Dismissal

    The rules applicable to the employee of SAR have been framed with a view to govern the terms and

    conditions of the employees consequently, they can be altered/amended/modified/cancelled or new rules

    added from time to time.

    DRESS CODE

    Our Company objective is to allow our employees to work comfortably in the workplace. Yet, we still need

    our employees to project a professional image for our customers, potential employees, and community

    visitors. Business casual dress is the standard for this dress code.

    Even in a business casual work environment, clothing should be ironed and never wrinkled. Torn, dirty, or

    frayed clothing is unacceptable. All seams must be finished. Any clothing that has words, terms, or

    pictures that may be offensive to other employees is unacceptable.

    The dress code Details and guidelines are mentioned below:

    Monday to Friday : Smart Formals

    Saturday : Smart Casuals

    WOMEN

    A formal suit, Smart pants, Saree is most appropriate.

    Accessories should be kept simple. Basic jewelry and makeup help to present a professional look.

    MEN

    Smart Shirt and pant.

    Solid colors and tighter woven fabrics are safer than bold prints or patterns.

    Wear polished shoes.

    Other Guidelines:

    Neatly trimmed hair

    Conservative makeup

    No runs in stockings

    No missing buttons, crooked ties

    Your appearance should enhance your presentation, not overwhelm it.

  • LEAVE RULES

    Leaves shall be determined for the calendar Year (Jan to Dec).

    National Holiday-3, Festival-7

    a) Casual Leave (8)-:

    Maximum of two casual leave can be availed at a time. Unutilized casual leaves shall lapse at the

    end of the year. Casual leave cannot be clubbed with any other type of Leaves. Casual leave shall

    be credited at the beginning of the calendar year. In case an employee takes casual leaves on

    suffix and prefix of any weekly off / paid Holiday, it shall be counted as casual leave. Half day

    casual leave shall be sanctioned in case of emergency. CL Shall not be encashed in any case

    b) Sick Leave(10)-:

    Sick leave of more than two days shall be allowed on submission of medical certificate of a

    Registered Medical Practitioner. The Company reserves the right to get the employee examined by

    its own physician to verify the Medical Certificate /Report submitted by the employee. All

    Holidays/Weekly offs falling between shall not be counted as sick leaves. Sick Leave shall be

    credited at the beginning of the year. Sick leaves shall not be enchased in any case. Unavailed sick

    leave will be accumulated and carried forward to next year and can be accumulated to a maximum

    of 30 (Thirty) days.

    c) Earn Leave(18):

    EL can be availed in maximum of three parts in a year on prorated basis and each part should not

    be less than 3 days. Sanctioning of leaves shall be at the discretion of Departmental Head. Un-

    availed leave can be accumulated to a maximum of 180 days. The EL over and above 60 days can

    be encashed at the end of each calendar year. The employees not opting for encashment at the

    year-end can accumulate ELs up to 180 days. The ELs over and above 180 days, shall lapse

    automatically. The intervening weekly off shall not be counted as EL. If an employee leaves the

    services of the Organization by way of superannuating or resignation or termination, the Un-

    availed Earned Leave shall be encashed.

    d) Short Leave-:

    Authorized absence from work for duration of up to 2 hours shall be construed as short leave.

    Short leave is permissible for a maximum of 2 occasions in a calendar month. The short leave will

    be approved by the respective Head of department.

  • Leave Without Pay

    Leave without pay may be allowed only in case of emergency, but at the sole discretion of the

    management. Employees going on such leave shall have to produce sufficient proof acceptable to

    their respective head. All Holidays/ Weekly off falling in between the leave without pay period shall

    be counted as leave without pay.

    Maternity Leave

    All female employees after have worked with the Organization for a Minimum of 12

    months will be entitled to avail Maternity of 90 days with full pay. Maternity Leave can be claimed

    once during the tenure of service with SAR Group. Maternity leave and benefit shall be granted as per

    the Maternity Benefit Act to women employees not covered under ESI Act. For women employees

    covered under ESI Act, the maternity leave and benefit shall be granted as per the provisions of the

    ESI Act. For both the cases, leave is allowed for a maximum of 12 weeks. In addition, the leave can

    be extended up to a maximum of 30 days for sickness/illness related with pregnancy, subject to

    attending Doctors certification. Employee will have to apply in advance for grant of maternity leave.

    Leave while on probation

    On probation only 6 CL Leaves will be applicable for 6 months.

    Paternity Leave

    Paternity leave of 7 days shall be granted to the male employees blessed with a child subject to

    production of documentary evidence of his wifes delivery. Intervening weekly off is included.

    Procedure:

    a. All employee willing to take leave shall apply in writing in the prescribed format with complete

    details i.e. nature of leave; contact address during the leave period along with contact telephone

    number (if any) etc., to his/her departmental head

    b. For taking earned leave for more than 15 days prior information in advance by 10 days is

    required before proceeding on leave

    c. For casual leave and sick leave, an employee has to intimate Front Office and /or his

    departmental head of his/her illness/casual work not later than 11 AM, telephonically or by any

    other means convenient to him. He/She, however immediately on reporting for duty shall submit

    the prescribed leave application form duly authorized to HR Department for getting the leave

    regularized.

    d. The Employee after getting his /her leave approved shall give the application to the HR

    department for marking in the relevant registers and records In the absence of approved leave the

    HR Department shall treat the period of absent leave without pay.

  • BIRTHDAY POLICY

    Objective:

    The policy is framed to extend best wishes and facilitate enjoyment on the occasion of an employees

    birthday

    Eligibility: All employees on the roll of the Company.

    Entitlement: Half day special leave on the birthday.

    Procedure:

    Corporate shall hand over/Send a birthday card/Chocolate along with a rose bud to the employee on his/ her birthday.

    A cake along with high tea will be arranged once a month (Preferably Third Saturday) to celebrate the birthdays of all employees falling within that month.

  • MEDICLAIM AND PERSONAL ACCIDENTAL INSURANCE

    Mediclaim policy:

    The medical coverage is done by ICICI Lombard for all the employees including their families (Please note

    family includes Self, spouse and children).The scheme covers:

    (Family Floater) : The details of the coverage is as under:

    Upto Manager: Rs.1 Lac

    Sr. Manager to DGM: Rs.2Lac

    GM and above: Rs.5 Lac

    The Mediclaim cards (Cashless cards) along with the list of Hospitals will be sent to the employee

    thereafter.

    The employees covered under ESI Act will not be eligible for Group Mediclaim Insurance

    Personal Accidental Insurance:

    All the employees are covered under the bracket of Rs.3 Lacs for accidental insurance.

    The employees covered under the ESIC shall be eligible for Group Personal Accident Insurance.
