V. Cooperative Development Authority

VI. SEC REGISTRATION REQUIREMENTS
COMPANY REGISTRATION MADE SIMPLE
Through the Company Registration System (CRS), you may now register your business anytime, anywhere, sans the travel and the long queues. You only need to go out of your home/ office to submit the originally signed documentary requirements, and to claim your Certificate Registration in the SEC Office.
1. CREATE AN ACCOUNT. Click sign up and enter the information required: Basic Information, Address, Contact Details, TIN, and Company Information. Provide a valid e-mail address, which you will use to log in to your account, and to which all communications in relation to your registration will be sent. Check your e mail-and click on the link provided to activate and log in to your account. 2. SELECT APPLICATION TYPE. From a dropdown list, click on the service or type of application you wish to avail:

3. VERIFY NAME. From a dropdown list, select the type of company you wish to register: Stock Corporation, Non-Stock Corporation, Foreign Stock Corporation, Foreign High-Stock Corporation, General Partnership, Limited Partnership, or Professional Partnership. Make sure you choose the correct Company Type, as the dropdown list choices for the Section, and Subclass are all dependent on your selection. Enter the proposed company name. Please be guided by SEC Memorandum Circular (MC) No. 21, s. 2013. Omnibus Guidelines and Procedures on the Use of Corporate and Partnership Names. Initially, the system will let you know whether the proposed name is still available for use or not. If the name is still available, enter the trade name/s, if preferred, then click Validate. If the system confirms that the proposed trade name is still available, Click Add. Select which office will process your application: Main Office, Satellite Office, or Extension Office, then click Next. Submit your application for further evaluation and final approval. You will then receive an e-mail notification of the proposed names approval or disapproval. In case the proposed names were disapproved, you may now file your appeal using the CRS. Note: You must accomplish Steps 2 and 3 in four days, otherwise, your application will expire, and the reserved name may be used again by the public.
4. ADD COMPANY DETAILS. Fill up the following forms to generate your By-Laws (BL), Articles of Partnership (AP) and other company registration documents:

Read the Registration Guidelines, the Re-strictions applicable to your application, and the list of documents to be submitted. In-Form

Carefully review and confirm the company details you entered. A payment assessment will appear to inform you of the amount that you will appear to inform you of the amount that you need to pay. Click next then download, and print the system-generated AI or AP, and BL, then confirm your registration summary.
5. UPLOAD DOCUMENTS. Upload the unsigned system-generated AI or AP, and BL, together with the other requirements (1.e. Treasurer’s Affidavit, Cover Sheet, etc.). The forms may be downloaded from the SEC website (www.sec.gov.ph) under Forms and Fees. Submit forms and wait for an e-mail notification of either the payment procedure or the list of documents for compliance. If there are still requirements for compliance, you will need to go back to step 4. Note: You must accomplish Steps 4 and 5 in thirty days, otherwise, your application will expire, and the reserved name may be used again by the public.
6. PAY THE ASSESSED FEES. Once the payment advice was received, print the Order of Payment attached in the e-mail (except when paying online through the Landbank ePayment). Log in to yours CRS account, choose a payment method and pay the corresponding fees and chargesat any of the following:

7. UPLOAD PROOF OF PAYMENT. After payment upload the official receipt/proof of payment, with the signed and notarized AI or AP, BL, and other documentary requirements. Wait for an e-mail notification of when the original documents should be submitted. If there are still documents, you will need to submit for compliance, you will also be notified. Submit the documents needed and wait for an e-mail notification of when you can submit the original documents.
8. SUBMIT THE ORIGINAL DOCUMENTS. Once you received the email notification advising you to submit the original signed and notarized AI or AP, BL, and other documentary requirements, proceed to the Company Registration and Monitoring Department, G/F Secretariat Bldg., PICC Complex, Pasay City.
9. CLAIM THE CERTIFICATE OF REGISTRATION. Once verified that the original documents you submitted are complete and in order, you may claim on the same day the Certificate of Incorporation with the other submitted documents; and the Unified Registration Records (URR), bearing the Employer’s Registration Numbers issued by the SSS, Pag-IBIG, and Philhealth, and company TIN issued by the BIR.

National Incentives for Information & Communication Technology Enterprises
The business process outsourcing (BPO) and information technology-enabled services (ITES) sectors fall under the government’s Investment Priorities Plan, a list of promoted areas of investments issued annually by the Board on Investments (BOI) under the Department of Trade and Industry (DTI). As such, investors in the local information and communications technology (ICT) industry enjoy fiscal incentives such as income-tax holidays, exemption from taxes and duties on spare parts, additional deductions from taxable income, and exemption from wharfage dues and export taxes, duties, imposts and fees. The government’s investment policies likewise provide non-fiscal incentives to ICT investors, which include employment of foreign nationals in supervisory, technical, or advisory positions; simplified customs procedures; and duty free importation of consigned equipment.
The Philippine Economic Zone Authority (PEZA, www.peza.gov.ph) is a government corporation set up to oversee the promotion of world-class economic zones (ecozones) and the establishment of ready-to-occupy locations for foreign investments. The agency has put in place additional incentives for ecozones locators and IT investors, developers, and operators.
For ecozone developers and operators, the following incentives are available:
- Income-tax holiday- Incentives under the Build-operate-Transfer Law (BOT Law), including government support for
accessing official development assistance and other sources of financing- Vital off-site infrastructure facilities- Option to pay a special 5% gross income tax, in lieu of all national and local taxes- Permanent resident status for foreign nationals- Assistance in the promotion of economic zones to local and foreign locator enterprises
For ecozone and IT locators, the following incentives are offered;
- Income-tax holiday or a four-year exemption from corporate income tax, extendable up to eight years, with the
option to pay a special 5% tax on gross income in lieu of all national and local taxes after the tax holiday
- Exemption from duties and taxes on imported capital equipment, spare parts, supplies, raw materials
- Domestic sales allowance equivalent to 30% of total sales- Exemption from wharfage dues and export taxes, imposts, and fees- Permanent resident status for foreign investors and immediate family members- Employment of foreign nationals- Simplified import and export procedures- Either incentives under Executive Order 226 (Omnibus Investment Code of 1987), as may be
