AppendixA–GovernanceProposalsThisyearatNationalCouncil,thereisaseriesofrulechangesproposedtorestructuretheScoutGroupCouncilinordertocomplywiththeCharitieslegislationinboththeRepublicofIrelandandNorthernIreland.TheScoutGroupistheprimaryleveloforganisationofScoutinginIreland.ItiswheretheYouthProgrammeisdeliveredtoouryouthmembers.RegisteringScoutGroupsasCharitiesensuresthattheScoutGroupremainsincontrolofitsownactivitiesandfinances.TheregistrationprocessrequiresaconstitutiondocumentfortheCharityandtheidentificationofCharityTrustees.CurrentlyScoutGroupsareorganisedundertheScoutingIrelandConstitutionandRules.AstheConstitutionandRulesalsocontainsmuchdetailaboutotherpartsofScoutingIreland,aseparateconstitutiondocumenthadtobecreatedforScoutGroupstoregisterasCharities.AllofthereferencestotheScoutGroupintheConstitutionandRulesdocumentwererepeatedinaseparateconstitutiondocumentforusebyScoutGroups.Suchwasthemoststraightforwardwaytoproceed.However,itwasalsoclearthattheexistingmanagementstructuresofourScoutGroupswouldposeproblemsandimposealevelofunnecessaryriskonthosevolunteersleadingourScoutGroups.ThemanagementstructureofourScoutGroupsisbothsimpleandunusual.TheScoutGroupCouncilisthebodychargedwiththemanagementoftheadministrationoftheScoutGroup.Itistheonlybodyinvolved.Itreportstoitself!ItisalsoaverylargebodyandwhiletherearesomepermanentmembersoftheScoutGroupCouncilsuchasforexample,theGroupLeaderandtheGroupTrainertherearealsoseveralnonpermanentmemberssuchasScoutersfromaProgrammeSectionoryouthrepresentativesneitherofwhichisnecessarilythesameindividualfrommeetingtomeeting.TheCharitieslegislationinbothjurisdictionsrequireseveryCharitytohaveCharityTrustees.ThelegislationimposesspecificdutiesonCharityTrusteesandtherearesanctions,whichcanbeimposedonanyCharityTrusteewhofailstocarryouthisorherduties.TheCharityTrusteeshavecollectiveresponsibilityforthewellbeingoftheCharityandtoensurethattheCharitycomplieswiththelaw.ItisthereforeimportantthatthosemembersofScoutingIrelandinourScoutGroupswhohavebeenfixedwiththeresponsibilityofbeingCharityTrusteesareawareofwhotheirfellowCharityTrusteesare.ItisalsoimportantthatthosewhobecomeinvolvedinsomeformwithaCharitydonotfindthemselvesinaposition,whichmakesthemdefactoCharityTrustees(orbeingaCharityTrusteewithoutknowingitbecauseofwhattheydoforaCharity).TherearemanydifferentsolutionstothedevelopmentofamanagementstructureforourScoutGroups,whichfacilitatesaneffectivebutinclusiveadministrationfromaProgrammeSectionandayouthinvolvementaspectwhilemeetingtherequirementsimposedontheScoutGroupbyCharitylegislation.LastyeartheNationalManagementCommitteetookfirststepsinthedevelopmentofaconsultationprocess,whichwoulddesignamodernmanagementstructureforScoutGroups,whichwouldincludealltheprinciples,whichScoutingIrelandanditsScoutGroupsregardasfundamental.Thatprocessiscontinuing.ThenewdesignmustofcourseattendtotheobligationsimposedbythelawbutitmustalsobeeffectiveandsufficientlyflexibleforScoutGroupsofdifferentsizesindifferentcommunities.TheregistrationofourScoutGroupsasCharitiesisuponus(indeeditiswelladvancedinNorthernIreland).AnimmediatesolutioninvolvestheamendmentofthemanagementstructuresofourScoutGroupstointroduceanAnnualGeneralMeetingatwhichthememberoftheScoutGroupCouncilarenominated/electedandthereductionofthesizeoftheScoutGroupCouncil(allmembersofwhichwillbeCharityTrusteeswithoutexception).

Thisnewstructurecanintimebereplacedupontheconclusionoftheextensiveconsultationprocessforthedesignofanewmodernmanagementstructure.ButintheinterimitwillfacilitateastructurewhichmeetstherequirementsofthelegislationandwhichprotectsourmembersbyhavingaclearlydefinedScoutGroupCouncil(theGroupLeader,Chairperson,Secretary,Treasurer,QM/Bo’sunandupto2othersappointedbytheAGM).ThosemembersoftheCouncilwillunderstandtheirresponsibilitiesasCharityTrustees.ItwillalsoprotectothersintheScoutGroupbecausethestructureswillclearlyindicatethattheydonothavetheresponsibilityandtheyshouldnotfallintothetrapofbeingadefactoCharityTrusteeprovidedtheyobservethestructures.Clauses6.4and6.5oftheGroupConstitutiondocumentprovidesforsomeflexibilityforeachScoutGroupinthedevelopmentofitsownstructuresbeneaththeScoutGroup.TheNationalManagementCommitteehasproposedaGroupLifedocument.InthedesignofthesestructurestheScoutGroupmusttakecarenottodisrupttheresponsibilityoftheScoutGroupCouncilasCharityTrustees.SuchwouldnotonlyposelegalrisksforthemembersoftheScoutGroupCouncilbutwouldalsocreaterisksforthoseinvolvedinthebody/committee/forumwhichtheScoutGroupcreated.ThedocumentrelatingtoScoutGroupLifesetsoutoptionsforsubcommittees,forumsandteamsthatoperatewithintheScoutGroup.ScoutGroupshavetochooseforthemselvestheoptionthatsuitstheminorderforGroupLifetoworkeffectively.ThereisflexibilitywithintheseoptionsfortheGroupitselftomakechoicesthatbestsuititsowncircumstances.ItiscertainthatthestructureoftheScoutGroupcannotremainasitis.Thatcreateslegalriskforallinvolved.TheproposedstructureisminimalistintermsofchangeandpermitsasignificantdegreeofflexibilityuntiltheprocessofdesigninganewmanagementstructurewhichScoutGroupsfeelcanbeeffectiveinmeetingtheirnewlegalresponsibilitiesandeffectiveintheirdeliveryofyouthprogrammetotheyouthmembersintheircharge.

AppendixB–OtherCompaniesTrustCompanies(TheScoutFoundation,ScoutAssociationofIrelandTrustCorporationLimited,ScoutingTrustPropertyLimited)Articles41j.and53arebeingamendedtoreflectthefactthattherearecurrently3TrustCompaniesandnotTheScoutFoundationalone.Articles41k.and55oftheConstitutionprovidedfortheinclusionontheagendaoftheNationalCounciloftheappointmentofmembersanddirectorstoTheScoutFoundation.Legallythiswasincorrect.ItisnotlegallypossibleforScoutingIrelandtoappointmembersanddirectorstotheCompanybutsince2004ithasbeeninterpretedbyallconcernedthatScoutingIrelandwouldnominateindividualsforappointmentbyTheScoutFoundation.TheScoutFoundation(andindeedalloftheTrustCompaniesare)isacompanylimitedbyguarantee.Currentlythesameindividualsserveasmembersofthecompanyanddirectorsofthecompany.FollowingagovernancereviewoftheTrustCompanies(includingTheScoutFoundation)theBoardsoftheTrustCompaniesconcludedthatitwouldbepreferabletocreateadistinctionbetweenthemembersofthecompanyandthedirectorsoftheCompany.ThemembersoftheCompanywouldattendtheAnnualGeneralMeetingsoftheTrustCompanies,approvetheAnnualReportsandappointDirectorstotheBoard.Whiletheroleofthememberisimportantitisinvariablynottimeconsuming(meetingsoftheAGMoftheTrustCompaniesrarelylastmorethan10minutes!).AmechanismforthegenerationofmembersoftheTrustCompanieshadtobedevised.ItwasresolvedthatthemembersoftheCompanywouldbeindividualswhohadservedfulltermsasNationalOfficersormembersoftheNationalTeamforPolicyImplementationandCo-ordination.SuchamechanismwouldgeneratenewmembersautomaticallywhileensuringthatthesenewmemberswereindividualswhohadbeenelectedbytheNationalCounciltohighofficeinScoutingIreland.TheproposalwasconsideredbytheNationalManagementCommitteewhoagreedthatthegovernancechangewasinaccordancewithbestpracticeandbestservedtheinterestsoftheAssociationintheTrustCompanies.AccordinglytheNationalManagementCommitteeproposestheamendmenttotheConstitutiontoreflectthechangeswhichhavealreadybeenimplementedbytheTrustCompaniestoensurethattheConstitutionaccuratelyreflectswhatexists.Article54oftheConstitutionisproposedtobedeletedasitisastatementoffactonly.ItissuperfluousandtheNationalManagementCommitteeproposesitsdeletionaspartofaprogrammetotidyuptheConstitution.IrishScoutingFoundationFurthertoameetingoftheBoardofDirectorsoftheIrishScoutingFellowshipon18thAugust(Minutesattached)theBoardresolvedtorecommendthattheCompanybewounddowninanorderlymanner.ThereasonforthisisthattheCompanyremainsinactive,andthatScoutingIrelandServicescanbeusedforfundraisinginitiatives,andhasbeengrantedpermissionbyRevenuetooperatetheDonationsschemeundertheprovisionsofSection848AandSchedule26ATaxesConsolidationAct(TCA)1997.TheBoardalsonotedthatRevenuehaswrittentotheCompanyon3separateoccasionsinrelationtothecharitabletaxexemptionitenjoys,andnotedthatitwouldseekanupdateinrelationtoitsactivitiesinOctober2016.TheBoardfeelthatthereisapotentialforreputationaldamagetoScoutingIrelandifRevenuerescindthecharitabletaxexemptionforthisCompany.TheBoardhaverequestedtheNMCtoconsidertheimplicationsfromaScoutingIrelandperspective.TheBoardnotedthatitwouldappearfromScoutingIreland’sRule179thattheCompanymustremaininexistence,andtheBoardareseekingclarificationinrelationtothis,andifsowhatadviseScoutingIrelandcanprovidesothattheCompanycanbewounddown.
