1. I am an Assistant Vice President, Operations Team Manager, employed byBank of America, N,A. (*BANA"). The information contained in this declaration is true and
correct to the best of my knowledge, information and belief, and if called to testify regarding
the matters addressed herein, I could and would competently do so based on my personal
knowledge of the business records of BANA.
2. From my general job duties, I am familiar with the ordinary and customary
method and manner of the preparation and maintenance of BANA's business records' I am
able to make this declaration based on my review of BANA's business records. I have
reviewed the business records of BANA relating to the loan described below, and I am able to
make this declaration based on my review.
3. In the ordinary course of its business, BANA maintains a record of all loan
contracts and agreements serviced by BANA (and its predecessors) on behalf of lenders and
beneficiaries, including promissory notes and associated documents pertaining to the
origination of the loan. BANA also maintains records related to servicing such loans' Such
records are made at or near the time of the acts or events recorded by a person with
knowledge of the events contained therein, The exhibits hereto are business records of
BANA.
4. The loan at issue in the Complaint ("Loan") was issued to Jacob D. Bradburn
("Borrower") by Homestar Lending on or about December 14, 2005, to finance real property
located at 4819 i 3 6th Place NE, Marysville, Washington 9827 1 (the "Property
original principal amount of the Loan was $200,900.

iequirements sit forth-herein. This approval is granted a{e1a thorough evaluation-of the
application, other materials you have supplied, ãnd other information available to the OCC'

The Merger
BANA is a national banking association insured by the Federal Deposit Insuranee Corporation
fnOlC'), and is a direct;ñolly-owned subsidiary of Ba1 of America Corporation, a financial
ùolding **p*y headquartereä in Charloue, North Carolina. PACFIL is a Texas limÏtcd
partneiship ti,at is an inàirect wholly-owned subsidiary of BAIA. BACHL's primary activity is
I"*iring åf residential morrgage loans. The activitiei of BACHL are permìssible activities for a
nationaibank under l2 U.S.C.¡ 24(seventh). See also 12 CFR 5.34(e)(5)(v)(D)'
BANA requests approval, pursuant to 1 2 U.S.C. $21 5a-3, to mglge BACHL with and into
BANA. Under 12 U.s.c: ö zl su-r and 12 c.F.R. g 5.33(exa)(i), approval of a merger betweenan insured national bank aid a non-bank afiìliate, including a subsidiary, is permitted, provided
that the law of the state under which the non-bank affìliate is organized allows the non-bank
affiliate to engage in such mergers. Texas law authorizes Texas tîmited parmerships to merge

with foreign.corporations, including national banks, with the foreign corporation æ the survivingcorporation. '
Under 12 C.F.R. g 5.33(g)(a), in determining whettrer to approve the merger, the OCC shall also
consider the purpose ofthetransaction, its impact on the safety and soundncss ofthe bank' and
any effect on ttt" bank's çustomers. We considered these factors and found them consistent with
approval under thc statutory conditions.
The Bank Merger Act
Under the Bank Merger Act ("Act")2, no in^sured bank is permitted to merge with an uninsured
bank or instit¡tion without FDIC approval.3 BANA has applied to the FDIC for approval of the
morger as required under the Aú Consequently, themerger cannot be consummated unless and
until the FDIC approves the transaction.
Section 1818 Condition
This approval is subject to the following condition:
BANA's Board of Directors and management shall take all steps necessary to ensure that
the commitments a¡d representations sit forth in the letters dated June 10, 201I and June
24,2011, from Phillip Wtttt, Associate General Counsel to David Reilly, Large Bank
Licensing Lead Expert are firity adopted timely implemented, and adhered to thereafrer.
This condition of approval is a condition "imposed in writing by a Federal banking ageney in
connection with any action on any application, notice, or other requesf'withillhe meaning ofl2 u.s.c, $ 1s18. As such, ttre cóndition is enforceable under l2 u.s.c. $ 1818.
Conclusion
Based upon the information provided by BANA, including various representations, the merger of
BANA and BACHL is legaliy authorized under 12 U.S.C. $ 2l5a'3 and 12 C.F.R. $ 5.33(gXÐ'
provided the appticant reãeiväs approval from the FDIC under the Act and any othor applicable
approvals, non-objections and waivers.
