PETITION

The humble petition of Bank Muamalat Malaysia berhad showeth as follows :-

L. KONG SUN ENTERPRISE SDN BHD (hereinafter called "the company")

was on the 8.7.1981- incorporated under the Companies Act 1965.

A copy of the Companies Commission of Malaysia [SSM) search for the

said company is annexed herewith and marked as Exhibit "A".

2. The registered office of the company is at No" BB, falan Anggerik 1",

Taman Kulai Utama, 81000 Kulai fohor.

3. The nominal capital of the company is RM4,000,000.00 divided into

shares of RM1.00 each. The amount of capital paid up or credited as

paid up is RM4,000,000.00.

4. The objects for which the company was established are, inter alia, as

follows:-

To purchase for investment or resale, and to traffic in land and

house and other property of any tenure and any interest therein,

and to create, sell and deal in freehold and leasehold around

rents and to make advances, upon the security of land or house,

or other property, or any interest therein, and generally to deal

in traffic by way of sale, lease, exchange or otherwise with land

and house property and any other property whether real of

personal, and to purchase and sell for any persons freehold or

other house property, buildings or lands, or any share or shares,

interest or interests therein, and to transact on commission or

otherwise the general business of land agent.

To carry on the business of property developers and building

contractors to erect and construct houses, buildings, or works of

every description on any land of the Company, or upon any other

lands or property, and to convert and appropriate any such land

into and for roads, streets, squares, gardens and pleasure

grounds and other conveniences and generally to deal with and

improve of the Company.

(c) To purchase, take on lease, hire or otherwise acquire for

purposes or investment in Malaysia or elsewhere any real or

personal property or any rights or interest therein which the

Company may think necessary of convenient and in particular

any lands, plantations, estates houses, buildings, flats, factories,

warehouse, plant, machinery, patents, concessions, trademarks,

trade names, copyrights, licences, stocks, material of property of

any description, and to work, use, maintain and improve, let,

surrender, mortgage, charge, vary or dispose of the same or any

other property of the Company, including in respect of any

patent of patent rights belonging to the Company, the grant of

licences of authorities to any person, corporation, or company to

work the same.

To purchase take on lease or otherwise howsoever acquire and

to obtain or grant options over traffic and otherwise deal in or

turn to account, sell, grant leases and tenancies of lands, houses,

buildings, easements, rights, privileges, concessions and

immovable property of any description or tenure whatsoever in

any part of the world and every manner of right or interest

therein.

5. The said company is indebted to the humble Petitioner the sum of

RM36,259,L62.46 comprising of the followings :-

(hereinafter referred to as "the said judgment sum") pursuant to the

judgment of the Kuala l,umpur High Court Suit No: 22A-93-2009 dated

09.02.20t2. A copy of the Judgment is annexed herewith and marked

as Exhibit "B".

6. The Petitioner's solicitors have issued and served personally a Section

2lB(1,) (e) of the Companies Act 1965 [hereinafter referred as "the said

2l-B Notice"J dated 22.03.2012 to the said company at it's registered

address at No.BB, |alan Anggerik L, Taman Kuali Utama, Kulai, 81000

]ohor on the 23.02.2012 and one of the officer the company has

acknowledged the receipt of the said notice. The Petitioner's solicitors

have also served personally the said Section 218 Notice onto the

Company at its business address at No. 2A & 6, falan Suria 19, Taman

Putera,81100 fohor Bahru on the 1,2.4.20L2 and one of the officer of

the company has acknowledged'receipt of the said Notice.

A copy of the said Sectio n 21,8 Notice is annexed herein collectively and

marked as Exhibit "C".

A copy of the Statutory Declaration by the process server of the

Petitioner Solicitors is annexed herer,r,ith and marked as Exhibit "D".

7. To date, the said company has failed, neglected and/or refused to pay

the said judgment sum or any part thereof to the Petitioner.

B. The Company is therefore, unable to pay its debts.

9. The Company is also commercially insolvent and therefore unable to

pay its debts.

10. In the circumstances, it is just and equitable that the Company should

be wound up.

LL. Your Petitioner, therefore, humbly prays as follows :-

a. that Kong Sun Enterprise Sdn Bhd be wound up by the

Honourable Court under Section 2lB(7) (e) of the Companies

Act 1965;

b. Official Receiver be appointed as liquidator of the Company;

c. that the Petitioner be allowed costs of and incidental to the

winding-up which is to be taxed by an officer of the Court and

paid out of the assets of the Company; and

d. that such other order may be made in the premises as the court

shall deem just.
