EINLEITUNG

Terms and Conditions for Participation
Definition
DEInternational is the pavilion organizer of the pavilion at a trade
fair which provides booths for participants to display their products
Application Form is the form which should be filled in and submitted
to DEinternational
Information Sheet is the sheet which includes the information about
the trade fair which is provided by DEinternational to the Participant
at Energy Taiwan.
Participant: is the legal person whose application is confirmed by
DEInternational according to Article 3 whereupon the contract with
DEInternational is concluded and a down payment invoice, or an
invoice of the full amount is issued to.
Scope
When signing the related Application Form, the Participants agree to
follow these Terms and Conditions for Participation. These Terms and
Conditions for Participation are to be read in conjunction with the
Information Sheet and the Application Form. In the event of incon-
sistency, the Terms and Conditions of Participation take precedence
to the extent of any inconsistency.
The Participant shall comply with the terms and conditions of the
respective trade fair organizer attached to these Terms and Condi-
tions. Violations of the Terms and Conditions can result, by discretion
of DEinternational and/or the respective trade fair organizer, in the
exclusion of the offending party whose damage claim, if any, will be
rejected.
Confirmation of Application
Once the Participant has signed and submitted the Application Form
in hard copy, fax copy or in an electronic version and DEinternational
has confirmed the application in writing (including e-mail and fax
copy), the contract will be established and come into effect. The
Participant shall be liable for consequences arising through the
inaccurate, incomplete or incorrect completion of the Application
Form.
If DEinternational refuses approval to a Participant, there is no
concluded Agreement. If DEinternational refuses approval to a
Participant, DEinternational will notify the Participant in writing
within a reasonable time period. DEinternational reserves the sole
discretion as to whether to accept an application and the Participant
agrees and accepts that DEinternational’s decision is final and not
subject to challenge. DEinternational is not required to provide
reasons for refusal of an application.
Participation Fee
The participation fee and the down payment is as set out in the
Information Sheet/Application Form and is indicative only and
subject to currency rate variations. The Participant acknowledges and
agrees that the participation fee, when calculated in Taiwan Dollar
(TWD) at the time of invoicing, may increase from the amount set out
in the Event Brochure and/or DEinternational’s Application Form
Notwithstanding this potential variation, the Participant agrees to
pay partial participation fee as the down payment in TWD as invoiced
and any increase when calculated in TWD remains the sole responsi-
bility of the Participant.
Arising bank charges shall be borne by the Participant.
Payment
Upon issuance of the confirmation, DEinternational shall provide the
Participant with an invoice for the down payment which must be
paid by the date stated in that invoice. In case that the Participant
fails to pay the down payment by the due date, the application will
be deemed to be withdrawn by the Participant and DEinternational
shall be entitled to resell the exhibition booth at its sole discretion
applying the criteria of the initial decision for application confirma-
tion, according to Art. 3.
If the down payment has been made to the account given in the
invoice, exhibition booth will be allocated. After booth allocation,
DEinternational will provide the Participant with a confirmation of
booth allocation and an invoice for the remaining participation fee
which must be paid by the date specified in that invoice.
At the time when the application is confirmed by DEinternational
pursuant to Article 3, a Participant may request one invoice for the
full amount rather than pay a down payment followed by the re-
maining amount.
Once DEinternational has received payment of the participation fee
in full, the Participant’s place at the trade fair is secured. DEinterna-
tional will issue a triplicate uniform invoice for those Participants
with an establishment in Taiwan and send it by registered mail to the
Participant.
If the Application Form is submitted after the application period has
expired but is confirmed by DEinternational afterward, DEinterna-
tional shall provide the Participant with an invoice for the full
amount of participation fee. In this case, the exhibition booth will not
be allocated and secured unless the full participation fee is paid duly
to the account given in the invoice.
If the Participant fails to pay the participation fee in full by the date
specified in the invoice, DEinternational may decide at its sole discre-
tion to cancel the Participant’s application and re-allocate the booth
to other Participants. In that instance, the down payment paid by the
Participant who is in default of payment will be forfeited as part of a
compensation and no refund will be made.
Event Booth
DEinternational will, at its sole discretion, determine the number and
location of the booths assigned within the Pavilion to each Partici-
pant and adjust registered square meters in accordance with the
nature of the exhibits and/or in the manner it deems appropriate,
considering the design and limitations of the venue and any other
special circumstances that may arise. DEinternational is not obliged
to make any changes to its allocation of the booth and positions,
except at its discretion. DEinternational reserves the right to rear-
range the allocation of the booth and amend booth or position at its
discretion. In addition, DEinternational is entitled to reassign booth
space which differs from the ordered booth space if such is necessary
and can be reasonably expected of the Participant. The difference
shall be considered to be reasonable unless the Participant immedi-
ately rejects such difference. Upon the booth is rearranged, DEinter-
national will provide to the Participant an updated information about
the new location at the booth.
DEinternational will allocate a booth space consistent with the
description contained in the Information Sheet and/or Application
Form. It reserves the right to determine the visual elements of that
space and to limit the use of extra furnishing deemed inappropriate
or unsuitable to the overall aesthetics of the pavilion. The Participant
shall not assign, sub-let or apportion the whole or any part of the
assigned space or have representatives, equipment, or materials from
firms other than his own in the exhibit booth.
Construction/Decoration/Removal of Stand
All Participants ought to comply with all the regulations according to
the exhibitor’s manual (provided by the respective trade fair organiz-
ers) and complete their construction and/or decoration by the date
and time stipulated by DEinternational.
The Participants are responsible for the transport and storage of
exhibits, use of lifting and transport equipment, employment of staff
for packing and unpacking, permanent supervision and cleanliness of
their booth space, setup of exhibits and their disassembly as well as
repacking. Participants must remove all exhibits from the exhibition
hall within the move-out period stipulated by the trade fair organiz-
ers. Participants will be held responsible for any loss or damage to
the exhibition organizers or DEinternational due to neglect of these
responsibilities set forth herein.
Insurance
The Participant is responsible for taking out appropriate insurance to
cover risks which may arise due to the Participant’s involvement in
the event, specially but not limited to the risk of transport from and
to the trade center.
Adherence to Copyright and Patent Laws
The display of products which infringe others’ intellectual property
right is strictly prohibited. To safeguard intellectual property rights, it
is strictly forbidden to display products infringing the patent rights,
trademarks, copyrights and business secrets of others.
Prohibition of Sales
On-the-spot sales are prohibited.
Changes to Event
DEinternational will endeavor to ensure that the event proceeds in
accordance with the details in the Information Sheet/Application
Form. DEinternational is entitled to make necessary changes to the
event time and venue at any time without prior notice to the Partici-
pant if those changes are due to circumstances that DEinternational
is not responsible for. If DEinternational is responsible for those
circumstances, changes can only be made by prior consent with the
Participant. In this case DEinternational will send a request in writing
to the Participant as soon as practicable. If DEinternational cancel or
postpones the event, due to circumstances that DEinternational is
not responsible for, especially due to an inadequate number of
Participants, the Participant acknowledges and agrees that DEinter-
national will not be liable to pay compensation, damages or costs to
the Participant in respect of the cancellation or postponement of the
event.
Withdrawal
If a Participant wishes to withdraw from the event, written notice
must be given to DEinternational. Upon withdrawal after the applica-
tion has been confirmed, the paid down payment will not be refund-
ed. Upon withdrawal after booth allocation, the paid participation fee
will not be refunded. If a Participant withdraws from the event,
DEinternational will not be liable for any loss or damage the Partici-
pant may incur as a consequence of the withdrawal.
Liability and Termination Rights
DEinternational reserves the right to suspend or terminate services
under this Agreement at its sole discretion and without liability if it
considers there to be a breach of any local or foreign law. DEinterna-
tional excludes its liability for slightly negligent breaches of duty,
insofar as these do not concern essential contractual obligations,
damages from injury to life, body or health or guarantees. The same
applies to breaches of duty by our vicarious agents.
Force majeure
No party will be liable in damages or have the right to terminate this
contract for any delay or default in performance if such delay or
default is caused by conditions beyond that party's control including,
but not limited to acts of God or government restrictions, wars,
insurrections, natural disasters, such as earthquakes, hurricanes or
floods and/or any other cause beyond the reasonable control of the
party whose performance is affected. In all such circumstances
DEinternational shall be entitled to retain the participation fee paid
by the Participant.
Variation
A provision of this contract can only be varied by a later written
document executed by or on behalf of DEinternational and the
Participant. The same applies to the cancellation or variation of this
clause.
Applicable law / Jurisdiction
The Terms and Conditions are governed by and to be construed in
accordance with the laws of the Republic of China (Taiwan), under
exclusion of the conflict laws. The English version of all contractual
documents shall prevail. The exclusive jurisdiction for any disputes
arising from out of or in connection with this Agreement which the
parties cannot settle amicably shall be where DEinternational is
registered, International Trade Bldg., 19F-10 No. 333, Keelung Rd.,
Sec. 1 Taipei 11012, Taiwan.
Severability:
If any term, condition, provision or covenant contained in this
Agreement is determined to be illegal, void, prohibited, invalid or
otherwise unenforceable, it will be severed from these Terms and
Conditions and the remaining terms and conditions will survive and
remain in full force and effect.
Heading:
Headings are inserted for the convenience of the parties and for the
purpose of interpreting this contract. Words in the singular mean and
include the plural and vice versa.
