We are very pleased to report that DENTSPLY enjoyed another

year of record sales and earnings coupled with strong cash flow

performance. Net sales increased 8.1% to an all time high of

$1.69 billion in 2004 compared with $1.57 billion reported for

2003. Revenue growth in our major markets was stable during

the year and sales growth was enhanced by currency translation,

as the U.S. dollar continued to weaken against most foreign currencies throughout the year.

Net income for 2004 was $253.2 million or $3.09 per diluted share which includes a $.53 per diluted share

net gain primarily from the sale of the Company’s Gendex equipment business completed in February 2004.

Income from continuing operations for 2004 was $210.3 million ($2.56 per diluted share), an impressive 21.3%

increase in diluted earnings per share from continuing operations for the year, compared with $169.9 million ($2.11

per diluted share) for 2003.

During 2004 DENTSPLY generated $306.2 million of operating cash flow, another record for the Company and

an 18.6% increase over 2003. We have continued to strengthen the Company’s capital structure by improving the

balance sheet following the completion of several large acquisitions in 2001. The significant improvements realized

over the past three years have positioned us to once again concentrate on the myriad opportunities for acquisition

that exist in the highly fragmented professional dental products market.

Along with benefiting from a favorable product mix, as we launched new products, we also continued to benefit

from operating improvements in 2004. In the first quarter the Company completed the relocation of our distribution

center in Europe from the Netherlands to Radolfzell, Germany, near our European consumable facility’s headquarters

in Konstanz. The new distribution facility warehouses over 10,000 different items and encompasses approximately

100,000 square feet designed for maximum operational efficiency. Wireless technology speeds order processing

and an advanced warehouse management system controls the flow and automated conveying of product and shipment

cartons through the facility. Operational savings, improved deliveries, and customer service levels throughout the

European Community have been achieved as a result of this relocation.

The Company completed the consolidation of its U.S. laboratory franchise in the second quarter. This included

the successful integration of three businesses into one division, DENTSPLY Prosthetics. Divisional headquarters

were consolidated at York, Pennsylvania, including distribution, finance, sales, marketing and general management.

locations. This integration supported

increased service levels and lower

inventories. In turn, the merger supported

sales growth efforts through the restructuring

of the sales organizations under common

sales management. Research and

development gains were also achieved

with the blending of ceramic and polymer

research activities. The Company continues

to see opportunities to grow earnings

through combining resources and lowering costs such as we attained with this consolidation.

DENTSPLY is synonymous with leadership on many fronts, including bringing forth new technologies that have

exciting opportunities for application in the dental field. We have taken a lead role in developing these technologies

through internal R&D activities, acquisitions, and in concert with several highly regarded world class research

concerns. These actions are detailed throughout this report.

Our substantial investment in research and development results in the successful introduction of over 20 new

products on an annual basis. As a result, DENTSPLY is well known and well regarded in the industry for bringing

advanced technology to dentistry through product introductions that either satisfy unmet market needs or improve

the productivity of the dental office or dental laboratory. A sampling of the well-accepted products we brought to

market in 2004 is also included elsewhere in this report.

We reflect upon our accomplishments in 2004 with great pride and look to the future with confidence. In doing

so, we gratefully acknowledge the hard work and dedication put forth by our global workforce of 7,600 associates.

Their efforts, along with the strong support of our Board of Directors, will guarantee that DENTSPLY remains the

dental industry leader for the foreseeable future.

DENTSPLY has been a recognized leader in the dental industry

for decades. That leadership takes various forms, including

breadth of product offerings, product innovations, global reach,

size, and clinical education programs. The Company is the

largest manufacturer of professional

dental products in the world, nearly three

times the size of its nearest competitor.

Geographically, DENTSPLY manufacturing

and administrative facilities are now found

in 33 countries on six continents and our

products are sold in over 120 countries

around the globe. Over 150,000 dental

professionals attend a Company clinical

education program each year somewhere

in the world and our now global Student

Clinician Programs are conducted in

cooperation with 34 national dental

associations. Today, nearly half of our revenues come from product categories in which

we did not participate ten years ago. These include anesthetics, bone grafting, implants,

endodontics, orthodontics, and precious metals. DENTSPLY enjoys

a leading market position in many of the product categories in

which it competes and our current arsenal of products and brand

names has never been more powerful. But the future of dentistry is

expected to be far different from what we know today. An increased

emphasis on pharmacology in the curriculum is predicted, along

with the application of biomimetics and nanotechnology to dentistry.

The advances that will mark the profession’s future in the 21st Century are likely to be as

dramatic as those that preceded them in the last century. DENTSPLY intends to take a

leadership role in that future by laying the groundwork today through our investment in

exciting new technologies that will play a pivotal role in the practice of dentistry tomorrow.

More than 50% of all dental restorations today are repairs of previously placed fillings,

indicating a strong market need for a dental filling material that performs more satisfactorily.

The major reason for the failure of existing dental materials is secondary caries that develop

due to the access of bacteria at the interface of the restoration and the tooth. DENTSPLY

recently completed a comprehensive licensing agreement with

Doxa AB to develop and commercialize products within the

dental field based upon Doxa’s bioactive ceramic technology.

The novel technology was originally developed in Sweden in

cooperation with the Department of Engineering Sciences at the

University of Uppsala’s world-renowned

Ångström Laboratory. Doxa, a Swedish

biomaterial technology company also

located in Uppsala, is an ideal business

partner for DENTSPLY. They have since

undertaken significant work to advance

the unique calcium aluminate hydrate and

bioactive ceramic technology to the point where physical properties and product handling

and delivery are supportive of its use in dentistry. The Doxa technology is designed to

induce chemical integration between the bioactive ceramic material and dentition or bone

structure. The bioactive calcium aluminate induces the formation of

a substance similar to hydroxyapatite, the main mineral component

of teeth. This leads over time to micro structural integration with

dentin, enamel and bone, providing a long lasting marginal seal.

With virtually no microleakage at the interface with tooth structure,

it will provide a breakthrough platform for the introduction of new

and advanced restorative dental materials and cements and may

also have application for improved dental implant surface coatings and endodontic root canal

filling materials. Our market leadership, global strength and strategic focus uniquely position

the Company to successfully bring this new technology to market.

DENTSPLY also recently announced that

it had acquired the rights to a unique

compound called SATIF from the Sanofi-

Aventis Group, the leading European

pharmaceutical company and third largest

in the world. SATIF is an exclusive

Titanium-Fluoride derivative. It has demon-

strated in studies the ability to protect the

tooth surface that could be of particular

value in preventive and aesthetic dentistry

applications. We believe the potential

applications from this new technology

could be seen as a significant innovation in

oral healthcare, similar to the discovery of

the benefits of fluoride. In addition to the

advantages of enhanced fluoride uptake,

the SATIF compound forms a thick and

durable protective glaze on the teeth. This

glaze renders the teeth more acid-resistant

and offers enhanced protection against the

onset of caries. It may also desensitize

exposed dentin by sealing exposed dentinal tubules. This may then protect susceptible teeth

against root surface caries. A recent study conducted in the United States by the National

Institute for Dental and Craniofacial Research (NIDCR) showed that over half of older adults

have decayed or filled root surfaces. With the marked increase in older adults in the developed

world, the SATIF compound may also help to keep root caries from emerging as one of

the most significant oral health problems among these elderly populations during the next

decade. We believe both the Doxa technology and the acquisition of the SATIF compound

are excellent examples of the progress made by our Office of Advanced Technology in their

efforts to locate and acquire new technologies with potential applications in dentistry. They

underscore our commitment to taking an active role in the future of dentistry by providing

leading edge products meeting real market needs.

DENTSPLY has also joined forces with the Georgia Institute of Technology’s Dental

Technology Center (DenTeC) to partner on several innovative research projects. DenTeC

is a non-profit, multi-disciplinary research center focused on advancing dental science and

technology. They bring engineering expertise to dentistry by integrating engineering and

dental science to introduce new products and technology for

dentistry via research, testing and education. The center will

pursue dentistry-related research in nanotechnology, photonics

and optics, imaging, rapid prototyping, material development

and testing, tissue-material interface evaluation and software

and hardware development. DenTeC’s

partnership with the Company will

provide impetus to several projects with

exciting market potential. These include

diagnostic devices and the application

of electromagnetic energy to selectively

destroy the bacteria responsible for tooth

decay, along with the development of alternative techniques for the delivery of restorative

materials and dental therapeutics. Each of these developments represents several real

world innovations needed in dentistry. While alternative delivery systems hold promise

for reduced chair time and higher quality

restorations, a strong need exists for

improved diagnostic methods. Similarly,

a viable technique for the destruction

of s. mutans would be a major oral

healthcare advance.

The DENTSPLY Pharmaceutical Manufacturing Center is an integrated dental cartridge

manufacturing and laboratory facility. Products will be provided here for the Company’s

worldwide markets, including sterile dental cartridges and ultimately other pharmaceutical

products such as ORAQIX (Lidocaine and Prilocaine Periodontal Gel), our revolutionary

new needle free local dental anesthetic. The year 2004 was

a major transitional year for this facility with the completion

of construction. The engineering systems of the plant were

commissioned and validated to meet regulatory requirements

for the United States, as well as the European Union, Canada,

Japan and Asia. A world-class, high-speed

cartridge filling line will ultimately have

capacity for the production of approxi-

mately 250 million cartridges per year,

making this plant one of the largest

facilities of its kind in the world. State

of the art chemistry and microbiology

laboratories were also established and completed methods transfer testing. Stability batches

for markets in the United States, the United Kingdom, Canada, Australia, Ireland and New

Zealand were manufactured. The completion of this initial phase of our pharmaceutical

manufacturing has led to the subsequent filing of marketing

authorizations for approval in the United Kingdom, Australia and

New Zealand. The DENTSPLY Pharmaceutical Manufacturing

Center was inspected by the United Kingdom’s Medicines and

Healthcare Products Regulatory Agency (MHRA) for approval to

manufacture drug products for that nation. The Good Manufacturing

Practices certificate, when issued by the MHRA, will be accepted

by other regulatory agencies in Australia, Canada, New Zealand and Ireland.
