I, David S. Gingras declare as follows:

1. My name is David Gingras. I am a United States citizen, a resident of the

State of Arizona, am over the age of 18 years, and if called to testify in court or other

proceeding I could and would give the following testimony which is based upon my own

personal knowledge unless otherwise stated.

2. I am an attorney licensed to practice law in the States of Arizona and

California, I am an active member in good standing with the State Bars of Arizona and

California and I am admitted to practice and in good standing with the United States

District Court for the District of Arizona and the United States District Court for the

Northern, Central, and Eastern Districts of California.

3. I represent Plaintiff XCENTRIC VENTURES, LLC (“Xcentric”) in this

matter and I have possession of Xcentric’s files relating to this matter which I have

personally reviewed and with which I am personally familiar.

4. In early 2011, I am aware that Xcentric determined that large quantities of

copyrighted material located on its website www.RipoffReport.com had been copied and

reposted on a website located at www.ScamInformer.com. In an effort to remedy this

infringement, on April 14 and again on April 19, I sent several (three) separate take-down

notices to non-party Google, Inc., pursuant to the Digital Millennium Copyright Act, 17

U.S.C. § 512, et seq. (the “DCMA”). Copies of these notices are attached hereto as

Exhibit A.

5. After requesting some additional information and clarification, on May 11

2011, Google responded to me via email by stating that it had substantially complied with

Xcentric’s notices by disabling access to the infringing pages located on the Scam

Informer site that were identified in Xcentric’s take-down notice. A copy of Google’s

email to me is attached hereto as Exhibit B.

6. Shortly thereafter, on May 24, 2011, Google contacted me again via email

and stated that pursuant to 17 U.S.C. § 512(g)(3), it had received a DMCA counter-notice

from Defendant Karsen. However, Google inadvertently failed to provide me with the

actual counter-notice, so I requested a copy and they provided it later that same day

Karsen, are attached hereto as Exhibit C.

7. Initially, it was unclear whether the counter-notice provided by Defendant

Karsen to Google contained each of the statutory elements required by the DMCA. As

such, on May 24, 2011 I sent an email to Google seeking clarification. A copy of my

email to Google is attached hereto as Exhibit D.

8. Later on May, 24, 2011, Google sent a response which stated, “Thank you

for your note. Our webform can be a bit hard to decipher.” This email included a second

copy of the counter-notice from Defendant Karsen, both of which are attached hereto as

To be as transparent as possible, we want to explain a few of the fields on the counter

notification form whose purpose might not be that obvious.

The two fields that say agree and agree1 “checked” mean that the user who submitted

the counter complaint agrees with these statements1. “I consent to the jurisdiction of Federal District Court for the judicial district in

which I reside (or the Northern District of California if my address is outside of the

United States), and that I will accept service of process from the person who provided

notification under subsection (c)(1)(C) or an agent of such person.”

2. “I swear, under penalty of perjury, that I have a good faith belief that the content

identified above was removed or disabled as a result of a mistake or misidentification

of the material to be removed or disabled, or that the material identified by the

complainant has been removed or disabled and will no longer be shown.”

The clarifications field is where the counter complainant provides justification for thereinstatement of their URL to web search results.

Exhibit E. In the second version of the counter-notice, Google provided an introductory

statement explaining how to interpret the information contained in the counter-notice:

9. Based on Google’s determination that Defendant Karsen had submitted a

valid DMCA counter-notice (including affirmatively agreeing to accept service of

process and to be subject to jurisdiction in the United States), Xcentric commenced this

action two days later on May 26, 2011 and provided notice to Google that same day

which included copies of the Complaint and Summons issued to Defendant Karsen. A

copy of Xcentric’s notice to Google is attached hereto as Exhibit F.

10. A few days later, on June 8, 2011, Google sent yet another email stating

“We have received a query from the counter complainant in this case (counter complaint

attached) requesting copies of the relevant court documents.” Copies of Google’s email

and the “counter complaint” from Defendant Karsen are attached hereto as Exhibit G

However, as before, Google did not provide any contact information for Defendant

Karsen other than an address purportedly located in St. Petersburg, Russia.

11. Based on this, on June 8, 2011 I again requested clarification from Google

which included a request for Google to provide the email address it was using to

communicate with Defendant Karsen. A copy of my email to Google is attached hereto

as Exhibit H.

12. Later on June 8, 2011, I received a response from Google which stated,

among other things, “For clarification, we received subsequent communication from the

counter complainant requesting the court documents. We have provided the documents

to the counter complainant at [email protected].” A copy of the email from

Google is attached hereto as Exhibit I.

13. A few days later, on June 13, 2011, I received an email which appeared to

be directly from Defendant Karsen although the email address used

[email protected] – was not the same address provided to me by Google. This

email purported to include a brief entitled “Complaint Opposiotion [sic]” which

contained various arguments contesting the claims presented by Xcentric in this matter

The email from Defendant Karsen further stated “We are not familiar with US legal

system, so our opposition must be attached with all your fillings. If the copy of the

opposition needs to be sent to the court or any other instances, please let us know.”

Copies of the June 13, 2011 email from Defendant Karsen and the brief attached to that

email are attached hereto as Exhibit J.

14. Immediately upon receiving the email from Defendant Karsen, on June 13,

2011 I responded with additional copies of the Complaint, Summons, and a Waiver of

Service form which I included as an additional precaution despite the fact that I believed

that Defendant Karsen had already agreed to voluntarily accept service of process in this

matter. A copy of my email to Defendant Karsen is attached as Exhibit K.

15. That same day – June 13, 2011 – I also sent a package via Federal Express

to the Russian address listed on the counter-notice provided by Defendant Karsen. The

package included a cover letter and copies of the Complaint, Summons, two copies of the

Waiver of Summons form, various other pleadings, and a return envelope for the Waiver

of Summons form. A copy of my cover letter is attached hereto as Exhibit L, and the

FedEx Air Waybill (tracking #8747 3209 2775) is attached hereto as Exhibit M.

16. The next day, on June 14, 2011, I received another email from Defendant

Karsen (again written in English) apparently attempting to revoke its representations to

Google regarding its submission to jurisdiction in the United States and its willingness to

accept service of process. A copy of this email is attached hereto as Exhibit N.

17. On June 22, 2011, I visited FedEx’s website in order to track the status of

the package I sent to Russia. According to FedEx’s website, as of June 22, the package

was delivered to the Russian address provided in Defendant Karsen’s DMCA counter-

notice, but this address is “incorrect”. A copy of the tracking information provided by

FedEx is attached hereto as Exhibit O. A representative of FedEx subsequently contacted

me by phone on June 22, 2011 and informed me that the “the business listed on the

waybill was not located at the address provided”.

18. When Xcentric first learned of the infringing material located on the Scam

Informer website, I attempted to determine the identity of the site’s owner/operator

Upon reviewing the website, I determined that the site contains no physical address or

contact information of any kind. The only manner in which a person could attempt to

reach the operator of the site was via an online form which provides no information

regarding the location of the site’s owner.

19. As a further effort to locate the owner of the site, I performed a “WHOIS”

search via www.whois.net. When I originally performed this search in April 2011 and

again in June 2011, both results were the same for the registrant of

www.scaminformer.com; the registrant was listed as PrivacyProtect.org and the only

address given was a PO Box located in Queensland, Australia with a note stating, “Note -

All Postal Mails Rejected, visit Privacyprotect.org.” A copy of the WHOIS search results

for this site are attached hereto as Exhibit P.

20. Based on previous experience, I am aware that sites such as

PrivacyProtect.org offer “private domain registration” services which attempt to conceal

the true identity of a website’s owner. Not surprisingly, the PrivacyProtect.org website

also lacks any physical address and, in fact, the website states: “We DO NOT accept

Postal mails. All postal mails sent to our PO Box address are rejected.”

21. The PrivacyProtect.org site offers an online form to report abuse by any of

its customers. According to this form, the site will “reveal the actual contact information

of the owner where appropriate.” In April 2011, I submitted a complaint to

PrivacyProtect.org regarding the infringing actions of www.scaminformer.com. I

received no response of any kind from PrivacyProtect.org to this complaint.

Pursuant to 28 U.S.C. § 1746, I declare under penalty of perjury under the laws of the

United States of America that the foregoing is true and correct.

Thanks for re-sending this. Upon review, it is clear that the document you sent is

NOT a valid counter-notice and, as such, it does not provide a lawful basis for

Google to restore the material at issue.

As you are aware, pursuant to 17 U.S.C. § 512(g)(3), in order to be valid a counter-

notice must include all of the following:

(3) Contents of counter notification.--To be effective under this subsection, a counter notificationmust be a written communication provided to the service provider's designated agent that includessubstantially the following:

(A) A physical or electronic signature of the subscriber.

(B) Identification of the material that has been removed or to which access has been disabled and thelocation at which the material appeared before it was removed or access to it was disabled.

(C) A statement under penalty of perjury that the subscriber has a good faith belief that the materialwas removed or disabled as a result of mistake or misidentification of the material to be removed or disabled.

(D) The subscriber's name, address, and telephone number, and a statement that the subscriber

consents to the jurisdiction of Federal District Court for the judicial district in which the address islocated, or if the subscriber's address is outside of the United States, for any judicial district in whichthe service provider may be found, and that the subscriber will accept service of process from the person who provided notification under subsection (c)(1)(C) or an agent of such person.

Here, the purported counter-notice is patently deficient in that it does not contain

a physical or electronic signature, does not contain a statement under penalty of

perjury that the subscriber had a good faith belief that the material was removed as

a result of a mistake or misidentification, and, most importantly, the counter-

notice does not contain a statement that the subscriber consents to jurisdiction in

an appropriate district and that the subscriber will accept service of process.

Compliance with these requirements is essential here because in the event Googleexpresses an intent to restore the material at issue, Ripoff Report will immediately

commence litigation against the person/company who owns the infringing website.

Because this person alleges they are located in Russia, it is crucial that they

confirm that they will accept service of process as required by 17 U.S.C. § 512(g)

(3)(D). Standing alone, their failure to do so clearly renders their counter-notice

void as a matter of law.

Because the counter-notice does not include all of the mandatory requirements of 17

U.S.C. § 512(g)(3), please confirm that Google will NOT honor the counter-notice.

coverage on the internet, it is common for many consumers to author and publish their

respective complaints on multiple forums such as ScamInformer.com. However, rather than

manually type the exact same complaint numerous times on different websites, consumers

generally will type a complaint on one website and then copy and paste it onto other

complaint forums. Attached hereto as Exhibit “A” and incorporated herein by reference are

true and correct copies of snapshots of posts found on RIP-OFF REPORT that were

subsequently copied and pasted on other website forums such as FACEBOOK and YAHOO

FINANCE. For the ease of the Court, on each page showing a copied post, we indicate at

the top of the page which website the post appears and the following page shows the post as

found on the originating website. Each unique report page includes a legend identifying the

exact date/time the report was posted, and the exact web address where the report is located,

and information identifying Plaintiff as the owner of the exclusive license to the report and

marked in yellow color. Logically FACEBOOK and YAHOO FINANCE have stolen

“content” from Rip-off Report website. Thus they are in copyright violation. This is an

absurd, as they would never willfully take any content from other website. In copying and

pasting their own posts, some consumers are not careful to exclude the identifying

information of the first website. For example, a number of consumers will post a complaint

on RIP-OFF REPORT website and will copy and paste it onto other websites without

removing RIP-OFF REPORT identifying information.

3. ScamInformer.com is a free to use website. We do not offer any paid services and do not

use any advertisement on the website. Other words, there is completely no commercial or

financial gain from ScamInformer.com. Which proves, that the main purpose of RIP-OFF

REPORT is to shut ScamInformer.com down, as an obstacle in their well-known in the

internet “money extortion program”. Which they use to extort money from companies for

removing negative reviews about them.

4. Every single page of ScamInformer.com has “Contact Us” link, which is often used by the

website users and companies to contact the administrators of the ScamInformer.com. RIP-

OFF REPORT, neither XCENTRIC VENTURES, LLC have never contacted

ScamInformer.com about the material in question. RIP-OFF REPORT is trying to get a

default judgment by suing other small websites, which cannot afford to hire an attorney in

US and are not familiar with US laws.

5. The material in question has been posted by the third parties, thus the plaintiff does not

hold the exclusive copyright to the material in question, is not the designated representative

of the copyright holder, and therefore lacks standing to assert that our use of the material is

a violation of any of the owner's rights.

6. If the author post content on both websites, he or she gives a license to each website to use

his or her copyrighted work. Just because he or she may have posted it on one of the

websites first, does not give that website an exclusive license to the post.

7. Shortly after we were notified about the bogus lawsuit, ScamInformer.com removed from

its website all material that could be in copyright violation, as well as RIP-OFF REPORT”

mark and the “DON’T LET THEM GET AWAY WITH IT” mark.

8. The statutory damages mentioned in INJUNCTIVE RELIEF are ridiculous and mockery at

the same time. And completely baseless and unfounded. As the entire flimsy lawsuit.

For the reasons set forth above, the Court must reject Plaintiff’s complaint and dismiss the

lawsuit.
