Invitation for RFP offers

J&K Bank (‘the Bank’ for short) invites sealed offers (Eligibility, Technical and Commercial) from eligible, reputed service providers, hereinafter called as “SP’s” or “SP” ,for offering colocation and hosting Data Centre facility in and around NCR-Delhi more fully described in this document, for the Bank's Data Centre. The details are given below:

Opening of Eligibility offers

Eligibility offers received by the Bank will be opened in presence of Service Providers’ representatives who choose to remain present at the opening of RFP Offers on the date and time specified above. Only the Service Providers who have submitted their offer in response to this RFP are permitted to attend the opening.

It is essential that all clarifications / queries, if any, be submitted to the Bank at least 15 days before the last date for receipt of offers.

Technical Specifications, Terms and Conditions and various formats and proforma for submitting the RFP offer are described in the RFP document and its Annexures.

EMD and RFP Cost must accompany the original Eligibility offer as specified in this RFP document. Offers received without EMD or RFP cost will be rejected.

Instructions to Service Providers

Three copies of offers (Eligibility, Technical & Commercial) must be submitted at the same time, giving full particulars in Six separate sealed envelopes at the Bank’s address given below, on or before 17.00 hours on 20-July-2012

Offers received after the last date and time specified for such receipt will be rejected. It should be clearly noted that the Bank has no obligation to accept or act on any reason for a late submitted response to this RFP. The Bank has no liability to any person who lodges a late RFP response for any reason whatsoever.

All the Six separate sealed envelopes containing offers must be submitted to the Bank directly as under:

All the Six envelopes must be super scribed with the following information:

All envelopes should be securely sealed and stamped. The envelopes containing the Duplicate Offer must be identical in all respects to the Original offer submitted to the Bank, and must contain all the above information specified.

2. Schedule of requirements and Project scope

This RFP comprises of following schedule.

Providing the required space, in a Tier III Compliant or Higher Data Centre, to colocate the IT infrastructure of the Bank's Data Centre with all the facilities as per specification given in this RFP Document.

Background & Desired Objective

The Bank is currently having its existing Data Centre facility with the necessary infrastructure being managed by the Bank itself. The Bank wants to locate the Data Centre Infrastructure at a Managed Service Centre owned and maintained by third party Service Provider. For this purpose, the Bank wants to engage a Service Provider for providing a Tier III Compliant [or higher] Data Centre infrastructure to colocate the Bank's IT infrastructure in and around NCR-Delhi.

The Bank will at no point bear any additional cost for colocation and hosting Data Centre facility that “SP” may have to incur

on account of repair, upgrade, power, capacity enhancement etc. to support Bank’s equipment’s unless the Bank requests for any additional space or power requirements or brings in additional major equipment’s that would impact the infrastructure allocated to the Bank by “SP” for the period of the contract. The list of the facilities / requirements is listed in Annexure N and Annexure I along with the requirements mentioned here under:

The “SP” has to factor in the infrastructure for the Bank’s requirement. The Bank will not accept any plea from the “SP” for any additional costs.

The service provider is expected to factor the power cost escalation by including margin (%age to be specified) on the base cost incurred by the “SP” on procurement of power in the commercial bid quoted.

Provide all necessary infrastructure components that would be necessary as per the defined requirements; manage and maintain the same throughout the period of the contract.

The “SP” has to ensure that the desired objective of hosting the Bank’s IT infrastructure is completely met. The bidder must be the owner of the proposed Managed Data Centre facility provided to the Bank or in case of leased

premises, an unexpired lease period must be for a minimum period of 20 years from the RFP Response due date.

Brief scope of the Services:

The service provider has to provide sufficient space to colocate the Bank's IT infrastructure and colocated site should be located in or around NCR-Delhi.

The collocated site should be at least a Tier III Compliant [or higher] Data Center. The “SP” is also expected to provide sufficient power, electrical connections, air conditioning, backup power through

UPS and Generator, telecom facilities (As part of telecom facility “SP” is expected to provide necessary junction box / space in the telecom room for multiplexer/s and other equipment’s.), surveillance, access control system, fire suppression system, physical security as applicable for Data Center and as required for the proposed equipment on 24 x 7 basis, in order to maintain uptime of all such facilities as per SLA.

“SP” shall also be responsible for LAN cabling between server room area offered to the Bank and seating space area at the collocated site, extending link from “SP” communication room to server cage area offered to the Bank as per Banks requirement.

The site offered for colocation and hosting the Data Centre should conform to the minimum specifications as set out in the detailed requirement in Annexure N of this RFP and compliance should be provided as per Annexure I.

The “SP” is expected to maintain & manage the collocated site.

3. Eligibility/ Qualification Criteria

Only such Service Providers who meet all the qualifications mentioned in “Eligibility / Qualification Criteria” of the RFP, are eligible to participate in the RFP.

4. Terms and Conditions

The Terms and conditions for Service Providers who participate in this RFP are specified in the section named “Terms and Conditions” (Annexure A). These terms and conditions are binding on all the Service Providers. These terms and conditions will also form part of the purchase order, to be issued to the successful Service Provider on the outcome of the RFP process.

5. Offer validity Period

The offer should hold good for a period of 180 days from the date of the opening of commercial offer.

6. Proposal Ownership

The proposal and all supporting documentation submitted by the Service Provider shall become the property of the Bank.

7. Address for Communication

8. Modification and Withdrawal of Offers

Service Providers are not allowed to modify their offers once submitted. However, Service Providers are allowed to withdraw their offers any time before the last date and time specified for receipt of offers.

9. Opening of Eligibility Offers

Eligibility Offers received [along with Technical & Commercial Offers as specified in this RFP Document] within the prescribed closing date and time will be opened in the presence of “SP’s” representatives who choose to remain present at the opening of the offer on the date and time specified in this RFP document or any other date which is convenient to the Bank. The Service Providers’ representatives present shall sign a register of attendance.

10. Preliminary Scrutiny

Offers from Service Providers not meeting the eligibility criteria will be rejected. The Bank will scrutinize the offers received to determine whether they are complete and as per RFP requirement, whether any errors have been made in the offer, whether technical documentation as asked for and required to evaluate the offer has been submitted, whether the documents have been properly signed and whether items are offered as per the RFP requirements.

11. Clarification of Offers

To assist in the scrutiny, evaluation and comparison of offers, the Bank may, at its discretion, ask some or all Service Providers for clarifications on the offer made by them. The request for such clarifications and the Service Provider’s response will necessarily be in writing.

12. No Commitment to Accept Lowest or Any Offer

The Bank shall be under no obligation to accept the lowest or any other offer received in response to this RFP and reserves its right to reject any or all the offers without assigning any reason whatsoever.

13. Documentation

The “SP” shall provide all the necessary documents in respect of compliance to eligibility, certifications and technical requirements. The credentials claimed in the offer will not be considered during evaluation of the Offer, if they are not supported by the relevant document / proof authenticated by the Issuer of such documents, certificates, Work Orders etc., The “SP” should avoid submission of mail communications and submit only the authenticated copies of the Orders, certifications etc.

14. Submission of Technical Details

The “SP” shall provide all the necessary information required in terms of the Annexure G, Annexure I and Annexure N. In case of any details, documents, certifications etc., are submitted in the eligibility offer and in case they are to be referred in the Technical offer, the “SP” should clearly state that the referenced documents and other credentials are attached in the other offer with the details of pages numbers etc. In case of elaboration, additional documents may be enclosed with the Technical Offer for further evaluation. However, the “SP” should take sufficient care to enclose the document pertaining to eligibility are submitted with Eligibility Offer only.

15. Format of Eligibility Offer

The Eligibility Offer should be made in a structured and neat manner along with necessary documents and should also be properly paginated. The Eligibility Offer should include the following in the same Order.

Cost of RFP Document Cost of EMD Covering letter certifying Eligibility criteria compliance. Duly filled up Annexure E & E1 – Eligibility criteria compliance Supporting credential letters or copies of documentation from clients or system integrators certifying compliance. Copies of Financial Details (audited Balance Sheets & Profit and Loss account etc.)

16. Format for Technical Offer

The Technical Offer should be made in an organized, structured and neat manner along with Brochures/leaflets etc., which should not be submitted in loose form and should also be properly paginated.

The Service Provider shall provide information on the acceptance of the terms exactly as per the Annexure C1.

Comments in the Deviation Column of Technical details & Annexure I are permitted only if answer in the compliance column is shown 'No', otherwise it will be construed as complied as per the requirements of Bank. Please note that specifying deviation elsewhere in the offer document will not be considered. If there is any deviation the same should be mentioned in the Technical offer with compliance column clearly marked as 'No'. Similarly compliance of Terms and Conditions of the RFP should be clearly stated in the Compliance Table [Annexure C1] itself and should not be covered elsewhere in the offer document. If so, such deviations will not be considered and it will be construed as complied as per the requirement specified in the RFP.

The suggested format for submission of Technical Offer is as follows:

1 Index 2 Covering letter. This should be as per Annexure C. 3 Terms and Conditions Compliance Table in the format mentioned in Annexure C1. The table suggested in Annexure C1 must cover Service Provider’s response to all the terms and conditions specified in the offer document. 4 Details of the Service Provider and the details of the Site Offered, as per Annexure D. 5 Technical Offer as per specifications as given in Annexure I, complete with all columns duly filled and pages properly numbered should be bound in such a way that the sections of the proposal could be removed and separated easily. 6 Additional technical details as per Annexure G 7 Technical Documentation (Certifications, manuals etc.). An index of technical documentation submitted with the offer must be enclosed. 8 Track record of installation as per Annexure F.

17. Format for Commercial Offer

The Commercial Offer must not contradict the technical offer in any manner. The Commercial Offer should not contain anything other than specified in the Annexure H – Part 1 & 2. More particularly, statement or request for deviation in either Technical specifications or Terms & Conditions specified in the RFP should not form part of Commercial Offer. In case if any commercial offers contain such requests or submissions the offer will be summarily rejected without any further process or communication in this regard. Any commercial offer, which is conditional and /or qualified or subjected to suggestions, will also be summarily rejected.

The suggested format for submission of Commercial offer is as follows:

1 Index 2 Covering letter 3 Commercial Version of Bill of Materials and Price Schedule (as per Annexure H Part 1 & Part 2 Commercial). 4 A statement that the Service Provider is agreeable to the Payment schedule given in the RFP. 5 All these should be properly paginated.

18. Erasures or Alterations

The offers containing erasures or alterations will not be considered. There should be no handwritten material, corrections or alterations in the offer. Technical details must be completely filled in. Correct technical information of the product being offered must be filled in. Filling up of the information using terms such as “OK”, “accepted”, “noted”, “as given in brochure” is not acceptable. The Bank may treat such offers as not adhering to the RFP guidelines and as unacceptable.

19. Alternative offers

Each offer should preferably specify a single colocation and hosting site location, which is cost effective and meeting the RFP specifications, and does not include any alternatives. The Service Provider desirous of offering the Bank two or more alternatives of colocation and hosting site should submit separate Offer for each alternative. Each offer/alternative offer should be complete in all respects and should not make cross reference to details given in other offer/alternative offer. Every such alternative Offer should accompany separate EMD & RFP Cost.

Offers made without E.M.D & RFP cost will be rejected.

In case, more than one alternative offer of colocation and hosting site locations are submitted with only one EMD & RFP Cost, then the Bank will consider the first offer for evaluation and subsequent offers will not be evaluated at any cost.

20. Locations of Infrastructure

The location of the colocation and hosting of the IT infrastructure of the Bank will be in and around NCR-Delhi.

21. Costs & Currency

The offer must be made in Indian Rupees only as per Annexure H (Part 01 & Part 02)

22. Fixed Price

The Commercial Offer shall be on a fixed price basis for every term of 5 years, inclusive of all taxes, duties and levies, but exclusive of Service Tax, if any which shall be paid on actuals.

23. Price Comparison

The Bank will consider the Total Cost of Hosting Services for 20 years for the purpose of price comparisons.

24. Shortlisting of Service Providers

The Bank will prepare a shortlist of “SP” on the basis of Eligibility Offer and will open the technical offers for evaluation received from the shortlisted SPs only. Thereafter the Bank will prepare a further shortlist of SPs on the basis of technical offer/ site inspection and the commercial offers of technically shortlisted Service Providers will be opened. The Bank will intimate the date and time of opening of Commercial Offers to the Service Providers whose offer is found technically in line with the RFP requirements.

25. Evaluation Process

The competitive bids shall comprise of the following:

Eligibility Bid

Eligibility criterion for the service providers to qualify this stage is clearly mentioned in Annexure E & E1–Eligibility criterion compliance to this document. Service providers who meet these criteria would only qualify for the second stage of evaluation. The service provider would also need to provide supporting documents for eligibility proof. All the credentials of the service provider necessarily need to be relevant to the Indian market. The relevant submissions, along with supporting documents, to be submitted by the Bidder in the Eligibility Bid.

The decision of the Bank shall be final and binding on all the bidders to this document. The Bank may accept or reject an offer without assigning any reason whatsoever.

Technical Evaluation Criterion

The technical evaluation criterion would broadly involve the following major areas:

• Compliance to Technical specifications / requirements as given in Annexure I Technical requirement

• The Bank may call for presentation, giving 3 days’ notice and conduct physical inspection of the site offered, either at the time of technical evaluation or at any time before opening commercial bids to satisfy itself about the capabilities of the “SP”, features of colocation site, facilities actually available etc. The Bank reserves the right, depending upon the necessity or circumstances, to call the “SP” to present the capabilities for one or more occasions, to give additional time slot for presentation, to seek clarifications, to demonstrate the capabilities enumerated in the offer. In case, the “SP”, when called for, does not come with presentation or does not turn up for presentation or does not provide access for physical inspection of the site by the Bank’s representative / consultants, it will be construed that “SP” is not interested in the proposal and shall stand disqualified from the process, without assigning any further reasons.

• Site visit: “SP” is expected to facilitate the Banks team site visit to the site proposed by the “SP”. The items mentioned in the technical specifications, that can be demonstrated and validated will be evaluated during the site visits and any other specifications that bank may deem fit or observe during the visit.

The list of requirements for the technical Bid has been mentioned in Annexure N, Annexure G and Annexure I. Only those SPs whose proposal is suitable in technical evaluation would be shortlisted for Stage 3 commercial bid evaluation.

Commercial Bid Evaluation

The commercials of the Service Provider shortlisted after the technical evaluation shall be opened in presence of the representatives of the Service Providers 26. Pre Implementation Inspection

Successful Service Provider shall make available the necessary infrastructure, on receipt of the Purchase Orders as per the technical requirement of the Bank. The “SP” should confirm in writing the readiness of the colocation and hosting site and arrangements to the Bank, within the time frame agreed by the Bank & the “SP” for installation of Bank's IT Infrastructure. The Bank will conduct an inspection and verify the complete readiness for implementation of its IT Infrastructure.

27. Liabilities of the Bank

This RFP is not an offer by the Bank, but an invitation for Service Provider responses. No contractual obligation on behalf of the Bank, whatsoever, shall arise from the RFP process unless and until a formal contract is signed and executed by duly authorized officers of the Bank and the Service Provider.

28. Proposal Process Management

The Bank reserves the right to reject all proposals, to request one or more resubmissions or clarifications from one or more Service Providers, or to cancel the process in part or whole. No Service Provider is obligated to respond to or to continue to respond to the RFP. Each party shall be entirely responsible for its own costs and expenses that are incurred while participating

in the RFP, subsequent presentation and contract negotiation processes. However, the bidding Service Provider will, by responding to the Bank’s RFP document, be deemed to have accepted the terms as stated in this RFP document.

29. Downloading of RFP Document from Website

The RFP document is also available for download from the Bank’s website www.jkbank.net. Those who choose to down load the RFP from our website are required to pay the price of RFP at the time of submission of their offer. They are also required to confirm in writing that they have not modified any part of the RFP and they will abide by the same. If any Service Provider fails to pay the price of the RFP, the said offer will be rejected.

In case of any dispute/discrepancy the physical version of the RFP available with the Bank will be final & binding on all who participate in the RFP.

The Service Providers are requested to verify the website during the currency of the RFP for any modification / corrigendum that may be issued by the Bank before submission of the RFP.

30. Earnest Money Deposit (EMD)

Service Providers are required to give EMD by way of a Demand Draft favoring ‘J&K Bank, RFP No. or Bank Guarantee valid for 180 days from the due date of the RFP for Rs:5,00,000/ (Rupees Five lakhs only) as Earnest money Deposit (EMD) along with their Offer. Offers made without E.M.D. will be rejected. (For each alternative Offer, a separate EMD must be submitted). The format for the Bank Guarantee is attached to this RFP document (Annexure J).

31. RFP Cost

RFP Cost of 5,000/ should be by way of demand draft favoring ‘J&K Bank Ltd, RFP No. Offers made without RFP cost will be rejected. For each alternative Offer, a separate RFP cost must be submitted.

Annexure-A

Terms and Conditions of the RFP

1. Technical Inspection and Evaluation

The Bank reserves its right to carry out a technical inspection at Site, with prior notice, during the evaluation process and verify the infrastructure available at the offered site for evaluation purpose. The Bank, along with the consultants of the Bank may carry out such inspection.

2. Occupancy Certificate Occupancy certificate shall mean the certificate issued by the competent authority confirming that the building has been built in accordance with the plans sanctioned by the competent authority and that is fit for occupation. 3. Pricing.

The price offered to bank must be in Indian Rupees, inclusive of all taxes, duties and levies, but excluding Service Tax which will be paid on actual basis.

4. Commencement Date Commencement date shall mean the date on which the agreed facility has been completed in all respects and the possession of the same has been handed over to the Bank by the Service provider. 5. Payment Terms

The Bank will make payment of the services as per order starting from the commencement date on quarterly basis in arrears on submission of invoices, along with the proof /verification sheet signed by the Bank official in respect of the actual Power consumed by the Bank. On submission of the required documents, the payment will be made within 15 days from the date of receipt of the invoices by the Bank. The Bank will be making the payment after deducting the penalty charges and any other charges that are due to the Bank on account of non compliance of SLA Terms & the uptime guarantee as per the RFP.

6. Pre Implementation Inspection

The Bank will carry out Pre Implementation inspection of the offered colocation site for assessing the readiness in all respects. Successful Service Provider shall make available the necessary infrastructure, on receipt of the Purchase Orders as per the technical requirement of the Bank. The “SP” should confirm in writing the readiness of the colocation and hosting site and arrangements to the Bank, as and when the site is ready for installation of Bank's IT Infrastructure. The Bank will conduct a final inspection and verify the readiness for implementation of its IT Infrastructure.

7. Execution, Delivery and Completion

1 Making the Server area ready and available for setting up the Bank’s IT infrastructure in server cage area (Site should be ready with server caging, electrical cabling, cabling between telco room and server cage and other facilities like access control system, etc.)

3. Site completely ready for Inspection …..weeks from the date of issuing the purchase order

The Bank reserves its right to cancel the order in the event of one or more of the following situations:

1 Delay in delivery/handover of the site as per the specifications of the order, beyond 6 weeks from the date of agreed delivery schedule. 2 Serious discrepancy in infrastructure noticed during the site inspection prior to implementation.

In addition to the cancellation of purchase order, the Bank reserves the right to claim the damages from the Service Provider and/or invoke the Bank Guarantee given by the Service provider against advance payments.

8. Uptime and Service Levels

The facilities like power, cooling, CCTV monitoring, fire detection & safety systems, security (biometric, physical, access card) provided by the service provider to colocate Bank’s Data Centre IT Infrastructure should have high availability. The details of Service Level to be maintained by the “SP” are provided in Annexure L. The “SP” should execute a Service Level Agreement with the Bank for providing the Services envisaged in the RFP, to meet all the requirements specified in Annexure N and Annexure I, to meet the terms and conditions set out in the RFP, to meet the service levels specified in Annexure L and also accept the Penalty for downtime.

9. Performance Guarantee

Within 14 days after the contract is awarded, the Selected “SP” must submit a performance guarantee equivalent to 10% of the value of the ANNUAL COST of availing colocation & hosting services. Failure to submit performance guarantee within 14 days from date of award of contract makes the EMD liable for forfeiture. The format of the Bank Guarantee is given in Annexure M. The bank guarantee shall be kept valid for an initial period of 5 years and to be renewed for every consecutive 5 years till completion of the contract period. The guarantee shall contain a claim period of three months from the last date of validity.

In case the selected bidder fails to submit performance guarantee within the time stipulated above the bank at its discretion may cancel the order placed on the selected Bidder without giving any notice.

The Bank shall be within its rights to invoke the Bank Guarantee before expiry of validity, if the services rendered by the selected bidder are not satisfactory and not as per the terms of the contract and SLAs.

10. Period of Contract

The contract shall be valid for an initial period of 5 years and renewable thereafter for 3 consecutive terms of 5 years each at the option of the Bank. The charges payable for the co-location and hosting for first 5 years shall remain constant at the rate mutually agreed between the Bank & the “SP” with a provision for increase by certain percentage ( to be agreed in advance) of the base charges for first 5 years after expiry of each block of 5 years. 11. Termination of the Contract

Either party has the right to terminate the contract during the term of the agreement by giving 9 months prior written notice to the other party.

12. Periodic Inspection

As the Bank is planning to colocate and host the mission critical Systems of the Bank in the offered site, the Bank may conduct inspection of the Colocated Building at periodic intervals, for the purpose of assessing the adequacy of infrastructure facilities and the safe guard of the hosted system. The “SP” shall extend all cooperation in conducting such inspection. For this purpose, the “SP” shall provide the Officials of the Bank [or its appointed representatives] the physical access, enable verification of access control logs, permit verification of records maintained by the “SP”, measure & verify critical parameters / infrastructure

facilities, provide access to the reports submitted by the external authorities like Certifying Agencies / Auditors in respect of the Infrastructure / Building Management System.

13. Indemnity

Service Provider shall indemnify, protect and save the Bank against all claims, losses, costs, damages, expenses, action suits and other proceedings, resulting from infringement of any patent, trademarks, copyrights etc. or such other statutory infringements in respect of all the components used by the “SP” for providing the necessary service to the Bank, as required in the RFP.

14. NDA The selected “SP” shall have to sign a Non-Disclosure Agreement with the Bank with usual terms and conditions applicable for such services.

15. Publicity

Any publicity by the Service Provider in which the name of the Bank is to be used should be done only with the explicit written permission of the Bank.

16. Force Majeure

The Bank and the “SP” shall not be liable for default or non performance of the obligations under the contract, if such default or non performance of the obligations under this contract is caused by any reason or circumstances or occurrences beyond their control, i.e. Force Majeure.

For the purpose of this clause, “Force Majeure” shall mean an event beyond the control of the parties, due to or as a result of or caused by acts of God, wars, insurrections, riots etc, events not foreseeable but does not include any fault or negligence or carelessness on the part of the parties, resulting in such a situation.

In the event of any such intervening Force Majeure, each party shall notify the other party in writing of such circumstances and the cause thereof immediately within five calendar days. Unless otherwise directed by the other party, the party pleading Force Majeure shall continue to perform/render/discharge other obligations as far as they can reasonably be attended/fulfilled and shall seek all reasonable alternative means for performance affected by the Event of Force Majeure.

In such a case, the time for performance shall be extended by a period(s) not less than the duration of such delay. If the duration of delay continues beyond a period of three months, the parties shall hold consultations with each other in an endeavor to find a solution to the problem.

Not withstanding above, the decision of the Bank shall be final and binding on the Service Provider.

17. Resolution of Disputes

The Bank and the Service Provider shall make every effort to resolve amicably, by direct informal negotiation, any disagreement or dispute arising between them under or in connection with the contract. If after thirty days from the commencement of such informal negotiations, the Bank and the Service Provider have been unable to resolve amicably a contract dispute, either party may require that the dispute be referred for resolution by formal arbitration.

All questions, disputes or differences arising under and out of, or in connection with the contract, if not mutually resolved shall be referred to two Arbitrators: one Arbitrator to be nominated by the Bank and the other to be nominated by the Service Provider. In the case of the said Arbitrators not agreeing, then the matter will be referred to an umpire to be appointed by the Arbitrators in writing before proceeding with the reference. The award of the Arbitrators, and in the event of their not agreeing, the award of the Umpire appointed by them shall be final and binding on the parties.

4. This Bank Guarantee shall continue and hold good until it is released by you on the application by the SERVICE PROVIDER after expiry of the relative guarantee period of the RFP and after the SERVICE PROVIDER had discharged all his obligations under the RFP and produced a certificate of due completion of work under the said RFP and submitted a “ No Demand Certificate “ provided always that the guarantee shall in no event remain in force after the day of ........................... without prejudice to your claim or claims arisen and demanded from or otherwise notified to us in writing before the expiry of the said date which will be enforceable against us notwithstanding that the same is or are enforced after the said date.

8. Subject to the maximum limit of our liability as aforesaid, Bank Guarantee will cover all your claim or claims against the SERVICE PROVIDER from time to time arising out of or in relation to the said RFP and in respect of which your claim in writing is lodged on us before expiry of Bank Guarantee.

9. Any notice by way of demand or otherwise hereunder may be sent by courier, telex, fax or registered post to our local address as aforesaid and if sent accordingly it shall be deemed to have been given when the same has been sent.

10. The Bank Guarantee and the powers and provisions herein contained are in addition to and not by way of limitation of or substitution for any other guarantee or guarantees here before given to you by us (whether jointly with others or alone) and that Bank Guarantee is not intended to and shall not revoke or limit such guarantee or guarantees.

11. The Bank Guarantee shall not be affected by any change in the constitution of the SERVICE PROVIDER or us nor shall it be affected by any change in your constitution or by any amalgamation or absorption thereof or therewith but will ensure to the benefit of and be available to and be enforceable by the absorbing or amalgamated company or concern.

12. The Bank Guarantee shall come into force from the date of its execution and shall not be revoked by us any time during its currency including any extended period without your previous consent in writing.

13. We further agree and undertake to pay you the amount demanded by you in writing irrespective of any dispute or controversy between you and the SERVICE PROVIDER.

14. Not withstanding anything contained herein above;

Annexure-L

Service Level Definitions for Co location and Hosting Bank's IT Infrastructure

Detailed Service Levels and Definitions:

The Bank will be colocating the mission critical application at the site offered by the “SP”. High availability of DC on 24 x 7 basis at all times is of utmost importance. The Service Provider, therefore, shall guarantee 99.982% monthly uptime with all infrastructure facility as fully described in this RFP Document.

The “SP” should ensure that there is no downtime of DC during:

• Scheduled maintenance, alteration, Upgradation of “SP’s” infrastructure etc.

• Natural calamities including but not limited to rains, floods, earthquakes etc.

The selected “SP” should guarantee and ensure monthly uptime of 99.982% of Data Centre and allied infrastructure, failing which the selected “SP” is liable for liquidated damages / penalty. The “SP” shall monitor and maintain the stated service levels to provide quality customer service to the BANK.

System availability or uptime is defined as:

(Total Contracted hours in a month – downtime during contracted hours) * 100 / Total Contracted hours in a month

1 “Total Contracted hours in a month” means the scheduled operating hours of the System for the month. As an exceptional case, any downtime with clear written permission from appropriate authority of the Bank would be deducted from the total operation time for the month to give the scheduled operation time. ['Month' means 'Calendar month', 'Week' means 'Calendar week' starting from Sunday, 'Day' means 'Calendar day' & fraction of minutes will be considered as completed full minutes for any calculation purpose] 2 “IT infrastructure downtime” subject to the SLA, means accumulated time during which the Colocated IT infrastructure (any part or full) is inoperable due to in scope system or infrastructure failure, and measured from the time Bank and/or its customers log a call with the “SP” help desk of the failure or the failure is known to the “SP” from the availability measurement tools to the time when the System is returned to proper operation. 3 “SP” to provide support for Critical and Key infrastructure of Data Center (Building) on 24x7 basis. 4 The Critical and Key infrastructure includes the following services: Access controls, Power supply, UPS Power, Precision Air conditioning, Fire Detection System, Fire Safety System, Water detection systems, Humidity Controllers, Gensets, Building Management Systems, LAN Cabling and CCTV/DVR monitoring. 5 Outage shall commence when each or either of the services / components fails. 6 If any one or more of the components defined in “Critical and Key” at the Data Center Facility are down resulting in non-availability of any Banking solution deployed, then the services listed in the availability measurements table shall be considered for calculating the downtime. 7 Wherever applicable while making any payment, deduction towards liquidated damages / penalty will be effected and the remaining amount will be paid. Such a deduction should not be construed as 'nonpayment' towards service extended for any purpose of whatsoever.

Availability Report will be provided on monthly basis and a review shall be conducted based on this report. A monthly report shall be provided to the Bank by the “SP” at the end of every month containing the summary of all incidents reported and associated “SP” performance measurement for that period. All Availability Measurements will be on a monthly basis for the purpose of Service Level reporting.

FAULT REPORTING, TROUBLE TICKETING AND CALL CLOSURE PROCEDURE

1) The Bank personnel shall notify the Service Provider DC HELPDESK to report a Service Outage. The Service Provider DC HELPDESK shall have a Trouble Ticket opened for the Bank and Bank shall quote the Trouble Ticket Number in all future communication.

2) Upon opening of a Trouble Ticket, Service Provider shall investigate the reported Service Outage and shall promptly rectify the same. The service provider shall intimate the Bank formally about the root cause of the outage and steps taken to avoid any future repetition.

3) In case the Call is related to any equipment or performance, or any repair, which would cause a Service Outage, appropriate notice shall be sent to the Bank, before taking the equipment’s in maintenance.

4) Any call, which is not resolved within 5 minutes of reporting, must be informed to Bank.

5) Service Provider shall attempt to resolve all Trouble tickets in accordance to the Resolution matrix mentioned above. The resolution could be repair / replacement or providing a work around which does not hamper the normal productivity of the

a. Upon such rectification, Service Provider shall communicate the same to the Bank and close the Trouble Ticket. Service Provider shall ensure that call closure is done after Bank’s acknowledgement.

We shall not be entitled to withhold the payment on the ground that the SERVICE PROVIDER has disputed its liability to pay or has disputed the quantum of the amount or that any arbitration proceeding or legal proceeding is pending between SERVICE PROVIDER and the Bank regarding the claim.

3 We further agree that this guarantee shall come into force from the date hereof and shall remain in full force and effect for a period of ______ years from the date of commencement of the contract or the term of this guarantee whichever is later. But if the period of the said contract is extended either pursuant to the provisions of the said contract or by mutual agreement between the service provider and the bank, we shall automatically renew the period of guarantee for such period which expires six months after the renewed period of the said contract, failing which we shall pay to the bank the said sum of `______ (Rupees ___________) without the Bank demanding the above sum.

4. We further agree that the bank shall have the fullest liberty without our consent and without affecting in any way obligations hereunder to vary any of the terms and conditions of the said contract or to extend the time for the performance of the said contract from any of the powers exercisable by the bank against the SERVICE PRVOIDER and to forbear to enforce any of the terms and conditions relating to the said contract and we shall not be relieved from our liability by reason of such failure or extension granted to the SERVICE PROVIDER or through any forbearance, act or omission on the part of the Bank or any indulgence by the Bank to SERVICE PROVIDER or any other matter or thing whatsoever which under the law relating to the sureties would but for this provision have the effect of relieving or discharging the guarantor.

5. We further agree that in case this guarantee is required for a larger period and is not extended by us beyond the period specified above in clause (3), we shall pay to the Bank without the Bank having to demand the payment of the said sum of ` ______ (Rupees ___________) on the last day on which the Bank Guarantee is due to expire.

Detailed Description of Colocation and Hosting Requirements/Facilities

The proposed Managed Colocation and hosting Site should at least be a Tier III Compliant site or higher. The “SP” is expected to provide sufficient network points, electrical connections, Air conditioning, backup power through UPS and Generator, telecom facilities, Surveillance, access control system, fire suppression system, physical security and soft services etc as applicable for Data Center & Disaster Recovery and as required for the proposed equipment on 24 x 7 basis in order to maintain uptime of all such facilities as per SLA.

The exact requirements in terms of space and power are specified in Commercial Bid.

General

The proposed Managed Colocation and hosting Site should be located in a datacenter in and around NCR. The datacenter, wherein the colocation and hosting facility is offered, should at least be Tier III compliant or higher

Data Centre. The proposed Managed Colocation and hosting Site should comply with the technical requirements specified in

Annexure I of this RFP. The power should be available from two different power sources. Two separate active power paths from the UPS to be

provided to the Server room area and the network communication area. The UPS should be configured in redundant mode of 2N + 1 configuration.

Entry and exit at the Data Centre premise (Building), seating area, Server room area, server cage area, and network communication room should be restricted and monitored. The Security for the building should be made available 24*7.

The doors and walls for the server room, communications room, and other critical areas should be fire rated for minimum 2 hours.

The entire facility should be automatic with power supply from the transformer as the primary source and automatic switchover to DG set as a secondary source.

99.982% Uptime is required for the Managed Colocation and hosting Site Environmental Infrastructure and services. The datacenter facility building should be designed and constructed for Earthquake resistance and should be away from

hazardous chemical materials, LPG storage areas, chemical godowns and other storage facilities meant for dangerous commodities.

The Building housing the Data Centre [colocated site] and the entire infrastructure therein should be covered under comprehensive insurance. The “SP” shall in his response clearly indicate the risks covered under the above policy.

The proposed site should have adequate Car parking space.

Server Room Area to be allocated to the Bank for Colocation and Hosting

The Server room proposed by the “SP” to colocate Bank’s IT infrastructure should be Tier III compliant or higher. Bank envisages the requirement of a dedicated space of ……..Sft of space for accommodating 40 Racks of (1000*800) 42U, to host Bank’s IT infrastructure in the server room area. The proposed area of …….. sq. feet will be provided in a Contiguous fashion. However, should there be requirement of additional space in the future the “SP” should be able to provide the same on the prorated per square feet cost within the same facility. The unit rate provided by “SP” will be considered for such requirement. The “SP” is expected to provide a dedicated server cage area for the Bank in the server room area. The cage area should secure the allocated space to the Bank. The server cage entrance & exit should be accessible using the proximity card and Biometric access control system. The Server room should have precision air conditioning with redundancy.

The service provider will be responsible for LAN cabling between server room and seating area. The service provider should provide for 2 network points for each seating space, 4 points in the Cabin Area and 8 points in the Conference Room.

The service provider will also be responsible for extension of links from “SP” communication room to server cage area offered to the Bank as and when required.

Seating Area

The “SP” is expected to provide the seating space for 15 personnel, 1 Cabin and 1 Conference Room at Managed Colocation and hosting Site. However, this is just an indicative figure and to be considered for bid evaluation purposes only. The actual number of personnel for whom the seating space is required will be provided to the successful service provider at the time of placing the order. The price quoted by the “SP” per seat would be used as the benchmark for expansion or reduction.

The UPS / generator backup power facility needs to be made available to the proposed seating area. The seating area should be provided with comfortable air conditioning. The “SP” shall provide Tables, chairs, drawers with locking facility, telephone extensions for communication between Server cage area and the seating area, in the seating area. The furniture to be provided by the “SP” here refers to modular furniture with sufficient seating, personal storage and workspace for each individual person. The seating area furniture should be modular furniture with drawers/pedestal, keyboard tray, for each table. Lockers that can accommodate 5 box files and some stationary, the one that comes with the work table. This will be for every seat.

The “SP” shall provide adequate power points in the Seating area. The service provider shall be responsible for LAN cabling between server room and the seating space area extending link from “SP” communication room to the server cage area.

The “SP” shall provide the space within the seating area for placing the fireproof storage cabinet in which the Bank can store their backup tapes and other sensitive information and IT components. Details of the fire proof storage: Weight & Dimension shall be provided to the successful bidder. The approximate volume of the storage cabinets is 90 liters and the minimum quantity shall be 3.

Communication Area

The “SP” in their communication area shall have Telecom junction box / multiplexers of various link service providers and should be available in and around the facility building for Bank’s use. The Bank will have the separate link service providers for the connectivity between its DC – DR, DC-NLS, DC-Associations, DC-Branches/Offices etc. The Managed Colocation and hosting Site service provider should allow the termination of the links provided by these link service providers. If Telecom junction box / multiplexers of these link service providers is not available then the Managed Colocation and hosting Site service provider should allow the commissioning of the same. The communication room should have multiple diverse paths for the cables coming inside the premise and going to the server cage

Building Management Systems (BMS)

The complete Building Infrastructure should be equipped with access control system with proper record of every entry or exit from the building.

The “SP” shall provide permanent Access cards, Gate passes to the all Bank personnel or Bank Authorized personnel posted at the location. The “SP” shall also provide Access cards, Gate passes to the any person/s authorized by the Bank to visit the premises which includes Server Cage Area, Telco Room, Seating Space, Refreshment, Sanitation area e.t.c.

The “SP” shall regularly monitor the access to the Bank’s Server room / cage by means of access control system, physical security, Biometric access and CCTV and should always make sure that they are functional 24X7 days. The Bank would require monthly reports in this regard. The access logs to the bank specific cage area, seating area and the server room area need to be maintained for the period of the contract. The log reports of bank’s specific server cage area and seating area are to be provided on a monthly basis. The access to the logs of other facilities concerning the bank should be available on request. The service provider is expected to maintain the CCTV/DVR monitoring records for at least 6 month, post which the service provider is expected to archive such records (in form of a DVD, tape, etc) and make the same available on bank’s request through the period of the contract without any commercial involvement.

If required by the Bank the “SP” should be able to provide details of people accessing the Bank’s Server room / cage by means way of sharing the entries made in the security register, reports from access control system, CCTV video clips.

The “SP” shall make sure that the required power, air conditioning, security system and other facilities provided to the Bank is always available (24X7 days).

The “SP” shall provide Fire detection & suppression system exclusively for the server room caged area. Fire detection and suppression can be common however the areas allocated to the Bank should be well within the coverage of fire detection and suppression.

The building & Server room area should be provided with Water Leak detection system and fire alarm system. The facility areas proposed for the Bank should be well within the coverage of water leak detection system

There should be CCTV monitoring for surveillance of building entrance, exits and other critical areas where Bank’s components are placed. Activities to be recorded and the archival should be kept for atleast six months.

The offered Data Centre premise (Building) should have a non-interfering, effective rodent control system. The facility areas – Server room area / server caged area, communication room, seating area should be well within the coverage of the rodent repellent.

All the Building Management system (BMS) activities are to be controlled centrally in a room specifically to be used for BMS activities. The Service Provider should manage the BMS activities on a 24*7 basis.

Miscellaneous

The “SP” shall provide contacts and escalation matrix to log the complaints / problems faced in the facility provided to the Bank. The service provider shall provide for periodic monthly reports to the Bank on the incidents/ problems reported and corrective action taken on the same.

The “SP” shall provide the sanitary accommodation to the Bank’s representative at the site and the “SP” shall extend canteen facility, if any, available to the Bank's representative at the site.

The “SP” shall provide for staging area at Data Centre premise for 4 weeks for initial hardware deployment. However, for further additional activities, if the staging area is required by the Bank, the Bank shall inform the service provider at least 7 days in advance and the service provider will be expected to provide the staging area for Bank’s use.

The Staging area facility should be made available to the Bank at no additional cost, as and when required for unpacking,

installation, maintenance, troubleshooting etc. of the equipment’s. The staging area should be preferably close to the hired / hosted space and have all facilities like, redundant power, LAN connectivity, telecom etc.,

“SP” shall provide all necessary help to the Bank appointed System Integrator or Service Provider while moving the Bank equipment’s into the site. For example entry permission for vehicles carrying equipment’s, parking of such vehicles to be closer to the lift till the time the equipment’s are being offloaded, use of lift / service lift, assist in procedures documentation, providing trolley to carry heavy equipment’s to the allocated cage / room, etc. The Bank would not incur any extra cost for availing these said services.

The service provider is required to make provision for dual power meter to measure power consumption by the Bank. Payments will be made by the bank only on the basis of consumed power.

The cabling within / between the racks will be done by the “SP” or any system integrator chosen by the Bank. The service provider must ensure all the necessary support and permissions in this regard for laying such cables beneath the false flooring is provided to the system integrator. The system integrator chosen by the bank will do this cabling activity in consultation with the service provider.

The Bank may in future require additional space at the Data Centre premise (Building). The Service Provider agrees that in the event the Bank wants additional space for expansion; the same will be provided to the Bank within the same site / floor of building. The rate per square feet would be as per the unit rate specified in Annexure “H2, Part 2” . The additional seating space if required need not be contiguous space but should be in the same building.

The Bank requires that the proposed Data Centre premise (Building) provided to the Bank under this RFP must either be owned premises and in case of leased premises, an unexpired lease period must exist for a period of minimum 20 years from the RFP response due date, the bidding entity must provide documentation to this effect establishing its right over the facility/Building to the satisfaction of the Bank The bidder will be required to provide the relevant details in Annexure K – Undertaking from service provider.

Service Levels

The facilities like power, cooling, CCTV monitoring, security (biometric, physical, access card) provided by the service provider to colocate Bank’s Data Centre equipment’s should have high availability. For details, please refer to Annexure L that details the service levels.
