Davis family and the legacy they left behind. The power of healing and perseverance in the lives of these three siblings “A TIME TO KILL” meets “THE HELP” this film will appeal to the Families in

crisis, adults, youth, urban, suburban and inspirational markets globally.

Funding and Development Outline I. Story Rights

The story rights belong to Sharp Iron Production, LLC. A script has been developed The working title shall be “NEVER A DAY (A True Story)” until a legal name change occurs (if needed).

II. Development Rights

The story rights and the rights to produce, fund, market, and to develop the story and accompanying multimedia belongs to Sharp Iron Production

Sharp Iron Filmworks is a production company formed as a Limited Liability Company under the laws of the state of Texas and Pennsylvania. III. Pre-Production Producers

Production Profit SharingTypical Production company profits range can range anywhere from 5-20% of a film’s gross profits.Theatrical Distribution fees average 32.5%, typically a film must gross 4 times its production cost to break even.In general, Production Company revenues shall be the combination of all gross receipts from any and all media and or rights pertaining to the film. The receipts from the film “NEVER A DAY” shall be distributed as follows to the partnership group comprising “Sharp Iron Filmworks” Production Company. *Investor-Financier (Provider of the $350,000 initial funding)-50% of production company receipts , and first right of refusal and option to fund larger stake of production, executive producer credit; (5 points of production revenues per agreements) *(Initial Investor?) -, Co- Executive Producer credit *If Investor/Financier options to fund entire film in the amount of ($1,750,000) then Investor/Financier will receive 50% of production company receipts (until Investor/Financier has acquired 150% of their investment) and 10%of production receipts after the first 150% of revenue, and first right of refusal and option to fund next 2 films of Sharp Iron Productions, executive producer credit; (5 points of production revenues This Document was prepared on September 28, 2013 by Sharp Iron Production, LLC —for the proposed production of “NEVER A DAY” by “Sharp Iron Filmworks”.This document is not considered to be legally binding by any party unless agreed to by any and all parties in executed related agreements.
