o Hasnotalwaysbeenthisway.Prefederationandtheyearsfollowing1901,companiesinAuswereregulatedbyStatestatues.

o Thismeansthattherewereatleast7bitsofstatelegislationsayingwhatacompanywas/whatitcouldtoetc.

o WhataregulatoryburdenthiswouldhavebeentohaveacompanyoperatinginMelbourne,alsootherstates,andalsomustbeconcernedwithlawsnotjustinitshomejurisdictionbutothersaswell.

o Statesagreedtoadoptsimilarlegislation.Howeveraftertimeinvariablytherewerechangesanditnevergottoasysteminwhichtherewasonecompanylawacrosstheboard.

o Thisdidn’thappenuntil1989.• In1989theCommonwealthtriedtotakecontrolandlegislateforall

States(sotherewouldbejustonepieceoflegislation)• Problem:s.51(xx)oftheAustralianConstitution

o Constitutionalvaliditywaschallengedin1989onthebasisthatCthdidnothaveauthorityunders5120tolegislateinrelationtocompanies.
