ARICULO I

El Convenio

El prop6 ito de este Convenio es establecvr los acuerdos entre las Partes nombradas anteriormente (Partes) con respecto al compromiso del Donatario del Proyecto descrito a continuaci6n y con respecto a la financiaci6n del Proyecto por las Partes

ARrICULO II

El Proyecto

SECCION 21 Definicion del Proyecto

El Proyecto cuya definicin se amplia en el Anexo I consistira de una donaci6n para financiar al Gobierno de El Salvador en sus esfuerzos relacionados con la recLiperacicn por los daios y destrucci6n causados por el terremoto que ocurri6 el 10 de octubre de 1986 El Anexo I adjunto amplia la anterior definici6n del Proyecto Dentro de los limites de dicha definici6n del Proyecto los elementos de la descripci6n mas detallada indicados en el Anexo I podran ser modificados mediante acuerdo escrito de los representantes autorizados por las Partes a los cuales se hace referencia en la Secci6n 82 sin tener que hacer una enmienda formal a este Convenio

ARTICLE I

he Agreement

Tle purpose of this Agreement is to set out the understandings of the Parties named above (Parties) wi th respect to the undertaking by the Granten of tHi Project described below and with respect to the financing of the Project by the Parties

ARrICLE II

The Project

SECTION 21 Definition of Project

The Project which is further 1nscribed in Annex I will consist of a grant to assist the Government of EL Salvador in their efforts related with recovery related to the damage and destruc tion caused by the earthquake that occuirred on Octcber 10 1986 Annex T attarhrl amplifies the above dfitn lion of the Project Within the limits of th- above definition of the Project elements of the amplified description stated in Annex I may be changed by written aqreemnt of the authorized representatives of he Parties named in Section 82 without formal amendment of this Agreement

ARTICULO IV

Condiciones Previas al Desembolso

SECCION 41 Desembolso Inicial

Antes del primer desembolso bajo la Donaci6n o de la emisi6n por parte de la AID de cualquier documento en base al cual se efectuaran desembolsos el Donatario debera a no ser que las partes lo acuerden de otra manera por escrito proporcionar a la AID en forma y contenido satisfactorios a la AID

Conditions Precedent to Disbursement

SECTION 41 First Disbursement

SECCION 42 Desembolsos para Componentes del Programa

Excepto Tue AID acuerde lo contrario por escrito previo a cualquier desembolso de fondos bajo este Gonvenio o a la emisiampn de documentos de compromiso con relacicn a cuales desembolsos se efectuaran para componentes del programa el Ministerio de Planificacion y Coordinacin del Desarrollo Econ6mico y Social proporcionara para cada componente en forma y substancia satisfactoria a la AID

a) una descripci6n completa de las actividades a llevarse a cabo y procedimientos contables a ser utilizados y

b) una descripci6n detallada de la adquisicin y manejo de informes a ser utilizados por el Donatario y entre el Donatario y la AID

SECTION 42 Disbursement for Program Components

Except as AID may otherwise anree in writing prior to the disbursement of any funds under this Agreement or the issuance of commitment dociTvents pursunant to Which disbursement will be mnd for program components the Ministry of Planning and (bordination for the Economic and Social Development will provide for each component in form and substance satisfactory to AID

a) a complete description of activities to be carried out and accounting procedures to be employed and

SEMXION 72 Desembolsos para Costos en Ibneda Local

(a) Despues de que las Condiciones Previas hayan sido cumplidas el Donatario podra obtener desembolsos de fondos bajo la Donaciampn para Gastos en Moneda Local requeridos para el Proyectode conformidad con los terminos de este Convenio presentando a la AID con los documentos justificativos necesarios descritos en Cartas de Cumplimiento del Proyecto solicitudes para financiar tales gastos

(b) La moneda local necesaria para tales desembolsos puede ser obtenida como sigue

(1) mediante su compra por parte de la AID con d6lares de los EEUU o con moneda local que el Gobierno de los Estados Unidos ya posse o

(2) by requiesting ATD to issue Letters of Commitment for specified amounts (a) to one or more US banks satisfactory to AID committing AID to reimburse such bank or banks for payments made by them to contractors or suppliers under Letters of Credit or otherwise for such goods or services or (b)directly to one or more contractors or suppliers committing AID to paysuch contractors or suppliers for such goods or services

(b) Banking charges incurred by the Grantee in connection with letters of Commitment and Letters of Credit will be financed under the Grant unlIPs the Grantee instructs AID to the contrary Such other charqs theas Parties may agree to may also be financed under the Grant

SECTION 72 Disbursement for Local cu)rrency Costs

(a) After satisfaction of tWnditions Precedent the Grantee may obtain disbursements of funds und-r the Grant for Local Currency Costs required for the Project in accordance with the terms of this Agreement by submittit to ATD with necessary supporting documentation as prescribed in Project Implementation Letters requests to finance such costs

(b) The local currency npele]d for such disbursements may be obtained

(1) by acquisition by ATD with US dollars by purchase or from local currency already owned by the US Government or

SLtCION 73 Otras Formas de Desenbolso

Los desembolsos de la Donacin tambien pueden efectuarse por otros medios quehayan acordado las Partes por escrito

SECCION 74 Tipo de Cambio

A no ser que sea establecido en forma mas especifica bajo la Seccin 72 si los fondos proporcionados bajo la Donaci6n son introducidos a la Rep6blica de El Salvador por la AID o por cualquier agencia p6blica o privada con el fin de cumplir con las obligaciones de la AID en virtud de este Convenio el Donataio

(2) by AID (a) requesting the Grantee to make avalanbie the local currency for such costs and (b) thereafter making available to the Grantee through the opening or amendment by AID of Special Letters of Credit in favor of the Grantee of its designee anamount of US dollars equivalent to the amount of local currency marde available by the Grantee which dollars will he utilized for procurement fron the UnitedStates under appropriate proced res described in Project ImpIementation Letters

The US dollar ecivale-nF of the local currency made available hereunder will be in the case of subhcction (h)(1) above the amount of US dollarsrequired by AID to obtain the local currency and in the case of subsection (b) (2) above an amount calcul at-pd at the rate of exchange specified in the applicable Special letter of Crpdit Implementation Memorandum hermeindpr ofas the date of the opening or amendment of the applicable Special letter of Credit

SECTION 73 Other Forms of Disbursement

Disbursements of the Grant may also be made through such other means as the Parties may agree to in writing

SECTION 74 Rate of Exchange

Except as may be more spec ficallypovided under Section 72 if funds provided under the Grant are introduced into the Republic of El Salvador by7AID or any public or private aqencyfor purposes of carryingT out obligationsof AID hereunder the Grantee will make such arrangements as may be

Any notice recuest doctment or other communication submitted by either Pairty to the other under this Agreempnt will be in writing or by telegram or cable and will be deemed duly given or sent whien delivered to such Party at the followig addresses

SBCCION 82 Representantes

Para todos los fines relacionados con este Convenio el Donatario estara4 representado por la persona que sustente el cargo en funcin o interinamente en la oficina del Ministerio de Planificacin y Coordinacin del Desarrollo Econ6mico y Social y la AID estarg representada por la persona quesustente el cargo en funci6n o interinamente en la Oficina del Director de la Mision USAIDEI Salvador Tales personas mediante notificaci6n por escrito podran designar representantes adicionales Los nombres de los representantes del Donatario con un registro autenticado de sus firmas deberan ser proporcionados a la AID la cual podra aceptar como debidamente autorizado cualquier documento firmado por tales representantes en la ejecucionde este Convenio mientras no reciba aviso por escrito de la revocaci6n de la autoridad de dichos representantes

SECCION 83 Anexo de Disposiciones Normativas

Un Anexo de Disposiciones Normativas de la Donacion para el Proyecto (Anexo II) acompana este Convenio y forma parte del mismo

SECCION 84 Idioma del Convenio

Este Convenio esta redactado tanto en Ingles como en espaflol En caso de ambigUedad o conflicto entre las dos versiones la version en Ingles sera la que predumine

The purpose of this Project is to provide assistance to theGovernment of El Salvador (GOES) in meeting basic human needs and reviving economic activity in the areas severely affected by anearthquake on October 10 1986 The Salvadoran Earthquake RecoveryProgram to be financed under this Agreement will be useamp to respondthe most immediate requirements over the short-term whilepreparations are made for reconstruction of basic infrastriicure inthe longer term It is a goal of the Program that funds be fullycommitted within two months and be substantially disbursed within six months of this Agreements signature

The Program components which follow are described in general terms and may be adjusted with respect to their output targetsimplementation arrangements and asfinancial allocations ATD andthe GOES mutually agree it is advisable Specific operational andfinancial procedures under the Program will be identified in anImplementation Letter thisunder Agreement and subsequently modified as deemed necessary by the Parties to this Agreement

I Project Description

A) Employment GenerationRubble Removal

There is an immediate need to provide income to individuals in the areas most affected by the earthquake There is also a need to remove the accumulated debris garbage waste whichand pose a potential health hazard as well as a physical impediment to reconstructing shelter and places cf business

Plans are to enlist labor of tothe up 20000 affected persons who would be paid a daily stipend of less than the minimum wage to remove the rubble to areas adjacent to streets where it cotild be picked up and trucked to appropriate sites The areas local governments will organize citythe into work zone designatingdisposal fill locations and work with neighborhood groups to recruit potential laborers The GOES intends for privateconstruction firms to ne contracted to supervise and pay thelaborers to clear the rubble Picks shovels wheelbarrows and related tools necessary for the work will be purchased provided tothe firms and then made available to workers Trucks and front-end loaders would be rented from private suppliers or public entities and paid on a per unit basis It is expected that the overaleffort will be supervised by one or more qualified firms which would verify all work performed and certify payments

B) Credit to Micro and Small Enterprises

A second component of this Program will be assistance tomicroentrepreneurs to reconstruict or repair their businessesreplace inventory and reinitiate operations

Special lines of credit will be established for this purpose to behandled by existing financial institutions including FIGAPE theBanco Tlipotecario and the commercial banks The financial institutions would administer these funds either under a trust agreement or administrative contract with MIPUAN It is foreseenthat 5000 microbusinesses with assets up to $20000 or smallbusinesses with assets up to $I00000 would be eligible Loanscould be used for reconstruction and repair of buildings thereplacement of inventory working capital Depending on the enrd use terms would be at up to 5 percent from 4 to 12 years up to a maximum of $15000 for small businesses Average loan size isexpected to be $2000 The guarantee would be in the form of the asset to be purchased or repaired andor personal or solidritygroup guarantee Reflows would be deposited in the Central fnnk tobe utilized for small business credit according to terms to be agreed upon between the GOES and AID

C) ShelterHome Reconstruction

Repair assistance to homes damaged or destroyed in the earthquakewill be carried out in three areas

1) One element will assist the large number of renter familiesand families who were leasepurchasing apartments now danmaged andIVU apartment dwellers These families need temporary shelter andsanitary services while plans for reconstruction of their residences can be developed This temporary shelter will be needed quicklyas as possible and may be in service for over a year in many cases

To respond to this problem packages of materials will be providedto the affected to erect temporary shelters on sites cleared ofrubble or open areas close to tlhe damaged or destroyed buildingsThese shelters would combine rigid materials (wood galvnni7-osheeting) with use of existing plastic shelter for an enclosure of

approximately 200 to 250 square feet Communal washing bathing andsanitary facilities such as those provided to the displaced personscommunities might also be required when existing infrastructure cannot be used

The Municipalities identify in subzonewould needs each neighborhoodand present these needs to CREM CREM will effect purchase ofmaterials from the private sector with deliveries being made to municipality warehouses for distribution Delivery would be cr tified by a member of the municipal work group and the receiverwho would control inventory and distribution Those persons whobecause of their physical condition need help putting up their shelter will be identified by the municipality and will receive special assistance

In order to receive materials renters will be required to reach agreement with their landlords to allow erection of temporary units on the landowners site and continue to lease tbe land In caseswhere this arrangement cannot be reached the Alcaldia and ViceMinister of Housing will attempt to provide suitable vacant publicland for a voluntary relocation effort Temporary units would bebuilt on properties of IVU The beneficiaries will inclide an estimated 20000 renters including 700 families living in IVIJ apartments which are currently unsafe for occupancy

2) Rehabilitation of Tugurios

Damage to individual squatter shelters was serious because many such persons resided in areas particularly susceptible to landslides or water erosion To help restore these shelters the Program willfinance the purchase and delivery of basic materials tin roofingsheets lumber tools and nails to families in tugurios or those who rented homes in other marginal areas

The municipalities and CREM will determine the requirements in Pach zone and purchase the materials which will be distributed by themunicipalities to an estimated 10000 families who will then be responsible for the construction Individual requirements formaterials will vary from family to family depending on whether a portion of the previous shelter could be salvaged A maximum cost of $250 is assumed per family including transportationadministrative costs and site rehabilitation expenses

3) Credit for RepairRebuilding of Homes

The third GOES response in the shelter recovery stage involves theextension of special of to area line credit families who hone orhome-site owners witl which they can finance the repair or initiate the reconstruction of their homes on the existing property

This line of credit would be targeted to an estimated RO00 laborers and wage-earnera that otherwise lack resources to repairrehabilitate damaged dwelling units Self-emplnyod homeowners would also bave access to the line The Ranco Hipotecario commercial banks and Savings and Loan Associations will extend the credit using existing mechanisms for small personalloans The typical second mortgage or asset guarantee would be waived initially relying instead on cosigner commitments in order to speed up the loan approval process Loans will be for up to a maximum of 20000 colones

D) Public Services Repair

Damage by the earthquake to a broad range of public services was widespread Some of these damages will require longer term majorconstruction activities which are beyond the scope of this recovery program However funds will be provided under this program for certain high priority repairs equipment supplies and spar- partsfor public buildings utilities and installations which can be effected over the life of this agreement and as are mutually agreed to by the GOES and AID Among the areas to be eligible for assistance are the medical educational and health sectors water and electrical systems and roads

Ii Program Management and Administration

The overall program direction and oversight will be the responsibility of the Committee for Metroplitan Reconstructinn (CREM) to be established law The Committee will have a Director appointed by the President who will function as CRFEMs legalrepresentative Other members will include representatives respectively of the National Private Fnterprise Association the Metropolitan Mayors Council of San Salvador the Armed Forces and organized labor

CREM will supervise the implementation of program components either directly or through such commissions or working groups as it may create andor through contracting with public or private entities for required goods or services

Control of disbursement and accountability of program fundis will be the responsibility of the Ministry of Planning To handle these functions a special Unit of Administration and Finance will he created and will be attached to CREM The Unit will be composed of technical and administrative staff from MIPLAN assigned to this special Unit This group will disburse funds directly to implementing entities from a special separate local curr u ryaccount upon approval of the National Emergency Finance Commit-tee (COMFIEN)

Prior to disbursing any funds or issuing any commitment document bythe GOES under this Agreement for program components MIPrAN will provide for each component a complete description of activities to be carried out and accounting procedures to be employed as well as a detailed description of the procurement and reporting arrangements to be utilized

ATD using funds outside of this agreement will provide the technical services of a qualified public accounting firm to be assigned to the special Unit This firm will provide services inthe design and establishment of financial and management ystpms and pr6cedures independent review during implementation preparation of monthly statements and a certified statement at the end of six months

Except for the $41 million already authorized under letter dated November 14 1986 from the USAIDEI Salvador Director ATD will advance funds based on estimates of immediate disbursing needs (upto 90 days) using standard AID disbursement mechanismq At the request of MIPLAN and based upon an estimated procurement sclieduleAID may procure on behalf of MIPIAN goods and services requifredfor the Program from countries in AID Geographic Code 935 (Free World)

MIPLAN will receive funds from the Central Reserve Bank un(ler tln special local currency account to then be transferred to the SpecialUnit attaiched to CREM Punds will be channelled through the Extraordinary Budget withi thce following exceptions Becauisp of the urgent nature of this program activities financed will not be subject to the Ley de Suministros Ley Organica y de Pres~upuestos or to the requirements normally imposed by the Proveeduria General or Court of Accounts In the case of the latter payment verifications will be carried out ex post

Procurement procedures specific to each component will be d]etailedin subsequent Implementation Letters However it is expected t1iat good commercial practice be utilized in the procurement of anygoods or services under the program and in particular multiple bids or solicitations for purchases be used and documented for future review

C) Reconstrucci6n AlberguesVivienda

Asistencia para l~a reparacion de viviendas daiadas o destrurdas en el terremoto sera lIlevada a cabo en tres areas

1) Una parte asistira el gran numero de familias arrenclantes yfamilias que arrendantescompradores de apartamentos (dIanloseresidentes de apartamentos de IVU Bstas familias necesitkanalbergues temporales y servicios sanitarios mientras sp lesarrollan planes para reconstrucci6n de sus residencias Este albergue

temporal se necesita lo mals pronto posible y estar en servicio por mas de un ano en muchos casos

Para responder a este problema paquetes de materiales seran provistos a los afectados para levantar albergues temporales en sitios limpios de escombros o areas abiertas cercanas a los edificios danados o destrudos Estos albergues combinarrn materiales rgidos (madera techos galvanizados) con el uso de albergues de pl~stico existentes para una cobertura de aproximadamente 200 a 250 pies cuadrados Areas de aseo ysanitarios comunales tales como los provistos a los desplazadospodrin tambi4n ser requeridos cuanlo no se pueda uttlizar la infraestructura existente

Las municipalidades identificaran ]as necesidades en cada stibzona vecinal y presentarcin dichas necesidades al CREM CREM efecttar4 compras de materials del sector privado y las enviara a las bodegasde la municipalidad para su distribuci6n Dicho envIo serA certificado por un miembro del grupo de trabajo municipal y el quela recibe Asimismo se contarA con un control especffico tie inventario y distribucion Aquellas personas que dlebido a sti condicion fisica necesiten ayuda para levantar su albergue serai identificadas por la municipalidad para ser apoyados en la construccidn a travez de otro mecanismo

Para recibir materiales los arrendantes deberan ]legar a ti acterdo con los arrenlaLarios para que se les permita levnntar iini]adestemporales en el predio del arrendatario y continuar alquilandodicho predio En los casos en que no se puede Ilegar a este arreglo la Alcaldla y el Vice-tinisterio de Vivienda tratarAn de proveer lotes gubernamentales disponibles y apropjados en tin esfuerzo para relocalizacion voluntaria Se construir unidales temporiles en propiedades del IVU Los beneficiarios incluir~n un estimado de 20000 arrendantes incluyentlo 700 familias que viven en apartamentos de IVU que en la actualidad se encuentran inhabitables

2) Rehabilitacion de Tugurios

3) Crditos para ReparacionReconstruccion de Vivienda

La tercera respuesta del GOES en 1a fase recuperacidn d- viviendainvolucra la extension de lfneas especiales de cr~dito a familias que son propietarios de casas o de terrenos con Ios cuales porrnfinanciar la reparacion o iniciar la reconstrucci6n de sus viviendas o prcpiedad existente

Esta linea de credito sera dirigida a unos 8000 trabajadores yasalariados que de otra manera les faltarla recursos pararepararrehabilitar las unidades de albergue danadas Propietariosde vivienda que se emplean a si mismos tambien tendr~n acceso a estalinea El Panco flipotecario l1ancos Comerciales y las Asociaciones de Ahorro y Prestamo extenderaln crditos usando los mecanismos existentes para pr4stamos personales pequelos La garanti desegunda hipoteca o garantia de activo serg obviada inicialmente usando en su lugar compromisos de fiadores para poder apresiirar losprocedimientos de tr~mites de aprobaci6n Los prestamos serAn de hasta un mximo de 20000 (colones)

D) Reparacion de Servicios Publicos

Los daios del terremoto se extendieron a una amplia red de servicios Algunos de estos danos requeriran actividades ne reconstrucci6n a largo plazo que estAn m~s a]I del alcancp de este programa de recuperacidn Sin embargo los fondos seran proporcionados bajo este programa para ciertas reparacionesurgentes accesorios de equipo y repuestos para edificios p6blicosutilitarios e instalaciones que puedan ser afectuadas dnrante Iaduracion de este convenio y segdn sea acordado muttuamente entre el GOES y la ATD Dentro de las Areas a ser elegibles paraasistencia est~n la asistencia m~dica sectores de educacion ysalud sistemas de agua y electricidad y carreteras

II Manejo del Programa y Administracion

La direccion total del programa y supervision serg la responsabilidad del Comite para Reconstruccion Metropolitana (CREM) que seri establecido legaimente El Comlt4 tendrA un dirctor asignado por el Presidente que actuar como representante legal por parte del CREM Contara tambi6n con otros funcionarios de laAsociacion Naciona] de la Empresa Privada el Consejo Metropolitanode Alcades la Fuerza Armada y el sector obrero

El CREM supervisara la implementacidn de los componentes del programa ya sea directamente o a travs de comisiones o legrilpostrabajo que pueda crear yo a traves de contratacio6n con entidades pdblicas o privadas para los servicios o bienes necesarios

El control de desembolsos y verificaci6n de los fondos del programa ser la responsabilidad del Ministerio de Planificaci6n Para manejar estas funciones se crearA una Unidad Especial deAdministracion y Finanzas que estarA adjunta al CREM La Unidad estarS compuesta de mpleados tecnicos y administrativos de MIPLAN asignados a esta Unidad Especial Este giupo desembolsara los fondos directamente a las entidades implementadoras de una cuentaespecial separada en moneda local previa aprobaci6n del Comite deFinanzas de Emergencia Nacional (COMFIEN)

Previo a cualquier desembolso o de emitir documentos de compromiso por parte del GOES bajo este Convenlo para compoaentes rlN prograiaMIPLAN proveera por cada componente una descripci6n compl~Ia deactividades que se llevar~n a cabo y procedimientos contables autilizar asf como una descripcin detalada de la adquisiccn yprocedimientos contables a utilizarse

AID usando fondos que no sean de este convenio proveer los servicios tAcnicos de una firma contable calificada que seraasignada a la Unidad Especial Esta firma proveerd servicios en eldiseio y establecimiento de procedimientos contables y manejo desistemas revisi6n independiente durante la implementacb~npreparacion de informes mensuales y un informe certificado al final de seis meses

A excepcion de los $41 millones ya autorizados bajo carta del Director de USAIDEI Salvador de fecha 14 de noviembre de 19A6AID adelantara fondos basAndose en estimaciones de necesidades inmediatas de desembolsos (de hasta 90 das) usando mecanismos dedesembolso estandar de ATD A solicitud de MIPLAN y basados en elcalendario de adquisiciones AID podrA adquirir a favor deMIPtAN bienes y servicios necesarios para el programa de paises del C6digo GeogrAfico 935 (Mundo Libre) de AID

Definiciones En la forma utilizadas en este Anexo el Convenio se refiere al Convenio de Donacicn para el Proyecto del cual forma parte este Anexo Los terminos usados en este Anexo tienen el mismo significado o referencia que los del Convenio

Articulo A Cartas de Cumplimiento del Proyecto

Para ayudar al Donatario en el cumplimiento del Proyecto la AID emitira peri6dicamente Cartas de Cumplimiento que proporcionaran informaci6n adicional acerca de los asuntos tratados en este Convenio Las partes tambien pueden usar Cartas de Cumplimiento del Proyecto convenidas conjuntamente para confirmar y registrar acuerdos mutuos sobre aspectos del cumplimiento de este Convenio Las Cartas de Cumplimiento del Proyecto no podrcn ser usadas para enmendar el texto del Convenio pero podran ser usadas para registrar revisiones o excepciones que sean permitidas por el Convenio incluyendo la revisi6rn de los elementos de la descripci6n ampliada del Proyecto que se presenta en el Anexo I

Articulo B Disposiciones Generales

SECION B1 Consultas

Las Partes cooperar~n para asegurar que el prop6sito de este Convenio sea realizado A este efecto las Partes a solicitud de cualquiera de 6llas cambiaran puntos de vista con respecto al progreso del Proyecto el cumplimiento de las obligaciones bajo este Convenio el cumplimiento por parte de cualquier consultor contratista o proveedores que participen en el Proyecto y otros asuntos relacionados con el Proyecto

Project Grant Standard Provisions Annex

Definition As used in this Annex the Agreement refers to the Project Grant Agreement to which this Annex is attached and of which this Annex forms a part Terms used in this Annex have the same meaning or reference as in the Agreement

Article A Project Implementation Letters

To assist the Grantee in the implementation of the Project AID from time to time will issue Project Implementation Letters that will furnish additional information about matters stated in this Agreement The parties may also use jointly agreed-upon Project Implementation Letters to confirm and record their mutual understanding on aspects of the implementation of this Agreement Project Implementation Letters will not be used to amend the text of the Agreement but can be used to record revisiens or exceptions which are permitted by tne Agreement including the revision of elements of the amplified description of the Project in Annex I

Article B General Covenants

SECTION Bl Consultation

The Parties will cooperate to assure that the purpose of this Agreement will be accomplished To this end the Parties at the request of either will exchange views on the progress of obligations under this Agreement the performance of any consultants contractors or suppliers engaged for the Project and other matters relating to the Project

(d) (1) Any refund under subsection (a) or (b) or (2) any refund to AID from a contractor supplier bank or other third party with respect to goods or services financed under the Grant which refund relates to an unreasonable price for or erroneous invoicing of goods or services or to goods that did not conform to specifications or to services that were inadequate will (a) be made available first for the cost of goods and services required for the Project to the extent justified and (b) the remainder if any will be applied to reduce the amount of the Grant

(e) Any interest or other earnings on Grant funds disbursed by AID to the Grantee under this Agreement prior to the authorized use of such funds for the Project will be returned to AID in US Dollars by the Grantee

SECTION D3 Nonwaiver of Remedies

No delay in exercising any right or remedy accruing to a Party in connection with its financing under this Agreement will be construed as a waiver of such right or remedy
